1. Terminology

1.1. “Accredited Service Provider” is a service provider listed on

www.BusinessMastersNetwork.com or www.WealthMastersClub.com.

1.2. “Additional Franchises” are the additional Franchises bought by the owner of a Main

Franchise. They can be in any leg of the franchisee.

1.3. “Affiliates” are Ambassadors recruiting new subscribers and members for our club.

1.4. "Ambassadors" are Chartered Wealth Masters referring new members to the club.

1.5. “Business Masters Network” (“BMN”) is a platform on

www.BusinessMastersNetwork.com where BMN and WMC (Wealth Masters Club)

accredited business people interact with each other in a well-organised way.

1.6. “Category Exclusivity” is the right of an SP to be the only representative of his/her

industry category in a Franchise.

1.7. "Chartered Wealth Master" (“WM”) is a chartered, active Platinum Elite Member and

Graduate of the latest version of the Wealth Mastery Online Course. They must also

always have an active family trust, administrated by accredited Wealth Masters Club

trust and accounting service providers.

1.8. “Coaches” are appointed by management from Ambassadors with at least 40 direct

affiliates. Coaches qualify for 50 free leads per new Platinum Elite signup. They must

assist anyone who asks them for assistance, not only their own affiliates.

1.9. "Company" is Treoc Holdings (Pty) Ltd. Trading as Wealth Masters Club.

1.10. “Company Subscribers” are subscribers sponsored by Coert Coetzee.

1.11. “Congress” is an annual meeting of all the MANCOs of the Franchises.

1.12. “Currency”: All amounts are quoted in USDollar.

1.13. “Delegate” is a Subscriber who attended a full day seminar or webinar.

1.14. “Educators” are responsible for educating the Franchise members in every meeting on

a subject that is a weakness for the Franchises.

1.15. “EXCO” is an Executive Committee consisting of five BMN Franchise Managers elected

by representatives at a CONGRESS meeting on an annual basis. The Exco advises Head

Office on matters relevant to the Wealth Masters Club and the Business Masters

Network.

1.16. "Follower" is a person who "liked" our social media pages and groups.

1.17. “Franchise” is a paid right, bought from WMC, to open a BMN Franchise which is a

geographical group of likeminded entrepreneurs on the BMN working with each other

to improve their own and each other's businesses.

1.18. “Franchisee” is a Platinum Elite Member who bought a Franchise. If the Franchise was

bought by a company or a partnership, the company or partnership must nominate a

natural person to be registered as the “Nominated Franchisee” on the BMN system.

1.19. “Franchise Manager” does not have to be a franchisee, but must at least be a Platinum

Elite Member and listed Service Provider for the Franchise.

1.20. “Franchise Meeting” is a compulsory weekly meeting for all the SP members of a BMN

Franchise.

1.21. “Head Office” is the Wealth Masters Club (Pty) Ltd. (“WMC”).

1.22. “Inactive Subscribers” are people who still did not upgrade to Platinum after signing up

or who were Platinum/Platinum Elite members before.

1.23. “Intellectual Property" ("IP") is the products, services, methods, systems, and

procedures of BMN and WMC.

1.24. “Industry Category” is, for example, hospitality, plumbing, civil engineering,

accounting, medical practice, wealth coaching, trust attorney, dental, armed response,

appliance retailing, pharmaceutical, property investors, etc.

1.25. “Main Franchise” is the first franchise of a franchisee.

1.26. “MANCO” is a Management Committee consisting of up to four SPs of a Franchise

appointed by the Franchisee. The MANCO reports to the Franchisee and Head Office.

1.27. “Marketing Fee” is the percentage of Qualifying Turnover payable to WMC.

1.28. "Member" refers to a sign-up, referral, follower, subscriber, Platinum or Platinum Elite

Member, Client, Service Provider or Franchisee of the Wealth Masters Club and

Business Masters Network. A Member is only allowed to have one position on the

binary referral system.

1.29. “Membership Fee” is the monthly Platinum Elite Membership fee of the WMC payable

by all Prospects and Members of the BMN.

1.30. "Platinum Member" refers to an active, up-to-date paying member of the Wealth

Masters Club.

1.31. “Platinum Elite Member” refers to a higher-ranking Platinum Member.

1.32. "Platinum Benefits" are the benefits listed

on https://wealthmastersclub.com/membership.

1.33. “Prospect” is a Member or an SP in waiting.

1.34. “Qualifying Turnover” is the invoice or part of an SP’s turnover on which the marketing

fee is calculated. In case of commission earners, like car salesmen for example, the

commission of the salesperson will be the invoice amount.

1.35. “Regulated Categories” are WMC directly accredited Service Providers ("SP") in the

Trust Accounting, Trust Registration Services and Independent Trustee Services

categories, and any form of Multilevel Marketing Business.

1.36. “Referral” is a person referred to the club by a sponsor

1.37. “Referrers” are members using their WMC referral codes to refer people to WMC from

time to time.

1.38. “TC Number”, also known as a "TC Code", is a person’s membership number connected

to his/her identity number forever.

1.39. “Service Provider” (“SP”) is a BMN accredited service provider listed on the BMN

platform and all its staff working with the IP (the Intellectual Property of either BMN or

WMC).

1.40. "Sponsor" refers to a referrer/ambassador signing up new members to the Wealth

Masters Club.

1.41. "Subscriber" refers to a non-paying inactive member who is subscribed to the mailing

list of the Wealth Masters Club.

1.42. "Upgrade" or "Conversion" is a non-paying inactive subscriber who upgrades to

Platinum Elite Membership to qualify for an exclusive bouquet of unique benefits.

1.43. “Visitor” is a person visiting a Franchise or our website without subscribing to it or

joining as a member.

1.44. "Wealth Masters Club" (“WMC”) is a well-organised group of likeminded investors.

2. Wealth Masters Club

2.1. MEMBERSHIP LEVELS

We have six levels of involvement/membership in our club:

1. Social Media Followers – Free

2. Inactive Subscribers – Free

3. Platinum Members – Monthly Debit Order

4. Platinum Elite Members - Monthly Debit Order

5. Wealth Masters – Monthly Debit Order

6. Affiliates – Monthly Debit Order

If the qualifying criteria for a specific level are not met, or if the member upgrades, the

benefits of the lower or higher level the member then qualifies for, if any, will automatically

apply from that moment onwards.

2.2. FREEDOM SEATS

Every chartered Wealth Master gets two 100% free seats on every Wealth Masters seminar

in their region which they may use themselves or give to anybody they wish. There is only one

condition to this benefit; at least one of the seats must be used for every Wealth Masters

seminar in the area. If not, the benefit is cancelled and can only be re-activated after full

payment of one new seat.

2.3. CLUB UNITS

Club units are awarded to Platinum / Platinum Elite Members, Wealth Masters and are to be

redeemed in cash. Only Family Trusts, managed by our accredited Trust service providers,

qualify to be beneficiaries of the Club Unit System.

2.3.1. Qualifying Criteria

2.3.1.1. Platinum / Platinum Elite Member, Wealth Master or Ambassador

2.3.1.2. Registered Family Trust with our accredited Trust Service providers

2.3.2. Methods of Club Unit Accumulation

2.3.2.1. Platinum Members get 3% of their monthly membership fee back in club

units every month.

2.3.2.2. Platinum Elite Members get 5% of their monthly membership fee back in

club units every month.

2.3.2.3. Wealth Masters get 10% of their monthly membership fee back in club

units every month.

2.3.2.4. After a Platinum / Platinum Elite Member, Wealth Master or Ambassador

referred 4 or more active Platinum Elite Members, 100% of his/her full

monthly membership fee is granted to his/her club units account every

month for as long as he/she maintains a minimum number of 4 direct

paying referrals in his/her downline.

2.3.2.5. Ambassadors can have some or all of their referral commission paid in Club

Units if they want.

2.3.3. The Club Units funds are mainly invested in shares in Destinata Capital where it is

"working" mainly in the following industries: Security, Hospitality, Student

Accommodation, Water Installations, and Renewable Energy.

2.3.4. Due to the shares-base nature of our investments, all redemptions are subject to

liquidity.

2.3.5. We only keep a portion of the funds in cash to meet redemption requests. In order

to manage the liquidity, a maximum of 10% of your total Club Units can be redeemed

per month and to make it worthwhile, the minimum amount per withdrawal is $60

or more.

2.3.6. To redeem units, please visit Quick Links > DASHBOARD > Wallet > Club Units.

2.3.7. Withdrawals are paid into the registered Wealth Masters accredited family trust's

bank account, and only upon successful application.

2.4. LOYALTY POINTS

2.4.1. Methods of Loyalty Points Accumulation

(17 Points equals $1)

Active Platinum / Platinum Elite Members are allocated Loyalty Points on the following

basis:

• 2,000 points per Coach per month

• 530 points per Platinum Elite per month

2.4.2. How to Redeem Loyalty Points

2.4.2.1. Loyalty Points can only be used to:

a. Subsidise the full price of Wealth Masters Webinars

b. Subsidise the full price on any of Coert Coetzee's books

c. Subsidise seminars, products and services fees as indicated on our

website

2.4.2.2. Only active Platinum / Platinum Elite Members can redeem their points for

themselves as well as for any other person they wish to sponsor. Please

contact [email protected] for assistance in this regard.

2.5. MARKETING

The company uses referral marketing to promote the club, the network, the training, the

benefits, and the products through registered affiliates signing up new subscribers for our

club. Subscribers are temporarily connected to the sponsor who signed them up, unless the

sponsor activates them whereafter they are connected to the sponsor forever.

To be an “activated” subscriber, the subscriber must upgrade, or be upgraded, to Platinum

Elite Membership, with their sponsor’s TC Number. Only then will they be connected to that

sponsor forever.

If they are not upgraded, they are inactive and any other person ever converting them to

Platinum Elite will be their sponsor forever.

2.6. REFERRAL COMMISSION

The COMPANY acts as a referral platform for accredited independent providers of services to

the members of the Wealth Masters Club. The COMPANY receives membership fees from

members and referral commission from the service providers. The Company will share this

income with its Affiliates as stipulated in this document.

Affiliates receive on their referrals a monthly commission on a Binary System. As from 1 May

2020 referral commission will only be paid either into bank accounts of Family Trusts,

managed by our accredited Trust and Accounting Service Providers or it will be paid into the

Club Units account of the affiliate.

BINARY REFERRAL SYSTEM

2.6.1. Compensation Plan and Classes of Membership

The COMPANY will compensate our Affiliates, who are also active

Platinum/Platinum Elite Members, for every new active member referred by

them.

a. An active member is a member whose Platinum fees are paid in full (i.e., an

active Platinum Elite Member).

b. Each Affiliate has an exclusive membership code, the TC Number. Every new

referral is linked to this Affiliate's binary tree via the membership code.

As the name says, a binary system consists of two legs. In the settings on our

website, the member can choose in which leg they wish to place a new referral.

Balancing the two legs of a binary is very important to maximize your income.

PLEASE NOTE: Once a new referral upgraded to Platinum Elite, the binary position

can never be changed again!

Affiliates earn points on each leg and when they have a certain number of points

on both legs, they cycle. A cycle has a specific monetary value as explained below.

CP - Commission Pool is the Company's turnover less joining or upgrade fees (if

any). It includes the following products and services net income amongst others:

• Membership Fees

• Seminars & Webinars

• Risk Management

• Trust Management

• Accounting

• Property Sales

• Property Management

• Financing

• Refinancing

• Bitcoin Mining

• Gold & Silver Promotions

• Destinata 12J Funds

• BMN Commissions

CA - Commissionable Amount is the CP divided by the number of Active Platinum

/ Platinum Elite Members. For example: $50,000 ÷ 2,000 = $25

Cycles work like this:

• 25 points on both legs = 1 cycle.

• Multiple cycles can be achieved every month.

• A cycle pays 25% of the Commissionable Amount.

• The system produces a Commission Invoice according to the cycles, if any,

every month's end.

• Cycles cannot be accumulated. Affiliates must claim their cycles every

month by submitting their invoice before the 7th of the month, following

the month they cycled. If not, the unclaimed cycle commission is

automatically added to Affiliates' Club Units account.

• Affiliates can choose to compound a percentage of their cycle commission

to their Club Units account.

• Cycle points, both claimed and unclaimed, expires every month after the

7th.

2.6.2. Affiliates automatically earn Binary Points on the following:

2.6.2.1. Monthly Binary Points:

2.6.2.1.1 For every person of the followings status in their downlines, Affiliates

immediately earn the following points:

Platinum / Platinum Elite Member 25

Plus BMN Service Provider 50

Plus Chartered Wealth Master 25

TOTAL 100

2.6.2.2. Once-off Cash Sales Commission:

2.6.2.2.1. For every paid new Platinum Elite access fee, new Full Day Webinar booking fee and/or new BMN Franchise purchase price, the Affiliate making the sale is immediately credited in his/her bank, or credit card account on record, with the following commission on the sale price:

60% to Referrers 70% to Ambassadors 80% to Wealth Coaches

Effective Prices on which commissions are applicable: Platinum Elite: $28 Full Day Webinar: $25 BMN Franchise: $2,900

Once-off Commissions paid will be recouped if the sale is cancelled within 30 days.

VERY IMPORTANT: Any Affiliate can make a Cash Sale to any person irrespective of who the buyer’s sponsor is. It is the responsibility of the Affiliate, making the sale, to ensure his/her TC Number is correctly recorded on the online payment detail of the buyer. If no TC Number is recorded or if it’s incorrectly recorded, the commission on the transaction is forfeited forever. If no Affiliate is involved as the seller, the buyer cannot claim the supposed commission factor as a discount on the price.

2.7. GETTING STARTED WITH OUR REFERRAL PROGRAM

2.7.1. First, make sure you're in the loop! For those who have not yet signed up,

contact the person who referred you and ask for their referral link. If they do

not respond within 24 hours, click on http://bit.ly/WM-CashMaster now and

sign up to get your Login Detail and TC number by email. If you've already

signed up, go to your Profile on www.wealthmastersclub.com for your detail.

Your TC number is the number at the end of your referral link, as you'll see in

the activation email. Email [email protected] if you're unsure

of your TC code.

2.7.2. Go to our WEALTH MASTERS CLUB Facebook Group

on https://www.facebook.com/groups/WealthMastersClub/ and send us a

joining request – you will only be accepted if you provide your valid TC number

when prompted (see above).

2.7.3. Use your login detail on http://www.thewealthmastersacademy.com/admin,

our LCSystem, where you will have access to a full bouquet of regularly

updated Lead Capturing Landing Pages from which you can choose as many as

you like and as often as you wish. The URL's of these pages are already

connected to you and your sponsor's referral codes, and you can use them as

they are, or shorten them with Bitly.com as I do. See how we do it on our

else's links on your posts! Use YOUR unique links as displayed on your admin

page on http://www.thewealthmastersacademy.com/admin!

2.7.4. Post the LCSystem links of your choice on social media – everyone who signs

up on it will be temporarily connected to your Wealth Masters Profile on our

system. When you upgrade them to become an active Platinum Elite Member

and Customer they will be connected to you and you'll start receiving passive

Affiliate Commission every month! See more about our referral system

2.7.5. Monitor your emails. Every time someone signs up on the unique LCSystem

link that you posted or if they upgrade to Platinum Elite Membership, you'll

immediately receive a notification email from us.

2.7.6. When receiving sign-up notifications, contact your new sign-ups and invite

them to a full day Wealth Masters event, www.wealthmastersclub.com, where

we can help you to convert them to platinum.

2.7.7. Add your new sign-ups on Facebook, invite/add them to the WEALTH MASTERS

Facebook Group and tell them to read the pinned "announcement" post to see

how things are done there. Facebook group

2.7.8. When receiving platinum conversion notifications, contact them and make

sure they start with the Online Course as soon as possible so they can start to

make more money, a lot more, with Bitcoin, Gold, and Property in Specialised

Trusts! The Online Course can be found here when logged on to the website.

2.7.9. Congratulate your new platinum conversions on the WEALTH MASTERS Club

Facebook Group with the following example post: "(Tag your new upgrades

here) - Congrats with your Platinum Upgrade! Your next step to Financial

Freedom is to complete the Online Course."

2.7.10. A successful Conversion is one where the Upgrade Fee was paid to the

Company and the new Platinum Elite Member did not make use of the 30 days

money-back guarantee.

2.7.11. As you now understand, anybody can participate, but only Platinums get paid.

2.7.12. Employees of The Wealth Masters Club are excluded from the campaign.

3. Business Masters Network

3.1. BMN FRANCHISES

3.1.1. A Franchisee may open up to 20 BMN Franchises.

3.1.2. Franchisees don’t have to be business owners themselves.

3.1.3. Service Providers must be the owners, co-owners or representatives of their

businesses or the business they work for.

3.1.4. The business contact detail of Franchises and SP’s will be shared with members

of the public in any way the Company sees fit.

3.1.5. SPs in Franchises must first update their Business Detail on their WMC Profiles

with either a Company or a Trust’s detail before they can be added to a

Franchise.

3.1.6. Every BMN SP in a Franchisee’s downline provides 75 Binary Points per month

to their sponsors. That is 200% more than what they get on an ordinary

Platinum Elite Member in their downline.

3.1.7. The Franchisee must register a BMN Franchise on the BMN website within 30

days and grow it to at least 15 SPs in the first year. If this number of SP's are

divided into two legs, they generate 60 cycles on average. A cycle pays about

six dollars. The potential minimum Binary Income is then $360 per month.

3.1.8. Although the purpose of a Franchise is to generate new business for its

Owners’s and SP’s normal businesses, it’s also a Profit Centre on its own,

because on full capacity a Franchise will have more than 50 SPs, which will

generate more than 200 cycles to the value of more than $1,200 Binary

Commission per month for the Franchisee and SPs respectively.

3.1.9. The minimum BMN Invoice Turnover required per Franchise per month as from

the fourth month after registration is $12,000.

3.1.10. BMN collects a Marketing Fee of 3.5% of the turnover, e.g., $420 and of that,

the Franchisee and referring SP each get 45% which is $189.

3.1.11. The potential passive income per Franchise for the Franchisee, Binary

Commission ($1,200) plus Marketing Fee ($189), is $1,389 per month. This

income represents a value of more than $16,000 per Franchise.

3.1.12. Therefore, the Standard Price for a Franchise is $16,000, but during the Public

Launch Phase, Main Franchises sell at an 82% discounted, non-refundable,

Promotion Price of $2,900. The Company can announce the end of the Public

Launch Phase at any time, so use it while it’s live!

3.1.13. An additional Franchise bought by an existing Franchisee sells for $1,450 with

no commission payable on the sale.

3.1.14. Existing SPs are allowed to break away and buy their own BMN Main Franchise

and start their own Franchises subject to that the WMC sponsorship lines don’t

change.

3.1.15. WMC Ambassadors get a commission of 10% of the price per franchise for any

Main Franchise they sell.

3.2. REGULATED CATEGORIES

3.2.1. Trust Accounting and Administration

3.2.1.1. Due to its highly specialised nature, Trust Accounting, Independent

Trustee and/or Protector Services on Trusts are the only licensed

(exclusive) service category within BMN and can only be performed by

independent SPs under licence of Destinata Accounting (Pty) Limited

and/or Treasury Trust Services (Pty) Limited.

3.2.1.2. Who can participate?

a. You have to be a qualified and duly registered accountant or

attorney.

b. You have to be a member of your country’s local Accounting or

Fiduciary Institution and/or regulating body.

c. You must have a proven track record of service excellence and

ethics.

3.2.1.3. What do you have to do?

a. Send an email with subject line “Trust Agency Application”

to [email protected] – be sure to include the correct

subject line.

b. Attach your CV.

c. Provide a brief overview (300 words max) of your trust experience to

date.

d. Hereafter, the screening process shall begin – and you can await

further feedback and information requests.

3.2.1.4. Do not apply if you do not meet the minimum requirements stipulated

above.

3.2.2. Multilevel Marketing 3.2.2.1. Wealth Masters Club is the only Multilevel Marketing company allowed

to be associated with BMN Franchises and to make any representations and/or presentations on a BMN Franchise Meeting.

3.3. DUTIES OF ALL PARTIES

3.3.1. WMC provides access to the IP (at WMC’s discretion) mentioned in the form

of:

a. Training

b. Access to training documents

c. Document templates

d. Client recommendations

3.3.2. MANCO list the SP as an approved service provider on BMN and keep it listed

for as long as the SP maintains minimum requirements.

3.3.3. WMC administers the referral commission system according to the Terms and

Conditions as published on www.WealthMastersClub.com.

3.3.4. The SP must become and remains a Platinum Elite Member of WMC for the full

duration of this agreement.

3.3.5. The SP must complete the online Business Mastery Course of the WMC within

14 days after accepting these Terms and Conditions, plus all future updated

versions within 14 days after they are published.

3.3.6. The SP must ensure its staff will honor these Terms and Conditions.

3.3.7. Clients recommended to the SP by clients originally recommended by other

SP’s or the WMC will also be viewed as WMC recommendations for the

purpose of this agreement.

3.3.8. The SP can introduce its existing direct clients to the Wealth Mastery System if

they are not already signed up to WMC by somebody else.

3.3.9. The SP must be an Affiliate for Wealth Masters Club according to the latest

Terms and Conditions of the WMC.

3.3.10. The SERVICE PROVIDER shall protect confidential information and intellectual

property of the WMC. The SERVICE PROVIDER may not:

a. Disclose intellectual property gained from WMC, or its accredited service

providers, to other parties, unless it is in the provision of services in line

with this agreement.

b. Use the intellectual property of WMC or its accredited service providers to

gain a financial advantage whilst not operating in terms of this agreement.

3.3.11. Should this agreement terminate, all intellectual property of WMC and its

accredited service providers will be returned to them and the SERVICE

PROVIDER shall not be entitled to use it in the future without the express

written consent of WMC.

3.3.12. The qualifying turnover already logged in terms of this agreement will remain

linked to this agreement, with the outstanding marketing fees, if any, still

payable, even after termination of this agreement.

3.3.13. The SERVICE PROVIDER must at all times be registered with the relevant

professional and\or fiduciary organisations of its country if required for the

applicable service category of the SERVICE PROVIDER.

3.4. BMN CONDITIONS

3.4.1. These Terms and Conditions are part of, and subject to, the Terms and

Conditions of WMC. If any conflict exists, the WMC T&Cs will supersede.

3.4.2. Existing or prospective BMN SPs of WMC can invite prospective candidates to

an existing Franchise or the founding meeting of a new Franchise.

3.4.3. Only one business from each exclusive industry category is permitted in a

Franchise. MANCOs of each Franchise has final authority related to category

conflicts. MANCOs can approve duplicates in certain instances.

3.4.4. SPs from a Regulated Category must be approved by Head Office before they

can be invited or added to a BMN Franchise.

3.4.5. SPs can only be added to the BMN platform by the Manager or Secretary of a

Franchise.

3.4.6. BMN may establish Franchises in every city or community with people

interested in developing a referral-based business. Also, WMC reserves the

right to open more than one Franchise per community, city

or geographical area where demand for WMC services requires it.

3.4.7. An SP requesting a transfer from their current Franchise to a new Franchise will

be required to submit a completed new SP application to the MANCO of the

new Franchise.

3.4.8. SPs must preferably represent their primary occupation, not a part-time

business. However, it’s up to the MANCO to decide who to allow or not.

3.5. MANAGEMENT

3.5.1. As soon as five or more prospective SPs have joined a Franchise a MANCO

should be appointed by the Franchisee. The Franchisee should choose a name

for his/her Franchise, for example, "BMN Business Bulls" or "BMN Titans" -

whatever they choose. The name cannot be the name of a country, province,

state, city, town or suburb.

3.5.2. The MANCO will consist of a Manager, Deputy Manager, Secretary, Educator

and a Treasurer.

3.5.3. For as long as they are members of a MANCO and fulfil all their responsibilities

throughout their term, the monthly membership fees of MANCO members will

be paid 100% into their WMC Club Unit accounts.

3.5.4. In the absence of a MANCO, Head Office may fulfil that responsibility until a

MANCO is established.

3.5.5. When a MANCO fails to act or to fulfil its duty, Head Office may disband the

MANCO and fulfil its responsibility until a new MANCO is established.

3.5.6. The Manager is the chairperson at all Franchise meetings. The Secretary must

keep minutes of every meeting. The Educator must ensure that members are

always properly trained. The Treasurer must negotiate, organise and record all

the financial matters of the Franchise. The Deputy Manager must assist the

Manager and any of the other Manco members when necessary.

3.5.7. The Franchise must be registered on the BMN website within 24 hours after

the Franchise was founded.

3.6. FRANCHISE MEETINGS

3.6.1. Terminology:

3.6.1.1. BMN Members: Approved Service Providers

3.6.1.2. Leadership team: Manco Members responsible for weekly meeting

are: Manager, Deputy Manager, Secretary, Treasurer and Coach, who

will ensure the meeting flows smoothly. They can also choose other

members and / or guest speakers to join the meetings.

3.6.1.3. Feature Networker: Networker that has given the most referrals during

the previous week who will present their business and ideal clients in a

5 minute presentation.

3.6.1.4. Visitor: Invited by a BMN member who can potentially join the BMN

Franchise.

3.6.1.5. One on One Meetings: Each SP must conduct at least 5 One on One

Meetings with any other SP of the same or any other Franchise.

3.6.2. We strongly recommend that SP’s join our weekly meetings in order to enhance

teamwork and to get to know each other.

3.6.3. The compulsory weekly meetings will be done over 70min-90min depending

on the Franchise size. SP's must arrive on time and stay for the entire meeting.

3.6.4. The Formal Networking layout

3.6.4.1. The Manager Networker of the Franchise will introduce himself and the

Leadership team. Thereafter he will elaborate on what BMN is and

when it was founded. 3min

3.6.5. Agenda for the formal Franchise meeting: These are suggestions and can be

altered as required by the MANCO:

3.7. MINIMUM REQUIREMENTS

3.7.1. For as long as a Franchise has vacancies in some service categories, the SPs of

the Franchise are required to bring at least two visitors per month to their

Franchise meetings or join two SPs personally.

3.7.2. Each SP must recommend at least 4 member’s services to another SP per

month.

3.7.3. Every Friday each SP will get an activity statement from the system showing

how many visits and recommendations were achieved for the month to date

and how many are still required if any.

3.7.4. Visitors can only attend a Franchise meeting if they are invited, sponsored or

accompanied by an SP.

3.7.5. Visitor Invitations and Recommendations must be recorded on the BMN

website by the recommending SP within 24 hours after happening.

3.7.6. The system will then send a confirmation or notification to the recommender,

prospective client and the recommended service provider.

3.7.7. A SP receiving a referral from the website or from a fellow SP must report, if

no quotation was given, a xero amount within 5 days on the BMN website.

3.7.8. After completion of the order or job, the amount of the invoice must be

reported within 24 hours on the BMN website. If the quotation was declined,

a zero invoice amount must be reported on the BMN website.

3.7.9. Fourteen days after the referral confirmation letter was sent, the system will

ask the client to rate his/her experience with the SP on a scale of one to five,

and to report the amount of the transaction concluded, if any.

3.7.10. After the invoice reporting was done on the BMN website, the marketing fee

due, if any, will be collected by the company per debitorder.

3.7.11. After the invoice was recorded, the system will ask the client to rate the service

on a scale of one to five.

3.7.12. Visitors may attend Franchise meetings once, whereafter they have to join as

a Prospect and go through a probation period before being allowed to become

a SP, or they can join directly on recommendation of another SP.

3.7.13. If your Franchise produces less than $11,800 Invoice Turnover per month over

any six-month period, the Franchisee gets 90 days to rectify the decline. If not

successful, the Franchise is declared inactive and for sale within 30 days on an

online auction to the highest bidder. They are valued at 3.5% of their monthly

invoice turnover, which is then multiplied by 12.

3.8. RULES

3.8.1. An individual SP cannot be in a second Franchise nor in any other group that

allows only one person per industry category and whose primary purpose is to

pass recommendations to one another, because it substantially reduces their

commitment to the Franchise SPs. MANCOs must enforce this policy.

3.8.2. SPs should meet once a week at a specific time as deteremined by the MANCO

of the Franchise.

3.8.3. SPs will be required to pay for their own bill during social meetings

3.8.4. If a SP cannot attend, they may send a substitute, in the same company they

are in, to the meeting. This will not count as being absent.

3.8.5. We strongly recommend that SPs attend the weekly meetings. Our SP

requirements will be strictly applied to determine involvement within the

Franchise.

3.8.6. The MANCO of each Franchise will be responsible to investigate any bad ratings

that a SP receives.

3.8.7. SP's not happy with the conduct and behaviour of another SP in the same

Franchise must report it to the Manager and the Manager must investigate the

complaint and give feedback to the complainant within 14 days after receiving

the complaint. If the complainant is not satisfied with the outcome, the

complainant may report it to Head Office.

3.8.8. It is the SP's responsibility to file a concern with the MANCO of their Franchise

if a visitor who submits a joining application is in any way in conflicts with their

category classification. This should be done before the visitor is approved as a

SP. If there are no complaints, the MANCO will assume their consent, valid for

the next six months.

3.8.9. SPs who wish to change their industry category must get approval in writing

from the MANCO for that category change.

3.8.10. In case of problems with an SP’s client service ratings, business practices and

commitment to the Franchise MANCOs may, at their sole discretion, put a SP

on probation.

3.8.11. An SP’s category exclusivity may be cancelled by the MANCO of the Franchise

for the failure of the SP to comply with the terms and conditions of the club.

MANCOs of any Franchise may open classifications.

3.8.12. All Prospects must complete the Wealth Mastery Online Course and attend the

Full Day Wealth Masters Seminar or Webinar within the first 90 days of their

joining.

3.8.13. Anyone found guilty of disrespecting the principles of the Wealth Mastery

System as taught in the Wealth Mastery courses and seminars may be stripped

of their status as an "accredited service provider" to the club and the Franchise

may, at the sole discretion of Head Office, be cancelled with the SP losing all

rights to his/her Club Units and Loyalty Points.

3.8.14. Other than normal WMC printed materials, SPs may not use the WMC’s

Intellectual Property (e.g. logos, trademarks, names, slogans, copyrighted

materials, etc.) to manufacture, distribute, sell, market, or promote any

product or service, or otherwise use the WMC Intellectual Property without

obtaining the prior written consent of WMC Head Office. SPs must agree to

abide by the WMC Branding Standards for any permitted use.

3.8.15. Service Providers of WMC are all by default automatically SPs of BMN and must

start a new Franchise or join an existing Franchise.

3.9. FEES & CHARGES

3.9.1. SPs and Prospects of the BMN of Wealth Masters Club must be Platinum Elite

Members of WMC and therefore all the normal Platinum Elite Fees, Benefits

and T&Cs of WMC apply to them.

3.9.2. Platinum Elite Members of WMC, who are business owners, automatically

qualify as SPs of the BMN, if they want be, at no additional fee.

3.9.3. There is no application fee for SPs and Prospects of WMC or BMN. The normal

monthly Platinum Elite membership fees of the WMC are payable to WMC by

way of monthly debit order.

3.9.4. Membership fees not paid when they are due are considered late and will be

assessed a late charge equal to 50% of the amount due. If arrear fees are not

paid within 30 days, the SP’s membership will be officially cancelled by WMC

and he/she will be removed from the Franchise he/she belongs to.

3.9.5. Fees are non-refundable.

3.9.6. Fees cannot be transferred from one person to another unless the fees are

from the same company.

3.9.7. The MANCO will not be allowed to open a bank account or charge fees, other

than already agreed, if not permitted in writing.

3.10. MARKETING FEES

3.10.1. After the invoice was reported on the system, the system will generate an

invoice for a marketing fee equal to 3.5% of all invoices, which will be paid to

the Head Office within 30 days. It will be used for commissions, administration

costs, and advertising BMN to the public.

3.10.2. The SERVICE PROVIDER will, within 7 days, at WMC’s request make available

any records which WMC may require in order to calculate the MARKETING FEE.

4. General Conditions

4.1. MAX OUT

Referral Commissions can never exceed 25% of the Commission Pool and Club Unit

redemption requests can never exceed the liquidity of the Club Unit's funds. In the unlikely

event of it happening, the system automatically deducts the exceeding percentage pro-rata

from each commission or redemption due amount and credit it back to the members'

commission and unit accounts.

4.2. GENERAL

4.2.1. Affiliates may bequeath or transfer their groups to any other person or entity

by way of a written letter or a will, but Affiliates may not combine groups with

other groups unless it is approved by the COMPANY.

4.2.2. It is advisable to provide your prospects with "your referral link", because if

they click through on that link and subscribe on our website, they are

temporarily linked to your code.

4.2.2.1. Please note, the company takes no responsibility if a subscriber re-

subscribes with a different email address to another Affiliate's code. It's

the Affiliate's responsibility to convert their subscribers as soon as

possible since free subscription only lasts 30 days before deactivation.

4.2.3. Affiliates are not allowed to "poach" the members of other Affiliates.

4.2.4. Affiliates are only allowed to use the branding and IP of the COMPANY if and

as agreed in writing with the Chief Operations Officer of the COMPANY.

4.2.5. The COMPANY will generate a one-month backdated invoice which can be

viewed monthly on the COMPANY website - under the Affiliate's profile –

between the 1st and the 7th.

4.2.6. To qualify for any commission payment, Affiliates must

4.2.6.1. be paying Platinum / Platinum Elite Members of the club; and

4.2.6.2. they must accept the applicable Terms and Conditions every month for

the "submit" button to work; and

4.2.6.3. have a bank account for a Trust, managed by our accredited Trust and

Accounting Service Providers or it will be paid into the Club Units

account of the affiliate.

4.2.7. Once the Monthly Terms & Conditions are complied with, the Affiliate should

check and confirm the content of the invoice. The invoice should then be

submitted to the COMPANY before the 7th - e.g.: If the COMMISSIONABLE

AMOUNT was received on the 1st of March, the Affiliate will only obtain the

referral fee on the 15th of March. Should this date fall on a public

holiday/weekend, the payment will be processed on the first working day

thereafter.

4.2.8. Commissions, Binary Points or Loyalty Points paid or allocated incorrectly, will

be deducted again.

4.2.9. If a Member fails to use their credits in their Loyalty Account for 2 consecutive

years for whatever reason, it can, at the sole discretion of the COMPANY, result

in the Member losing all or some of the credits permanently. The "use it or

lose" rule applies.

4.2.10. If a Member fails to pay his/her platinum fee for two consecutive months for

whatever reason, it can, at the sole discretion of the COMPANY, result in the

permanent suspension of the Member's contract and membership – in this

case, the Member will forfeit all referral fees and accumulated credits

permanently. Please note, there is a fee payable when reinstating a Platinum /

Platinum Elite Membership.

4.2.11. Kindly ensure that you send the COMPANY your correct banking details for the

payment of the referral fees. It's the Affiliate's responsibility to double-check

that we have the correct details, and to notify us when there is a change.

4.2.12. All Affiliates must kindly send their personal income tax number or Company

income tax number and applicable VAT certificates to

[email protected]. No payment will be done without the

applicable documentation or information.

4.2.13. Any relevant queries can be emailed

4.2.14. The COMPANY shall, within its sole discretion, be entitled to change the Terms

and Conditions when necessary.
