SECTION I. ̶ PROPOSALS REQUESTED A. The Virgin Islands Port Authority (“Authority”) is a corporate and politic body constituting

a public corporation and autonomous governmental instrumentality of the Government of the United States Virgin Islands. The Authority was created in 1969 for the purpose of establishing, acquiring, constructing, developing and improving, owning, operating and managing any and all types of public air and marine terminals in the territory. The Authority is governed by a nine-member Governing Board and its day-to-day operations are managed by an Executive Director appointed by the Board. The Authority has the legal authority to enter into concession contracts for the services to be provided at its facilities, including airports. Please see our website at www.viport.com for further information.

B. The Authority is seeking proposals from all interested and qualified Proposers desiring to provide restaurant service in the airport terminal at the HENRY E. ROHLSEN AIRPORT, St. Croix, United States Virgin Islands.

The Authority desires to award a contract to the best qualified Offeror submitting the proposal which best meets the Authority’s desire for on-demand restaurant service at the Henry E. Rohlsen Airport Terminal. It is not the intent of the Authority to prohibit or discourage any prospective Offeror from submitting a proposal which is based upon its trade experiences as to the scope of business operation to be undertaken and as to the manner in which such operation is to be conducted.

The selected Offeror shall be required to meet the requirements set forth in this RFP however, certain portions of the final contract will incorporate language and provisions directly from the selected Offeror’s proposal. Portions of the final contract between the Authority and the selected Offeror shall be negotiated.

All Offerors are advised, however, that proposals that substantially deviate from the scope of this concession activity as set forth in this RFP may be rejected. Further, the Authority reserves the right to reject any proposal which does not provide that the Offeror will agree to changes in its contemplated manner of operations if the Authority deems such action to be reasonable necessary during the term of the Contract to be awarded.

C. The Authority intends to grant the selected Offeror a Contract with a Contract Period of five years. An option to renew for an additional five years may be negotiated.

SECTION II. ̶ BACKGROUND AND GENERAL INFORMATION AIRPORT TERMINAL FACILITY

The Henry E. Rohlsen Airport (HERA or Airport) is located about six miles southwest of Christiansted on St. Croix. Daily scheduled air carrier operations, scheduled and unscheduled charter operations, domestic commuter inter-island flights as well as cargo and military operations occur at HERA. HERA serves St. Croix with regular flights from the U.S. mainland, Puerto Rico, and the Eastern Caribbean. The airport terminal is open from 5:00 a.m. to 11:00 p.m. Aircraft, rescue and firefighting services are available during that time. The Air Traffic Control Tower operates from 7:00 a.m. to 10:00 p.m. HERA’s runway is open 24 hours.

The two-story terminal is 181,000 square feet and has 10 gates. HERA encompasses 1,455 acres which includes an asphalt runway measuring 10,004 x 150 feet. The key airport tenants consist of three (3) major carriers, four (4) Commuter Airlines, four (4) Rental Car Companies and a Taxi Cab Association. A restaurant within the airport terminal has the potential to be a focal point of activity on a daily basis.

AIRPORT HISTORY

Prior to the construction of the airport, the United States Army Air Forces Sixth Air Force stationed the 12th Bombardment Squadron (25th Bombardment Group) at an airfield in the area called Benedict Field for antisubmarine patrols flying B-18 Bolo aircraft from November 8, 1941 to November 10, 1942.

A public airport terminal was built in September 1948 and named the Alexander Hamilton Airport. It was renamed in 1996 in honor of Virgin Islands aviator Henry E. Rohlsen who was one of the Tuskegee Airmen during World War II. The terminal was expanded and completely renovated by the Authority in 2000, and the runway was extended from 7,600 feet to 10,004 feet in 2002.

Like all U.S. airports, HERA is subject to oversight by the Federal Aviation Administration (“FAA”). The property on which the airport lies and majority of the surrounding property were transferred from the United States Government to the Government of the Virgin Islands and later, in the early 1970s to the Authority. Since that time, additional surrounding properties have been purchased with assistance from the FAA.

PREMISES The designated site for the proposed restaurant is located on the first floor of the airport terminal main lobby. The area consists of 696.5 square feet and is located pre-security and is available to passengers, employees and the public. The adjacent public restrooms are shared by all users of the building with janitorial services provided by the Authority. Public parking is available to serve the terminal area. If applicable, customers of the restaurant will be required to pay the applicable airport parking fee.

SECTION III: TERMINAL RESTAURANT SERVICES

A. DESIRED SERVICES It is desired that the prospective restaurant operator will offer breakfast and lunch at a minimum. Dinner services is a desired option.

B. HOURS OF OPERATION

The Restaurant Offeror will operate the facility seven (7) days a week, 365 days a year from 6:00 AM to 7:00 PM daily. Hours of operation are to be submitted by the Company. Hours are to reasonably accommodate airline schedules, airport customers, passengers, employees and other concessionaires and tenants. The restaurant shall remain open to accommodate flight delays. Any change to the Minimum Hours of Operations must be submitted by the Company, and approved in writing by the Airport Manager prior to change occurring.

C. OPTIONAL SERVICES

If the Restaurant Offeror desires to provide alcohol related-products as either a part of the sit down- meal service or as an independent bar/lounge set -up in conjunction with the main restaurant, it should be so disclosed in the proposal. Any restaurant operator proposing to serve alcohol will be required to obtain the proper license as required by the local regulatory agency/-ies.

SECTION IV: PROPOSED LEASED AREA

A. LEASEHOLD SPACE

The proposed leased area consists of 696.5 approximately square feet for a restaurant area, kitchen, storage and utilities. The offeror will be required to purchase all equipment, and furnishings required, including additional HVAC unit(s) and lighting to finish the build-out. The space is located on the first floor of the airport terminal main lobby adjacent to Gates 2 & 3. Other space outside of the proposed leased area may be available for additional storage.

B. MINIMUM ANNUAL RENT

1. Minimum Annual Rent. The desired minimum annual rent is $30.00 per square foot per annum

2. Percentage Rent. In addition to the Minimum Annual Rent, the Authority

desires that the Restaurant Operator also pay a percentage rent of gross sales. Such rent may be the ‘greater of’ or may be in addition to the Minimum Annual Rent.

3. Minimum Annual Rent Escalation. The Minimum Annual Rent shall be subject

to periodic rent escalation by the increase in the Consumer Price Index as published by the Bureau of Labor Statistics, U.S. Department of Labor or as negotiated. Such increase, however, shall not be less than 5%, nor shall the first increase occur later than the 3rd anniversary of the execution date of the agreement.

4. Construction Rent. The Authority will negotiate such rate if desired by the Operator. This rate will be considered for the proposed construction/rehabilitation period.

C. TENANT BUILD-OUT

The Restaurant Operator agrees to lease the Leasehold space in its current “as is” and present condition. Any and all improvements to include layouts adjustments, removal of existing and/or installation of new partitions (to separate kitchen from dining area), ceiling, lighting, HVAC systems, flooring, kitchen appliances/food preparation systems (i.e. stoves, ovens, refrigerators, exhaust fans, etc.) furniture, décor and additional fire suppression systems as required for the kitchen and/or food preparation area within the leased area shall be done at the Restaurant Operator’s sole cost and expense. The Authority under no circumstances shall have no obligations to make any layout enhancements to the Leased Area to accommodate the Restaurant Operator’s operational needs. Additionally, the Authority shall not repair, maintain or restore any improvements performed by the Restaurant Operator.

D. MAINTENANCE RESPONSIBILITES

The Restaurant Operator will be responsible for the regular maintenance and upkeep of the restaurant leasehold. This includes maintenance of Furniture, Fixtures & Equipment

installed by the Restaurant Operator and the general appearance and cleaning of the leasehold space and HVAC.

E. UTILITIES The Authority will provide electricity and water of which such cost will be included in the Rent. The Restaurant Operator is responsible for utilities to include telephone, sewer, grease removal & disposal, gas, waste disposal, cable and/or any other type utilities required for such restaurant operations. The tenant is responsible for electric, natural gas, any communication services, and the additional garbage pickups of the existing dumpster. Restaurant Operator is responsible for all on-premises janitorial and maintenance services, including the routine service of any installed HVAC unit, fan hood system, and sanitary sewer system including grease trap.

F. LEASE

This Request for Proposal, as well as the selected Proposer’s proposal, and any addenda to that proposal, will become part of the final contractual documents. A draft lease is attached as Attachment “Lease Agreement”.

G. SECURITY

The selected Proposer shall comply with all Airport Security regulations as prescribed by 49 CFR Part 1542, and agree to employ such measures as are necessary to prevent or deter the unauthorized access of persons or vehicles into the secured area of the Airport. The selected Proposer shall comply with Transportation Security Regulation Part 1542 (Airport Security) and Airport Security Policies as presently outlined in the Airport Security Plan, which may be amended from time to time. The selected Proposer shall pay any forfeitures or fines levied upon it by the Authority, or the Authority through enforcement of Transportation Security Regulation Part 1542, or any applicable federal, state, or local regulations, due to the acts or omissions of the selected Proposer, their employees, agents, suppliers, invitees or guests, and for any attorney fees or related penalties paid by the Authority as a result of any such violation. The Selected Proposer shall abide by all rules and regulations adopted by the Authority in carrying out the Authority’s obligations under Aviation Security Regulations and Directives for the proper identification of persons and vehicles entering the airport area and other security measures as the Airport deems necessary from time to time. The Selected Proposer shall be responsible for the prompt recovery of airport keys and SIDA Badge (security identification/access badges) from all employees who are

terminated. SECTION V: SCOPE

A. MINIMUM QUALIFICATIONS

To be eligible for consideration for this RFP, the respondent must meet the following minimum qualifications.

• Five (5) years of experience in providing food and beverage services;

• No outstanding judgements or bankruptcies within the past three (3) years;

• Have or be able to obtain all applicable operating licenses, including food and beverage preparation and sale licenses, and liquor license (s), if liquor is to be served;

• Sufficient number of trained and licensed personnel for prompt, courteous service;

• Ability to provide and maintain accurate records of receipts/revenue;

• Ability to obtain security badge for all employees, as required by the Transportation Security Administration (TSA); and

• Be financially able with sufficient resources to finance, develop, equip and operate the restaurant.

B. TERM OF AGREEMENT

The Authority will negotiate the term of the agreement based on the financial and capital commitment of the selected Restaurant Operator. However, in no case can the lease term exceed 10 years.

C. LEASE OBJECTIVES

Proposer shall use their best efforts to propose attractive, customer – oriented operations. The successful Proposer will be expected to meet or exceed the following goals and objectives throughout the term of the Concession Lease to be awarded:

• Offer a variety of food and beverage service that meets the needs of the Airport customers, providing quality, value for money, and menu choices that vary with changing trends and customer wants and needs.

• Provide attractive restaurant design that is attractive to the customers and enhance the terminal environment.

• Provide exceptional service to the Airport’s customers and employees.

• Price food, beverage, and retail products at no more than “street plus” <<10%>> prices for equivalent value (quality and product size) to ensure that the Airport users receive high quality products at fair prices and are not deterred from making purchases at the Airport.

• Ensure that the operating hours meet the demands of the daily Airline Schedules.

E. GENERAL OBLIGATIONS

The successful Proposer will be responsible for complying with all terms and conditions contained within a negotiated lease with the Authority, in addition to all other Local, State and/or Federal rules which may apply. The successful Proposer will be responsible for obtaining and maintaining all required permits, licenses or other like requirements for the operation of a restaurant in the U.S. Virgin Islands. The successful Proposer must be an active legal entity, licensed to do business in the Virgin Islands within thirty (30) days of an approval of a lease by the Authority.

F. INSURANCE

Selected Proposer shall be required to maintain comprehensive general liability, comprehensive vehicle liability, and workers’ compensation insurance. The minimum insurance requirements are outlined below:

• Commercial General Liability with minimum limits of One Million Dollars

($1,000,000), general aggregate for bodily injury, personal injury and property damage for each occurrence.

• Statutory Workers’ Compensation - as required by the local laws of the U.S. Virgin Islands.

• Fire Legal Liability with limit of $100,000.

• Liquor Liability Insurance with $1,000,000 minimum limit (if applicable).

• Personal Property Insurance for all risks of loss of tenant owned Contents at this location.

All policies must include the Authority, it’s officers, agents, employees and volunteers as “Additional Insureds” under its policies and must be endorsed to the applicable policy.

The insurance coverage and limits are the sole discretion of the Virgin Islands Port Authority and are subject to change or revised as the need arises.

G. EQUAL EMPLOYMENT OPPORTUNITY ANTI-DISCRIMINATION PROGRAM

During the performance of this contract, the Proposer and all of their sub-contractors (wherein after collectively referred to as the Proposer), for themselves, their assignees, and successors in interest, agree as follows:

1) The Proposer, in the performance of all work after award and prior to completion of the contract work, will not discriminate on grounds of race, color, religious creed, national origin, age or sex in employment practices, in the selection or retention of sub-contractors, or in the procurement of materials and rentals of equipment.

2) The Proposer, by signing the contract offered by the Authority, agrees to abide

by the above Equal Employment Opportunity Anti-Discrimination Program to the best of their ability.

SECTION VI: PROPOSAL CONTENTS Prospective Proposers are requested to provide a proposal to operate a Restaurant at the Airport.

The Proposer’s responses to the Request for Proposal should include complete and detailed written responses regarding the following essential information:

• A Cover letter signed by an individual having the authority to negotiate and sign agreements on behalf of the organization or individuals(s).

• Proposed structure’s quality, size, theme, or concept, architectural style, seating capacity, room, area configurations, signage and personnel.

• Identify the nature and extent of the food, beverage, and related services to be offered to the general public (i.e. “menu”). Menu must include healthy offerings to include vegan or vegetarian meals and child-friendly items.

• Proposed restaurant Name

• The expected timetable for setup, occupancy, and startup of services, once approved to proceed.

• A proposed menu to be offered with sample pricing.

• List any special terms and conditions that would be anticipated in a lease agreement with the Authority, such as, but not limited to, length of lease, initial future revenue projections, if any (to operator and to the Authority), and/or any other pertinent information.

Proposals should contain no more than thirty (30) pages of material and shall be assembled in organized sections that include a Table of Contents and Tabs with each Section Title. Pages should be numbered for reference purposes. Front and Back Cover, Table of Contents and Section Dividers are not included in the page count.

B. EXPERIENCE AND CAPACITY OF RESPONDER AND QUALIFICATIONS OF PERSONNEL

This section should contain (1) an introduction, (2) the Proposer’s background, (3) demonstrated financial status (including gross annual sales for the current year and net earnings or loss for the most current year), and (4) the ability to finance the service

operations. Also, demonstrate technical expertise in food and beverage service management operations and maintain a high standard of appearance and operation. Include a current list of names of owners, members, or officers of the company, as applicable.

C. FINANCIAL PROJECTIONS

Provide a three-year financial plan for the operation of a restaurant to include, but not limited to, revenues, expenses, etc. including the projected revenue to the Authority. The Authority is strongly committed to a pricing policy that maintains a competitive and reasonable structure. Provide five and ten- year projected revenues for the lease period.

D. INSURANCE

A letter from Proposer’s insurance company stating that insurance will be provided in the manner and at the limits required by the Authority.

E. BUSINESS REFERENCES

Please include four (4) references, including name, title, address, and phone number). The references should include one that can confirm financial ability to carry out the operation (i.e., bank, credit union, accountant, etc.) and two that can confirm technical ability to carry out these activities.

F. OPERATIONAL REFERENCES

This section should contain a list of clients for whom you have conducted a similar service within the past five years. Include the entity name, contact person, telephone number, and a brief description of the service.

G. FINANCIAL STATEMENTS

This section should contain at least the past two years of audited financial statements including, but not limited to, a company balance sheet and income statement.

H. PHYSICAL REQUIREMENTS This section should describe other physical needs above and beyond the leasehold space. Examples of other needs may include parking space requirements, refuse or waste disposal needs, exterior signage or any other extraordinary need that cannot be met

within the described leasehold.

I. GUARANTEED REVENUE TO AUTHORITY The annual minimum guaranteed amount which the respondent wishes the Authority to consider. Such annual minimum guaranteed amount shall be paid in advance monthly installments.

J. MARKETING AND PROMOTIONS PLAN

Proposer shall submit sufficient information to allow the Authority to evaluate the Marketing and Promotions plan for its proposed Airport Restaurant.

A. MEETING TIME A pre-proposal meeting will be held on Thursday, August 17, 2017, at 10:00 a.m. The

Meeting will be held in the Henry E. Rohlsen Airport Terminal Conference Room (2nd Floor) at 10:00 a.m., St. Croix United States Virgin Islands.

B. PURPOSE OF MEETING The purpose of this Meeting will be to discuss this RFP’s requirements and objectives.

The Authority will have its representatives available to answer questions. Each Proposer is encouraged to attend this Meeting.

C. PRE-SUBMITTAL QUESTIONS The Authority encourages all potential Proposers who have questions concerning this RFP

SECTION VIII. ̶ PROPOSAL SUBMISSIONS

A. PROPOSAL FORMAT

Each proposal shall include complete and detailed written responses.

1. Each proposal will be in a typewritten format, using a 12-point font (which is the size used in this RFP) on a standard 8 ½" x 11" page format, not to exceed 30 pages, single sided, excluding exhibits, bounded long-side, and accompanied by a cover letter on the Proposer’s letterhead. Proposers must organize their proposals so that they address each of the elements requested below in Section III (A) - Proposal Content in the same order as listed in those paragraphs.

2. The proposal must also be submitted on compact disk in Adobe Acrobat (pdf) format of the complete information requested. The Authority is under no obligation to ensure that the proposal submitted appears in good viewing order.

1. Additional data, exhibits and explanations may be included should the

Proposer deem them important to the evaluation of its proposal by the Authority. The mere inclusion of additional materials does not make such materials a part of the proposal and the Authority is under no obligation to correlate such additional material with the proposal.

B. COPIES The original and three (3) copies of the proposal (for a total of four complete sets), along

with one (1) complete copy on compact disk in pdf format must be prepared in the manner and detail specified in Section V(A) of the RFP, signed by an authorized official, enclosed in a sealed envelope or package, and mailed or hand delivered to the name and address below to be received no later than 3:00 p.m. local time on Thursday, September 7, 2017. Proposals or modifications received subsequent to the noted date and time shall be considered “late proposals” and shall be returned unopened. If any amendments to this RFP are issued, each Amendment must be acknowledged in writing and the acknowledgment shall accompany the proposal

C. PROPOSAL SURETY

Each proposal shall be accompanied by a bid bond or certified or cashier’s check made payable to the Virgin Islands Port Authority on a solvent bank, in the amount of One Thousand Dollars ($1,000.00). The deposit shall be given as security to guarantee that if the proposal is accepted, the Proposer shall execute a Lease Agreement and provide proper security for its performance. The check shall be made payable to the “Virgin Islands Port Authority”.

If a successful Proposer, fails to execute an agreement, the check shall be forfeited as the

agreed amount of liquidated damages to the Authority. The check without interest shall be returned to unsuccessful proposers or the bond shall be released as soon as the successful Proposer(s) have been determined and a Lease awarded, or, in the event that all proposals are rejected, within ten (10) days after the date of rejection.

G. ADHERENCE TO RFP It is essential that the information and requirements of this RFP be carefully studied and

adhered to in the preparation and submissions of proposals. All Proposers are advised that significant deviation from this RFP will not be accepted. “Significant deviation” is any term substantially inconsistent with or varied from the contractual operational terms set forth in this RFP. Further, the Authority reserves the right to reject any proposal which does not provide the information requested in this RFP or comply with the instructions of this RFP.

H. RIGHTS OF AUTHORITY

1. The Authority reserves the right to accept the proposal which in the Authority’s sole judgment best meets the Authority’s requirements. The Authority further reserves the right to reject any and/or all proposals, to waive irregularities and technicalities in the proposals, to re-advertise, or to proceed to provide the service when it judges it to be in the best interest of the Authority.

2. The Authority reserves the right to amend any provision of the RFP,

including, without limitation, the Draft Contract. 3. The proposal of a Proposer shall be rejected, if, at the time it submits its

proposal, the Proposer is in default or arrearage under any previous or existing agreement with the Authority, or if there exist any unresolved monetary claims by the Authority against the Proposer.

4. The Authority expressly reserves its right to only award to responsible

contractors. In exercising this right, the Authority shall make a determination of responsibility based upon a review of the responsibility of the Proposer, including any affiliates.

5. The Authority may conduct announced or unannounced site visits and/or

contact customers of some or all Proposers to elicit further information relevant to the proposals submitted. The Authority may also hold discussion with any Proposer or with any Proposer, judged to be within a competitive range, concerning its proposal. The Authority reserves the right to use the findings of the visits or discussions and any other available information, in its evaluation of the proposal(s) submitted in accordance with the evaluation criteria established in this RFP. The Authority also reserves the right to make an award without conducting site visits, holding

discussions or contacting customers. 6. The Authority may, in its sole discretion, require the submittal of Best and

Final Offers by all Proposers or those Proposers judged to be within a competitive range.

7. The Authority reserves the right to reject any proposal which does not

provide that the Proposer will agree to changes in its contemplated manner of operations if the Authority deems such action to be reasonable necessary during the term of the Contract to be awarded.

I. PROPOSAL COST

All costs incurred in the development of a proposal in response to this RFP or in presenting the proposal will be borne entirely by the Proposer.

J. PROPOSAL ACCEPTANCE PERIOD; RESPONSIBILITY. Submission of a proposal shall constitute a valid offer which may be accepted by the Authority for a period of one hundred eighty (180) days following the date specified for submission of proposals. The Authority will review the apparent successful Proposer’s responsibility prior to awarding the Contract.

SECTION IX. ̶ EVALUATION CRITERIA

A. All responsive proposals received from qualified Proposers will be fully evaluated in accordance with the following criteria. The Evaluation Criteria are listed in descending order of importance with each criterion listed being of equal or greater importance to the criterion listed below it. This provides a guideline of the relative importance of each element to the Authority.
