TERMS AND CONDITIONS OF SALE

New Account 1. To be opened as a new account, an opening order must be generated and approved by the local representative. 2. Core assortment must be met and maintained, and is established by the local representative. 3. Prepayment with credit card is required on all opening orders. 4. Credit Application, Tax ID Number, and copy of Resale Certi!cate must be completed, signed and on !le. 5. Credit limits are established pending credit approval, after submission of trade references and banking history. 6. To protect our brands, NO ONLINE SALES without prior approval. Images to be supplied by Seller, unless other-

wise negotiated. 7. Separate authorization is required to carry the Versace and the Sambonet brands.

Offer/Acceptance An order, in whatever form, shall be considered an offer to purchase goods upon these terms and conditions. It shall

be deemed binding only upon acceptance by Seller’s New Jersey of!ce. Seller may refuse to accept any order at its sole discretion. An order for goods shall be deemed accepted by Seller only upon shipment of those goods.

Minimum Order (amount in US dollars) 1. If Purchaser is paying with credit card, minimum order is $100 net cost billed. 2. If Purchaser requests an extension of credit, minimum opening order is NO LESS than $1,500 net cost billed.

After initial order, minimum order amount is $100 net cost billed. 3. Any orders below $100 net cost are subject to a $15 handling fee. 4. Annual minimum volume is $3000, collectively, all brands.

Price Terms 1. Regardless of the date of order, all goods shall be sold at Seller’s prices in effect at the time of shipment by Seller.

Said prices are subject to change without notice. Nevertheless, the parties intend that this be a binding agreement. 2. Orders placed for future delivery may be subject to change. 3. Charges for prepaid shipments via UPS or FedEx shall include insurance costs at full value of shipment, and shall

be added to invoice as “shipping charges”. 4. Seller shall not be liable for any errors, mistakes or misprints in the printed pricelist, or responsible for customer

pricing errors. 5. Possession of our literature does not constitute an offer to sell. 6. All Seller’s Brands are considered “non-promotional”, with the exception of the Thomas Brand.

Payment Terms 1. Once an account is established, Purchaser shall pay for all goods and all other charges within thirty (30) days

of invoice date. Net 30 will be the term of sales for all open account billings. No discounts will be allowed for early payment. If the goods are shipped in two or more installments, each installment shall be invoiced separately. Purchaser shall not offset against payments due Seller any handling, processing, or other costs.

2. Freight charges and applicable handling fees on any order accepted by the Seller are the responsibility of the Purchaser. Dealer can provide their own carrier service and account number to be applied to each shipment.

3. Cash On Delivery (COD) orders are NOT accepted. 4. Seller reserves the right at its sole discretion to demand payment for any order at any time, prior to or simulta-

neously with shipment. 5. A $25.00 charge will be issued for any returned checks due to non-suf!cient funds, and will be deemed an invoice

for collection purposes.

Shipping Dates/Shipments 1. Where Purchaser does not request a shipping date, the date of the order will be treated as the requested shipping

date. Where purchaser does not indicate a date for cancellation of an unshipped order, a cancellation date of one year from the requested shipping date will be assigned.

2. Seller shall attempt to ship the goods ordered between the requested shipping date and the cancellation date. Seller shall have the option to ship all such goods in two or more installments, at its discretion.

3. Seller shall not be liable for any damages whatsoever for failure to ship or sell (or any delay in shipping or selling) goods ordered.

4. Continental USA drop shipments are currently allowed and are subject to a $15 handling fee OR the $15 mini-mum order fee, to be paid by Purchaser.

5. Freight is the responsibility of the Purchaser unless otherwise negotiated. Dealer can provide their own carrier service and account number to be applied to each shipment.

Special Import Orders 1. Pricing on Special Import items is available upon request and must be con!rmed prior to submission and

acceptance of any order by Seller. 2. Items ordered as “Special Import” are not subject to cancellation and may not be returned for credit. 3. Special Import orders are subject to a 50% deposit.

TERMS AND CONDITIONS OF SALE

Risk of Loss 1. Goods are sold F.O.B. Seller’s Warehouse, Carlstadt, NJ 07072. In the event of loss or breakage, Purchaser must

!le its claim with the delivering carrier (which does not relieve Purchaser of its obligation to pay for the goods in full).

2. If goods are delivered via UPS or FedEx, should Purchaser fail to follow such procedures, Purchaser shall bear the risk of loss at the time of delivery by Seller to UPS or FedEx.

3. Seller shall not be liable for any processing, handling or other costs, or any damages whatsoever, related to loss of broken goods.

4. All shortages must be reported within seven (7) days of receipt of goods.

Returns 1. All orders must be inspected upon receipt of delivery. 2. Returns will not be accepted without prior authorization from our customer service department or sales team. 3. Overstock returns of core product are negotiated at the discretion of the Vice President of Retail Sales. Return

items will be credited at the net prices originally invoiced. Authorized returns must be shipped FREIGHT PREPAID and must have a Return Authorization (RA) number on the outside of each carton. Goods returned to Seller without an approved RA number will be bounced back / refused and returned to the Purchaser. Credits will be based on the veri!ed inventory of the goods received in good condition. No credit will be issued for items returned from Purchaser that are received broken or chipped. Overstock returns are subject to a 15% restocking fee. Regarding Sambonet Product, minimum restocking charge is $10.00.

4. If goods are received in error as the result of Seller, the Purchaser will be credited for the return shipping costs. A Return Authorization number must be acquired from Seller’s customer service. 201-804-8000

5. Goods received by the Purchaser that are deemed defective or damaged must be reported to Seller’s customer service within thirty (30) days of receipt of goods. Either credit will be issued or a no-charge replacement will be shipped out at Seller’s expense. All goods are guaranteed, however, guarantee is VOID if goods have been used in an inappropriate manner.

6. Save all original packaging until your claims are settled.

Invoice Discrepancies 1. If an Authorized Dealer feels there is an error on an invoice, Seller’s Credit Department must be contacted

immediately to resolve and to correct. 201-804-8000 2. Holding payment on the entire account or a full invoice due to a necessary correction/adjustment, is a violation

of Terms.

EXPRESS WARRANTY The Seller warrants that when title is transferred the goods shall conform to the description on the invoice (or Sales

Order if one is submitted), except for ordinary manufacturing variances. No other warranty is made.

EXCLUSION OF IMPLIED WARRANTIES No implied warranties of !tness, merchantability, or of any other kind shall attach to the goods sold. No implied

warranty shall arise from any course of dealing.

Sales Restrictions The goods are sold only for retail sale at the location designated by the Customer Account Code on the sales Order

or Invoice. No transshipping is permitted. If Purchaser is an incentive purchaser, the goods are sold solely for use as awards, business gifts, recognition and service programs, and employee sales incentives. The goods shall not be used in consumer programs, bank offerings, direct mail, company/employee stores, sweepstakes, or resold to the general public.

Marketing 1. Purchaser shall market and display Seller’s goods in a dedicated display area in such a manner as to maintain and

re"ect the prestige of the brands. 2. All advertising, catalogs, websites and promotions using the Seller’s name, logos, merchandise or designs requires

our prior written approval and must comply with all our policies. 3. Sales support materials, brochures, posters, etc. are available upon request.

Further Orders Seller’s willingness to provide goods to Purchaser pursuant to one or more orders does not constitute an obligation

CLARIFICATION OF THE RETAIL PRICE LIST

This price list refers to products of the brandsegment ROSENTHAL MEETS VERSACE. All forms © Rosenthal GmbH.The enclosed delivery and payment conditions of Rosenthal apply.

Form names and numbers, décor names and numbers are given at the top of the relevant page. The decors carry symbols according to dishwasher and microwave suitability. All UPC-Codes shown have been tested regarding scanner readability and correct contents. Nevertheless we do reserve the right to correction of possible data errors.Both Rosenthal GmbH manufacturing facilities Selb and Speichersdorf are certi!ed DIN EN ISO 9001.

DISHWASHER SAFE

With this décor the colours are melted into the glaze at 1000 degrees C. Here the glaze softens and the décor sinks into it, thus making colour and luminosity indestructible. It is scratch- and wear-resistant. However, precious metal decors are not totally scratch resistant by virtue of their natural material properties. This décor was tested by the Rosenthal GmbH Institute for material technology (IWT). It is dishwasher safe.

DISHWASHER SUITABLE

With this décor the colours are burnt onto the glaze at a minimum tem-perature of at least 750 degrees C. The use of robust colours achieves such a strong liaison with the glaze that the dishwasher is most unlikely to do any damage to the décor. Dishwasher tests in the Rosenthal GmbH Institute for material technology (IWT) have proved the excellent durabil-ity of the décor. The service can be washed in the dishwasher economy cycle (55 degrees C). Please pay particular attention to the instructions of the dishwasher and detergent manufacturers on the suitability of the their products.

MICROWAVE SAFE

This porcelain can safely be used in the microwave.

HIGH QUALITY DÉCOR

With this décor the appearance of the porcelain or its artistic design are of main concern. The dishwasher safety rules play a deliberately subordi-nate part here. The use of high quality colours and their subtle application therefore forbid dishwasher cleaning. This décor was tested by the Ro-senthal GmbH Institute for material technology (IWT). This porcelain must be washed only by hand.
