In 1995, Vanda’s shares were successfully listed on The Stock Exchange of Hong Kong. Vanda

also set up a subsidiary in Singapore to penetrate into the Southeast Asia market. Its business

has now spread over Singapore, Malaysia and the Philippines with over 400 major corporate

clients and extensive networks of over 300 systems distribution partners.

In 2006, Vanda became a wholly-owned subsidiary of HWL. HWL is a leading international

Vanda History

In 2007 Vanda divested its Asean operations that it had established since 1995. The Asean

operations have built an extensive network of more than 300 reseller partners across South

East Asia. Notwithstanding the sale of ownership, Vanda maintained a strong business

connection with these entities and continues to work closely with them as business partners.

In 2009, Vanda has reached an agreement for Avnet Technology Solutions to become a

Strategic Investor and Major Shareholder. Leveraging on Avnet’s global brand presence and

distribution prowess, this is a strategic development that will allow Vanda to further

strengthen its family of banking solutions, reach new heights in China and expand beyond

the Greater China region. At the same time, the investment will allow Avnet to ramp up the

development of its solution services business to become an integrated IT solutions provider

on a global scale.

In 2012, Avnet has reached an agreement to sell Vandasoft Technology Holdings Limited,

Vanda's banking application business in China (Vanda China) to PCCW Solutions. Avnet will

continue to own and operate the Vanda Hong Kong and Macau system integration business,

providing systems integration services and solutions incorporating hardware and software

from major suppliers.

2012 In November, Avnet has reached an agreement to sell Vandasoft Technology Holdings

Limited, Vanda's banking application business in China (Vanda China) to PCCW Solutions.

2009 In October, Avnet announced that Avnet Technology Solutions became a strategic investor

and major shareholder of Vanda Group. Vanda is now an Avnet Company.

2007 In April, Vanda divested its Asean operations to focus on accelerating growth of its IT

solutions and outsourcing services in Greater China.

2006 In July, Hutchison Whampoa Limited (“HWL”) acquired Vanda Group and its subsidiaries

from HTIL. Vanda is now a wholly-owned subsidiary of HWL.

2005 Following the acquisition by Hutchison Telecommunications International Limited (“HTIL”)

to take HGCH private, Vanda has then become a member of HTIL

2004 Merging with Hutchison Global Communications Limited and PowerCom Network Hong

Kong Limited, the newly enlarged company’s name was changed to Hutchison Global

Communications Holdings Limited (“HGCH” and “HGCH group”). Vanda has then become

a member of HGCH Group and an IT solutions provider of Hutchison Whampoa Limited.

2003 Both HIL and DBS Private Equity converted the bonds in full and became the major

shareholders of Vanda respectively.

2002 Leveraging the support of Hutchison International Limited (“HIL”), a wholly-owned

subsidiary of Hutchison Whampoa Limited, and DBS Private Equity, the venture capital

and private equity unit of DBS Bank Ltd. by issuing of convertible bonds to each party.

In the same year, Vanda commenced its systems integration business in China.

1982 The Group was founded in Hong Kong and commenced trading computers and peripherals

in China. Vanda was one of the first suppliers of overseas computer products to China.
