Guangdong Province is located in the southernmost part of the mainland China, facing the South China Sea and neighboring Hong Kong and Macau. Guangdong has already become one of regions in China with the robustest economic force, the most dynamic and open economy.
Guangdong owns a complete industrial system and world-class production, processing and matching capability. Currently, 9 pillar industries of electronic information, electrical machinery, petrochemical, textile and garment, food and beverage, construction material, papermaking, pharmacy and automobile have been established, shipbuilding, rail transport equipment, nuclear power equipment, wind power equipment, general airplane and other advanced manufacturing industries are under rapid developments, which form the advanced manufacturing industrial system covering sea, land and air. Meanwhile, logistics, convention and exhibition, finance, information, tourism and other modern service industries are growing gloriously, and large-scale international exhibitions such as Canton Fair, China Hi-tech Fair and China International Small & Medium Enterprises Fair are famous home and abroad. The industrial development layout with dual-wheel driving of advanced manufacturing industry and modern service industry has been initially taken shape. During the Twelfth- FiveYear Plan period, Guangdong will emphasize cultivation & development of strategic newly developing industries such as high-end new-type electronic information, new-energy vehicle, LED lighting, biology, high-end equipment manufacturing, energy saving & environmental protection, new

I. Introduction on the province
1. Geographic locationGuangdong Province is located in the southernmost part of the Mainland
China, east to Fujian, north to Jiangxi & Hunan, west to Guangxi, southwest to Hainan and neighboring Hong Kong & Macau. It is the center of the southern China and the Southeast Asia Economic Circle.
It holds the land of 179,800km2, the coastline of 3368 km and the sea area of 419,000km2.
2. Climate environmentGuangdong, located at subtropical zone, is one of the zones with the richest
sunlight, heat and water resources in the country. Four seasons throughout the year in Guangdong are warm and pleasant with the annual average temperature of 22.3oC; rainfall here is sufficient up to 1,300-2,500 mm for annual average.
3. Administrative divisions & populationGuangdong, with Guangzhou as the capital, is joined by Guangzhou and
Shenzhen two cities at deputy provincial level and nineteen cities at district level. At the end of 2012, permanent residents in the province is registered as 106 million, known as the major province with the largest population.

II. Economic development
1. Integrated economic strength staying ahead of peer provinces
Since implementation of the Reform & Opening-up Policy in 1978, the integrated economic strength of Guangdong has rapidly sprung to the top rank of the national total. From 2008 to 2012, annual growth rate of the Guangdong’s GDP was 10.2% on average, and its total economic scale has successively exceeded that of Singapore, Hong Kong and Taiwan, all known as Asia's Four Little Dragons. In 2012, its total GDP was RMB 5,706.79 billion, increasing by 8.2% compared with the previous year, equivalent to 11.0% of the national GDP and has been ranking first in the country for the 24th consecutive year.
In terms of other important economic indicators such as taxation, fiscal revenue, social retail goods, industrial added value and household saving deposits, Guangdong topped the whole country as well.

2. Optimization & upgrading of industrial structureThe industrial structure showed the obvious trend towards high-class and
properly heavy-duty industries, with the modern industrial system primarily emerging. In 2012, the structure ratio of the three industries was 5.0:48.8:46.2, and the proportion contributed by the increase value of the three industries to the GDP was 2.2:47.1:50.7. In 2012, as for the advanced manufacturing industries covering equipment, automobile, petrol chemistry, steel and iron, shipping and so forth, hit 1.0529 trillion RMB with a growth of 8.3%; strategic newly emerging industry achieved output value reached 0.265141 trillion RMB with 12.0% growth; the growth rate of high- and new-tech products was 12.0%; the increase rate of the traditional advantageous industry was 9.7% covering household appliance, food, paper making, textile and garments, constructing materials, nonferrous metal and its products and so on .

3. Foreign trade leading the countryFrom 1978 to 2012, the total import-export value of Guangdong has increased
by average 20.2% per year. In 2012, its total import-export value was US$983.82 billion, equivalent to 25.4% of that of the country and has been ranking No.1 in the country for the 27th consecutive year.
Hong Kong China, US, European Union and ASEAN are the main trade partners of Guangdong, and contribute to over 50% of the total import-export value of the province. In recent years, the imports and exports with newly developing markets/ countries or regions such as Africa, South America and Russia increase rapidlyl, and the diversified market is primarily taking shape. In 2012, the top 10 trading partners of Guangdong were as as follows: Hong Kong China, US, European Union, ASEAN, Japan, South Korea, Taiwan China, Africa,Middle East area and South America area.

4. Foreign investment under continuous developmentG u a n g d o n g a c t i v e l y
encourages foreign investment in Guangdong. By the end of 2012, Guangdong had accumulatively attracted 168,000 projects under direct foreign investment, valued US$463.96 billion in terms of contractual foreign investment and US$298.8 billion in terms of actually absorbed foreign investment, equivalent to about 1/4 of that of the country. In 2012, the service industry actually utilized US$9.46 billion of foreign investment, equivalent to 40.2% of that of the province.
5. Growing investment & operation at foreign countriesGuangdong actively implements the strategy of “Going Global”. By the end of
2012, Guangdong enterprises had established 4,290 non-financial enterprises in over 100 countries & regions, contractual investment from Chinese side valued US$18.23 billion, main of which gather in Hong Kong, Macau, Asia and North America. III. Investment environment
1. Sufficiently gathered production elementsThe financial industry, financial market and financial resource of Guangdong,
in terms of scale, lead the whole country. Profiting performance of financial agencies here is ahead of peer provinces as well. Currently, while continuously strengthening the financial cooperation among Guangdong, Hong Kong and Macau, the province is speeding up to bulid up a financial center that closely cooperates with the international financial center Hong Kong, takes finance of the Pearl River Delta cities as the back support and holds strong international competitiveness.
There is an education system with reasonable structure and complete provision in Guangdong, continuously providing high-quality talents for economic and social development. The whole province owns more than 130 tertiary institutions, 396 state-owned R&D institutions and technical information/ literature agencies at county level or above, 2,272 technical development departments within large and medium industrial enterprises, 8 national engineering laboratories, 22 national engineering research centers, and 616 provincial engineering research centers.
2. Improving infrastructureIn the whole province, there are
195,000 kilometers of accessible roads, 5,524 kilometers of highways. In 2012, the completed cargo throughput by ports was up to 1.41 billion tons, the container throughput handled by ports was 47.63 million standard containers. The total installed capacities of power supply in the province were up to 80,000 MW and the installed capacity in the field of nuclear power ranked first in the country. In addition, the province is well-known for the relatively high level of information development, with 31.34 million fixed-line telephone users, 126.826 million handphone users and 19.717 million Internet users.

5. Market capacity under continuous expansionThe per capita income of urban and rural resident in Guangdong, along with
their consumption capability, has grown steadily, creating a huge market space. In 2012, the urban per capita disposable income of the province was RMB 30,226.7 and the rural per capita net income was RMB 10,542.8. The total retail sales of consumer goods was RMB 2,267.71 billion, ranked as No.1 in the country for the 30th consecutive year.

with the added value occupying around 10% of the total production output value. During the Twelfth-Five Year period, the collective input of the provincial finance will inject 22 billion RMB to support the development of the strategic newly emerging industry in various supporting forms like loan and subsidies, security interest, free subsidies, award instead of compensation, equity investment, debt investment and so on. Strengthening the combination of the fiscal capital with the finance capital can fully support the technology research, industrialization, platform construction, major projects, intellectual property rights, industry cluster, market cultivation and inter alia .
3.Unlimited commercial opportunities in fostering services industry
The Twelfth-Five Development Outline for the Service Industry in Guangdong Province has pointed out that by the end of 2015, the ratio occupied by the added value of the provincial service industry in the total production output will be increased to 48%, while the annual increase value of the per capita service industry will grow by about 9%. In 2015, the added value of per capita service industry will exceed 35000 RMB. Guangdong Investment Guide
(1) The above describes general procedures to apply for foreign invested
enterprise.
(2) Foreign invested enterprise with a total amount of less than USD 100
million, and listed in c (not including infrastructure and mining) can directly submit
feasibility study report, contract and articles of association to municipal authority in
charge of foreign trade and economic cooperation.
(3)Except the projects that shall be approved by relevant departments of the
State Council according to Government-Approved Investment Project Catalogue,
the foreign-invested projects with the total investment (including the increased
investment) between one hundred million and three hundred million USD and
following into the classification of encouraged & allowed foreign-invested projects
shall be, after registered to the Provincial Development & Reform Commission,
approved by the provincial development & reform commission and their contracts and
articles of association shall be approved by the provincial foreign trade & economic
cooperation department.
(4) For those projects that are beyond approval limit of our province, or under
direct control of central government, Provincial Development and Reform Committee,
Economic and Trade Committee, Department of Foreign Trade and Economic
Cooperation should submit them to organizations authorized by State Council for
approval.
(5) Investors are requested to apply to the respective administrative committee
if their projects are to be established in the state-grade development zones, tax-
protected zones and export processing zones.
2. What kind of production and operational activities in which those companies with foreign investments from foreign countries or regions are engaged within the territory of China should go through commercial and industrial registrations?
After examined and approved by relevant departments, companies with foreign investments from foreign countries or regions participating in the following production and operation activities should apply and register commercial and industrial registrations:
(1) Exploratory developments of oil or other mineral resources on the land and in the ocean;
(2) Contract constructions in housing, civil engineering construction, decoration or circuitry, pipeline, equipment installation and the like;
(3) Contracting for or being entrusted with the management of foreign invested companies;
(4) Foreign financial institutions setting up branch organizations in China;(5) Foreign insurance companies setting up branch organizations in China;(6) Other production and operational activities that are permitted by the country.
3.What kind of qualifications should those domestic-funded companies that are reinvested by foreign invested companies meet?
Foreign invested companies which set up companies within the encouraged sectors, won't need the examinations and approvals from the competent departments that are in charge of foreign capital. As those foreign invested companies which set up companies within the restricted sectors, they should gain the examinations and approvals from the competent organs in charge of foreign capital(usually those provincial or municipal departments of foreign trade and economy where the invested companies locate). As for those investments in the prohibited sectors, companies may refer to the Guideline and Catalogue of the Industries for Foreign Investment jointly published by National Development and Reform Commission and the Ministry of Commerce.
4.How can foreign invested companies transact the registration of tax?
Those taxpayers engaged in production and operation once get the business registration (including temporary business registration), should apply for the taxation registration with 30 days since the day they claim the business registration, in order to get tax registration certificate and the copy approved and published by the taxation departments. Materials to summit are as follows:
(1) Business registration;(2) Copy of Corporate Code Certificate;(3) Identification documents of legal representative (responsible person), for

instance ID, permanent residence booklet/household register, passport and so on;(4) Operation certificates or operation place certificates, such as property
ownership certificate, lease agreement or house for sale contract , land use permit of house site, property owner certificate and inter alia;
(5) Capital verification report or appraisal report;(6) Relevant articles of association, contract or written agreement;(7) (Taxpayer from branch organizations should provide) Tax Registration
Certificate of the head office granted by national tax or local tax departments and Corporate Code Certificate;
(8) Foreign trade and economy official documents and approval certificates.
5.What kind of materials should foreign-invested companies provide in transacting the operation of foreign capital registration ?
Foreign-invested enterprises should apply for the foreign capital registration at the foreign capital bureau of the registered address with 30 days since the day they claim Business License of Enterprise Legal Person. Materials to summit are as follows:
(1) Copy of Business License of Enterprise Legal Person ( Non-Legal Person of Sino-foreign joint ventures shall provide business license );
(2) Official reply documents on approval of establishment of enterprises and certificate of approval granted and issued by the Ministry of Commerce;
(3) The contract and articles of incorporation of the foreign-invested enterprise (except foreign-funded enterprises) that has been approved to come into effect ;
(4) Corporate Code Certificate;(5) Filled-out Register Form of the Basic Condition of Foreign Invested
Companies with official seal;(6) According to the above-mentioned materials, companies should provide other
supplementary materials if necessary or required.
VII. Preferential policies for investment
1. Policies on provincial basis
● For those projects satisfying the Catalogue of Encouraging Foreign Investment, priority shall be given to be arranged with the land utilization planned quota. For those industrial projects under foreign investment that satisfy the Catalogue of Industries under Priority Development of Guangdong Province and intensively utilize land, during determination of the land transfer price, it shall be allowed to refer to the land category and take 70% of the corresponding National Standard of Minimum Prices for Industrial Land Transfer for actual transaction.
● For those overseas high-level management personnel & talents within foreign invested enterprises that satisfy the Catalogue of Encouraging Foreign Investment, or overseas technical experts & high-level talents as appointed by joint R&D centers or key laboratories, priorities shall be given during handling of visa/ letter/ permit for work in China or certificate of foreign expert, and assistance shall be given to handle the procedures of extending the visa of stay in China.
● The special supporting funds of our province for Top 500 Modern Industry Projects and technical development are open to those projects satisfying the Catalog of Encouraging Foreign Investment.
● For those foreign-invested service outsourcing enterprises that comply with national regulations and are categorized as Class B or higher by customs management, those goods imported for international service outsourcing business with advanced technologies shall be under bonded supervision.
● Foreign- invested enterprises are encouraged to reside in the Provincial Industry Transfer Industrial Park; out of peer competitors at the same conditions, they shall be given the priority during arrangement of special funds for potential -tapping renovation.
● Any enterprise engaged in system application management & maintenance, information technology support management, bank backstage service, financial settlement, human resource service, software development, offshore call center, data processing and etc that are listed under the Guideline and Catalogue of the Industries for Foreign Investment, when importing any equipment, shall have the custom duty waived.
● Any foreign invested R&D center that complies with applicable regulations

and passes qualification check, when purchasing any equipment, shall have the tax/ duty waived & rebated.
● Any encouraged project under the Guideline and Catalogue of the Industries for Foreign Investment, when importing any equipment, shall have the custom duty waived and the import linkage tax rebated after charged.
● Four types of foreign invested enterprises (encouraged type, product-exporting type, advanced technology type and R&D center), when importing any equipment, technology and spare part for own use using four types of capital (reserve, development fund, depreciation fee and post-tax profit), shall have the custom duty waived.
2. Policies for the 6 platforms
● Guangzhou Nansha New District- There have been policies available for taxation, finance, interaction with Hong Kong & Macau, opening-up, land management, ocean management, social career & management service and etc. Launched policies include the Regulation of Guangzhou City Nansha District on Expenditure of Science & Technology, the Regulation of Guangzhou City Nansha District on Industry Support & Capital Management to Promote Development of Service Outsourcing, the Interim Regulation of Special Support Fund to the State Automobile, Accessory & Part Export Base Nansha Development Area Base, the Interim Regulation of Guangzhou City Nansha District to Introduce Medium- and High-calibre Talents, the Interim Regulation of Guangzhou City Nansha District on the Outstanding Contributor Award, the Policies & Measures of Guangzhou Nansha Bonded Area on Economic Development under Financial Support, the Regulation of Guangzhou City Nansha District on Contribution Incentive of the Technical Innovation Platform, the Regulation of Nansha New District on the Guiding Fund for Start-up Investment and etc.
● Shenzhen Qianhai New District--There have been policies available for finance reform, modern service industry taxation system reform, and cooperation with Hong Kong in finance, legal affairs, education, medicine & telecom and etc. Launched policies include the Entry Catalogue of Qianhai for Industrial Development, the Interim Regulation of Qianhai on Cross-border RMB Loan Management, the Interim Regulation on Pilot Works in Foreign-invested Equity Investment Management Enterprises, the Interim Regulation of Shenzhen Qianhai Shenzhen-Hongkong Modern Service Industry Cooperation Zone on Financial Subsidy to the Personal Income Taxes of Foreign High-end Talents & Talents on Urgent Demand, the Interim Regulation of Shenzhen Qianhai Shenzhen-Hongkong Modern Service Industry
Cooperation Zone on Accreditation of Foreign High-end Talents & Talents on Urgent Demand and etc.
● Zhuhai Hengqin New District—There have been policies available for custom clearance, taxation and industrial development. Launched policies include the Guideline & Catalogue of Hengqin New District on Industrial Development, the Advices of the General Administration of Customs to Support Opening-up & Development of Hengqin New District, the Several Advices on Quickening Development & Construction of Hengqin, the Interim Regulation of Encouraging Development of Headquarter Economy, the Implementation Advices on Facilitating Development of Equity Investment Fund Industry and etc.
● Sino-Singapore Guangzhou Knowledge City -- There have been policies available for innovation policy system, innovation investment & financing system, key industry special policy, talent policy and etc. Launched policies include the Implementation Method of Guangzhou Development Area on Introducing in Technical Leaders, the Implementation Advices of Guangzhou Development Area to Cultivate & Develop Strategic Newly-developing Industries & Further Promote Development of Key Innovation Industries, the Decision of Determining the Authority of the Management Committee of Sino-Singapore Guangzhou Knowledge City, the Rules of Guangzhou City Sino-Singapore Guangzhou Knowledge City and etc.
● Dongguan Taiwan Hi-tech Park – There have been policies available for technical innovation, capital support & talent introduction. Launched privilege policies include the Interim Regulation of Songshanhu Hi-tech Area to Encourage Enterprise Re-organization & Entry to the Agency Share Transfer System for Listing Management, the Interim Regulation for the Special Fund of Dongguan Songshanhu Culture Industry Development, the Interim Regulation of Songshanhu to Pilot the Animal Public Service Platform Service, the Regulation (Interim) of Songshanhu Hi-tech Area on Construction of the Financial Reform & Innovation Service Area, the Regulation (Interim) of Songshanhu Hi-tech Area to Introduce in & Cultivate High-level Talents and Apply the Phoenix Tree Plan, the Regulation (Interim) of Songshanhu Hi-tech Area to Build the Innovation Atmosphere and Promote the Independent Innovation Capability, the Implementation Advices of Dongguan Songshanhu Hi-tech Area to Construct the National Innovation-oriented Technical Park, and the Operation Procedures (Interim) of Songhu Yanyu: Dongguan Songshanhu Small & Micro Businesses Collective Guarantee & Loan Project.
● Foshan Sino-Germany Industrial Service Area – All the privilege policies of Foshan City in investment promotion shall apply. In addition, Foshan City has provided policies in financial support, land support and tax privilege.
