Vehicle power

Designedforinstalledvehicle-use,Entourage CIS is powered by your vehicle’s battery.EntourageCISmustbeinstalledtoacontinuoussourceof12VDCor24VDCpowerfromyourvehicle.Whenvehiclepowerisnolongeravailable,suchasifthevehiclebatterybecomesdrainedorEntourageCISisdisconnectedfromyourvehicleelectricalsystem,EntourageCISwilltransitiontoitsinternalback-upbattery.

NOTE:Theback-upbatteryisdesignedtomaintainingsecuritycapabilityforupto2days.

Wireless coverage

Similartohowamobilephonerequires wireless (cellular) coverage in order to send or receive a phone call, EntourageCISrequireswirelesscommunicationtocommunicatesecurityandlocationinformation.Whenwirelessservicecoverageisavailable,EntourageCISautomaticallyconnectstotheBlacklineGPSlocation-basedservicesplatform(BlacklineGPSNetwork)usingwirelesscommunication.

GPS coverage

EntourageCISrequires GPS satellite signal coveragetofindalocation.EntourageCISfeaturesBlacklineGPSUltimateSense™antennatechnologythatprovidesindustry-leadingreception.UltimateSensetechnologyenablesEntourageCIStobeconvenientlyhiddenwithinyourvehicleduringinstallationwhilecontinuingtodeliverexceptionaltrackingperformance.

Security mode features

YourEntourageCISfeaturesasecurity mode that can be armed (enabled) or disarmed (disabled) using your MyPasskeyfoborfromwithinyourNetworkAccount.

Whilearmed,EntourageCISisnotonlysensitivetovehicletampering(vibration),italsomonitorsitsGPSlocationwithinanautomatically-createdGPSsecurityperimeter.GPSsecurityperimetermonitoringenablesEntourageCIStodetermineifyourvehiclehasmovedfromwhereyouparkedit(aGPSsecurityperimeterbreach).Youcanoptionallysubscribetoemailand/ortextmessage(SMS)securityalertsthatprovidevisibilityoftamperingandaGPSsecurityperimeterbreach.ThisisdiscussedwithinthePreferences section of the Network Account chapter.

MyPass key fobYourEntourageCISproductcomeswithoneMyPasswirelesskeyfobthatautomatesEntourageCISsecurityarminganddisarmingusingshort-rangeradiotechnology.

OnceyoupairyourMyPasskeyfobwithyourEntourageCIS,MyPassautomaticallyidentifiesyoutoyour EntourageCISproductwhennearby(approximately10’to30’).WhenEntourageCISsensesvibrationandyouarewithinproximityofyourvehiclewithyourpairedMyPass,EntourageCISwillautomaticallydisarm.WhenyouleaveproximityofyourvehiclewithyourMyPass,EntourageCISwillautomaticallyarmitself.

NOTE:YourMyPasskeyfobcontainsastandard,user-replaceableCR2032lithiumbatterythatoperatesforuptooneyear,dependinguponuse.Replacementscanbepurchasedfromcamerastores,drugstores,andelectronicsstores.

NOTE:Beforeuse,pullandremovetheplasticpull-tabinthedirectionofthearrow.

Using MyPass

IfyousubscribetotheoptionalBlacklineGPSMonitoring&RecoveryService(BMRS),youmustpairyourMyPasskeyfobwithyourEntourageCISinordertoautomatethesecurityfeature.IfyouhavenotsubscribedtotheBMRS,useoftheMyPasskeyfobisoptional.

NOTE:WhenusingtheMyPasskeyfob,pleasekeepitwithyouatalltimes(suchasonyourkeyring),exceptasnotedinthePreventingfalsesecurityalarmssectionbelow.

NOTE:Youmaypairupto10MyPasskeyfobswithoneEntourageCIS.OneMyPasskeyfobcanbepairedwithanynumberofEntourageCISproducts.

Preventing false security alarms

Topreventfalsesecurityalarmswhileyourvehicleisintransport(forexample,beingtowedforserviceortransportedonaferry),yourMyPasskeyfobmustremainwithyourvehicle.Bydoingso,yourEntourageCISsecuritymodewillremain disarmed.

NOTE: If you have concern about the security of your vehicle while in transport with the security mode disabled, at anytime,youcanlocateyourvehicletoensureitiswhereyouexpectittobe.

Pairing your MyPass key fob

YourMyPasskeyfobmustbepairedwithyourEntourageCIS.WhenyourEntourageCIShasbeenactivatedand is online(wirelesslycommunicatingwiththeBlacklineGPSNetwork),youmaypaironeormoreMyPasskeyfobswithyourEntourageCIS.TopairyouMyPasskeyfob,followthestepsprovidedinthePreferences page section, in the NetworkAccountchapter.

Blackline GPS Monitoring & Recovery ServiceIfyousubscribedtotheBlacklineGPSMonitoring&RecoveryServiceduringEntourageCISactivation,yourvehiclewillbeprotectedbyourprofessionalmonitoringservices.Similartoahomealarmsystem,ifyourEntourageCISleavesitsautomatically-createdGPSsecurityperimeterwhilearmed,alivealarmoperatorwillcontactyoutoverifyifyourvehicle has been stolen or if it is a false alarm.

• YouareoptionallynotifiedoftamperingandtheGPSsecurityperimeterbreachthroughemailandortextmessage(SMS)alertingasconfiguredonthePreferencespageofyourNetworkAccount

• Alarmoperatorpersonnelareimmediatelynotifiedofpossibletheftandwillcontactyoutovalidate

• Ifyouconfirmthatyourvehiclehasbeenstolen,thealarmoperatorwillworkwithyouandtheauthoritiestorecover your vehicle promptly, reducing the risk of damage

LocatingEntourageCIScontinuously

TolocateyourEntourageCIScontinuouslyforashortperiodoftime:

1. FromtheTrackingPage,clicktheContinuous Trackingbuttononce(thelocationrequestprocessisidenticaltothesinglelocationrequest)

2. Thefirstlocationwillbedisplayedonthemapwithinapproximately20 to 40 seconds

3. Subsequentlocationswillbedisplayedevery 10 secondsprovidedthatGPSsignalcoverageismaintained

4. Oncethecontinuoustracksession stops after 10 minutes, a notice will be appear within the command feedback window.

• Vehicle battery disconnect warning–ThisnotificationtellsyouwhenyourvehiclebatterycanlongerpowerEntourageCISandithastransitionedtoitsinternalbackupbatteryforpower.Oncethisnotificationissent,EntourageCIScancontinuetooperateforuptotwodays,dependingontheamountoflocationssenttotheBlacklineGPSNetwork,andotherfactors.

TOTHEMAXIMUMEXTENTPERMISSIBLEBYAPPLICABLELAW,BLACKLINEDISCLAIMSALLREPRESENTATIONS,WARRANTIES,CONDITIONSANDGUARANTEES,EXPRESSORIMPLIEDINCONNECTIONWITHTHEBLACKLINEPRODUCTSANDSERVICE,INCLUDINGIMPLIEDREPRESENTATIONS,WAR-RANTIES,CONDITIONSANDGUARANTEESOFMERCHANTABILITY,DURABILITY,NON-INFRINGEMENTANDFITNESSFORAPARTICULARPURPOSE.

Withoutlimitingtheforegoing,BlacklinedoesNOTrepresentorwarrantthat:

a) TheSoftwareandServiceswillbefreeofvirusesorotherharmfulcomponents;

b) TheSoftwareandServiceswillbesecure,error-freeoruninterrupted;

c) TheServiceswillbeavailableatanyspecifictimeorinanygeographiclocation;

d) MessagesorcontentwillbereceivedortransmittedthroughtheSoftwareandServices;and

e) Thepositioning-deriveddataobtainedwhenusingtheServicewillbeaccurate,precise,oravailable.Thepotentialpositioningaccuracyas

deliveredthroughtheServicesasstatedinBlacklineliteratureandspecificationsprovidesonlyanestimateofachievableaccuracybased

on:specificationsprovidedbytheUSDepartmentofDefenseforGPSPositioningandbasedonGPSOEMReceiverspecificationsofthe

appropriatemanufacturer(ifapplicable)

LimitationofLiability

General

BlacklineprovidesyouwithServicesthroughthenetworksoftelecommunicationsprovidersandthroughothersuppliersandthirdparties(together“Suppliers”).YouruseoftheServicesofBlacklineandequipment,facilitiesandservicesofSuppliersisatyourownrisk.Subjecttothetermshereof,BlacklineandtheSupplierswillnotbeliableforanydamages,lossesofanykindorinjury,includinglostprofits(regardlessofwhetherwehavebeennotifiedthatsuchlossmayoccur)arisingdirectlyorindirectlyfromanyofthefollowing:

a) YouruseoftheServicesofBlacklineandoftheSuppliers,includingtheuseofanyfacilitiesorequipmentusedinconjunctionwithsuch

ServicesincludingtheSoftwareandtheBlacklineSites

b) Anyact,mistake,omission,interruption,delay,error,defectormisroutingofcommunicationsbytheSuppliersorBlackline

c) AnyfailurethatmayarisefromthefacilitiesorequipmentusedbyBlacklineortheSuppliers

d) Libel,slanderordefamationarisingfrommaterialtransmittedorreceivedthroughtheuseoftheServicesandtheservices,equipmentand

facilitiesoftheSuppliers

e) Infringementofpatents,trade-marksorcopyrightsarisingfromcombiningorusingtheServicesorSoftwareorequipment,orthatofthe

Suppliers

f) Anydamage,lossorinjurycausedbyortoavehicle,watercraft,aircraftorotherpropertyifsuchdamage,lossorinjuryresultedin

connectionwiththeSoftwareortheServices,ortheservicesoftheSuppliers

g) Physicalinjuriesordeath,anyotherdamages,lossofprofits,lossofearnings,lossofbusinessopportunities,orotherlossresultingdirectly

orindirectlyoutoforinconnectionwiththeuseoftheSoftwareorServices,ortheservices,equipmentandfacilitiesoftheSuppliers.

TheselimitationsofliabilityapplytoactsoromissionsofBlackline,itspartners,affiliatesandSuppliersandeachoftheirrespectiveofficers,directors,employees,suppliers,agents,consultantsorotherpersonsforwhominlawsuchpartiesareresponsible(together“Representatives”),whichwouldgive rise to a cause of action in tort, contract or any other doctrine of law.

NOTWITHSTANDINGANYTHINGELSEINTHISAGREEMENT,OURTOTALLIABILITYTOYOUUNDERTHISAGREEMENTORINCONNECTIONWITHTHESOFTWAREOROURSERVICESWILLBELIMITEDTOTHEFEESYOUPAIDTOUS(DIRECTLYORINDIRECTLYTHROUGHADISTRIBUTOR)FORTHESOFT-WAREINTHE6MONTHSPRIORTOTHEFIRSTEVENTGIVINGRISETOTHELIABILITY.

Indemnification

YouagreetoindemnifyandholdBlackline,itspartners,affiliates,andSuppliersandeachoftheirrespectiveRepresentativesharmlessfromanyandallliabilities,penalties,claims,causesofactionandjudgmentsbroughtbythirdparties(includingcosts,expensesandrelatedreasonablelegalfees)resultingfromyouruseormisuseoftheSoftware,Services,ortheBlacklineSites,orabreachofanyoftheTermswhetherbasedincontract,tort(includingstrictliability),orotherdoctrineoflawandregardlessoftheformofaction.

ApplicableLaw

ThelawsoftheprovinceofAlberta,Canada,withoutregardtoprinciplesofconflictoflaws,willgoverntheseTermsandConditionsandanydisputeofanysortthatmightarisebetweenyouandBlackline.

Disputes

AnydisputerelatinginanywaytoyouruseoftheSoftware,ServicesortheBlacklineSiteshallbesubmittedtoconfidentialarbitrationinCalgary,Alberta,Canada,exceptthat,totheextentthatyouhaveinanymannerviolatedorthreatenedtoviolatetheintellectualpropertyrightsofBlackline,Blacklinemayseekinjunctiveorotherappropriatereliefinanyprovincial,stateorfederalcourt,andyouconsenttoexclusivejurisdictionandvenueinsuchcourts.ArbitrationunderthisagreementshallbeconductedundertheNationalArbitrationRulesthenprevailingoftheADRInstituteofCanada.Thearbitrator’sawardshallbebindingandmaybeenteredasajudgmentinanycourtofcompetentjurisdiction.Tothefullestextentper-mittedbyapplicablelaw,noarbitrationunderthisAgreementshallbejoinedtoanarbitrationinvolvinganyotherpartysubjecttothisAgreement,whether through class arbitration proceedings or otherwise.

Severability

IfanyoftheseTermsandConditionsshallbedeemedinvalid,void,orforanyreasonunenforceable,thattermorconditionshallbedeemedsever-ableandshallnotaffectthevalidityandenforceabilityofanyremainingtermorcondition.

EntireAgreement

ThisAgreementsupersedesallprioragreementsofthepartiesregardingthesubjectmatterofthisAgreement,andconstitutesthewholeagree-mentwithrespecttothatsubjectmatter.

AssignmentandSublicensing

YoumaynotassignorsublicensethisAgreementoranyofyourrightsunderthisAgreementwithoutourpriorwrittenconsent,whichmaybewith-held without cause.

Enurement

ThisAgreementwillenuretothebenefitofandbebindinguponthepartiesandtheirlawfulsuccessorsandpermittedassigns.

ForceMajeure

Wewillnotbeliableforanynon-performanceordelayinperformancebythatisduewhollyorinparttofire,flood,anyactofGod,riot,actofwar(whetherornotdeclared),terrorism,changeinlaworanyothercausebeyondourreasonablecontrol.
