uVme Limited (“the Company”) of Arango Orillac Building, 54th Street, PO Box 0832-0886 WTC, Panama City, Republic of Panama, is the promoter of this trading scheme. The goods and services which are sold under this scheme are skill gaming subscriptions and related goods and services. It is illegal for a promoter or a participant in a trading scheme to persuade anyone to make a payment by promising benefits from getting others to join the scheme. Do not be misled by claims that high earnings are easily achieved.

Definitions:

Independent Associate – IAAn individual who is over 18 (eighteen) years of age and has agreed to the uVme Terms and Conditions, and is accepted by the company to promote uVme.

Business Cycle – BC One of thirteen 28-day periods during a year, at the end of which commissions are calculated for that period.

Personally Sponsored Player – PSPEach uVme player must be sponsored by an IA and becomes that IA’s Personally Sponsored Player.

Active Status – ASTo be qualified at any of the “Q” levels 1 to 9 (see promotional levels below), the IA must be qualified for Active Status. Active Status is achieved by the IA having a minimum of two personally sponsored players with a total PPV which is equal to or greater than £20. [*1]

The IAs own player volume can count towards 50% of the AS qualification (but this is not required). The remaining 50% must come from registered players who play through your game web site, and no more than £10 [*1] from each personally sponsored player can contribute to AS qualification.

Available Associate Commission – AACDepending on the tournament, between 12.5% and 49.9% of game fees are distributed amongst IAs; this is called the “Available Associate Commission”.

Personal Player Volume – PPV PPV is the amount of money turned over from game fees by your personally sponsored players in a BC. The IA’s PPV determines the percentage of the AVAILABLE ASSOCIATE COMMISSION paid to the IA in each BC on a sliding scale, as follows:

Group Player Volume – GPVGPV is the amount of money turned over from game fees through generations of the IA’s business, and is dependent on “Q” status. Instant Pay – IPINSTANT PAY allows the IA to receive selected Bonus Payments instantly. The payment is released into the IA’s online account as soon as the bonus criteria are met. Each IA has to verify their account using their back office before they can access INSTANT PAY. Instant pay is activated following account verification and the IA’s mandatory 14-day “cooling off” period, and is at the discretion of uVme.

Fast Start Bonus Level One – FSB1FAST START BONUS is paid to an AS-qualified IA for personally sponsoring an IA who by gathering players qualifies for AS within their first 28 days of joining. The FAST START BONUS commissions can be paid by INSTANT PAY.

Fast Start Bonus Level Two – FSB2FAST START BONUS 2 is paid to an AS-qualified IA when one of their personally sponsored IAs sponsors another new IA who by gathering players qualifies for AS within their first 28 days of joining. The FAST START BONUS 2 commissions can be paid by INSTANT PAY.

Bonus CurrenciesThe amount and currency of the FSB1, FSB2, Promotional Bonus, Power Pool Revenue Share and all active bonuses paid to you are currency specific. The joining currency of the new Associate determines the currency of the bonus, i.e. if FSB1 is due on your newly qualified Associate who joined using “$”, then FSB1 will be $100, regardless of your own joining currency.

Power Pool Revenue Share – PPRSPOWER POOL REVENUE SHARE is paid to the AS-qualified IA who has a status of Q2. POWER POOL REVENUE SHARE is a percentage of company net revenue (8%), which is collected into a pool. At the end of a BC, POWER POOL REVENUE SHARE is shared with all AS-qualified IAs at status Q2. (PPRS is capped at £65.)

Generation Bonus – GBA “generation” is an AS-qualified IA’s level. Commission is earned on the PPV of your IAs – up to 7 generations of AS-qualified IAs, labelled “Q1” through “Q9”. Each “Q” level earns a percentage commission on certain other generations, as in the recognised status section.

Matching Bonus – MBMATCHING BONUS is paid each BC to the IA’s sponsor, and is 100% of the income generated from the GENERATION BONUS. To qualify for Matching Bonus, the IA must have AS and have Q3 status or above.

Active Bonus – ABACTIVE BONUS is paid to the AS-qualified IA with a status of Q2 or above, (who has received FSB1 in the BC). “Active Bonus” is paid on all IAs in their team (up to 7 generations), who are active during a business cycle. However, Active Bonus is only paid out on UK Q1, Q2 and Q3s who have received FSB1 in that cycle or have a PPV greater than £500. Each “Q” level earns Active Bonus on certain other levels, as outlined below:

Active Matching Bonus – AMBACTIVE MATCHING BONUS is paid to the IA’s sponsor (who is AS-qualified with a status of Q3 or above), and is 100% of the personally sponsored IA’s income, generated from the ACTIVE BONUS.

Promotion Bonus – PBPROMOTION BONUS is paid to IAs who qualify at the Q4 position for the first time. Ten Pounds Sterling (£10) goes into your “Virtual Promotion Account” when a uVme Associate joins on your “fourth level” and becomes active for the first time. It is then paid to each IA as they qualify for each position higher in the Marketing Plan for the first time. (The “fourth level” is defined as three levels below your Personally Sponsored Associates.)

Infinity Generation Bonus – IGBINFINITY GENERATION BONUS allows the AS-qualified IA to earn on levels outside their first 7 generations and up to the next INFINITY BONUS-qualified IA. It is paid out in 3 stages, as below:

Q7 – 1%Q8 – 2%Q9 – 3%

If the INFINITY GENERATION BONUS-qualified IA has an IA in their group who qualified at a lower INFINITY BONUS level, they would earn the difference in the percentages. Should an IA qualify at the Q7, Q8 or Q9 position and be eligible to earn the INFINITY BONUS, that bonus will stop at the next Q position, which is equal to their own. Dynamic Roll up Bonus – DRB

DYNAMIC ROLL UP BONUS is paid to IAs with the status of Q9(A), who have a Q9(B) within their team. The bonus is calculated from the unpaid GENERATION BONUS from the Q9’s(B) group, within the Q9’s(A) team. If the Q9(B) within the Q9’s(A) team keeps their status for two consecutive BCs, the bonus is paid out to the Q9(A) one BC in arrears. For the actual amount see the breakdown for each “Q” level.

Active Infinity Bonus – AIBACTIVE INFINITY BONUS is paid to the Associate for any IA in their team (outside their first 7 generations) who is active during a business cycle. It is paid out in 3 stages, as below:

Q7 – £ 1.00Q8 – £ 2.00Q9 – £ 3.00

Should an IA qualify at the Q7, Q8 or Q9 position and be eligible to earn the ACTIVE INFINITY BONUS, that bonus will stop at the next Q position, which is equal to or greater than their own. If they have an IA who qualified at a lower ACTIVE INFINITY BONUS level, they would earn the difference in the bonus.

Active Bonus, Active Matching Bonus and Active Infinity Bonus are subject to pro-rata payments where new IAs join mid-way through a payment cycle.

Recognised Status – RSRS is the highest “Q” level currently attained by the IA within the uVme Marketing Plan. For commission payment purposes AS is used: for example, if an IA has achieved an RS of Q4 but has a group AS of Q3, payments will be awarded as for Q3 status.

Annual renewal of £39.95.

Cost for the Virtual Business-Building Website and Back Office.

The first position in the Marketing Plan is “Q1”.To become a Q1, the IA is required to reach AS.The following commission payments will apply:

Any Q1 that has been placed in your group must be placed on your front line to qualify you as a Q2.

Any personally sponsored Q1s can be placed anywhere within your first three “income-producing generations” to qualify you for the Q2 position.

The following commission payments apply:

The seventh position in the Marketing Plan is “Q7”.To become a Q7 the IA is required to have AS.The IA is required to develop a group of three (minimum) IAs qualified at the Q6 position in three separate legs anywhere within their first seven “income-producing generations”. Each Q6 is required to have a Group Player Volume within their first seven “income producing generations” equal to or greater than £15,000.00 per business cycle, in their joining currency.
