Fax +61 2 9674 2359 – [email protected] - www.tramontina.com.au In these conditions the following terms shall have the following meanings “Company” means Tras Marketing & Sales Pty Ltd or Tramontina Australia. “Customer” or “Buyer” means the customers of the Company. “Contract” means any contract for the sale of Goods by the Company to the Customer. “Price” Means the price as detailed on the Order Acknowledgement, Invoice or Quote acceptance. “Order” means any verbal orders which are confirmed in writing by the Company by means of a verbal order interpretation form, signed purchase orders and letters whether sent by fax, post or e-mail confirmed in writing by the Company by means of an Order Acknowledgment. 1. QUOTATION 1.1. Quotations by the Company unless otherwise stated in them shall be opened for acceptance within 30 days of the date of the quotation. 1.2. The Company has the right to amend and revise quotations after physical sample is produced, before the official order acceptance. Customers will be consulted if this situation occurs. 2. EXISTENCE OF CONTRACT 2.1. Contracts are only necessary for customized boxed orders or customized products sourced from overseas. Australian stock that can be customized on- demand only requires order placement and payment according to the Customer’s account with the Company. 2.2. Official Order Request shall be conclusive evidence of the Buyer’s acceptance of these conditions for both overseas or local stock. 3. PRICES 3.1. The Price of goods excludes packing, insurance and carriage, GST, and other taxes or duties, unless clearly mentioned. The Price invoiced is calculated in respect to the quantity of Goods actually delivered irrespective of the quantity in respect of which any quotation or Order Acknowledgment was issued. All orders for customized products are subject to a quantity tolerance of + or - 10%. 3.2. The Company shall have the right to adjust its prices for any increase in costs of any kind arising for any reason after the date of the Contract. Customers will be consulted or advised if any changes need to be made. 3.3. Price change shall take effect on the date of service on the customer of notice of the change. 4. PAYMENT TERMS 4.1. Payment Terms & Conditions are stated in the general Tras Marketing Terms of Trade, which is available by request or online at www.tramontina.com.au/TOT. 5. CUSTOMIZED GOODS 5.1. The buyer shall ensure that the Goods ordered are suitable for the Buyer’s intended use. 5.2. If a sample of Goods ordered is provided to the Buyer by the Company and accepted by the Buyer, the Company shall not be liable for any variations to the Buyers specification thereafter if the manufacture and process of Goods had commenced. 5.3. The risk in any Goods supplied to the Buyer by the Company and vice-versa shall remain with the Buyer for the duration of the contract unless agreed in writing by the Company. 5.4. The Company reserves the right to charge for any additional work required to meet the Buyers specification if in the opinion of any officers agents or employees of the Company the Buyers specification would not achieve the required effect. 5.5. Customized goods are only covered by manufacturing defects according to the product line’s warranty period. Goods can not be replaced or refunded due to change of mind or any other reason that is not manufacturing defect related. 5.6. The Customer is responsible for the supply and approval of any artwork to be used in printed customized boxes, special packaging and logo to be engraved on products. Templates are provided by the Company upon request. Special packaging is not included in standard quotes and must be requested by the Customer directly to Sales Representative. 5.7. The Customer is responsible for the proper care of the goods. If not supplied together with the order, the Customer can request the Product Care Instructions at any time to the Company. 6.
