Foreword

ThelatestiterationoftheICCRulesofArbitration—the2012Rules—istheresultofoneofthemostextensive,consultativeexerciseseverundertakenbytheICC.Adecisiontoreviewandrevisethehighlyregarded1998RuleswastakenbytheICCCommissiononArbitrationinOctober2008.Inthemonthsthatfollowed,membersoftheCommissionandoftheTaskForcesetupbytheCommission,togetherwithmembers of the international arbitration community at large, submitted a veryconsiderablenumberofcommentsandproposalsforchangestotheDraftingSub-CommitteetaskedwiththeproductionofadraftofthenewRules.

CommissionChairmanPeterWolrich,who,withMichaelBühlerandLaurieCraig,chairedtheDraftingSub-Committee,explainsthegenesisofthenewRulesinsomedetailinhisprefacetothisbook.Itisright,however,thatI,too,acknowledgethecontributiontothesuccessfulconclusionofthisexerciseofsomanyindividuals,includingin-housecounsel,whoseviewswerewidelycanvassed,andthemembersoftheparallelTaskForceconsideringthenewRulesfromthepointofviewofstatepartiesundertheablechairmanshipofEduardoSilvaRomeroandPeterGoldsmith.SuchcomprehensiveconsultationsandthechangesresultingfromthemreflectedinthenewRulesdemonstratetheextenttowhichtheICChastakenaccountoftheviewsofusersofitsRules.

The2012RulesremaintruetothedraftingethosofpreviouseditionsoftheRules.Nothinghasbeenchangedforthesakeofchange.SuchchangesandinnovationsashavebeenmadereflectthedramaticevolutioninthenatureandscopeoftheCourt’suserbaseandpracticeinthefourteenyearssincethepromulgationofthe1998 Rules, not least the explosion in the numbers of multiparty disputes(particularly from Latin America), the all-pervasive use of electronic media andmeansofcommunication,andincreasingpressureonarbitratorsandinstitutionsaliketoensurethattimeandcostconstraintsarerespected.

User demands included assurances as to the availability of arbitrators; earlyclarificationofthenatureandbasisofclaims;theabilitytocalluponanemergencyarbitratorprocedure;andmorecertaintyastowhenanawardmightbeexpectedaftertheconclusionofahearingandthefilingofpost-hearingbriefs.Inlargepart,thesedemandshavebeenmetinthenewArticles4(3),subparagraphs(c)and(d);11(2); 29; and 27, subparagraph (b). Multi-party disputes are the subject ofArticles7–10of the2012Rules,agroupofprovisions thatconstituteoneof theprincipalinnovationsofthenewRules.

TraditionallytheICChaslaid,andcontinuestolay,greatstoreupontheabilityofthepartiestoICCarbitrationtoagreeuponsubstantialelementsoftheprocedureapplicableto“their”arbitrationandtheirexpectationthatsuchagreementswillberespected. In turn, it is to be hoped that parties will take full advantage of theopportunity to play an active part in the shaping of the arbitral procedure asArticle 24 and, specifically, Article 24(4), of the new Rules invites them to do.Theimportanceofthiselementofdirectpartyinvolvementcannotbeoverstated.

TheGuide,whichtakesthereaderthroughthe2012Rulesfromstarttofinish,willbeanindispensableworkofreferenceforallinvolvedinICCarbitration,whethertheycomenewtosuchproceedingsorare“oldhands”,andwhethertheydosoasaparty,counselorarbitrator.Whilethe2012Ruleshavealreadybeenthesubjectofnumerouscommentaries,nonecouldbeasauthoritativeaGuideasthatwhichJasonFry,SimonGreenbergandFrancescaMazzahavecompiled.

NotonlywereallthreeauthorsintimatelyinvolvedinthedraftingofthenewRules,butasthreeofthethenmostseniormembersoftheSecretariat,theirknowledgeofthepracticesoftheCourtandSecretariatisunrivalled.AllthreeauthorshavealsooverseentherevisionofalloftheSecretariat’sstandardformlettersandotheradministrativedocumentationtoensuretheircompatibilitywiththeprovisionsofthenewRules—adauntingtaskinitself.ThereissimplynoonebetterqualifiedtoprovideadetailedoverviewofthenewRulesandtheiroperation.Atthetimeofpublication,allthreeoftheauthorswillhavetakenupnewpostsoutsidetheICCorbeonthepointofdoingso.ThisfinalcontributionontheirparttotheworkoftheCourtandSecretariatisconsistentwiththequalitiesofexcellenceandcommitmentthathavebeenthehallmarkoftheirworkwhileattheICCandforwhich,onbehalfoftheICCCourt,Ioffermythanksandsincereappreciation.

The Guide you have before you is designed to provide you with an in-depthpresentationandanalysisofthenewICCRulesofArbitrationinforceasof1January2012.ThisGuidehasthegreatadvantageofprovidinginsightsintotheRulesfromtheperspectiveoftheSecretariatoftheICCInternationalCourtofArbitration,anditsauthorswereactiveparticipantsinthepreparationofthenewRules.Bywayofintroduction to this invaluable resource, I would like to give you, from my ownperspectiveasChairmanoftheICCCommissiononArbitrationandasoneoftheprincipaldraftsmenofthenewRules,aninsideviewintoexactlyhowtheCommissionwentaboutrevisingtheRulesandwhatthegoalsoftherevisionprocesswere.

In accordance with the Constitution of the ICC, ICC technical documents withregardtodisputeresolution,includingICCRules,arenormallypreparedbytheICCCommissiononArbitration.OurCommissionwasthusentrustedwiththetaskofproposingrevisionstotheICCRulesofArbitrationtotheICCgoverningbodies.The previous revision of the Rules dated from 1998, and while the Rules werefunctioningeffectivelyandtherewasnourgentreasonforchange,itwasfeltthataftersomanyyearsitwouldbeusefultotakeafreshlookattheminordertobringthemup-to-dateandensurethattheywillcontinuetobeusefultoarbitrationusersworldwideformanyyearstocome.

The revision of the Rules was accomplished in accordance with a step-by-stepprocess.First,weheldthreeconsultationstoensurethatwewouldbenefitfromawiderangeofideasandsuggestionsconcerningdesirablechangesoradditionstotheRules.Thefirstconsultationtooktheformofaconferencethatweorganizedfor the arbitration community at large to solicit and discuss ideas. Next, weconsultedandobtainedalargenumberofsuggestionsandproposalsfromtheICCNationalCommittees.SuggestionsandproposalswerealsoprovidedbytheICCInternationalCourtofArbitrationanditsSecretariat.Finally,weconsultedtheICCCommissionTaskForceonArbitrationInvolvingStatesorStateEntities.ThatTaskForce, which included representatives of states and persons with significantexperienceworkingwithstates,provideduswithusefulsuggestionsformakingtheRulesmoreobviouslyapplicabletoarbitrationsinvolvingstates.

A Task Force on the Revision of the ICC Rules ofArbitrationwascreated,andIwasaskedtoserveasChairmanofthisTaskForcealongwithtwoCo-Chairs,MichaelBühlerandLaurieCraig.FrancescaMazza,theSecretaryoftheCommission,wasaskedtoserveasSecretarytotheTaskForce.

InordertohaveawideinputintotheprocessofreviewingandrevisingtheRules,itwasdecidednotto limit thenumberofmembersoftheTaskForce.TheTaskForcewasthenconstitutedwithover180members.ThisguaranteedathoroughreviewoftheRules.However,giventhatnumber,itwasnecessarytosetupamuchsmallerDraftingSub-Committee,whichwereferredtoastheDSC.TheroleoftheDSC was to go through the Rules article by article and draft proposals foramendmentsornewprovisionstobesubmittedtotheTaskForce.

The DSC was constituted with twenty members who represented diversegeographical locationsanddiverselegalsystems.DSCmemberscamefromfivedifferentcontinentsandfourteendifferentcountries.Inaddition,theyrepresentedall categories of players in ICC arbitration. Some DSC members were mainlycounsel, others were mainly arbitrators. The Court was represented by AndrewFoyle and the Secretariat was represented by Jason Fry. John Beechey, thePresident of the Court, and the Vice-Chairs of the Commission were ex-officiomembers.

Most importantly, it was decided to have two representatives from the usercommunity as DSC members. These were Anke Sessler from a major GermancompanyandJohnSanderfromamajorUScompany.Weconsideredthistobeanextremely important step because, of course, the Rules exist to serve theinternationalusercommunity,andwefelt ittobevery importanttoensurethattheir views were taken into account in the revision process. In fact, the userrepresentativesconsultedwithamuchlargergroupofusersworldwideandwereable to provide us with key insights into the needs and concerns of the usercommunity.

Withtheaboveorganizationalstructureinplace,this ishowweproceeded.ThefirstDSCmeetingwasheldinMarch2009.Overthenexttwoyears,theDSCmetonceamonthinoneortwo-daysessions.ItwentthroughtheexistingRulesarticlebyarticleanddraftedproposedamendmentsornewarticles.Itsproposalswerethenpresented ingroups to theTaskForcewhichdebatedandapproved themduringanumberofplenaryTaskForcemeetingsheldoverthetwo-yearperiod.

AlloftheproposalsthatwereapprovedbytheTaskForcewerethensubmittedtoICC National Committees and Groups and to the Commission as a whole. TheproposalswerethenfullydebatedanddiscussedbytheCommissionwhichalsoapproved the amended articles by groups during four plenary Commissionmeetings.

ThisprocessillustratestheextenttowhichtheRulesrevisionbenefitedfromthehardworkandcarefulconsiderationofa largenumberofvery talentedpeople,and,while it isnotpossible tonamethemall, Iwish to take thisopportunity tothankthemmostsincerelyfortheirexcellentcooperationandwork.

WithrespecttothesubstanceoftheRulesrevisionprocess,wedecidedtoadoptafewbasicguidingprinciplestofocusthechoicestobemadeinrevisingtheRules.

The first guiding principle was that only changes that are genuinely useful orgenuinelynecessaryshouldbemade.Thisfollowsfromtheoldadagethat“ifitisn’tbroken,don’tfixit”.TheexistingRuleshaveworkedwell,andweconsideredthatmaking too many minor “clean-up” improvements could actually result in moreconfusion than benefit. We often reminded ourselves of this principle when weweretemptedtomakelanguageimprovements.

Thesecondguidingprinciplewastoretain,tothegreatestextentpossible,thekeyanddistinguishingfeaturesofICCarbitration,suchastheRequest,theAnswer,theTermsofReferenceandthescrutinyoftheawardbytheCourt.

Athirdbasicguidingprinciplewastobeeconomicalinthedrafting,toavoidbeingoverlyprescriptiveandtoretaintheuniversalityandflexibilityofICCarbitration.Thistoldusnottoover-legislateintheRulesbutrathertocontinuetodraftintermsofbasicprinciples rather than trying tospelleverythingout.Thisallowedus toretain the cross-cultural character of the Rules as well as their flexibility andopennesstopartyautonomy.

Whilefollowingtheseguidingprinciples,wealsobroughtanumberofinnovationsintotheRules.ThesenewfeatureswereinspiredbythedesiretoprovideadditionaltransparencywithrespecttopracticesoftheCourtandtheSecretariat,thedesireto develop explicit provisions for improving the time and cost efficiency ofarbitration, and the desire to respond to requests from the user community. Inparticular,weincludedthreeentirelynewsetsofprovisionsintheRules,whicharediscussed in great detail in this Guide. These provisions concern efficient casemanagement,multipartydisputesandemergencyarbitratorproceedings.

The case management provisions set forth means to establish a tailor-madeprocedure for the arbitration that is time and cost effective. Under the newprovisions, as enunciated in Articles 22–24 and Appendix IV, the tailor-makingprocess has now become a formal requirement. Various other changes, alsodiscussedinthisGuide,improvethetimeandcostefficiencyofICCarbitration.

Thenewsectiononmultipartyandmulticontractarbitrationdealswiththejoinderofanadditionalparty,cross-claimsbetweenclaimantsorbetweenrespondents,claimsarisingoutofmore thanonecontract,and theconsolidationofseparatearbitrationspendingundertheRules.Theseprovisions,assetforthinArticles7–10,areentirelynewandmakeexplicitvariousaspectsofmultipartydisputesthatwerenotpreviouslydealtwithintheRules.

Finally,theemergencyarbitratorprovisionsprovidethepartieswithanopportunity,undercertainconditions,toobtainurgentinterimorconservatorymeasuresfromanemergencyarbitratorwhenthosemeasurescannotawaittheconstitutionofanarbitraltribunal.
