BOARD RESOLUTION NO. 039-2017

DECLARING THE POSITION OF THE ADMINISTRATOR VACANT

^^_ - WTqREAS, upon complaints received pertajning to illegal collections involving the

PCA Administrator, the Governing Board placed the Administrator under preve-niivesuspension pending investigation per Board Resolution Ad Referendum No. OZ7_2017dated 15 March 2017 which was affirmed on ZZ March 2017 per Board Resolution No.033-2017. However, in a Memorandum dated Z0 Ma.ch 2017, the Administratorchallenged such disciplinary measure and declared therein, as well as in mass media, hisdeflance to said preventive suspension;

- WHEREAS, pursuant to the pCA Manual of Corporate Governance, the GoverningBoard is duty-bound to provide an independent check on lvlanagement and to ensure thatthe elected Administrator conforms wiu"l the fit and proper quaiificationl;

WHEREAS, the Manual likewise provides that the AdminisB.ator shall be subjectto the disciplinary powers of the Board and may be removed by the Board for causdl

^ WHEREAS, guided by these mandated authorities, the Governing Board createda Special.Committ€e led by Dtr. Conrado S. Capa to investigate the allegations of illegalactivities in the Offlce of the pCA Administrator;

^ WHEREAS, an investigation Report submitted by the Special InvestigationCommittee was adopted by the Governing Board but with modification as io therecommendation wherein lvlr. Andat was given an opportunity to present his defensebefore them in today's Board Meeting;

WHEREAS, instead of participating in the investigation proceeding, Mr. Andalremained,silent on the arregations of his invorvement but melely submitted hii letter dated18 April 2017 challenging the jurisdictjon of the Board to conduct investigatlon as wefl asthe investigation proceeding itself;

WHEREAS, failing the standard of integrity and professionalism required of hisposition a.s Administrator, after giving him the opportunity to be heard, the GoverningBoard realizes the need to remove Mr. Avelino L. Andal as Administrato; and to declarethe position of the Administrator vacanu
