DIRECT PRIMARY CARE MEMBERSHIP AGREEMENT Welcome to Sanitas! We are excited to work with your primary care provider. This Direct Primary Care Membership Agreement is an agreement (the “Agreement”) between you (“You” or the “Member”) and Sanitas USA, Inc. (“Sanitas” or “We”) for You to enroll as a member of Sanitas’s direct primary care membership program (the “DPC Program”), beginning on the date that You electronically sign this Agreement. This Direct Primary Care Membership Agreement is an agreement (the “Agreement”) between you (“You” or the “Member”) and Sanitas USA, Inc. (“Sanitas” or “We”) for You to enroll as a member of Sanitas’s direct primary care membership program (the “DPC Program”), beginning on the date that You electronically sign this Agreement. We are offering the DPC Program to you on behalf of your primary care provider, Sanitas Medical Center. As a Member, you will be eligible to receive the Included Services defined below.
1. Included Services

This DPC Program is NOT a healthcare insurance plan. Membership in the DPC Program only provides the member with the Included Services expressly described herein. You understand and acknowledge that you are 100% responsible for the costs of (i) any health care services rendered to you by a provider other than your Sanitas-assigned provider(s), (ii) any health care services rendered to you by a Sanitas provider that are not expressly included in the Included Services (“Excluded Services”). Examples of Excluded Services include, but are not limited to medical devices, injectables, and immunizations.
3. No Submission of Insurance Claims
As a Member, You may not submit any claims to any health insurer with respect to any of the Included Services.
4. 4. Acknowledgement: No Medicare
You specifically represent that you are not enrolled in Medicare, will not submit any claims to Medicare with respect to any of the Included Services, and acknowledge your understanding that Medicare beneficiaries are not eligible for DPC Program membership or to receive services pursuant to the DPC Program.

5. Membership Fees
In addition to the one-time registration fee in the amount of $40, You agree to pay a monthly fee (collectively, the “Membership Fees”) in accordance with the following: • • Members 18 years of age and younger: $ 30
• • Members 19 – 54 years of age: $ 40
• • Members 55 years of age and older: $ 50 The one-time registration fee and Your initial monthly fee shall be due immediately after electronically signing this Agreement. Your subsequent monthly fees shall be on that same calendar day of each subsequent month, which Sanitas may automatically charge to your billing information on file. Your Membership Fees covers Included Services only – you will be billed separately for any Excluded Services requested in accordance with Sanitas’s policies. Special: Alternatively, We will apply a 5% discount to You if You pay Your monthly fees for the entire year upfront!
6. Term
By enrolling as a Member, you agree to an annual membership, which shall expire one year from the last day of the month that You electronically sign this Agreement (the “Initial Term” or an “Annual Term”). At the expiration of the Initial Term, Your DPC Program membership will automatically renew annually for one-year terms (each, an “Annual Term”), unless you terminate your Membership as described in Section 7.
7. Termination
You may terminate your DPC Program membership by providing 30 days notice of your intent to terminate by contacting Sanitas through the DPC Program portal at mysanitascare.com, by email at [email protected], or by phone at (866) 586-9495. Similarly, Sanitas may terminate your DPC Program membership by providing 30 days written notice (for example, if you miss appointments without giving proper notice). If you terminate your DPC Program membership prior to the expiration of any Annual Term, We will refund to You the unused portion of your Membership Fees, if any, on a per diem basis.
8. Protected Health Information
Sanitas values your privacy, and the security of your medical information. Sanitas shares your health information as permitted by HIPAA, and only with parties necessary to ensure you receive the best care possible. To learn more about how your medical information may be shared, Sanitas’s Notice of Privacy Practices is available at: https://www.mysanitas.com/en/legal/notice-privacy-practices. By signing this Agreement, You acknowledge that you have received and read Sanitas’s Notice of Privacy Practices.

9. Communications
Use of email, facsimile, video chat, phone calls, texting, and other forms of electronic communication cannot be absolutely guaranteed to be secure or confidential methods of communications. By enrolling as a Member, You consent to any such means of communication with You concerning Your protected health information, and waive Sanitas’s obligation to guarantee confidentially with respect to same. You also acknowledge that any such communications may become a part of Your medical record.
10. Changes to Agreement
We may periodically change the terms of this Agreement to comply with applicable laws (that change from time to time), and/or to otherwise ensure the viability of the DPC Program so that the valuable services continue to be available to You. If We deem any changes to this Agreement are necessary, such as adjustments to the Included Services and/or Membership Fees, We will provide you with written notice at least 60 calendars day prior to the effective date of any material change(s). If you disagree with any changes, You have the right to terminate Your Membership at any time by providing 30 days notice pursuant to Section 7.
11. Miscellaneous
A provider who breaches this Agreement may be liable for damages and subject to discipline by the appropriate licensing board. If any term or condition of this Agreement or Your DPC Program membership is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions will remain in full force and effective and will in no way be affected, impaired or invalidated.

Statutorily Required Disclaimer for members in the state of Florida: This agreement is not health insurance and the primary care provider will not file any claims against the patient’s health insurance policy or plan for reimbursement of any primary care services covered by the Agreement. This Agreement does not qualify as minimum essential coverage to satisfy the individual shared responsibility provision of the Patient Protection and Affordable Care Act, 26 U.S.C. s. 5000A. This Agreement is not workers’ compensation insurance and does not replace an employer’s obligations under chapter 440.

CONTRATO DE MEMBRESIA AL PROGRAMA DE ATENCIÓN PRIMARIA DIRECTA
¡Bienvenido a Sanitas! ¡Nos emociona ser su proveedor de atención primaria directa!
Este Contrato de Membresia al Programa de Atención Primaria Directa es un contrato (el "Contrato") entre usted ("Usted" o el "Afiliado") y Sanitas USA, Inc. ("Sanitas" o "Nosotros") para que Usted se inscriba como Afiliado en el programa de Membresia de atención primaria directa de Sanitas (el "Programa DPC") a partir de la fecha en que Usted firme electrónicamente este Contrato. Como Afiliado, tendrá derecho a recibir los Servicios Incluidos que se definen a continuación.
1. Servicios Incluidos
Como Afiliado, Usted será elegible para recibir aquellos servicios básicos relacionados a continuación (colectivamente entendidos como los “Servicios Incluidos”) de su(s) proveedor(es) asignado(s) por Sanitas (“el Proveedor”):

Servicios de atención primaria
Usted obtendrá acceso a medicina de familia, medicina interna, pediatría y visitas de enfermería profesional para manejar un amplio rango de necesidades de atención primaria (como cuidado preventivo, condiciones recientes y manejo de enfermedades).
Usted puede agendar visitas con un profesional de cuidado primario para atención rutinaria, o
Tener visitas del mismo día y, según la disponibilidad de cada centro, atención en urgencias
No se requieren pagos adicionales. Todos estos
servicios están incluidos en la cuota de Membresia
mensual.
Usted obtendrá acceso ilimitado a un proveedor de atención primaria (PCP) y 2 visitas por año calendario para cuidados urgentes.
Servicios de atención en salud relacionados con el comportamiento
Su plan incluye la consulta con un trabajador social clínico para problemas de salud mental y de comportamiento leve a moderado (como es el caso de ansiedad y/o depresión leve a moderada)
Para este servicio, usted debe ser referido por un PCP de Sanitas como resultado de una visita al mismo. El plan incluye una evaluación inicial y una cita de seguimiento al año.
Pruebas básicas de laboratorio y generación de imágenes
Su plan le otorga acceso a un panel básico de pruebas de laboratorio para detección y diagnóstico. Usted también puede obtener radiografías, resonancias y electrocardiogramas en la medida en que su PCP lo considere necesario. * Por favor revisar la lista específica de los servicios incluidos.
Para obtener cualquier prueba, el servicio debe ser ordenado por un PCP de Sanitas como resultado de una visita al mismo. *Por favor revisar las pruebas incluidas en el panel.
Atención virtual Existen tres niveles de servicios virtuales en su plan: 1. Acceso basado en mensajes de texto (chat) con un proveedor de salud para consultas rápidas. 2. Visitas de telemedicina con el PCP (visitas remotas) que pueden ser a través de video o vía telefónica. 3. Recomendaciones especializadas a través de la interacción virtual con especialistas médicos certificados como PCP a través de la plataforma RubiconMD.
Acceso ilimitado.

Vacunas Su dosis anual para la gripe se encuentra incluida en su Membresia.
Una dosis al año por afiliado.
Asesoramiento en salud y bienestar/educación
Usted obtendrá acceso gratuito a todos los recursos educativos de Sanitas y clases (virtuales y en persona) con un grupo multidisciplinario.
El contenido virtual siempre está disponible y los servicios en persona se ofrecen según un cronograma predefinido y de acuerdo con las restricciones de COVID.
Farmacia Su plan incluye acceso a una farmacia virtual que busca precios con descuento en medicamentos cerca a su ubicación. También le permite seleccionar su medicamento en su farmacia de preferencia u obtenerlo con un servicio a domicilio sin costo adicional. * Los costos de los medicamentos no están incluidos.
Este servicio es provisto con nuestro aliado Blink Health (farmacia en la nube).
COVID-19 Usted tendrá acceso gratuito al cuestionario de COVID (triaje) y a una evaluación posterior según el resultado. También hay COVID tests disponibles en los Centros Médicos de Sanitas sin pago adicional.
Estos servicios no están incluidos en la membresía, pero el Gobierno provee reembolso por estos servicios sin costo adicional para usted. No van a haber cargos separados por estos servicios.
Usted obtendrá acceso ilimitado a un cuestionario (triaje) de COVID y la evaluación posterior.
PCP: “Proveedor de atención primaria” quien podrá ser un doctor o una enfermera certificada con práctica médica. *Por favor diríjase al Exhibit A para una lista espefífica de Laboratorios Básicos e Imagenología incluídos.
Nota: Ocasionalmente y por motivo de vacaciones, emergencias, enfermedad o circunstancias no previstas, su Proveedor podrá no estar disponible para prestar los Servicios Incluidos inmediatamente.
2. El Programa DPC NO es un Seguro: el Afiliado no está asegurado.
El programa DPC NO es un plan de seguro de atención en salud. La Membresia en el Programa DPC solamente presta los Servicios Incluidos expresamente descritos en este documento al Afiliado. Usted comprende y reconoce que usted es 100% responsable por los costos de i) cualquier servicio de atención en salud que usted reciba de un proveedor diferente a aquellos asignados por Sanitas, (ii) cualquier servicio de atención en salud prestado a usted por cualquier proveedor de Sanitas que no esté expresamente incluido en los Servicios Incluidos (“Servicios Excluidos”). Algunos ejemplos de los Servicios Excluidos incluyen, pero no están limitados a, dispositivos médicos, sustancias inyectables y vacunas.
3. No se solicitarán Reclamaciones a las Aseguradoras
Como Afiliado, Usted no podrá presentar reclamación alguna a ninguna compañía aseguradora de salud con relación a cualquiera de los Servicios Incluidos.

4. Aceptación: No Membresia a Medicare
Usted declara específicamente que no se encuentra afiliado a Medicare, que no presentará ninguna reclamación a Medicare con relación a ninguno de los Servicios Incluidos y que comprende que los beneficiarios de Medicare no son elegibles para la Membresia en el Programa DPC o para recibir los servicios del Programa DPC.
5. Cuotas de Membresia
Además del valor de la inscripción única de 40 dólares, Usted acepta pagar una cuota mensual (colectivamente, las "Cuotas de Membresia") de la siguiente manera:
Afiliados de 18 años o menos: $30
Afiliados entre 19 y 54 años: $40

6. Plazo

7. Terminación

Del mismo modo, Sanitas puede dar por terminada su

Membresia al Programa DPC mediante una notificación escrita con 30 días de anticipación (por ejemplo, si Usted falta a las citas sin dar previo aviso). Si Usted termina su Membresia al Programa DPC antes del vencimiento de cualquier Plazo Anual, le devolveremos la parte no utilizada de sus Cuotas de Membresia, si las hubiera, sobre una base diaria.
8. Información de Salud Protegida
Sanitas valora su privacidad y la seguridad de su información médica. Sanitas comparte su información médica según lo permitido por HIPAA y lo hace únicamente con las partes necesarias para asegurar que usted reciba la mejor atención posible. Para saber más sobre cómo se puede compartir su información médica, el Aviso de Prácticas de Privacidad de Sanitas está disponible en: https://www.mysanitas.com/en/legal/notice-privacy-practices. 9. Comunicaciones
El uso de correo electrónico, fax, videochat, llamadas telefónicas, mensajes de texto y otras formas de comunicación electrónica no pueden garantizarse absolutamente como métodos de comunicación seguros o confidenciales. Al inscribirse como Afiliado, Usted autoriza el uso de cualquier medio de comunicación con Usted en relación con la información protegida sobre Su salud, y libera a Sanitas de su obligación de garantizar la confidencialidad con respecto a la misma. Usted también reconoce que dichas comunicaciones pueden formar parte de Su historial médico.
10. Cambios al acuerdo
Podemos cambiar periódicamente los términos de este Acuerdo para cumplir con las leyes aplicables (que cambian de vez en cuando) y / o para garantizar la viabilidad del Programa DPC para que los valiosos servicios continúen estando disponibles para Usted. Si consideramos que es necesario realizar cambios en este Acuerdo, como ajustes en los Servicios incluidos y / o Tarifas de membresía, le proporcionaremos un aviso por escrito al menos 60 días antes de la fecha de vigencia de cualquier cambio material. Si no está de acuerdo con los cambios, tiene derecho a cancelar su Membresía en cualquier momento mediante un aviso con 30 días de anticipación de conformidad con la Sección 7.
11. Varios
El proveedor que incumpla el presente Acuerdo podrá ser responsable por los daños y perjuicios y estar sujeto a las medidas disciplinarias de la junta de licencias correspondiente. Si

cualquier término o condición de este Acuerdo o de Su Membresia en el Programa DPC es considerado como inválido, nulo o no exigible por un tribunal de jurisdicción competente, las disposiciones restantes permanecerán en plena vigencia y efecto y de ninguna manera se verán afectadas, mensocabadas o invalidadas. Al firmar electrónicamente este Contrato, Usted acepta convertirse en Afiliado de conformidad con todos los términos de este Contrato.
