International Funds Net and International Regulatory Net
Our International Funds Net (IFN) and International Regulatory Net (RegNet) services can provide you with solutions for global fund distribution and regulatory projects.
IFN provides a coordinated service that enables you to understand key issues in each country where your funds are sold and to comply with the relevant regulatory obligations, from passporting to rules on private placement. This service also coordinates review of financial promotions and arrangements with service providers (such as distributors and paying agents). Our RegNet service provides a clear and managed process for coordinating regulatory advice and filings across multiple jurisdictions to ensure regulatory compliance.
Hedge fund formation
Launching a new fund is a complicated project – a wide variety of options need to be weighed, depending on the strategy, the types of investor expected and the changing regulatory environment. We advise on the structuring (or restructuring) and launch of hedge funds in jurisdictions across the world including feeder and parallel funds. We act for investors reviewing fund documentation and on fund financing arrangements.
We are trusted advisors delivering more than legal advice. We co-ordinate with and can make introductions to a wide network of professionals including prime brokers, fund directors, administrators, banks and depositaries.
Regulatory
We advise investment managers and advisers operating across a broad spectrum of asset classes on all aspects of compliance including the Alternative Investment Fund Managers Directive, US Investment Adviser Act, US Commodities Exchange Act and US securities laws generally, AML obligations, passporting and marketing requirements. We also advise on Brexit-related challenges facing asset managers. We can assist you with meeting the requirements of regulators in jurisdictions across the globe.
Derivatives
Our Derivatives team covers over 30 jurisdictions, providing advice to leading financial institutions, funds and broker-dealers. We understand both the economics aspects and how transactions can affect risk management and investment objectives.

Tax
Our Funds Tax practice advises on a wide range of tax issues for the asset management industry in the UK, Luxembourg, Ireland, the Channel Islands, Hong Kong, the Cayman Islands and the United States. We provide innovative solutions for asset managers and their investment products, covering all types of fund structures.
The Eversheds Sutherland Asset Management and Regulatory practice is truly global. With funds lawyers in London, Luxembourg, Hong Kong, Dublin and the United States, we have a broad insight into global regulatory trends and issues, as well as being able to provide dedicated and focused support to our clients.
Our Luxembourg office focuses on investment funds related clients. Recent developments in Luxembourg – including the introduction of the special limited partnership (société en commandite spéciale), the reserved alternative investment fund (RAIF) and the modernisation of Luxembourg corporate law – have contributed to maintaining Luxembourg’s position as the leading European jurisdiction for investment funds. We regularly advise institutional clients, including fund managers, investment funds, institutional investors and service providers.
In the United States, our Asset Management team represents institutional investors investing into alternative investment funds, as well as private equity sponsors and asset managers, in the establishment and formation of both closed-end and open ended funds as well as the establishment of broader investment advisory and broker dealer platforms. It is supported with strong Tax, ERISA and Regulatory Compliance practices with deep experience in the private investment funds space.
In Ireland our Asset Management team works with large global service providers, asset managers and a varied and complex boutique client base. We can advise on all aspects of fund establishment, authorisation and post-authorisation processes as well as on novel product solutions. We can help with Brexit planning, Shariah financing, regulatory obligations and fund structures.
