The Regular Meeting of The Southeast Morris County Municipal Utilities Authority (the

"Authority") was held on Thursday, January 24, 2019, at 7:00 PM prevailing time in the Board Room at the offices of the Authority at 19 Saddle Road, Cedar Knolls, New Jersey.

The Chairman called the meeting to order at 7:00 PM and read the attached statement of Public Notice (Sunshine Law) and caused same to be entered into the minutes of the meeting.

A. Resolution Amending Professional Service Contract with Aquarius Engineering for Safe Drinking Water Act Compliance and Related Matters

The Authority has a need for professional engineering services in connection with Safe Drinking Water Act Compliance and Related Matters. Aquarius Engineering, L.L.C. ("Aquarius") agreed to provide such services at a maximum amount of $17,500 where a contract was authorized without public bidding as a professional service pursuant to the provisions of the Local Public Contracts Law (N.J.S.A. 40A:11-1 et. seq.). The Authority entered into a professional service contract with Aquarius dated July 20, 2018. The parties have agreed to increase the total maximum not-to­exceed amount of the Agreement by $25,000 to cover additional services needed. Aquarius has completed and submitted Business Entity Disclosure Certifications which certify that they have not made any reportable contributions to any political or candidate committee in the Township of Hanover, Borough of Morris Plains, Town of Morristown and the Township of Morris in the previous one year, and that the contract will prohibit them from making any reportable contributions through the term of the contract. Member Dougherty offered the following resolution:

The Authority awarded a professional service contract to CDM Smith ("Engineer") on August 24, 2017 for engineering services in connection with the design of groundwater facilities chemical

feed systems, chlorine contact improvements and related matters (the "Agreement"). The maximum cost to the Authority authorized under the Agreement was $299,600. Additional services were authorized on June 21, 2018 which resulted in a corresponding increase in the total amount payable under the Agreement by $73,330.00 from $299,600.00 to $372,930.00. The Engineer provided a supplemental proposal dated January 23, 2019 (the "Additional Supplemental Proposal"), for needed scope revisions at an additional cost to the Authority not to exceed $130,014.00 as more particularly set forth in the Additional Supplemental Proposal. Additional services are needed which will result in a corresponding increase in the total amount payable under the Agreement by $130,014.00 from $372,930.00 to $502,944.00. The Authority has determined that the additional services to be performed are necessary and reasonable; and will benefit the Water System. The Local Public Contracts Law (N.J.S.A. 40A:11-1 et seq.) requires that notice of the awarding of professional service contracts be printed once in a newspaper authorized by law to publish the Authority's legal advertisements. The Engineer has previously complied with the provision of the New Jersey Pay to Play Law with respect to contract; that can be awarded without public bidding or a "fair and open" process. Member Baldassari offered the following resolution:

The Board reviewed a memorandum from the Chief Financial Officer dated January 18, 2019, requesting authorization to purchase certain items from authorized vendors under the Morris County Cooperative Pricing Council (MCCPC) during the 2019 budget year. The purchases of goods and services by local contracting units through the County agency without advertising is authorized under Section 12 of the Local Public Contracts Law, N.J.S.A. 40A:11-12. The vendors listed in the memorandum have been awarded MCCPC contracts. Mr. Weiss stated that the Treasurer has certified that there are sufficient funds available in the 2019 Budget for these contracts. Member Doherty offered the following resolution:

The Board reviewed a memorandum from the Chief Financial Officer dated January 21, 2019, requesting authorization to purchase certain items from an authorized vendor under the State of New Jersey Cooperative Purchasing Program 1-NJCP during the 2019 budget year. The purchases of goods and services by local contracting units through the State agency without advertising is authorized under Section 12 of the Local Public Contracts Law, N.J.S.A. 40A:ll-12. The vendor listed in the memorandum had been awarded a New Jersey State Contract by the Division of Purchase and Property in the Department of Treasury. Mr. Weiss stated that the Treasurer has certified that there are sufficient funds available in the 2019 Budget for this contract. Member Baldassari offered the following resolution:

E. Resolution Authorizing the Transfer of Funds between 2018 Budget Appropriations

The Board reviewed a memorandum from the Chief Financial Officer dated January 21, 2019, where he advised that certain funds exist in 2018 Operating Budget line items which will be remaining at year end and that there are certain budget line items in the 2018 Operating Budget

The Chief Financial Officer requested that such balances, totaling $50,000.00, be transferred from the various budget line items with funds remaining to those requiring additional funds to balance. Member Dougherty questioned the high number of fund transfer resolutions. Member Baldassari responded that the Board did not historically authorize budget transfers. He added that it was the recommendation of the Authority's Auditors to obtain Board approval. Member Baldassari offered the following resolution:

The Chief Financial Officer requested that such balances, totaling $48,360.00, be transferred from the various budget line items with funds remaining to those requiring additional funds to balance. Per recommendation by the Authority's Auditors, authorization and Board approval was sought for budget transfers among its internal appropriation line items to cover actual expenditures. Member Dougherty offered the following resolution:

H. Update on the 2018 Water System Improvement Project

Jeff Elam, Chief Engineer, updated the Board on the progress of the 2018 Water System Improvement Project currently underway. He recalled that the contractor performing the work is Reivax Contracting. Mr. Elam reported that, to date, the project is approximately 25% complete. He added that the long-range weather forecast through the end of January appears favorable and he is hopeful that work can continue.

Member Iannaccone asked if the Authority has an employee overseeing the work. Mr. Elam replied that the Authority's Engineering Services Supervisor has been on site while the work is being performed.

I. Update on Hydrant Maintenance and 2018 Main and Related Appurtenance Failure Data

Kenneth Crawford, Superintendent, reported that, in 2018, the Authority experienced 85 leaks; 66 of which were water main breaks. He stated that 51% of the main breaks were attributed to temperature change. The failures relate to the differences in thermal expansion between water and the cast iron. Mr. Crawford stated that the most vulnerable cast iron pipe was installed between 1950 and 1975. He added that the Authority would focus on replacing those 1950-1975 6" and 8" diameter pipes when planning future water system improvements. Mr. Crawford continued that 24% ofthe main breaks were attributed to material fatigue which was contributed to by high operation pressure. He stated that staff are currently looking for locations to put pressure regulators in an effort to bring the pressure down thereby reducing this type of failure. Lastly, 13% of the main breaks were attributed to corrosion. Ms. Cummings added that Mr. Crawford catalogs every water main break based on size, type of break, etc., which aids the Authority in diagnosing the cause of the failure.

Mr. Crawford reported that SMCMUA staff have completed fire hydrant inspections within the entire system with the exception of approximately 20 in high traffic areas which will be scheduled during times of less traffic. He stated that staff have declared sixty hydrants to be out of service. Mr. Crawford added that staff were able to bring thirty-five hydrants back into service and that staff have done a lot of work on hydrant maintenance itself.

J. Update on 2018 Lead and Copper Rule and Total Trihalomethane (TTHM) Rule Compliance

Drew Saskowitz, Water Quality Superintendent, reported on the current TTHM compliance issue. He recalled the Authority had previously exceeded the maximum contaminant level of 80 parts per billion (ppb) for TTHM. Mr. Saskowitz reported that the recent water sample collected from the Convent Station Post Office was tested with a result of 9.4 ppb. He added that the recent test result brought the Locational Running Annual Average (LRAA) for TTHM down to 63 ppb. However, in accordance with the New Jersey Department of Environmental Protection, the Authority must have test results with the LRAA below the MCL for two consecutive quarters to regain full compliance with the rule. Mr. Saskowitz stated that, based on historical data, staff did not foresee an issue with regaining compliance following the next sample event.

Mr. Saskowitz then updated the Board on the Authority's compliance with the Lead and Copper Rule. He recalled that the NJDEP required standard monitoring for lead and copper in 2017. He explained that the Authority had previously tested for lead and copper on a reduced monitoring schedule of 30 samples over three years where standard monitoring required that 60 samples be tested biannually. Mr. Saskowitz reported that the results for both monitoring periods in 2017 were below the action limit for lead and copper. As a result, the Authority could retu,rn to the reduced monitoring schedule in 2018. Mr. Saskowitz reported that the results from 2018 were below the maximum level of 15 ppb, at 3.8 ppb. He added that the maximum level for copper was 1,300 ppb where the Authority's results were 1,020 ppb. Member Dougherty asked if the 1,020 ppb for copper was considered to be high. Mr. Saskowitz responded that 1,020 ppb is

elevated and a contributing factor to the Authority implementing adding corrosion control at all points of entry in order to lower the concentration.

K. Discussion - Reorganization Meeting Agenda

Mr. Weiss went through the draft agenda for the Annual Reorganization Meeting of the Authority scheduled for February 1, 2019. Mr. Weiss added that a reception at H20cean Restaurant would immediately follow the meeting.

RESOLUTION AMENDING PROFESSIONAL SERVICE CONTRACT WITH AQUARIUS ENGINEERING FOR SAFE DRINKING WATER ACT COMPLIANCE AND RELATED MATIERS

WHEREAS, the Authority has a need for professional engineering services in connection with Safe Drinking Water Act Compliance and Related Matters; and

WHEREAS, Aquarius Engineering, L.L.C. ("Aquarius") agreed to provide such services at a maximum amount of $17,500; and

WHEREAS, a contract was authorized without public bidding as a professional service pursuant to the provisions of the Local Public Contracts Law (N.J.S.A. 40A:11-1 et. seq.); and

WHEREAS, the Authority entered into a professional service contract with Aquarius dated July 20, 2018 (the "Agreement"); and

WHEREAS, the parties have agreed to increase the total maximum not-to-exceed amount of the Agreement by $25,000 to cover additional services needed; and

WHEREAS, Aquarius has completed and submitted Business Entity Disclosure Certifications which certify that they have not made any reportable contributions to any political or candidate committee in the Township of Hanover, Borough of Morris Plains, Town of Morristown and the Township of Morris in the previous one year, and that the contract will prohibit them from making any reportable contributions through the term of the contract; and

WHEREAS, the Treasurer has determined and certified in writing that the value of the Contract will exceed $17,500; and

WHEREAS, funds are available and have been certified by the Treasurer of the Authority; and

NOW THEREFORE, BE IT RESOLVED, by The Southeast Morris County Municipal Utilities Authority as follows:

RESOLUTION AUTHORIZING ADDITIONAL AMENDMENT OF PROFESSIONAL SERVICE CONTRACT WITH CDM SMITH FOR ENGINEERING SERVICES IN CONNECTION WITH THE DESIGN OF GROUNDWATER FACILITIES CHEMICAL FEED SYSTEMS,

CHLORINE CONTACT IMPROVEMENTS AND RELATED MATTERS

WHEREAS, the Authority awarded a professional service contract to CDM Smith ("Engineer") on August 24, 2017 for engineering services in connection with the design of groundwater facilities chemical feed systems, chlorine contact improvements and related matters (the "Agreement"); and

WHEREAS, the maximum cost to the Authority authorized under the Agreement was $299,600; and

WHEREAS, additional services were authorized on June 21, 2018 which resulted in a corresponding increase in the total amount payable under the Agreement by $73,330.00 from $299,600.00 to $372,930.00; and

WHEREAS, the Engineer provided a supplemental proposa l dated January 23, 2019 (the "Additional Supplemental Proposal"), for needed scope revisions at an additional cost to the Authority not to exceed $130,014.00 as more particularly set forth in the Additional Supplemental Proposal; and

WHEREAS, additional services are needed will result in a corresponding increase in the total amount payable under the Agreement by $130,014.00 from $372,930.00 to $502,944.00; and

WHEREAS, the Authority has determined that the additional services to be performed are necessary and reasonable; and will benefit the Water System; and

WHEREAS, the Local Public Contracts Law (N.J.S.A. 40A:11-1 et seq.) requires that notice of the awarding of professional service contracts be printed once in a newspaper authorized by law to publish the Authority's legal advertisements; and

WHEREAS, the Engineer has previously complied with the provision of the New Jersey Pay to Play Law with respect to contracts that can be awarded without public bidding or a "fair and open" process; and

WHEREAS, funds are available and have been certified by the Treasurer;

NOW THEREFORE, BE IT RESOLVED by The Southeast Morris County Municipal Utilities Authority as follows:

1. The proposed amendment to the Professional Service Contract between the Authority and COM Smith as set forth in the Additional Supplemental Proposal dated January 21, 2019 be and the same is hereby approved and accepted; and

Resolution No. 07-19

RESOLUTION AUTHORIZING THE TRANSFER OF FUNDS BETWEEN 2018 OPERATING BUDGET APPROPRIATIONS

WHEREAS, the Authority's Chief Financial Officer/Treasurer has advised that there are certain

budget line items in the 2018 budget that require additional funding; and

WHEREAS, the Chief Financial Officer/Treasurer has requested that such balances be transferred from the various budget line items with balances to those requiring additiona l funds to balance; and

WHEREAS, it appears that such transfers are in the best interest of the Authority and the Water System;

NOW THEREFORE, BE IT RESOLVED by The Southeast Morris County Municipal Utilities Authority that the following transfers within the 2018 Operating Budget totaling $50,000.00 are hereby approved:
