Summary of AmendmentsThe amendments enhance custody requirements for certain reg-istered firms, clarify activities that may be conducted by exemptmarket dealers, incorporate previously granted relief from cer-tain Client Relationship Model Phase 2 requirements and pro-vide for certain changes of a housekeeping nature. Theseamendments address potential intermediary risks when certainregistered firms are involved in the custody of client assets, en-hance the protection of client assets and codify existing custo-dial best practices.

The exempt market dealer amendments clarify the activitiesthat may be conducted under this category of registration relat-ing to trades in prospectus-qualified securities. These changesalso expand an existing exemption from the dealer registrationrequirement, allowing registered advisers to trade in the securi-ties of investment funds provided that the adviser, or an affiliate,manages the investment fund and certain other conditions aremet.
