IntroductionOn September 20, 2010, the New Brunswick Securities Com-mission (Commission) approved publication in order to obtaincomments on the Proposed Amendments.

Summary of Proposed AmendmentsOn September 28, 2009, NI 31-103 came into force, providinga new registration regime in Canada, including a new registra-tion category for investment fund managers. NI 31-103 cur-rently provides transition exemptions for certain investmentfund managers. Specifically, sections 16.5 and 16.6 providetransition exemptions for non-resident investment fund manag-ers, so that registration is not required in any province or terri-tory until September 28, 2011.

The Proposed Amendments clarify the circumstances where aninternational investment fund manager will need to register andin what additional provinces and territories a domestic invest-ment fund manager with a head office in Canada will need toregister.

The Proposed Amendments include six specific areas of inter-est:

• Scope of the investment fund manager category;

• Registration of non-resident investment fund manager;

• Active solicitation;• Proposed exemptions;• Notice to clients by non-resident investment fund man-

ager; and• Passport system.

Résumé des modifications proposéesEntrée en vigueur le 28 septembre 2009, la règle a instauré unnouveau régime d’inscription pancanadien, notamment unenouvelle catégorie d’inscription pour les gestionnaires de fondsd’investissement. Elle prévoit des dispenses temporaires pourcertains gestionnaires de fonds d’investissement.
