the CSA recognizes that it is the jurisdiction where the issuershead office is located that is best situated physically to regulatethat issuer.For the most part, issuers become reporting issuers throughfiling a prospectus. Usually a prospectus filed in multiple juris-dictions will also be filed in the home jurisdiction, but there isno requirement that the issuer do so. In those cases, the report-ing issuers principal regulator will be, by necessity, that juris-diction where the issuer has another significant connection, forexample, number of shareholders, exchange listing, etc.

A reporting issuer may also transfer its head office to NewBrunswick by either simply moving, or amalgamating or merg-ing with an issuer that already has a head office in NewBrunswick. LR 12-501 recognizes the CSAs philosophy of mutual relianceprinciples with primary regulation being conducted by the juris-diction in which the head office or where the issuers mind andmanagement is located. The Commission has also supportedthis principle with the repeal of the TSX and TSX-V recognitionorder, permitting only those issuers that did not have a head of-fice in New Brunswick to cease to be a reporting issuer.

No other jurisdiction has such a rule in place, principally be-cause in the larger jurisdictions, such issuers would automati-cally become a reporting issuer with listing on an exchange inthe jurisdiction.

Summary of RuleNI 81-107 imposes a minimum, consistent standard of gover-nance for publicly offered investment funds. Currently, there isno requirement that an investment fund have a governancebody. Under NI 81-107, every investment fund that is a report-ing issuer must have an IRC to oversee all conflict of interestmatters not just those subject to prohibitions or restrictions insecurities legislation - faced by the fund manager in the opera-tion of the investment fund.

NI 81-107 enhances investor protection, by ensuring that the in-terests of the investment fund (and ultimately, investors) are atthe forefront when a fund manager is faced with a conflict of in-terest, and by improving a fund managers decision-makingprocess in such situations through an upfront check on how theconflict of interest is resolved.

NI 81-107 is expected to contribute to more efficient Canadiancapital markets, by permitting fund managers to engage in cer-

NI 81-107 sets out the structure and functions of the IRC, aswell as the obligations of the fund manager when faced with aconflict of interest. Prospectus disclosure and certain reportingobligations relating to the IRC are set out in NI 81-107 and inthe consequential amendments that accompany it.

NI 81-107 strikes the proper balance between management andoversight. It still ensures that ultimate responsibility and ac-countability for the investment fund remains with the fundmanager.

Effective DateNI 81-107 and the consequential amendments come into forceon November 1, 2006.
