Registration Requirements, Exemptions and Ongoing Registrant Obligations

1. National Instrument 31-103 Registration Requirements, Exemptions and

Ongoing Registrant Obligations is amended by this Instrument.

2. Section 1.2 is amended by deleting “Alberta,”.

3. Section 1.2 is amended by renumbering it as subsection 1.2(1) and by adding

the following subsection:

(2) In Alberta, a reference to “securities” in this Instrument includes “derivatives”, unless the context otherwise requires..

4. Section 8.2 is amended by deleting “Alberta,”.

5. Section 8.2 is amended by renumbering it as subsection 8.2(1) and by adding

the following subsection:

(2) Despite section 1.2, in Alberta a reference to “securities” in this Division excludes derivatives which are traded on an exchange pursuant to standardized terms determined by the exchange and cleared by a clearing agency..

6. Section 8.20 is amended

(a) in subsection (1) by deleting “Alberta,”,

(b) by adding the following subsection:

(1.1) In Alberta, the dealer registration requirement does not apply in respect of the following trades in a derivative on an exchange pursuant to standardized terms determined by the exchange and cleared by a clearing agency:

(b) subject to subsection (2), a trade resulting from an unsolicited order placed with an individual who is not a resident of, and does not carry on business in, the local jurisdiction., and

(c) in subsection (2) by replacing “subsection (1)(b)” with “subsections (1)(b) and (1.1)(b)”.

7. Section 8.26(1) is amended by deleting “Alberta,”.

8. Section 8.26 is amended by adding the following subsection:

Service Alberta

Approval of Amendments to Purchaser’s Protection Program under the Condominium Property Act

The Condominium Property Regulation requires the Minister’s approval of any significant changes to a Purchaser’s Protection Program (Program) and a notice of the approval by the Minister before the changes can be incorporated into a Program.

Aviva Insurance Company of Canada requested approval of changes to its Program, as a consequence of new requirements for deposit protection insurance under the Insurance Act.

Aviva Insurance Company of Canada’s Program indemnifies the purchaser of a condominium unit against loss of any portion of his or her deposit money that is released from trust, where that loss is incurred as a result of the developer’s failure to complete construction of the unit or related common property, or both. Where a developer is enrolled in a Program, purchasers must receive a certificate containing information specified in the Regulation about the Program, in accordance with section 69 of the Condominium Property Regulation.

The Minister of Service Alberta, Stephen Khan, approved the changes to Aviva Insurance Company of Canada’s Program on September 30, 2014.

Reserve bid values will be available 30 days prior to Auction from the City Revenue & Assessment Services department. Purchaser will acquire the property free of encumbrances, subject to those exceptions listed in sections 423 and 436.14 of the Municipal Government Act.

The properties will be sold strictly on an “as is, where is” basis. The City of Red Deer makes no representation and gives no warranty as to the adequacy of services, soil conditions, land use districting, building and development conditions, absence or presence of environmental contamination, or the developability of the subject property for any intended use by the Purchaser. If the Land is occupied by a tenant in possession under a lease or rental agreement, the obligation and expense of obtaining vacant possession shall be the Purchasers’.

Only cash sales will be accepted or sales requiring loan funding which does not involve encumbering of the purchased lands and provides for closing funds upon the required closing date in the same manner as a cash sale. Vendor financing or financing using third party mortgages or encumbrances upon the purchased lands, or other similar financing arrangements, cannot be accommodated.

Purchase price payable by non-refundable deposit equal to 10% of purchase price due on Auction Date, with the balance of the purchase price due on closing. Payments by cash, bank draft or certified cheque only. Closing date for all sales will be 60 days after Auction Date, unless otherwise agreed to by the City. Successful bidder agrees to be bound by the Terms and Conditions of the City’s Standard Tax Sales Agreement, a copy of which will be included in Bidder’s Packages on Auction Date and can be obtained 30 days prior to Auction Date from Revenue & Assessment Services. Purchase price includes all taxes, rates, fees and charges accrued to Closing Date. Purchaser responsible for payment of all taxes, rates, charges, and fees for the property, after Closing Date.

The City of Red Deer may become the owner of any property not sold at the Auction.

In the event that payment of the arrears of taxes and costs is received by The City prior to the Public Auction, the property in question will not be offered for sale. There is no right to pay tax arrears after the property is declared sold.
