NOTICE INVITING TENDERFOR

Tender for appointment of Chartered Accountant’s firm for conducting concurrent audit under BIFRapproved scheme at Nepa Ltd, Nepanagar.

Nepa Limited is a CPSU engaged in manufacture and selling of Newsprint under the administrativecontrol of Ministry of Heavy industry and Public Enterprises, DPE. Recently GoI has approvedCompany’s Revival Plan which includes New Projects and to manufacture WPP (Writing & PrintingPaper). More details about the Company are available on Co’s web-site www.nepamills.co.in.

The details of Scope of Work, Deliverables, Eligibility, Terms and Conditions have been outlined inthe tender document. Interested CA Firm may submit sealed tender for the said position givingdetails about their qualification, work-experience etc. along with EMD in the form of DemandDraft for Rs. 5000/- (Rupees Five Thousand only) in favour of NEPA LIMITED payable at S.B.I / B.o.I, Nepanagar-450221 (MP) on or before 05/01/2015 to Dy. General Manager (Finance), NEPALIMITED, Nepanagar. Interested CA Firm on their own, if desirous can meet Dy. Firm to Whom Company is looking for:

Qualification: CA Firm

Experience: The CA Firm minimum with five partners should be a qualified Chartered Accountantwith a minimum of 10 years post qualification experience in a large professionally managedorganization of repute, preferably in Paper manufacturing sector and capable of handlingConcurrent Audit independently.

Job Knowledge : The CA Firm should have sound knowledge of Finance, Project Finance, HandlingRevival plan, Costing, Plant/Project Accounting, Management Accounting, Budgetary Control, MIS,Taxation, Corporate Finance, Export & Import Finance , Material Management, logistics, Storesidentification, Assets verification etc with good analytical skills and exposure in areas of Cost Controland Performance Monitoring.The CA Firm should have Good Computer literacy i.e. Knowledge of MS Word, Excel and familiarwith Project Management.

Scope of Work:

To progress of implementation of the revival scheme (all aspects of cost of scheme / means offinance of the revival scheme) vis-a-vis original schedule approved by BIFR for revival of the mill atNepanagar, M.P as follows:-

i) Cost of the project: Amount to be incurred as per revival scheme approved by BIFR vis-a-visamount incurred by Nepa Ltd. specific proposals for financing the gap on account ofanticipated cost over – run if any.

ii) Financing plan: Means of finance vis-à-vis original schedule approved by BIFR.iii) Time frame for completion of the scheme / incurring expenditure as per sanctioned scheme.

Financial shortfall arising out for delayed implementation of schedule or for any other reasonfor the revival of mill shall be reported.

iv) Status of assistance and / or relief / concessions received from state Govt. / State Govt.Agencies / Central Govt / CBDT / ESIC / PF commissioner etc against approval by BIFR in therevival scheme.

v) Status of compliance of terms and conditions stipulated in the scheme.vi) Progress of operation as compared to projected in scheme (actual working result vis-à-vis

projected working result)vii) Financial position, Cash flow & Balance Sheet as compared to projection.viii) Position of dues / overdue as at the end of the period (if any) with the specific proposal for

clearance based on definite time frame.a. Overdue position (if any)b. Working capital positionc. Government duesd. Labour duese. Statutory dues (PF, ESI etc)

ix) Any other matter related to the company

To indicate in specific terms the factors which have hindered / aided the progress ofimplementation of the scheme sanctioned by BIFR, successfully and incase of slippage, specificefforts / steps being taken / contemplated by the management to overcome the problems to ensureadherence to the sanctioned scheme.

1) The applicant shall furnish the documents establishing the eligibility i.e. having theabove mentioned back ground and past credential to perform the contract. Thedocumentary evidence of the applicant’s eligibility should satisfy Nepa Ltd forempanelment as well as engagement on contractual terms.

2) The applicant shall bear all cost associated with preparation and submission forempanelment and Nepa Ltd will no case be responsible or liable for those cost,regardless of the conduct or outcome of this process.

Terms and conditions:

Sealed tenders are invited under Two-Bid system from CA Firm having capacity to conductConcurrent Audit of Nepa Limited till the completion of RMDP (Revival & Mill Development Plan).

1. Last date for submission / receipt of Tender / Bid is 05.01.2015 at 3.00 PM and will beopened by the Tender Committee in the presence of attending bidder or their authorizedrepresentatives (who wish to be present on the same day at 4.00 PM in the Conference Hallat Administrative Building of the Company.

Appointment / Engagement will be till the completion of RMDP (Revival and MillDevelopment)

The contract can be terminated at any time by giving one month notice from eitherside during contract period (i.e. till the completion of RMDP)

Bidder should submit copies of required documents duly self – attested, along withtechnical bid of the tender.

2. Each bidder shall submit only one tender by CA firm. If a bidder or if any of the partners ofthe Firm participate in more than one bid, the bids are liable to be rejected.

3. The bidder shall deposit Bid Security (Earnest Money Deposit) for an amount of Rs. 5000/- inthe form of DD in favour of Nepa Limited, payable at SBI / BoI, Nepanagar, 450221, M.P to beenclosed with Technical Bid.Similarly the bidder shall deposit Rs. 500/- towards cost of tender document by way of DD infavour of Nepa Ltd payable at SBI / BoI, Nepanagar to be enclosed with Technical Bid.

4. The Bid Security (EMD) will remain valid for a period of 90 days. Bid Security of unsuccessfulbidders will be returned to them at the earliest / after 30th day after the award of thecontract (i.e. till the period of RMDP)

5. The bidder shall submit the Technical Bid (as per Annexure – I) in a separate sealed coverduly super-scribed and the Price Bid (as per Annexure – II) in another sealed cover dulysuper-scribed and all these two sealed covers are to be put In a separate bigger cover whichalso be sealed and duly super-scribed.

6. The bidder must attach / enclose copy of the following documents self attested along withPart – I Bid.

Two recent passport size photographs of the applicant or the authorized CA / CA Firmapplying for the bid.

Name, Address, Telephone Nos, E-mail Ids etc. PAN No Service Tax Registration No. Valid Registration No. of the CA / CA Firms.

7. Opening of Bid: The representative of the Company will open Part – I the “Technical Bids” in the presence of

the Bidders or of their representatives who choose to attend at the specified / appointedplace and time.

The bidder who has not complied with any of the conditions prescribed in the terms andconditions will be rejected.

Conditional bids will also be rejected. Part - II Bid i.e. Price Bid shall be opened for only those bidders who shall qualify in Part- I Bid

i.e. Technical Bid. The evaluation of Part- I Bid shall be done by Nepa Limited which shall befinal and binding to all participating bidders.

8. Right to accept any Bid and to reject any or all Bids:

Nepa Limited, the Company is not bound to accept the lowest or any bid and may at anytime by notice in writing to the bidders terminate the tendering process.

Nepa Limited, the Company may terminate the Contract if it is found that the CA Firm isblack listed.

9. Award of Contract: Nepa Limited / The Company will award the contract to the successful bidder whose bid has

been found to be responsive and who is eligible and qualified to perform the jobssatisfactorily as per the terms and conditions incorporated in the tender document.

The Company will communicate the successful bidder by letter through registered post. The successful bidder will be required to submit an undertaking with the Company within a

period of 7 days from the date of issue of letter of appointment / engagement as perAnnexure – III.

10. Period of Contract

The contract period will be from the date of award of contract till completion of theProject of RMDP

11. Payment Terms

Payment shall be released on submission and acceptance of Quarterly Report of ConcurrentAudit against bill.

12. Force Majeure:

If at any time during the currency of the contract, either party is subject to for majeure,which can be termed as civil disturbance, riots, strikes, tempest, acts of God etc. whichmay prevent either party to discharge his obligation, the affected party shall promptlynotify the other party about the happening of such an event. Neither party shallby reason of such event be entitled to terminate the contract in respect of suchperformance of their obligations.

13. The rate quoted in the price bid will remain firm & fixed till the contract period.

14. Accommodation:

The Company shall not be responsible for providing residential accommodation to any ofthe CA Firm. However, Company may provide accommodation on rent basis subject toavailability.

15. Dispute resolution:

Any dispute and difference arising out of or relating to this job shall be resolved through jointdiscussion. However, if the disputes are not resolved by joint discussion, then the mattershall be referred for adjudication to a sole arbitrator appointed by CMD, Nepa Limited (theCompany)

The cost of arbitration shall be borne by the respective parties in equal proportions.

16. Jurisdiction of Court:

The District Court at Burhanpur shall have the exclusive jurisdiction to try all disputes, ifany, arising out of this Contract between the CA Firms.
