Disposal object : Organizations and individuals have the financial
capacity, long-term commitment with company.
Disposal price :equivalent par value
Maturity : 18 months
Coupon : 16% per year. Investors will only receive the coupon on the
bonds which do not convert until maturity date.

Conversion Rights 70% at the first year and 30% at maturity. Conversion rights belongs
to investors. The investors who do not convert will be paid par value
of bond in cash.
Anti – dilution Clause Diluted by:
- Issue to existing shareholders, officers and employees, strategic partners
with price below the conversion price.
- Pay dividend in cash
- Profit after tax commitment
Profit after tax
Commitment
The Company commit that consolidated profit after tax is at least 19 billion
from issuance to maturity. In case the company does not make that
commitment, conversion price will be adjusted.
Other commitment - Listing the latest 6 / 2012
- Offering priority to bondholder in case of separate issues
- If bondholder resell convertible bond, priority will be sold to Board of
Directors at market price.
