Case 24-7: Will Merging Help? For the last 17 years, Bill had owned and managed GDN Doors. The company focused exclusively on commercial and industrial projects. The company was comfortable with multi-door installation and service work, and with complicated industrial installations -- rolling steel doors, bifold airport doors, rolling steel doors and dock levelers. The company had done well because it remained focused. Bill refused to bid on residential work, and avoided retail installations. Simple commercial installations were a low priority. GDN Doors became known as a company focused on quality. Yesterday, Bill was approached by the owner of another local installation company. The company was one that Bill respected. The company was 40 years old, and focused on residential renovation work. Most of the company’s work was high end. It did some new installations, but only for small builders. The owner of this residential door company was approaching retirement and was considering his options. He liked how Bill managed GDN Doors, and proposed merging the companies, with Bill becoming the majority owner and General Manager. His logic was simple. The two companies had similar strategies, but in different segments of the door market. Surely there would be some synergies available in merging the two organizations. Bill was caught off guard but intrigued by the recommendation. He had no idea how to proceed. He did not know how to value each of the two companies or the combined organization. What should Bill do to better understand the potential of the offer?

This case combines three major business issues. First, it asks Bill to think about competitive market positioning. Second, it asks Bill to think about the compatability of two organizations. Finally it brings up the issue of company value. Bill has been presented with a possible merger based on the lack of overlap between the two companies’ markets and the similarity on positioning within the two market segments. Bill needs to evaluate both of these statements carefully. The lack of overlap is likely an asset in a merger because it speaks to true market gain – when direct competitors merge, they often experience some overall decline in sales. But that focus on different market segments may mean there are points of difference between the two organizations. Residential companies are different from industrial service companies. The technical and scheduling needs are different. The trucks are different. This is an issue that Bill needs to seriously consider. But that only deals with compatibility of market position. Compatibility of management styles and personnel is a different matter. This focuses the anal-ysis on internal issues. Can the owners and managers agree on goals and strate-gies? Are the employees willing to work together – which may be dependent on the hiring, training, pay and promotion differences between the two companies. In the end, valuing the two companies and negotiating an acceptable ownership structure will be important. But that is so far down the road that Bill should set it aside for now. He needs to focus on how the merger will impact the companies’ positioning and sales in the market, and on the likelihood of the two workforces being successfully merged.

Case 24-8: A New Employer After many years of managing a successful overhead door installation company, Bill had decided to move to another city to be closer to his two daughters and grandchildren. He had patiently looked for opportunities, and had eventually landed a position as Operations Manager at a company in the region he wanted. Everything about the new position looked good to Bill. The new company, GDN Doors, was similar in size and focus to what

he had experienced. The owners were not looking for dramatic change. They wanted someone who could keep the company running profitably. Because of his age, Bill committed only to a three year contract. Part of his commitment was to help the owners find and train the next manager. When he arrived, everything looked good. Sales were strong. Profit margins were lower than Bill was used to, but still fine. The office staff seemed competent. The

installation and service teams were impressively skilled. Four months into the position, Bill had a few concerns. Inventory levels on doors were high. Inventory levels on openers, parts and accessories were surprisingly high. Staff seemed to have high levels of sick days, and tended to consistently arrive 10-15 minutes after their scheduled start time. The accountant, surprisingly, seemed to set prices. The sales staff complained non-stop about pricing,

but seemed to then go out and give every effort to getting sales. Bill wanted to address these issues, but was worried that he would be seen as negative if he attacked too much at once – by the owner and the employees. How should Bill prioritize the issues? Are there things that he should avoid?

Recent events made me think about the impact of corporate policies on sales.

In thefirst instance, Iwasmaking a home improvement purchase from a national retailer. The purchase was for a DIY project. Itwasnotoverlyexpensive,butitwas physically large in size. After confirming pricing, I asked aboutdelivery.ItwasaThursday,andIwas hoping to get everything the next day so that we could do the work over the weekend. Next day delivery, I wastold,was not possible, because itwas 5:30 p.m. All shipments for the next day had to be booked before

5:00p.m.–Iwas,unfortunately30minutes too late. Corporate policy. On a second occasion, weneeded to replace an appliance. My wife and I had compared product options at multiple locations and selected a product. As we tried to buy the product, we were toldthat it was out of stock. The one unit they showed as being in stock was actually the showroom floorunit. My response was simple – given our immediate need and having settled on the product, Iwaswillingtotakethefloormodel.“No,”Iwastold,“becauseweareexpecting more units in the store in the next week. So we can’t sell the

floorunit.Ifitwereadiscontinuedline,wecouldsellit.Butweneedto have a floor model to sell theproduct.” I explained that one of the incoming units could be used as thenextfloormodeltodrivemoresales.“No,”Iwasagaintold.“Wecan’tdothat.Corporatepolicy.” So,overa3-4weekperiod,corporate policy twice got between me and the product I wanted to buy. Neither pricing nor product specs weretheproblem.Infact,ineachcase, I had literally been sold onthe product before the issue came up. Instead, the need for a largeorganization to develop standards

and policies presented a barrier to purchase. Now,Idounderstandwhyamajor retailer,withhundredsoflocations, needs to develop andenforce standardized policies. Corporate policies help ensure that customers at multiple locations have the same experience. It helps management control a network of locations. It is also likely that the company understands that strict adherence to policies may result in a few lost sales, but that thestructure, in the end, results inincreasedlong-termprofitability. But it struck me that

Hörmann Door Earns Florida Building Code

Hurricane Rating Approval

PENNSYLVANIA - Hörmann’s Speed-Guardian 4000 HR high performance door recently received the Florida Building Code (FBC) approval # FL17220 for installation in regions that follow building policies for hurricane rated products. The Speed-Guardian 4000 HR passed the large missile impact test which approves the door for areas covered under Florida wind zones Classes 1 to 4, rated for up to 140 mph. The door received approval for tested design pressure of +50 / -50 psf, and was also approved for use outside HVHZ. The testing was conducted by an independent testing

lab. The Speed-Guardian 4000 HR is constructed of a 1-5/8” thick panel made of heavy-duty, anodized aluminum, double-walled slats and includes Speed-Guardian standard features such as circular, non-contact roll-up technology and light grid built into the guide tracks. Vision slats are not applicable for hurricane rated doors. For applications where vision slats are required, Hörmann’s two-door solution, which combines the Speed-Guardian 4000 CV complete view model with a tandem shutter door meets Class 5 rating.

flexibility would have helped both situations. That flexibility may be difficult in very large organizations, but it may help smaller companies compete against larger competitors. As an owner/manager, what would you have done if it was 30 minutes past the time you set for booking installation appointments? I expect you would have ignored the hour, checked what was still physically possible and saved the sale. A third purchase also involved scheduling a delivery. The Saturday delivery was convenient. In the past, we would have likely been told that it would be delivered Saturday, but not given a time range. In this case, the timing of the delivery was down to a 4 hour time slot -- 1:00 p.m. to 5:00 p.m. This was more convenient, and may be similar to your own installation and repair schedule promises. But could it be better? Could customers be given an even

shorter time frame so that they don’t need to leave work earlier than necessary? While product specs and pricing are important, respect for customer time is also important. Some customers will be willing to receive a product or service at a less than convenient time….. waiting for a door to be ordered, waiting for a specific installation time, etc. But there is a whole other group of consumers who are trying to work purchases into their busy schedule. It is not that they are totally price insensitive. It is not that they are oblivious to product specs and competitive products. They just need a supplier that can accommodate their scheduling needs. A company that is flexible – that lets the customer influence timing -- can use that flexibility as a competitive advantage. Having an owner/manager

Two More Schweiss Bifold Doors Destined for SpaceX at Cape Canaveral

MINNESOTA - SpaceX is getting to be a name as identifiable as NASA. Ever since

government funding was cut for NASA, SpaceX has been in the forefront of space exploration. Schweiss has built large doors installed at various SpaceX locations going back to 2008 for Cape Canaveral, Waco, Texas and Vandenberg AFB in California.

Doors required by SpaceX are not your run-of-the-mill doors; there are a lot of specialized

things associated with these doors that Schweiss Doors has to conform with. Their latest orders just left the Schweiss Doors factory. They will soon be installed on a new steel hangar at Cape Canaveral. The largest of the two is a Bifold Liftstrap door 90 ft. wide x 61 ft. tall. The second door on that shipment is 40 ft. wide x 69 ft. tall. Each of the doors is equipped with automatic latches and are windrated to 150 mph.

After they arrive at the site they will be clad in 26 gauge sheeting and have 4-inch blanket

insulation. Bottom-drive 480 volt, 3 phase motors and patented Schweiss liftstraps will do the lifting of these doors that exceed 46,700 lbs. SpaceX maintains launch sites at Cape Canaveral Air Force Station, Kennedy Space Center in Florida, Vandenberg Air Force Base in California, and Boca Chica, Texas. SpaceX tests its engines and structures at a 4,000-acre state-of-the-art rocket development facility in McGregor, Texas. Situated on Cape Canaveral Air Force Station, with Patrick Air Force Base to the south and NASA’s Kennedy Space Center to the north, SLC-40 benefits from many support services in the region, including security and launch range control, weather monitoring, ground support infrastructure, payload processing facilities, and long-range tracking cameras capable of observing launches from liftoff through stage separation and second-stage ignition out over the Atlantic.

TEXAS - Wayne Dalton recently announced the addition of a new design to its Classic Steel Collection. The Sonoma Ranch design, offered in Models 9100, 9600 and 8300, is a long panel version of the Sonoma panel.

New U.S. Residential Construction in June 2015 WASHINGTON - The U.S. Census Bureau and the Department of Housing and Urban Development jointly announced the following new residential construction statistics for June 2015: BUILDING PERMITS Privately-owned housing units authorized by building

permits in June were at a seasonally adjusted annual rate of 1,343,000. This is 7.4 percent (±1.2%) above the revised May rate of 1,250,000 and is 30.0 percent (±2.3%) above the June 2014 estimate of 1,033,000. Single-family authoriza-tions in June were at a rate of

687,000; this is 0.9 percent (±1.1%) above the revised May figure of 681,000. Authorizations of units in buildings with five units or more were at a rate of 621,000 in June. HOUSING STARTS Privately-owned housing starts in June were at a seasonally adjusted annual rate of 1,174,000.

ONTARIO - The trend measure of housing starts in Canada was 183,959 units in June compared to 179,908 in May, according to Canada Mortgage and Housing Corporation (CMHC). The trend is a six-month moving average of the monthly seasonally adjusted annual rates (SAAR) of housing starts. “The trend in housing starts increased this month as multiple starts trended upward, offsetting a downward trend in single-detached home starts,” said Bob Dugan, CMHC’s Chief Economist. “The rise in the trend of multiple starts reflects a 53% increase in seasonally adjusted multiple starts from February to

June 2015. Seasonally adjusted multiple starts are at their highest level since September 2012, but are expected to moderate over the coming months.” CMHC uses the trend measure as a complement to the monthly SAAR of housing starts to account for considerable swings in monthly estimates and obtain a more complete picture of the state of Canada’s housing market. In some situations analyzing only SAAR data can be misleading, as they are largely driven by the multi-unit segment of the market which can vary significantly from one month to the next. The standalone monthly

SAAR was 202,818 units in June, up from 196,981 units in May. The SAAR of urban starts increased by 3.2 per cent in June to 188,720 units. Multi-unit urban starts increased by 3.7 per cent to 130,933 units in June, while the single-detached urban starts segment increased by 2.0 per cent to 57,787 units. In June, the seasonally adjusted annual rate of urban starts increased in British Columbia, Québec, the Prairies and Atlantic Canada, while it decreased in Ontario. Rural starts were estimated at a seasonally adjusted annual rate of 14,098 units.

QUESTION 1: My garage door keeps opening on its own. What can I do to stop it? It opens two to three times a day. Please help.

QUESTION 1, ANSWER 1:Open your manual and learn how to change the code (dip-switches) in the remote and opener. A neighbor has the same code as you.

QUESTION 1, ANSWER 2:That happened in the Florida panhandle some years back. It was Navy planes doing some jamming while doing maneuvers. Enough complaints made them stop.

code, try another code? Maybe one of your neighbor's GDOs is interfering with yours. Newer ones with frequency rolling ones are less susceptible to interference.

QUESTION 1, ANSWER 5:It depends on what is causing it. My problem is caused by a ham radio antenna in the garage attic directly above the wires to the garage door. I added some of Radio Shack's 273-0105 Snap Together Ferrite Choke Cores to the power and control wires going into the main unit. It helped a lot, but occasionally it will still open when I transmit. I need to add more chokes!

QUESTION 1, ANSWER 6:I repaired copiers for many years. I had one that would for no apparent reason start printing all by itself. I traced it eventually to a nearby land mobile radio repair shop.

QUESTION 2, RESPONSE:It doesn’t have safety eyes and the door opens manually with no trouble other than the weight of it. The manufacturer says it does not support this model anymore so I'm leaning towards just replacing it rather than doing a piece by piece thing. Thanks for your help!

QUESTION 2, ANSWER 6:If you hold the wall switch / button

down, can you force the garage door to operate? I would have thought safety eye alignment, but you have none? Not a good idea unless you have the newest technology - where safety up/down is controlled at the power head. I only know of one brand that does that. So. I'd start checking any wire connections, wire caps and wire oxidation / corrosion, at the wall switch / button, low voltage transformer or at the power head. Clean and reattach wire connections ... thinking out loud.

QUESTION 2, ANSWER 7:Where was the 120V test taken? Does the light work (assuming it has one)? That is, power to the unit not just the plug/outlet if it was a faulty cord/connection. If the motor doesn't even try on the push button switch, and there is power, you're down to a fuse perhaps or the controller. If the motor tries, then it's a possible gearing failure causing a lockup or similar. Have you tried it with the door disconnect lever pulled? Oh, last thought...if it were a firmware problem, often unplugging and leaving for a few minutes then powering back up will cure it -- but if it does it once, it's a good bet it'll do it again and become more frequent unless it just had a power glitch or something by happenstance. By the way, without the safety "eyes" it has to be 30-years or older, roughly. I just replaced the last one of that age here a year or two ago. It finally did just give up the ghost and I couldn't find any more salvaged old Stanley controllers to keep it going. For years the local

door shop owner had a supply of old ones he took out and kept for parts, but these were so old he'd run out too. I was just as happy without them. I always just mount the two together aligned on a little board and tie it up by the unit out of the way. Out here there's too much other stuff like the stray tumbleweed or whatnot blowing across the doors at the wrong time to just be too annoying. With no little kids and a reversing switch anyway. I don't see the need.

QUESTION 2, ANSWER 8:I put my 'eyes' up about 2 feet off the ground. High enough so that if I don't get the truck all the way in, the light may stop the door. The garage has a very small space left after I put the truck in it.

QUESTION 2, ANSWER 9:That'll work for some purposes like the tumbleweed (unless it's a full-size one, of course) but I also like to be able to pull the car in and close the door then go out the back to the farmyard without having to walk around and through the "inside" yard to get there. It's a pain to try to either step over or duck under the beam, especially as I get older and less spry!

QUESTION 2, ANSWER 10:What are you doing to close the door and walk out? Do you hit the close button and then run fast to beat the door closing? If the door is

already open and you walk through the beam, nothing happens if it is not in the closing cycle.

QUESTION 2, ANSWER 11:Doesn't have to be very fast. It runs pretty slow. Do have to duck a mite, but that's it. I've thought of putting another button at the rear but never got around to it.

QUESTION 2, ANSWER 12:Solved that problem when I installed a new opener. I have a remote with a keypad on it. Just enter the code from the outside and open or close the door. Guess that you could put a button near the door on the inside and just reach over the beam.

QUESTION 2, ANSWER 13:Where I worked we had an elevator with doors on the outside. The sun would cause that problem at times. Could not switch the sensors. The door thought someone was in the door and would start to close, then open back up. Someone would have to stand outside and block the sun so the elevator could be used.

QUESTION 2, ANSWER 14:I may build a little cardboard hat to place on top of the receiver so the sun can't get to it.
