You are requested to submit the following documents in a separate envelope, for information and record of the Company, Nos. 1 & 2 in one envelope & No.3 in one separate envelope with your sealed Tender:

1] Details of previously executed work and work in hand. The structure of man power which will be deputed at our site along with their names, designation and responsibilities. The details of list of construction tools and equipments which will be used at GUJARAT AGRO INFRASTRUCTURE MEGA FOOD PARK site for execution purpose.

2] Details of registrations with Govt. Departments of Income Tax, Service Tax, VAT, Labour Commissioner, P.F, ESI etc.

3] A copy of the tender with each page duly signed as a token of acceptance along with a BOQ with rates & amount. The BOQ also must be provided on CD as a soft copy.

All documents to be signed and sealed in token of acceptance of the terms and conditions contained therein. Tenders are to be returned before 3.30 pm. On Date 02.05.2015, with your EMD - DD (in a 3rdseparate envelope)

3.0 SALIENT FEATURES OF THE TENDER

3.1 Name & Site of Work Construction of 2400 Rmt road along with Site Clearing & Grading for the Project of Mega Food Park. VILLAGE SHAH & VILLAGE VASRAVI, TAL. MANGROL, DIST. SURAT, GUJARAT.

Time of Completion

Phase wise as instructed by Engineer in chargefrom the date of Award of Contract. The time is essence of contract, Contractor will be completing the total work within the time period and any delay will lead to penalty as per the contract.

3.6 Earnest Money Deposit

Rs. 100,000/- (Rs One Lac Only) by crossed A/c Payee Cheque/DD in favour of “GUJARAT AGRO INFRASTRUCTURE MEGA FOOD PARK PVT. LTD.” This amount will be converted into Security Deposit for the successful contractor.

3.7 Initial Security Deposit 2.5 % of the Contract value ( inclusive of Earnest Money Deposit) to be deposited within SEVEN days of Tender Award by way of DD or Bank Guarantee

3.8 Retention Money 7.5%of the Contract value to be deducted from each Running Account Bill in the course of the project. This will be over and above Security Deposit of 2.5%

3.9 Release of Security Deposit& Retention Money

50 % of Security Deposit & Retention amount ( i.e 5 % of the contract value ) to be released on PMC Certification of completion of contract.

a) Balance 50 % Security Deposit & Retention amount (i.e5 % of the Contract value) to be released after 12 Months from the date of the PMC completion certificate, that is after Defects Liability Period or against BG of equivalent amount, valid till end of defect liability period

3.10 Minimum Value of Interim Bill Rs. 25 Lakhs (Rs. Twenty Five Lakhs Only) inclusive of Material & Labour.

3.11

Water and Electricity

Supply of water will be arranged by contractor at his own cost. Power will be arranged by contractor at his own cost. If power/water will be supplied by Client at one point same will be on Chargeable basis, charges to be confirmed before avail of supply.

3.12 Period of Honouring R/A Certificates and General Terms of Payment

a) 50 % on PMC/ Engineer/ Architects Certification in Thirty Days from the date of the R.A.Bill, whereby clause 3.8 applies. b) Final Bill of Work within 30 Days from the date of submission.

3.13 Defects Liability Period 12 Calendar months from the Date of Completion certificate.

3.14 Liquidated Damages for Delay in Completion

0.5% PER week and maximum 10% of Contractual amount if work is not completed as per achieved mile stone agreed between Contractor and GUJARAT AGRO INFRASTRUCTURE as per clause 5.8.3.

3.15 Pre-qualification

1. Contractor must have satisfactorily completed one similar nature of work of Rs 1.5 crores in any of last five years.

2. Contractor must have following owned equipments for ecxecution of road work.

4.0 COVERING LETTER FOR SUBMISSION OF THE TENDER

SUB : Proposed work ofConstruction of 2400M wide road along with Site Clearing & Grading for Mega food Park at Surat. REF : Your invitation to Tender - GAIMFP/CIVIL/03/G3 SIR, With reference to the Tender invited by you for carrying out Construction of 2400 Rmt Road for Mega Food Park at Surat, we do hereby offer to perform as Contractors, and provide, execute, and complete the works in conformity with the drawing, Terms of the Tender, Articles of Agreement, Conditions of Contract, Item Specifications and Bill of Quantities included in this document. We further agree to carry out the work as per instructions received in the course of the work from the Architects, Consultants, PMC and Company officials and complete the same within the specified time limit in all respects. We have satisfied ourselves as to the location of site, examined the drawings and read the conditions of contract and the specifications etc. and we understand that the total work put to tender is to be completed in Phase wise as per instructed by Engineer in Charge from the date of your Award of Contract in all respects. We agree to satisfactorily complete development works within the stipulated time period. We understand, and are fully aware, that highly superior quality of workmanship and timely completion of the total project are the essence of this contract. Should this Tender be accepted, I/We hereby agree to abide by all instructions and fulfill all the terms and conditions of this Tender. In the event of any defects attributable to our materials, workmanship, or construction technology we agree to bear the penalties as mentioned in the Conditions of Contract. Security Deposit: We agree to deposit @ 2.5 % of the total Contract Value to be deposited within seven days of Tender Award by way of DD or Bank Guarantee. 5.0 INSTRUCTIONS TO BIDDERS

5.1) STUDY OF TENDER DOCUMENTS: 5.1.1) Upon submission of the Tender, it will be presumed that the Contractor has thoroughly studied the Tender document with all the terms, conditions, specifications, mode of measurements and drawings and has completely understood the nature, extent and scope of the work and is completely aware of his liabilities and responsibilities in respect of the contracted work.

5.1.2) In the event of any contradictions or inadequate clarity in this Tender document, these should be brought to the notice of the Architects / PMC of GUJARAT AGRO INFRASTRUCTURE before quoting for the project, and got properly clarified. In any case, at all times, the interpretation and decision of the Architects/PMC/Company shall be final and binding upon the Contractor.

5.2) VISIT TO SITE OF WORK: The Contractor is expected to visit the sites of work and personally see the site conditions regarding water, labour conditions, materials, leads, lifts, soil conditions and strata and all other factors affecting the work before submitting the quotation. Leads, lifts and permissibility for disposal of excavated material shall also be studied and considered in the quotations. No extras or escalation shall be granted on account of any error of judgment or miscalculation or misunderstanding of scope of the work. For your visit to site you can contact Mr. Chirantan S. Dave (cell: 9586054912). 5.3) UNCONDITIONAL QUOTATION: Submitted Tenders shall NOT be subject to ANY conditions other than those stipulated in the Tender Document. Quoted rates and amounts shall be deemed to be completely unconditional and any conditional Tenders as to rates or condition are liable to be rejected outright. Contractors are requested to abide by this instruction, in their own interest, for the purpose of enabling comparison between equals with complete parity. If any, observations, assumptions, suggestions or notes are required to be communicated; these may be separately addressed to the Architects /PMC without having any bearing or impact on the item rate quotation in the sealed Tender, in the process of evaluation. 5.4) SUBMISSION OF TENDERS: 5.4.1) Tenders are to be submitted in a sealed envelope superscripted “QUOTATION FOR CONSTRUCTION OF 2400 M Road FOR GUJRAT AGRO INFRASTRUCTURE MEGA FOOD PARK.” 5.4.2) The Earnest Money Deposit Cheque /DD should NOT be enclosed within the sealed envelope containing the Tender, but should be submitted WITH the Tender in a separate envelope. 5.4.3) Tenders should be submitted before 3:30 p.m. on date 2.05.2015 Tenders should REACH not later than the date and time stipulated even if sent by post. They should be preferably be forwarded by hand or by courier service to the following address, TO: GUJARAT AGRO INFRASTRUCTURE MEGA FOOD PARK PVT LTD. Ground Floor, Khatau Building, 8 -10 A D Mody Marg, Fort, Mumbai – 400001 or 1, Bira, Venus Apartment, Productivity Road, Alkapuri, Vadodara – 390007 5.5) PERIOD OF DECISION: The Tenders shall remain open for acceptance for a period of 60 days from the date on which they are due for submission, or any other extended date for their receipt, and during this period no Contractor shall be allowed to withdraw his tender. 5.6) IMPROPER AND INCOMPLETE TENDERS: 5.6.1) Quotations shall be tendered on an ITEM RATE BASIS in the annexed Schedule of Item Quantities. Please read the PREAMBLES prior to the item descriptions and specifications carefully before quoting the item rates.

5.6.2) The quotations in the Tender shall be written clearly, legibly and shall be free from erasures, over-writings or conversions of figures Corrections, where unavoidable, shall be made by crossing out, initialing and rewriting. 5.7) ATTESTATION OF TENDER DOCUMENTS: Contractors must return the Tender Document complete with the specifications, schedule of quantities, and drawings with the item rates, and total amounts in figures and words, and every page duly signed. Seal and Signature of the Contractor should also be placed below the summary at the end of the Schedule of Quantities. Any tender not bearing signature of the Contractor on all documents accompanying the tender is liable to be rejected. In the event of any discrepancy between the quotation of item rate in words and figures, the LOWER of the two shall be treated as the valid rate quotation and the quotation amount shall be so modified 5.8) ESSENTIAL PRE-QUOTATION CONSIDERATIONS: 5.8.1) The submission of the tender by the Contractor implies that he has read these Instructions, the conditions of contract etc, and has made himself aware of the scope and limitations of the work to be done and local conditions and other factors bearing on the execution of the work. The contractor will be deemed to be fully aware of the site conditions and No Idling Charges, extra claims etc shall be entertained for any reasons whatsoever. Item Rates should be all inclusive. The Client will NOT, after acceptance of contract rates, pay any extra charges for lead, testing, or any such other reasons. The contractor must arrange for the transport of all materials and equipment required - including all duties and levies on such materials - and for further construction, erection, fabrication, installation, testing etc and include all such costs in the quotation. Please read the Preambles to all item specifications before quoting for the item. 5.8.2 ) Although specific items of work have been included in the Schedule annexed hereto, the contractor should note that all incidental and allied works arising out of the scheduled items are deemed to be included in the said items. No extras shall be payable for any such incidental work which may or may not be specifically included in the BOQ. 5.8.3) Contractor has to submit Construction schedule (week wise) along with offer otherwise their Offer may be ignored and considered to be irresponsive. 5.9) ACCEPTANCE OR REJECTION OF TENDERS: GUJARAT AGRO INFRASTRUCTURE is hereby empowered to accept any tender, and shall have the absolute indisputable right to reject all or any of the Tenders. The GUJARAT AGRO INFRASTRUCTURE is NOT bound to accept the lowest tender, nor bound to give any reasons for rejection of any tender or all Tenders. The GUJARAT AGRO INFRASTRUCTURE also hereby reserves the right to sub-divide and allot parts of the Tender to different agencies, if deemed expedient. The eligibility of this Tender shall only be subject to the acceptance of this clause.

6.0 SPECIALCONDITIONS OF TENDER

6.1) TYPE OF TENDER: This Tender shall be deemed to be an Item Rate Tender. The Tender Price Schedule is in two Alternatives: 1. Construction Work including supply of all required Materials, all tools, tackles, equipments etc. 2. Labour rates only including arrangement of all tools, tackles, equipment etc. for Construction Work. 6.2) PERIOD OF TIME FOR COMPLETION OF THE WORK: The work will be completed within 3 working months from the date of award of the Contract OR Issue of Letter of Intent OR Work Order, whichever is EARLIER, including 15 days for mobilization of labour and machinery. 6.3) AMOUNT OF EARNEST MONEY DEPOSIT (EMD) AND MODE OF PAYMENT 6.3.1)The Contractor shall pay as Earnest Money Deposit a sum of Rs. 100,000/- (Rs. One Lac Only) by A/c Payee crossed Cheque /DD drawn on any International, Nationalized Bank, in favour of “GUJARAT AGRO INFRASTRUCTURE MEGA FOOD PARK PVT LTD.” A tender submitted without the Earnest Money Deposit will NOT be accepted or considered. 6.3.2) The Earnest money amount deposited shall be returned to the Contractor without interest, if his Tender is not accepted. If the tender is accepted, the EMD amount so received shall be adjusted against the required Security Deposit. 6.3.3) Please note that the Earnest money deposit Cheque /DD shall NOT be sealed within the sealed Tender, but should be handed over to GUJARAT AGRO INFRASTRUCTURE separately outside the sealed Tender document in a separate envelope. 6.4) SECURITY DEPOSIT: 6.4.1) A total of 10% (Ten Percent) of the total tendered amount shall be held as Security Deposit by the GUJARAT AGRO INFRASTRUCTURE, without any liability of payment of interest, partly up to the satisfactory completion of the work and partly up to Twelvemonths after certified final completion of the work. This shall be Held and paid as follows:

6.4.2) The contractor, on being offered the contract, shall deposit with the GUJARAT AGRO INFRASTRUCTURE 2.5% of the tendered cost towards ONE Fourth of the total 10% Security Deposit within SEVEN days from the date of communication of acceptance of the Tender. This amount shall make up the 2.5% component of Security Deposit which will be held by the GUJARAT AGRO INFRASTRUCTURE, without liability of payment of any interest, up to the final fulfillment of work, and thereafter for a period of 12 months after actual completion. The balance 7.5% amount shall be accumulated as retained percentage, as follows 6.5) RETENTION PERCENTAGE: In addition to the above amount of 2.5% of the tendered cost held by the GUJARAT AGRO INFRASTRUCTURE as outlined under Clause (6.4.2) above, for the due fulfillment of Contract, the final component of Security Deposit equivalent to 7.5% of the tendered cost, shall be deducted from the contractor against his R.A. bills. These amounts, equivalent to 7.5% of the certified amount of every R.A. bill, shall be added to the Security Deposit held as per clause (6.4.2) on the same terms, to make up 10% of the Total Security Deposit. 6.6) DEFECTS LIABILITY PERIOD: This period shall be calculated as 12 (Twelve) calendar months from the date of final completion certificate of the assigned work issued by the PMC. 6.7) DATE OF COMMENCEMENT OF WORK: The tentative date for Commencement of work is planned for 10 Days from the intimation of acceptance of tender, (or any further date, IF extended by the GUJARAT AGRO INFRASTRUCTURE in writing) unless the Letter of Intent or Work Order is issued earlier by the GUJARAT AGRO INFRASTRUCTURE, to the Contractor. Including and allowing one week for mobilization, the work shall commence from the date of intimation of acceptance of tender, execution of Contract Agreement with the GUJARAT AGRO INFRASTRUCTURE, or issue of the Work Order, whichever is earlier. If the Contractor fails to commence

the work as per this Clause, the EMD amount shall be forfeited to the GUJARAT AGRO INFRASTRUCTURE and the GUJARAT AGRO INFRASTRUCTURE shall be at liberty to award the work to any other Contractor. The GUJARAT AGRO INFRASTRUCTURE is NOT bound to serve any Notice in such eventuality. 6.8) LIQUIDATED DAMAGES: 6.8.1) In the event of the Tendered work NOT being completed on the scheduled date stipulated in above Clause 6.7. the GUJARAT AGRO INFRASTRUCTURE shall levy Penalty on the contractor. The penalty shall be levied at the rate of 0.5% PER week and maximum 10% of Contract Value if work is not completed as per achieved Mile stone as agreed between Contractor and GUJARAT AGRO INFRASTRUCTURE as per clause 5.8.3. 6.8.2 ) In addition to the above remedy, in the event of the construction work NOT being completed by the due date of Completion stipulated in Clause 7.9 above, it shall also be entirely discretionary for the GUJARAT AGRO INFRASTRUCTURE to adopt any one of the following options - as circumstances may demand : (a) To terminate the contract, to confiscate the entire amount of Security Deposit and Retention Money and get the balance work completed from any other contractor and recover the amount paid to the contractor. This option shall, however, be adopted by the GUJARAT AGRO INFRASTRUCTURE if the levy of Liquidated Damages exceeds beyond 30 days. (b) To grant a reasonable extension of time without Liquidated damages, which will be only in exceptional or extra-ordinary circumstances, if found to be genuinely necessary. OR 6.8.3) Any amounts payable as Liquidated Damages in any of the above options, shall be recoverable out of the Retention Money and Security Deposit held by the GUJARAT AGRO INFRASTRUCTURE or from any dues payable to Contractor in the Running Account bills of work. In case if, such amount is not recovered from all above payables, then, such amount will be recovered by the sale of contractor’s assets. 6.9) PERIOD OF FINAL MEASUREMENT AND VALUATION: Maximum of 15 (FIFTEEN DAYS) from the date of presentation of the Final Bill of Work to the GUJARAT AGRO INFRASTRUCTURE for payment, subject to receipt of all documents, if any, from the contractor. 6.10) VALUE OF WORK FOR INTERIM CERTIFICATE: The value of Running Account Bills of work for any Interim Certificate shall be MINIMUM Rs.25 Lacs (Rs. Twenty Five LACS) The Final Bill of Work, however, shall NOT be smaller or lesser in claim than the previous pre-final R.A. Bill. 6.11) R. A. BILLS OF WORK AND PERIOD OF HONOURING CERTIFICATES: 6.13.1) RUNNING ACCOUNT BILLS OF WORK: All R.A. Bills of work shall be submitted to the GUJARAT AGRO INFRASTRUCTURE in FOUR sets complete with measurements of work duly certified and signed by the GUJARAT AGRO INFRASTRUCTUREPMC/Site in charge on site, and with statements of previous and present quantities of items executed. Scrutiny, Verification and Certification of each R.A. Bill of work shall be done by the PMC within FIFTEEN DAYS from its submission to the GUJARAT AGRO INFRASTRUCTURE, subject to its proper submission. Payment against each certified R.A. Bill shall be released within FIFTEEN DAYS from the date of certification of the PMC. NO interest, however, shall be payable if any payment is delayed on account of improper submission, insufficient details, or due to absence of certification. 6.13.2) UNFIXED MATERIAL : The Contractor shall also be paid for imperishable unfixed material brought to the site and properly stored for incorporation in the work to the extent of 50 % of the cost of such material. 6.13) REFUND OF SECURITY DEPOSIT& RETENTION MONEY: On the PMC Certification of adequately satisfactory final completion of the work, 50% of the total Security Deposit held by the GUJARAT AGRO INFRASTRUCTURE under clause (6.4) shall be refunded to the contractor without interest, and the remaining 50% shall be retained for a further period of 12 months called the `Defects Liability Period' (DLP) without interest, and shall be refunded only after the expiry of Twelve calendar months from the date of actual final completion, subject to satisfactory repair and rectification of defects, if any, during the said Defects Liability period. Both these installments of Security Deposit and Retention Money shall be refunded only on production of a clearance Certificate from the PMC/Project in charge.

6.13.1) FINAL COMPLETION OF WORK: The Contractor should complete following procedure to get Final Completion Certificate from PMC, 1. Completion of all the work as per the Tender and or as per the revised scope of work. 2. Final Bill for all the completed work should be submitted along with Reconciliation Statement of material supplied by the GUJARAT AGRO INFRASTRUCTURE, who shall approve it and forward to PMC Only after completion of above procedure, PMC will issue Final Completion Certificate to the Contactor. 6.14) WATER AND POWER FOR CONSTRUCTION: Contractors should take into consideration the following conditions of availability, supply and payments for water and power in their item rate quotation: 6.14.1) WATER: Contractor should consider in their quotations that Water supply at the site will be made available by contractor on their own. The Contractor, shall also have to make arrangements at his own cost for the required pipelines, testing, storage tanks, pumps or machinery (including diesel or power required for its operation) for the same. 6.14.2) Water for use with Chemical Additives of Zydex Brand will be provided at one source at site and Contractor will have to make arrangements to use the same with his owner tanker/ pump etc. 6.14.3) POWER - Power supply for construction, shall be arranged by the contractor on his own. Contractor shall arrange at his own cost for distribution of this power to the various location as required on the project site at his own cost. If power will be supplied by Institute at one point same will be on Chargeable basis, charges to be confirmed before avail of supply. 6.15) VARIATION IN QUANTITIES OR SPECIFICATIONS: 6.15.1) A schedule of quantities and specifications are included in the tender document. It shall be clearly and definitely understood that the GUJARAT AGRO INFRASTRUCTURE does NOT accept any responsibility for any changes in the probable quantities, Drawings & specifications, the value of individual items, as well as the total value of work. The quantities may vary to any extend but the offered rates shall continue to remain the unchanged. Payments will be made on basis of Unit Rate for actually executed quantities. No variation shall be made by the Contractor in the specification of any Item without prior written permission of the PMC/ Company. 6.16) EXTRA ITEMS: 6.16.1) If at any time during the course of the work it is found expedient or necessary by the PMC or by the GUJARAT AGRO INFRASTRUCTURE to order material or work of a different description, or to substitute one class of work for another, they shall have the full authority to do so, and the Contractor shall be bound to carry out such extra, additional, altered or substituted work on the same terms and conditions in all respects on which it was agreed to do the main work. Rates for such new items, if any, should be submitted with complete rate analysis by the Contractor prior to execution of such item and written approval obtained from the GUJARAT AGRO INFRASTRUCTURE. 6.16.2) the rates for such additional, altered, or substituted work (extra items) shall be worked out in accordance with the following procedure in their respective order: (i) If the rates for the extra items are specified in the Schedule of quantities, then the contractor is bound to carry out such work at the same rates as given in the Schedule. (ii) If the rates for the extra items are not specifically provided in the Schedule of Quantities then such rates will be derived from the rates of similar class of work as are given in the Schedule of Quantities. (iii) If the rates for extra items cannot be derived from similar class of work as laid down in (ii) above, then the rates for such items shall be worked out on the basis of actual cost of materials including loading, unloading, transportation and actual labour cost, plus charges for tool / plant / machinery etc plus 10 % (TEN PERCENT) for profit, supervision charges, overheads, etc.. 6.16.3 ) If for any reason the GUJARAT AGRO INFRASTRUCTURE / PMC and the Contractor cannot agree to the rates worked out in the above basis, then the GUJARAT AGRO INFRASTRUCTURE / PMC shall have the right to get the work done from any other agency and the Contractor shall have no right to object to this procedure.

6.16.4 ) Claims for any extra items, if inevitable in the course of the construction, shall be filed under a SEPERATE HEAD along with the description, reason, authorization, measurements and detailed rate analysis of each such item. 6.17) Contractor has to buy only approved Cement and steel brand as well as approved sources of Rubble stone. Contractor has to mention offered Brand for Cement and steel in their offer and also mention basic rates considered in their Rate analyisis at the time of submission of offer. In case GUJARAT AGRO INFRASTRUCUTURE supply Cement, steel and Random rubble stone as a free issue, the rates taken in to consideration by Contractor during preparation of offer shall be adjusted with respect to actual consumption of such items & actual buy out rates by GUJARAT AGRO INFRASTRUCUTURE and during making payment of each RA bills the same shall be adjusted. 6.18) SUB-LETTING OF CONTRACT: The Contract, or any part thereof, shall NOT be sublet without the prior written permission of the PMC or the GUJARAT AGRO INFRASTRUCTURE. Approval shall also be obtained from the GUJARAT AGRO INFRASTRUCTURE to employ, engage and hire for use within the GUJARAT AGRO INFRASTRUCTURE premises, any heavy machinery, earth moving equipment, rock cutting and drilling equipment from outside agencies. The GUJARAT AGRO INFRASTRUCTURE, however, reserves the right to appoint and engage different agencies for different purposes on the site during the course of construction and the Contractor shall be bound to extend co-operation and support for the operations of any such agency 6.19) PAYMENT OF TAXES: 6.19.1) Item rates quoted in the Tender shall be Exclusive of VAT & Service Tax but inclusive of taxes, duties, levies, royalties and other charges. Contractors shall be required to produce adequate documentary evidence of payment of VAT and Service Tax, as above, to the Accounts and Audit officials of the GUJARAT AGRO INFRASTRUCTURE. Contractor should quote the value of taxes separately in the tender. The GUJARAT AGRO INFRASTRUCTURE will have right to choose the scheme/ mode of payment of taxes. 6.19.2) Contractors should note that it shall be presumed in the evaluation of tenders that the amounts quoted by the Contractor are NOT INCLUSIVE of the VAT and Service Tax as above. In the event of any official variation in the Rates of Taxation by the Government in the course of the project, the difference shall be reimbursed by the GUJARAT AGRO INFRASTRUCTURE, at actual, as per prescribed statutory provisions. This payment, however, shall be subject to production of documentary evidence by the Contractor of payment of the respective taxes at a varied rate. 6.19.3) all royalties, first point tax shall be paid by the Contractor, as also all tolls, local and other taxes essential for execution of the work. The GUJARAT AGRO INFRASTRUCTURE shall NOT be liable for the payment or reimbursement of any other taxes, tolls, charges, levies or royalties, other than VAT and Service Tax. Contractor shall have to provide documentary evidence of having paid Royalty on all sand, aggregates, rubble and all such material attracting Royalty along with Submission of Bills. The bills shall not be processed in absence of such documents. 6.20) STORAGE OF MATERIAL: All materials required for the work shall be unloaded, stacked properly and stored on the project site during the period of work. The Contractor should take into consideration the protection of all material at his own cost, and the GUJARAT AGRO INFRASTRUCTURE shall not be liable for the loss or damage of any material at any time. No material brought on site shall be permitted to be removed or carried away without written permission of the PMC or authorized representative of the GUJARAT AGRO INFRASTRUCTURE. Particular care shall be taken to preserve and protect all materials from sun, rain, and pilferage on the project site. 6.21 ) JURISDICTION FOR DISPUTE : In case any dispute arises in respect of any matter relating to the contract work and the matter is taken to the Hon. Court of Law, only the competent Court in Mumbai will have sole jurisdiction. No litigation, however, shall be initiated by any party to this Contract without first adopting and perusing the option of Arbitration as per the Contract terms.

6.22 ) TERMINATION OF CONTRACT : The Contract shall remain liable to termination with 15 days Notice by the GUJARAT AGRO INFRASTRUCTURE, in case of any serious default, or in the event of bankruptcy of the Contractor. This clause shall also apply if the Contractor does not fulfill any terms and conditions of the Contract, if he abandons or leaves the work incomplete for any invalid reason, if he does not maintain satisfactory progress, or, if he does not observe the rules, instructions issued in the course of the work. In any such event, the Contract agreement may be rescinded by the GUJARAT AGRO INFRASTRUCTURE after 15 days Notice, and all of the Security Deposit including Retention Money of the Contractor is liable to be confiscated by the GUJARAT AGRO INFRASTRUCTURE. To complete the balance work, GUJARAT AGRO INFRASTRUCTURE will appoint any other Agency and such amount will be recovered from the contractor towards all the dues payable. In case if, such amount is not recovered from all above payables, then, such amount will be recovered by the sale of contractor’s assets. 6.23) INSURANCE AND STATUTORY MATTERS: 6.23.1) The Contractor to whom the work is assigned shall insure all material and labour from all damages, accidents and injury to persons and pay an appropriate premium for the purpose. No Separate consideration shall be paid to the Contractor on account of payment of any such Insurance premiums. Quotations should include any such amounts in the rates. 6.23.2) Without limiting the other obligations and responsibilities under this Contract, the Contractor shall within 7 days of acceptance of Tender, obtain and submit to the GUJARAT AGRO INFRASTRUCTURE , the following Policies from approved Insurance Companies 6.23.3) Contractors All Risk Insurance Policy in the joint names of the GUJARAT AGRO INFRASTRUCTURE and Contractor for the full value of the Contract for the period up to completion of the work, including the Defects Liability Period, to cover the following : a ) Policy to cover loss and / or damage to Materials, buildings or property arising out of any cause whatsoever, including fire, theft, lightning, explosions, earthquakes, storms, floods, inclement weather, landslides, aerial objects, etc. and riots, civil commotions or other disturbances. b ) Third party insurance to cover injury / death / damage to third parties, including the staff of the GUJARAT AGRO INFRASTRUCTURE, Architects, Consultants or any other visitors for a minimum amount of Rs. 5,00,000/- ( Rs. FIVE LACS ) per occurrence, the number of occurrences being unlimited. 6.23.4) Policies to cover Contractor’s liabilities under the latest amendments of the Workmen’s Compensation Act, 1923, Minimum Wages Act, 1948, Contract Labour (Regulation & Arbitration) Act, 1970, and other relevant Acts as may be in force and applicable. All Insurance Policies shall be drawn in favour of “GUJARAT AGRO INFRASTRUCTUREMEGA FOOD PARK PVT LTD and shall be deposited with the GUJARAT AGRO INFRASTRUCTURE. The validity period of all such policies shall cover the entire duration of the Contract. 6.23.5) Insurance Policies shall cover ALL the sub-contractors, agents, staff etc. of the Contractor and all personnel engaged in any work on the project site of the GUJARAT AGRO INFRASTRUCTURE. 6.23.6) All policy premiums shall be paid by the Contractor and are NOT reimbursable. 6.23.7) If the Contractor fails to effect the required insurance, the GUJARAT AGRO INFRASTRUCTURE is hereby empowered to take out all such required policies and debit the premiums paid and other expenses incurred to the Contractors Running Bill account, or, if in the event of a Claim or accident, the entire amount of Insurance Cover & compensation shall be borne by the Contractor. 6.23.8) Upon settlement of any claim under the aforesaid Insurance policies, the Contractor, with due diligence, shall restore the work damaged, replace or repair unfixed materials or goods, which may have been damaged or destroyed, remove and dispose any debris, and proceed with the construction work. 6.23.9) All monies received from such insurances shall be released to the Contractor in installments under the certificate of the Architects/PMC issued with the interim R.A. Bill certificates. The Contractor shall NOT be entitled to any payment in respect of the restoration of damaged work, the placement and repair of any unfixed material, and the removal and disposal of debris, other than the monies received under the said Insurance covers.

6.23.10) GUJARAT AGRO INFRASTRUCTURE will NOT be liable for any compensation or re-imbursement to the Contractor for any accident, damage or injury to material, present structures, and buildings on site or personnel. 6.23.11) Contractor shall also abide with all statutory regulations in respect of Labour payments and follow all directives of the Government under ESIS, Labour Laws or any other requirement, including payments of Provident Fund and Gratuity to employed Labour. The GUJARAT AGRO INFRASTRUCTURE shall NOT bear any legal liability in any such statutory matters. The Contractor shall resolve all such matters at his own cost. 6.23.12) The GUJARAT AGRO INFRASTRUCTURE shall also remain completely INDEMNIFIED in respect of all matters relating to statutory levies such as ESIS, Provident Fund, Gratuity, etc. of all your employees on the project site. All records and books pertaining to these matters as per statutory requirements shall be maintained on the project site and these shall be available for inspection on demand by any Government authorities or GUJARAT AGRO INFRASTRUCTURE Official at all times. Any financial liability in these matters shall be borne entirely by the Contractor and NO compensation or extra payments shall be made by the GUJARAT AGRO INFRASTRUCTURE on account. 6.24) CONTRACT DOCUMENTS: These special instructions to Contractors shall form part of the contract document along with the Bill of Quantities, Articles of Agreement, Specifications and Drawings. 6.25) VALIDITY OF ITEM RATES: 6.25.1) This Tender shall be deemed to be an Item Rate Tender and the Tender Price Schedule is in two Alternatives: 1. Construction Work including supply of all required Materials, all tools, tackles, equipments etc. 2. Labour rates only including arrangement of all tools, tackles, equipment etc. for Construction Work. 6.25.2) The accepted rates in the Contract shall remain valid and effective over the complete period of the project up to its final completion, including extended periods, if any, up to a minimum period of ONE year, from the date of issue of first LOI / agreement. It will be valid irrespective of the period of time originally stipulated for execution of the Contract. Contractors are advised to take into account any fluctuations in the market that may occur in this period while quoting the rates, particularly considering the post-budget variation in the prices during the project period 6.25.3) GUJARAT AGRO INFRASTRUCTUREMEGA FOOD PARK PVT LTD will NOT be responsible for any error of judgment in respect of misquotation of rates by the Contractor, and any loss suffered by the Contractor as a result of incorrect judgment in quotation of rates will NOT be compensated by the GUJARAT AGRO INFRASTRUCTURE. 6.26) PROJECT MANAGEMENT AND PROGRESS MONITORING: 6.26.1) The contractor shall maintain and be represented on the site at all times by a responsible and efficient Engineer who thoroughly understand all trades. The PMC and the GUJARAT AGRO INFRASTRUCTURE reserve absolute right to reject and demand removal of any site Engineer, Supervisor or workman who, in their opinion, are not sufficiently qualified or skilled, or who neglect or refuse to obey instructions, or who are unwell, arrogant, argumentative or uncooperative. In such event, the Contractor shall promptly replace such dismissed personnel with suitable persons. 6.26.2) The Contractor shall, in addition to the Project Engineer, engage sufficient qualified Engineers & supervisors for proper and adequate supervision at site, and ensure that they are available at work site for necessary instructions from PMC Engineers/Site in charge. 6.26.3) The Contractor shall submit along with the Tender, a tentative schedule of proposed activities within the given framework of time, and a list of personnel to be allocated for the project along with their names, qualifications, designation and scope of function. Detailed Bar Charts of level 1/ 2/ 3 giving weekly and daily schedules of construction activity shall be submitted by the Contractor to the GUJARAT AGRO INFRASTRUCTURE and the Architects for approval and monitoring. The approved schedule shall be strictly adhered up to final completion.

6.26.4) a temporary office of approximately 40 Sq.M. with adequate lighting, ventilation and sanitary arrangement shall be provided by the Contractor at his own cost for use of the GUJARAT AGRO INFRASTRUCTURE / PMC Engineer and for weekly meetings on the project site. This shall be provided with minimum one work / conference table, six chairs and one lockable steel cupboard, a display board for drawings, and a black or white board for illustration during meetings. The office and toilet facility shall be maintained kept clean by the Contractor throughout the duration of the Contract. On completion of work, the Office and furniture shall be removed from the site by the Contractor at his own expense. 6.26.5) Labour hutment will be permitted only in limited area as approved by the PMC /GUJARAT AGRO INFRASTRUCTURE. This shall be removed from the site on completion of the work. Contractor will provide proper lighting, drinking water, bathing area, & toilets 6.26.6) GUJARAT AGRO INFRASTRUCTURE shall visit the site periodically for supervision of the construction work. 6.26.7) The MITCON will be appointing a Project Management Team to supervise, quality control & timely completion of work. All the decisions taken by this team will be binding on the contractor. This team will also collect all the technical & quality test reports from Contractor. 6.26.8) The decision of Engineer in charge/PMC will be final on any issue relating to this work let it be technical, financial, legal etc. and it will be binding on all the party concerned.

6.27) MAINTAINANCE OF RECORDS AND OTHER RESPONSIBILITIES: 6.27.1) The Contractor shall maintain at his own cost and expense an efficient SITE OFFICE with proper furniture a computer & records of all activities and materials. Amongst other essential records, it shall be mandatory to maintain a Measurement Book (MB), Materials procurement and consumption register, Labour deployment register, and a Triplicate Book for recording Instructions and decisions taken on site. The Contractor shall also separately record and periodically circulate minutes (in English language) of all meetings held on site. It is desirable that a desktop PC and Printer facility will be available on the site for use of the Contractor and the GUJARAT AGRO INFRASTRUCTURE Engineer at all times. A daily activity register, program schedule / Bar Chart and all Architectural Drawings issued shall be kept available for reference in the site office at all times. At least one Senior & one Junior Engineer shall be available on the work site at all times. 6.27.2) The Contractor shall be similarly required to prepare Bar bending schedules and get them approved from the Structural Consultant prior to execution. 6.27.3) The Contractor is also required to obtain approval from the PMC / GUJARAT AGRO INFRASTRUCTURE Engineer on the project site for specimens of all Steel Fabrication work prior to any mass production and of all major Reinforcement Steel work prior to concreting. 6.28 ) SAFETY AND SECURITY MEASURES : 6.28.1) Safety and Security protocols shall be strictly observed by the Contractor in accordance with the directives in the following Chapter 8.0 on Safety and Security. 6.28.2) The Contractor shall take all necessary precautions to ensure the safety and security of all personnel and material on the project site. Safety Belts and Helmets shall be provided for all employed labour (casual, temporary, permanent or sub-contracted) and all visitors in the project site. No worker shall be permitted to work above 3 M from the adjacent floor / ground level without safety belts and helmets. 6.28.3) An automobile in good running condition with a licensed driver shall be kept available on the project site at all times in the event of any accident or mishap. Emergency medicines and medical equipment shall also be kept easily available on the site. Children shall not be employed or allowed on the project site. 6.28.4) Particular precautions shall be taken to protect and secure the resident labour personnel, executed work, and unused material on the project sites during the nights, and the Contractor shall provide a 24 hours X 7 days Security on the worksite. 6.28.5) The Contractor shall be fully responsible for the safety and security of all personnel on the project site. Use or storage of Explosives or carrying out of any controlled blasting within the GUJARAT AGRO INFRASTRUCTURE premises without formal, official WRITTEN PERMISSION of the appropriate

If such controlled blasting is found to be genuinely necessary, the Contractor shall apply and procure all official permissions at his own cost before using any explosives in the work. 6.29) MISCELLANEOUS CONDITIONS AND STIPULATIONS: 6.29.1) During the entire course of this Contract, the GUJARAT AGRO INFRASTRUCTURE is, and shall remain, in continuous and uninterrupted possession of the project sites at all times. This Contract agreement shall only permit the Contractor to work on the project site during the Contract period, with temporary and revocable consent of the GUJARAT AGRO INFRASTRUCTURE, up to the completion of the specific assignment. At NO time shall the Contractor engage in any activity on the site other than that specified in the Contract agreement. No visitors shall be permitted on the project site without prior permission or proper authorisation. 6.29.2) The Contractor shall take all precautions and care to avoid any inconvenience or agitation to any of the neighbouring property. 6.29.3) SUPERIOR Quality of Workmanship, Economy in Time and Cost, Precision, Accuracy, and Efficiency of operations in the assigned work shall be the cumulative guiding factors and objectives set for the Contractor. The Contractor shall be presumed to have taken these factors into consideration while quoting the item rates by including any anticipated expenses and making provision for contingencies in order to achieve the set objectives. Particular emphasis, however, is laid on overall QUALITY, with superior finishing quality of workmanship, in the work. 6.29.4) These Instructions and special conditions of Tender shall supersede and prevail over any corresponding or contradictory terms and conditions anywhere in this Tender document. Any errors / omissions / contradictions shall be got clarified or corrected from the PMC / GUJARAT AGRO INFRASTRUCTURE before signing the Contract Agreement. 6.30) INCOME TAX DEDUCTION:- Income tax will be deducted at source from every bill as per rules and regulation in force. DECLARATION TO BE SIGNED WITH SEAL & STAMP OF OFFICE / FIRM: I / We hereby declare that I / We have read and studied in detail the special instructions and conditions of this Tender in the above Clauses, and understood the scope of the project and my / our fundamental duties and responsibilities under this Contract. 7.0 SPECIAL CONDITIONS FOR SAFETY & SECURITY

7.1) GENERAL INSTRUCTIONS AND CONDITIONS: 7.1.1) These special conditions for Safety and Security are included as a part of the terms and conditions of Agreement in the present construction contract to ensure that the Contractor takes utmost care and diligence in the welfare of all personnel – labour, supervisors, plant and machinery operators and visitors – on the project site. These conditions also intend to ensure that the employees of the GUJARAT AGRO INFRASTRUCTURE, and the visiting Guests of GUJARAT AGRO INFRASTRUCTURE, Architects, GUJARAT AGRO INFRASTRUCTURE and allied Consultants and their staff are provided adequate safety and security on the project site during the course of construction, as part of Contractor’s responsibility. 7.1.2) The contractor shall be temporarily permitted to carry out construction activities on the project sites owned by the GUJARAT AGRO INFRASTRUCTURE, or specific parts thereof, only by authorization under the Contract Agreement. No person shall be allowed to enter any area in the GUJARAT AGRO INFRASTRUCTURE premises which has not been authorised for use by the Contractor or his workmen. Entry to the existing factory premises shall be with access permits as per rules. 7.1.3) The Contractor shall ensure that no employee or casual labour use any plant or machinery on the project site that may endanger or jeopardize any employee of the GUJARAT AGRO INFRASTRUCTURE or any authorized visitor to the project site at all times during the contract period. 7.1.4) During the course of construction, the project site must be kept clean and tidy, free of all dangerous scrap and debris which is not required for use, leaving specific passages for human movement, so as to prevent and avoid any accidents, damage or injury. The Contractor shall remove all waste material and rubbish from and around the work site and leave the job thoroughly cleaned up, ready for use, after completion of work. 7.1.5) With a view to the safety of its own Employees, the GUJARAT AGRO INFRASTRUCTURE/ Architects/ PMC reserves the right to inspect at any time, any items of Machinery or equipment brought into site by the Contractor, his servants and agents and to prohibit the use on the site of any items, which in their opinion is or may be dangerous. The exercise of such right by the GUJARAT AGRO INFRASTRUCTURE or the Architects (or the omission to exercise it any particular case) however, shall not eliminate or reduce the complete responsibility of the Contractor and his employees and sub-contractors from their own duty to provide a safe and secure system of working and the safe and secure use of his machinery and equipment on the project site at all times. 7.2) SAFETY AND SECURITY MEASURES: 7.2.1) While carrying out work at heights exceeding 3 M height or below 3 M depth in any place, Safety Belts must be worn by the workmen with its hook securely fastened. 7.2.2) All workmen engaged on overhead work shall be experienced in such work, and at no time shall any workman carry out any dangerous overhead work alone or without supervision. Adequate Safety equipment like Safety Belts, Crawling Ladders, Safety Nets etc. shall be provided by the Contractor for use in all overhead work. 7.2.3) Warning Signs must be provided at all places of any possible danger to humans.

7.3) EXCAVATION WORK: In the event of an excavation being made or a man hole being lifted, etc; the Contractor is responsible for seeing that any opening, sump or pit caused by them or their sub-contractors is securely fenced, as required by the Factory Act. 7.4) LIFTING GEAR: The Contractor shall produce a Test Certificate to the GUJARAT AGRO INFRASTRUCTURE from approved certifying authorities for all his lifting gear and hoist, slings, chains, hooks, chain pulley block, winches, hoists, hoists, cranes, etc, before starting the work. These Certificates shall be retained at site with the Contractor’s supervisor for subsequent spot checks also. 7.5) PRESSURE AND LEAK TESTING: Pressure and leak testing of all equipment is normally to be done hydraulically. However, in special cases where pneumatic testing is essential, written approval is to be obtained from the GUJARAT AGRO INFRASTRUCTURE before starting work. Under no circumstance gases other than Nitrogen, Carbon dioxide, Air or Steam are to be used. 7.6) ELECTRICAL: Portable power tools rated for above 50 volts, supply, and hand rated for above 24 Volts supply are not permitted at site. GUJARAT AGRO INFRASTRUCTURE will make available Electric Supply at 220 volts for such Equipments if possible. The step down transformer is to be provided by the Contractor. The transformer shall be feed through an armoured cable with a 3 pin plug, properly earthed. All power supply / distribution boards will have canopy for protection. All supply points shall have proper plug and socket, and loose wire connections shall NOT be permitted. 7.7) WELDING: As far as possible, DC Generator Sets are to be used instead of AC Transformer Sets. AC Transformer Sets are banned for welding jobs inside vessels [both open and closed top type]. Contractor shall get his welding sets certified by Electrical Section of the Electricity Authority before starting work. These certificates shall have to be renewed every two months. A copy of the certificates shall be displayed on respective welding sets. Only cables in good condition and insulated holders are to be used. The length of supply cable to welding shall not exceed 25 ft. and the welding set body shall be properly earthed. The welder is to wear good quality insulated welding gloves, shoes and overalls while at work. A charged Fire Extinguisher of CO 2 type is to be carried with each welding set. The welder should not use a building structure, pipe line, railway track, etc, as a return path of the current. ELCB shall be provided for human protection, on all Power Supply Points. 7.8) FIRE REGULATION: Fire Prevention: Before carrying out any hot work [gas cutting, welding etc] the Contractor is to obtain hot work permit from GUJARAT AGRO INFRASTRUCTURE/ PMC Engineer after ascertaining that the area is safe for working. Smoking is strictly prohibited in the premises. No combustible material is to be stored on or near any source of heat [i.e. hot pipes, welding or gas cutting operations, boilers, furnaces, etc.] and before leaving the place of work or contractor’s sheds the Contractor’s employees are to ensure that nothing is left which could start a fire.

Special attention is to be paid to collection and disposal of oil soaked cotton waste or rags. On no account are these to be dropped into corners, pushed below equipment or left hanging on pipes. Gas cylinders should be used in a safe manner. They should not be dropped from heights. Acetylene Cylinders should be kept in upright position. Oxygen cylinders should be kept near inflammable materials like oil, etc. Tarpaulins are not to be used in the vicinity of welding / gas cutting jobs. Contractor’s employees of the least status of a foreman shall examine all arrangement before such work is commenced and shall satisfy himself that all reasonable safety precautions have been taken. The Contractor shall remove all waste material and rubbish from and about the work site and leave the job thoroughly cleaned up, ready for use. 7.9) PERSONAL PROTECTIVE EQUIPMENT: Protective clothing, footwear, head and eye protection safety equipment are to be worn, at all times as per the job requirements. For specific needs of the PPE REFER Appendix attached. The contractor at no extra cost to client shall provide all PPE to the contractor’s staff and workmen. 7.10) ACCIDENTS: In case of injury or serious illness, immediately notify the GUJARAT AGRO INFRASTRUCTURE Security officer. All injuries are to be reported by filling in the injury Report form, which will be available with respective department of the GUJARAT AGRO INFRASTRUCTURE. All the contractor’s workmen shall be covered under the Employee’s State Insurance Scheme / Janata Policy / any other scheme which may be specified by the statutory Authorities from time to time. All precautions necessary not only for the safe working for the Contractor’s working at site shall be taken by the Contractor, but he shall also deploy all precautions to safeguard existing structures, Equipments and workmen of other agencies in and around job site, from any accident. 7.11) REVIEW MEETING: Periodic Safety Review Meeting will be conducted by the Contractor’s Safety Officer / representative to review Safety and for better co-ordination with other agencies. The Site In-charge shall personally attend the meeting and ensure compliance. 7.12) WORK AFTER NORMAL WORKING HOURS: Extra care need to be taken for jobs being carried out after normal working hours with due revalidated work permit. Adequate provision of lighting shall be done by the Contractor in the event of any night activity being necessitated. As far as possible, however, all night time work should be avoided, except in exceptional circumstances, when night work is permitted by the GUJARAT AGRO INFRASTRUCTURE/ Architect by special permission in writing. In any case, NO work shall be carried out above 3 m level from the ground at night. Concreting work in progress shall be planned for completion before nightfall. 7.13) CONVEYANCE FOR EMERGENCY: Conveyance and person with driving license should be available at site at all times of work execution so that in case of an accident, the victim can be rushed to nearest medical centre. A well-equipped First Aid Box is to be kept in the site office at all times. The site in charge and main supervisors should be trained in First Aid, for Electrical shock, Fall from Heights, Burns, etc.

(Hereinafter referred to as “PMC”) AND,WHEREAS, the Contractor has inspected the site and surroundings of Works specified in the Tender Document and satisfied itself/ himself by careful examination before submitting its/ his tender as to the surface strata, soil, sun-soil and ground, the form and nature of site and local conditions, the quantities, nature and magnitude of work, availability of labour and material necessary for the execution of the works, the means of access to the site, the supply of power and water thereto and the accommodation it may require and has made local and independent inquiries and obtain complete information as to the matters and things referred to, or implies in the Tender Document, or having any connection therewith, and has considered the nature and extent of all probable and possible situation, delays, hindrances or interference to/ or with the execution and completion of work, to be carried out under contract and has examined and considered all other matters conditions and things and probable and possible contingencies, and generally all matters incidental thereto and ancillary thereof affecting the execution and completion of the Works which might have influenced it in making its Tender. AND WHEREAS the notice inviting tender/letter inviting tender, tender document, general conditions of contract, specifications, letter of acceptance of tender, schedule of payments and other documents which this agreement and the terms and conditions of contract enclosed herewith, constitute the terms and conditions under which the contractor shall perform the work, and they shall form part of this agreement. For purpose of this agreement the expression “CONTRACT” shall also include any modifications, alternations, variations, in the specifications by way of additions and deletion thereto, written instructions, directions etc. issued by the GUJARAT AGRO INFRASTRUCTURE/ PMC from time to time. AND, WHEREAS, the Contractor has deposited as Earnest Money Deposit a sum of Rs. 100,000.00 (In Words: One Lac only.) with the GUJARAT AGRO INFRASTRUCTURE for the due performance of this Agreement. NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS 1. In consideration of the payments to be made to the contractor for Works to be executed by it the contractor hereby covenants with the GUJARAT AGRO INFRASTRUCTURE that the Contractor shall and will duly provide, execute and complete the Works and shall do and perform all other acts and things, in the contract mentioned or described, or which are to be implied there from or the manner and subject to the terms and conditions, or stipulations, mentioned in Contract and the works shown upon the said drawings and such further details drawings as may be furnished to him by the PMC and described in the Specifications and Revised Priced Schedule of Quantities. 2. In consideration of the due provision, execution and completion of the Works, GUJARAT AGRO INFRASTRUCTURE does hereby agree with the Contractor that the GUJARAT AGRO INFRASTRUCTURE will pay to the Contractor the respective amounts for the work actually done by him and approved by the PMC/ GUJARAT AGRO INFRASTRUCTURE at the scheduled rate and such other sum payable to the contractor under provision of the contract, such payment to be made at such time and in such manner as provided in the contract. 3. The term ‘the PMC’ in the said conditions shall mean the said PMC, or the survivors of them, or in the event of their death or ceasing to be the PMC for the purpose of this contract, such other person as shall be nominated for that purpose by the GUJARAT AGRO INFRASTRUCTURE, not being a person to whom the contractor shall object for reasons considered to be sufficient by the GUJARAT AGRO INFRASTRUCTURE. 4. The Drawings, Specifications, and Priced Schedule of Quantities above mentioned shall form the basis of this contract and the decision of the PMC or Arbitrator/s or Umpire as mentioned in the Conditions of Contract in reference to all matters of dispute as to material, workmanship or account and as to the intended interpretation of the clauses of this agreement or any other document attached hereto shall be final and binding on both parties and may be made a Rule of Court. 5. The said contract comprises the work above mentioned and all subsidiary works connected therewith within the same site as may be ordered to be done from time to time by the said PMC or other ARCHITECTS / PMC for the time being even though such works may not be shown on the drawings or described in the said specifications or the Priced Schedule or Quantities. 6. The GUJARAT AGRO INFRASTRUCTURE through the PMC reserves to themselves the right of altering the drawings and nature of the work and of adding to or omitting any items of work or of having portions of the same carried out Departmentally or otherwise and such alternations or variations shall be carried out without prejudice to this contract and without affecting the offered rates. No extra claims shall be admissible for any reduction in quantities. 7. It is specifically and distinctly understood and agreed between the GUJARAT AGRO INFRASTRUCTURE and the contractor that the contractor shall have no right, title or interest in the site made available by the GUJARAT AGRO INFRASTRUCTURE for execution of the work, or in the building structures, or work executed on site made available by the GUJARAT AGRO INFRASTRUCTURE for execution of work or in the building structure or work executed on the site by the contractor or in the goods, articles, materials, etc. brought on the site (unless the same specifically belongs to the Contractor) and the Contractor shall not have or deemed to have any lien whatsoever and / or change for unpaid bills nor will be entitled to assume or retain possession or control of site or structures and GUJARAT AGRO INFRASTRUCTURE shall have an absolute and unfettered right to take full possession of the site and to remove the contractor, their servants agents and materials belonging to the contractor and lying on site. 8. The materials including sand, gravel, stone, loose earth, rock etc. dug up or excavated from the work site shall unless otherwise expressly agreed under this contract, exclusively belong to the GUJARAT AGRO INFRASTRUCTURE and the contractor shall have no right to claim over the same and such excavations and materials should be deposited of on account of the GUJARAT AGRO INFRASTRUCTURE according to the instruction in writing issued from time to time by PMC.

Terms & conditions if any, stipulated by the contractor while submitting his tender, or otherwise, shall be applicable only to the extent such terms and conditions are specifically accepted in writing by the GUJARAT AGRO INFRASTRUCTURE. 10. All disputes arising out of or in any way connected with this agreement shall be deemed to have arisen in Mumbai and only the Court in Mumbai shall have jurisdiction to determine the same. 12. 9. GENERAL SPECIFICATIONS OF MATERIALS AND WORKMANSHIP

NOTE: The work shall generally be carried out as per the latest standard specifications of relevant I.S. Specifications if not covered by above. However in addition the General Specifications contained herein shall also have to be followed, and will override the I.S. Specifications wherever they are at variance. A ] GENERAL INSTRUCTIONS : 9.1) Drawings: 9.1.1) One laminated set of drawings with index shall be compiled in portfolio form and maintained at site so that these are available to the GUJARAT AGRO INFRASTRUCTURE, Architect / PMC and Consultants whenever they visit the site. 9.1.2) The contractor shall maintain one set of drawings for record purposes in which all deviations made at site or otherwise shall be marked in red. The GUJARAT AGRO INFRASTRUCTURE Engineer shall ensure compliance. 9.1.3) Drawings which are superseded or cancelled shall be withdrawn and not referred to thereafter by Contractor or his staff. All defects arising out of use of such drawings will have to be rectified by the Contractor without extra charge. 9.1.4) All drawings are the property of the Architect / PMC/ Company and shall be returned on completion of work. No drawing shall be given to any person not connected with the work. 9.2) Dimensions: Figured dimensions are in all cases to be followed in preference to scaled sizes. Large scale details take precedence over small scale drawings. In case of any discrepancy the contractor must ask for clarification from the Architect/ PMC before proceeding. 9.3) Setting Out: 9.3.1) The contractor is to execute the work in accordance with the drawings. The Contractor shall carry out precisely the centre line layout on the site as per the centre line plan and will be responsible for the correctness of the above and any inaccuracies are to be rectified at his own expense. 9.3.2) The Contractor shall take levels of the site before setting out and put them on record without extra charge. 9.4) Work as per Drawings: The work to be carried out is related to the drawings which the Contractor is presumed to have studied, and includes work at all levels and positions. Nothing extra will be paid for any item on account of its shape, size, location or other difficult circumstances even if the schedule of quantities makes no distinction, as long as the item is shown in the drawings. 9.5) Workers Toilets: The contractor is to provide at his own expense for the use of the workmen temporary latrines to the satisfaction of the local authorities, keep them clean, empty, disinfect and do all that is required to keep themin a perfect sanitary condition. The location of such sanitary facilities shall be approved by the Architect/ PMC.

9.6) Mechanical Plant: In addition to requirements demanded of the general contractor under the clauses of the conditions of contract, the Contractor must provide and maintain entirely at his own expense, all machinery set up required for building construction work on the site. Under NO circumstances, any reason for non-availability of machinery will be entertained. All the above plant will be of pattern approved by the Architect/ PMC located in such positions, and erected in such a manner as may be indicated and approved 9.7) Inclement Weather: The contractor shall take the necessary steps at his own expense to protect labour colony and personnel and material from the effects of inclement weather. 9.8) Restriction on Storage and Working on the site: All parts of the site and buildings must at all times be kept clear as possible to facilitate transport of materials and rapid progress of the work. No employees of the contractor, other than those authorised by the Architect/ PMC, will be allowed to live on the site. 9.9) Night Work-Overtime Work: The contractor will carry on the works night and day without intermission and without extra charge, if the Architect/ PMC so direct, in order to complete his contract within the period stipulated in the conditions of contract, except that NO concreting shall be done at night without the permission of the Architect/ PMC. All illumination and power installations required for night work shall be at the contractor’s expense and risk. B] CIVIL WORKS: No blasting or use of any explosives will be permitted for excavation without permission in writing from the appropriate authorities. The contractor shall, at least 7 working days before commencement of compaction, submit the following to the engineer for approval.

1. The values of maximum dry density and Optimum Moisture Content obtained in accordance with IS :2720 (Part 7 or Para 8), as the case may be, appropriate for each of the fill materials he intends to use.

2. A graph of density plotted against moisture content from which each of the values in 'i' above of maximum dry density and optimum moisture content were determined.

3. The dry density- moisture content - CRB relationship for light, intermediate and heavy compactive efforts (Light corresponding to IS :2270 (Part7). Heavy corresponding to IS:2720 (Part 8).ad intermediate in between the two) for each of the fill materials he intends to use in the sub-grade.

Wet mix macadam: Providing, laying, spreading and compacting graded stone aggregate (size range 53 mm to 0.075 mm ) to wet mix macadam (WMM) specification including premixing the material with water at OMC in mechanical mix plant, carriage of mixed material by tipper to site, for all leads & lifts, laying in uniform layers with mechanical paver finisher in sub- base / base course on well prepared surface and compacting with vibratory roller of 8 to 10 tonne capacity to achieve the desired density, complete as per specifications and directions of Engineer-in-Charge. Wet mix macadam construction is an improvement over the conventional water bound macadam providing speedy and more durable construction. It differs from the water bound macadam in that graded aggregates (conforming to requirements indicated in Table III) and granular materials are mixed with predetermined quantity of water in accordance with the specifications to form dense mass which is spread and wiled to approved lines, grades and cross-section to serve as pavement course(s). This work shall consist of laying and compacting clean, crushed, graded aggregate and granular material, premixed with water, to a dense mass on a prepared sub-base as the case may be in accordance with the requirements of these Specifications. The material shall be laid in one or more layers as necessary to lines, grades and cross-sections shown on the approved drawings or as direction by the Engineer. The thickness of a single compacted Wet Mix Macadam layer shall not be less than 75 mm. Materials Aggregates Physical requirements: Coarse aggregates shall be crushed stone. If crushed gravel is used, not less than 90 percent by weight of the gravel pieces retained on 4.75 mm sieve shall have at least two fractured faces. ** To determine this combined proportion, the flaky stone from a representative sample should first be separated out. Flakiness index is weight of flaky stone metal divided by weight of stone sample. Only the elongated particles be separated out from the remaining (non-flaky) stone metal. Elongation index is weight of elongated particles divided by total non-flaky particles. Materials finer than 425 micron shall have Plasticity Index (PI) not exceeding 6. The final gradation approved within these limits shall be well graded from coarse to fine and shall not vary from the low limit on one sieve to the high limit on the adjacent sieve or vice versa. General guideline and Procedure for Wet mix macadam 1) P.I. value of Materials finer than the 425 micron sieve should be less than 6. 2) The mix should be prepared in approved mixing plant of suitable capacity having provision for controlled addition of water and forced/positive mixing arrangement, like, pug mill or pan type mixes of concrete batch/plant 3) The mixed material should be uniformly wet and no segregation should be permitted. 4) The mix should be spread uniformly and evenly in required quantities on the prepared sub grade/sub-base either by a ~elf-propelled paver finisher or a motor grader fitted with blades having hydraulic control suitable for initial adjustment and maintaining the same. In no case should the mix be dumped in heaps on the area. 5) The thickness of single compacted wet mix macadam layer should not be less than 75 mm nor more than 100 mm. However, the compacted thickness of single layer of the sub-base may be increased up to 200 mm provided vibratory roller of approved type is used for compaction. The roller speed should not exceed 5 Km / hour. 6) Rolling should continue till density achieved is at least 98 per cent maximum dry density as per IS: 2720 (Part VIII). 7) When surface irregularity of wet mix macadam exceeds permissible tolerance or where the course is otherwise defective (like, sub grade soil getting mixed with the aggregates), the full thickness of the layer should be scarified over the affected area, reshaped with added premixed material as applicable and re-compacted. The area treated in this manner should not be less than 5 m long and 2 m wide. 8) It is not advisable to lay the wet mix macadam during rains and the tempo of work suffers during rains. 9) After construction of the top WMM layer will need immediate sealing with bituminous surfacing. 10) Provision of adequate drainage for the foundation area for the construction courses assumes greater importance in this method of construction.

Construction Operations 01. Preparation of base: The surface of the sub-base to receive the wet mix macadam course shall

be prepared to the specified lines and crossfall (camber) and made free of dust and other extraneous material. Any ruts or soft yielding places shall be corrected in an approved manner and rolled until firm surface is obtained if necessary by sprinkling water. Any sub-base surface irregularities, where predominant, shall be made good by providing appropriate type of profile corrective course (levelling course).

02. Provision of lateral confinement of aggregates: While constructing wet mix macadam, arrangement shall be made for the lateral confinement of wet mix. This shall be done by laying materials in adjoining shoulders along with that of wet mix macadam layer. 03.Preparation of mix: Wet Mix Macadam shall be prepared in an approved mixing plant of suitable capacity having provision for controlled addition of water and forced/positive mixing arrangement like pugmill or pan type mixer of concrete batching plant. Optimum moisture for mixing shall be determined in accordance with IS: 2720 (Part-8) after replacing the aggregate fraction retained on 22.4 mm sieve with material of 4.75 mm to 22.4 mm size. While adding water, due allowance should be made for evaporation losses. However, at the time of compaction, water in the wet mix should not vary from the optimum value by more than agreed limits. The mixed material should be uniformly wet and no segregation should be permitted. 04.Spreading of mix: Immediately after mixing, the aggregates shall be spread uniformly and evenly upon the prepared subgrade/sub-base/base in required quantities. In no case should these be dumped in heaps directly on the area where these are to be laid nor shall their hauling over a partly completed stretch be permitted. The mix may be spread either by a paver finisher or motor grader. For portions where mechanical means cannot be used, manual means as approved by the Engineer shall be used. The motor grader shall be capable of spreading the material uniformly all over the surface. Its blade shall have hydraulic control suitable for initial adjustments and maintaining the same so as to achieve the specified slope and grade. The paver finisher shall be self-propelled, having the following features: (i) Loading hoppers and suitable distribution mechanism (ii) The screed shall have tamping and vibrating arrangement for initial compaction to the layer as it is spread without rutting or otherwise marring the surface profile. (iii) The paver shall be equipped with necessary control mechanism so as to ensure that the finished surface is free from surface blemishes. The surface of the aggregate shall be carefully checked with templates and all high or low spots remedied by removing or adding aggregate as may be required. The layer may be tested by depth blocks during construction. No segregation of larger and fine particles should be allowed. The aggregates as spread should be of uniform gradation with no pockets of fine materials. 05.Compaction: After the mix has been laid to the required thickness, grade and crossfall/camber the same shall be uniformly compacted, to the full depth with suitable roller. If the thickness of single compacted layer does not exceed 100 mm, smooth wheel roller of 80 to 100 kN weight may be used. For a compacted single layer upto 200 mm, the compaction shall be done with the help of vibratory roller of minimum static weight of 80 to 100 kN or equivalent capacity roller. The speed of the roller shall not exceed 5 km/h. In portions having unidirectional cross fall/super elevation, rolling shall commence from the lower edge and progress gradually towards the upper edge. Thereafter, roller should progress parallel to the centre line of the road, uniformly over-lapping each preceding track by at least one third width

until the entire surface has been rolled. Alternate trips of the roller shall be terminated in stops at least 1 m away from any preceding stop. In portions in camber, rolling should begin at the edge with the roller running forward and backward until the edges have been firmly compacted. The roller shall then progress gradually towards the centre parallel to the centre line of the road uniformly overlapping each of the preceding track by at least one third width until the entire surface has been rolled. Any displacement occurring as a result of reversing of the direction of a roller or from any other cause shall be corrected at once as specified and/or removed and made good. Along forms, kerbs, walls or other places not accessible to the roller, the mixture shall be thoroughly compacted with mechanical tampers or a plate compactor. Skin patching of an area without scarifying the surface to permit proper bonding of the added material shall not be permitted. Rolling should not be done when the subgrade is soft or yielding or when it causes a wave-like motion in the sub-base/base course or subgrade. If irregularities develop during rolling which exceed 12 mm when tested with a 3 metre straight edge, the surface should be loosened and premixed material added or removed as required before rolling again so as to achieve a uniform surface conforming to the desired grade and crossfall. In no case should the use of unmixed material be permitted to make up the depressions. Rolling shall be continued till the density achieved is at least 98 per cent of the maximum dry density for the material as determined by the method outlined in IS: 2720 (Part-8). After completion, the surface of any finished layer shall be well-closed, free from movement under compaction equipment or any compaction planes, ridges, cracks and loose material. All loose, segregated or otherwise defective areas shall be made good to the full thickness of the layer and recompacted. 06.Setting and drying: After final compaction of wet mix macadam course, the road shall be allowed to dry for 24 hours. Surface Finish and Quality Control of Work Control on the quality of materials and surface finishing shall be as per direction of the Engineer.
