DIRECTOR ELECTION 2018-2021

Jennifer Thurber

Mrs. Thurber and her husband, Bob, re-side in the Town of Jasper and have been Co-operative members for 21 years. She recent-ly obtained her Credentialed Cooperative Di-rector’s certification and has a strong family connection to SREC as both her grandfather and father were SREC directors. She current-ly serves as Vice-President of the Board of Di-rectors of SREC. Jennifer attended Jasper Central School and Olean Business Institute. She is em-ployed as Director of Administrative Services for Family Service Society in Corning and serves on the Finance, Management, Person-nel and Bylaw committees. Jennifer has two sons, Adam and Bren-nan.

Robert V. Nichols Mr. Nichols and his wife, Susan, reside in the Town of Tuscarora and operate a dairy farm with their son Dan. He has been a Coop-erative member for 44 years and a Board member since 2003 and currently serves as Treasurer. He is a graduate of Corning Community College and Cornell University. He currently serves as Town of Tuscarora Supervisor; President of the Addison Milk Cooperative; 17 years a Deacon at the Tuscarora Baptist Church; is a member of the Addison Fish & Game Club; is a Board Member of the Steuben Soil & Water District; and has served as Steuben County Legislator for 15 years. Bob has five adult children and 17 grand-children.

Randy Stankey

Mr. Stankey and his wife, Brenda, reside in the Town of Leon. They have been Coopera-tive members for over 40 years and a member of the Board of Directors since 2016. He is a graduate of Pine Valley High School and Alfred State College. As a mem-ber of Carpenters Local for 36 years he worked at West Valley Disposal and Niagara Mohawk. In addition, he was foreman for Benchley Construction at Nestle Purina in Dunkirk, NY. Since retiring, Randy enjoys motorcycling, snowmobiling, and watching high school sports. Most importantly, he enjoys spending time four-wheeling with his family and grand-children.

DIRECTOR QUALIFICATIONS

In order to be elected to the Board as a Director, candidates must meet the following qualifications (see Bylaws, Article IV Direc-tors, Section 2 Qualifications & Tenure): Directors shall be elected by ballot at each annual meeting of the members, by and from the members, to serve until the third succeeding annual meeting of the members or until their successor shall have been elected and shall have qualified. No person shall be eligible to become or remain a director or to hold any position of trust in the Cooper-ative who: (A) Is not a member and domiciliary resident of the district within the Cooperative for which the director was elected to serve; (B) Is in any way employed by or financially interested in a competing enterprise or a business selling electric energy, equipment or supplies to the Cooperative; (C) Is an employee of the Cooperative or has been an employee of the Cooperative within five (5) years from the date of the annual meeting at which the nomination will come to a vote; (D) Is unable to read, write and speak in the English language; (E) Is not able to enter into a legally binding contract; (F) Is a convicted felon; (G) Who has had bills owed to the Cooperative delinquent for more than ninety (90) days within the past two (2) years.

CERTIFICATION OF NOMINATING COMMITTEE  

Nomina�ng Commi�ee cer�ed to the Board of Directors as required by the Bylaws, that they made a prudent effort to nominate at least two nominees from each district scheduled for elec�on and were able to nd only one candidate willing to be nominated for the posi�on of Director from Districts 5, 7, and 8.     

NOMINATIONS  

Addi�onal nomina�ons can be made for Board seats using the following criteria (Bylaws, Ar�cle IV Directors, Sec-�on 3, Nomina�ons:)  Any �een (15) or more members ac�ng together may make other nomina�ons by pe��on not less than �een (15) days prior to the mee�ng, and the Coopera�ve shall post such nomina�ons, under the direc�on of the Secre-tary of the Board of Directors, at the same place where the list of nomina�ons made by the commi�ee is posted.  Under  the direc�on of  the  Secretary of  the Board of Directors,  the Coopera�ve  shall mail with no�ce of  the mee�ng or separately, but at least seven (7) days before the date of the mee�ng, a statement of the number of directors  to be elected and the names and addresses of  the candidates, specifying separately  the nomina�ons made by pe��on,  if any.   Nothing contained herein  shall, however,   prevent addi�onal nomina�ons  from  the oor at the mee�ng of the members.  Addi�onal nomina�ons made by pe��on or from the oor shall be for the respec�ve districts scheduled for elec�on.   The nominee  in each district receiving the highest number of votes cast shall be deemed elected to the Board of Directors. 

VOTING PROCEDURES

Vo ng at the Mee ng: Elec�ons are to ll three Board seats, District 5, 7, and 8 for a three-year term.  You will receive an Official Vo�ng Ballot when you register at the Annual Mee�ng.  Ballots will be collected and tabulated during the business mee�ng.  If you are unable to a�end the mee�ng, you may vote by proxy.  Proxy Vo ng: If you are unable to a�end this year’s mee�ng, you may vote for candidates on the elec�on slate by obtaining a proxy.  A member may give his proxy only to another member, and no person may hold more than one (1) proxy at any mee�ng.  The presence of a member at a mee�ng shall revoke a proxy theretofore executed by him and such member shall be en�tled to vote at such mee�ng in the same manner and with the same effect as if he had not executed a proxy.  To obtain a Proxy: (1) Call the Bath Office at 607-776-4161 or 800-843-3414 or the Cherry Creek Office at 716-296-5651 or 800-883-8236 and request a proxy.  Please have your account number available when you call.  The proxy will be mailed to you.  (2)  Apply at either the Bath or Cherry Creek Office in person.  Only a member may apply in person and ONLY THE MEMBER GIVING THE PROXY TO ANOTHER MEMBER MAY OBTAIN A PROXY.

After receiving several requests from the members and positive response from the mem-bers following last year’s meeting, the Board has approved applying the $25.00 gift cer-tificates distributed at the Annual Membership Meeting to members upon registration to individual member accounts. Again this year, each registered member (account), will receive a $25.00 credit that will be applied to the members’ November billing statement. In addition to the $25.00 cred-it, the Board has agreed to continue with the $5.00 credit that has always been applied to registered members’ November billing statements. For all members attending and registering at this year’s annual meeting, your November billing statements will reflect a $30.00 credit. It will not be necessary to send in a sepa-rate certificate with your payment.
