(SIIDCUL) is established to promote Industrial development in the State, develop
infrastructure and assist private initiative in Industry and Infrastructure and implement,
manage projects and provide specialized financial, consultancy and construction and all such
other activities to promote industries and develop Industrial Infrastructure in the State of
Uttarakhand.
A 12-Seater Twin track Bi-Cable Jig-Back Passenger Cum Goods Ropeway was in operation
since 2009 and was established by Directorate of Rehabilitation, Tehri Dam Project through
UshaBreco Limited under supervision of PWD. In 2012 it was directed to SIIDCUL by
Principal Secretary (Industry) to take over the operation & maintenance of said ropeway
project. The ropeway is designed to transport passengers as well as goods between Tipri
(Drive side) and MadanNegi (Return side) in TehriGarhwal of Uttarakhand,(Technical details
of Project can be seen onwebsite of SIIDCUL website https://www.siidcul.com).
SIIDCUL invites submission of online Proposal under two bid system i.e. Technical and
Financial Bids from competent/ Eligible applicants. Applicants are advised to study the RFP
document carefully before submitting their proposals in response to this advertisement.
Submission of the proposal in response to this advertisement shall be deemed to have been
done after careful study and examination of the RFP document with full understanding of its
terms, conditions and implications and actual site conditions. This RFP document is non-
transferable.

RFP DOCUMENT
1. PREAMBLE
A 12-seater Twin track Bi-cable Jig back passenger cum goods ropeway was constructed across
river Bhilangana in Tehri district by M/s. Usha Breco Ltd., 3rd floor, Parsvnath Majestic Arcade,
18A, VaibhavKhand, Indrapuram, P.O. Sahibabad, Dist: Gaziabad – 201012 (U. P.), Email:
[email protected] in 2009, vide Directorate of Rehabilitation, S. E. (Rehabilitation) bond
no. 6/SE (R) Cable/2006 dated 05/06/2006 (Construction Division, PWD, Tehri under THDC
rehabilitation circle). Funding for the project was done by Bhagirathi Valley Development
Authority. M/s. UshaBreco Ltd. operated this ropeway from 17/11/2009 to 06/05/2010 and
03/09/2010 to 09/10/2010, thereafter operation was stopped due to funding issues. Since,
06/03/2013 State Infrastructure & Industrial Development Corporation of Uttarakhand Ltd.
(SIIDCUL) was asked to operate this ropeway. Accordingly SIIDCUL is getting it operated as
deposit work through UPRNN, Unit-1, Doon University, Kedarpuram, Dehradun
2. OBJECTIVE
SIIDCUL Board of Directors have directed that, instead of operating the ropeway through
UPRNN on deposit work basis, SIIDCUL shall directly take up the operation of ropeway by
engaging an operator on Viability Gap Funding (VGF) model.
Hence this RFP is being floatedto invite proposals from prospective applicants for O & M of
Tipri-Madannegi ropeway, as per the scope of work on VGF model. The revenue earned by the
sale of tickets to users shall remain with the successful applicant and after considering this
revenue, he will quote his minimum viability gap funding rates per month to be reimbursed from
SIIDCUL for the O & M of ropeway, as per scope of work and other conditions of contract.
3. TECHNICAL DETAILS OF ROPEWAY
The technical details of the ropeway are as following:
(i) Span of ropeway: 924 meters.
(ii) Name of river: Bhilangana
(iii) Drive side: Tipri (TehriGarhwal)
(iv) Return side: MadanNegi (TehriGarhwal)
(v) Design & Drawing details of ropeway are given in Annexure-IX.
A brief description of the assignment and its objectives are given below in the “Scope of
Work”.

4. SCOPE OF WORK
The successful applicant shall be responsible for operation and maintenance of the subjected
Tipri-MadanNegi ropeway in accordance with the relevant provisions of Uttarakhand Ropeway
Act 2014, which shall include but not limited to the following:
(i) The successful applicant shall operate and maintain the Passenger & Goods Ropeways for
a period of three years from the date of handing over of the systems, as per the operation
timings permitted by the local administration. Maximum number of running hours in a day
is envisaged at minimum 8 hours for ropeway (ropeway will not be operated in night
hours). Ropeway shall be operated all days of the week. One day in a month shall be
closure day for passengers, for maintenance. The operation time and days of ropeway may
be changed as per directions of local administration/SIIDCUL.
(ii) The successful Applicant shall supply all spares (both operating and emergency) for all the
electrical and mechanical equipment and fixtures/ fittings at both the terminal stations of
Ropeway including ropeway alignment lighting (Flood lights), communication systems etc.
free of cost for the maintenance of the systems during the Contract period.
(iii) Regular, preventive & predictive maintenance & testing schedule for the whole system
along with lifecycle of the critical components shall be provided and got approved by the
Chief Ropeway Inspector. All the mandatory tests shall be carried out as per approved
schedule and test reports/certificates shall be submitted to SIIDCUL. Any spare/equipment
to be replaced/repaired after the above tests, the same shall be carried out and get it tested
for safe operation of the system before commencing the Operation at its own cost.
(iv) The successful applicant shall also get the necessary tests done for the following
components for the parameters as directed by Chief Ropeway Inspector, GoUK, 583,
Opposite Govt. ITI Niranjanpur, Majra, Saharanpur Road, Dehradun – 248001:

Control System
(v) The successful applicant shall provide the operation and maintenance manuals and will get
it approved by Chief Ropeway Inspector, GoUK. The copy of approved O&M manuals
shall be provided to SIIDCUL by the applicant, failing which he will be held responsible
for any mis-happening.
(vi) The existing Gen-set shall be operated & maintained properly with all spares including
diesel, for uninterrupted operation of ropeway system.
(vii) The successful Applicant shall provide and maintain an office at the site with modern
communication like walky-talky at their cost for his Engineer and staff and such office

shall be open at all reasonable hours to receive instructions, notices or other
communications. An assistant with walky-talky shall be appointed mandatorily by the
successful applicant and deputed inside the cable car.
(viii) The successful Applicant shall undertake to supply all spares free of cost for the
maintenance of the systems during the contract period.
(ix) The successful Applicant shall undertake all necessary approvals and compliances required
from District Magistrate, Chief Ropeway Officer, Fire department etc. and also comply
with all relevant provisions of Uttarakhand Ropeway Act 2014.
(x) The successful Applicant shall undertake Maintenance of all Consumables General
maintenance, oiling, greasing, general spares (line sheaves, liners, electric spares, hydraulic
oil, gear oil, rope oil, AMC / Testing & Inspection - DG Set, Wireless / communication,
Radiography checking of ropes, NDT of all critical parts, WDA of all lubricants, DPT of all
welding joints, Checking of all lifting tools, Calibration of measuring instruments,
Maintenance – For any kind of maintenance shutdown shall not be more than three days at
max, DG set Diesel charges, Electricity charges and all required charges etc.
(xi) Safety Norms – The successful bidder shall provide life jackets to all the passengers
mandatorily.
(xii) Manpower deployment
a) The following minimum qualified, experienced and fit personnel are to be appointed
for the O&M of the Ropeway. The successful bidder would have to provide the
necessary details and respective signed resumes/biodata of these personnels before
signing the agreement.

b) Frequent change of manpower will not be entertained. The person(s) deployed for a
particular position shall work in that position for a period of at least 6 months from the
date of joining continuously. Any change in persons from the site shall have the prior
approval of SIIDCUL.
(xiii) Issuance of ticket and collection of ticket charges from the users shall be the responsibility
of successful applicant.
5. ELIGIBILITY CRITERIA

6. RATE OF TICKETS TO BE CHARGED BY THE OPERATOR
The operator shall charge from local passenger the fee of Rs. 10 only per crossing (one side) and
Rs. 150 per transit (to and fro) from the tourists.
7. QUOTING OF RATES AND BID VARIABLE
The revenue earned by the contractor as per the fixed ticket rates mentioned in the RFP shall
remain with the contractor only. Keeping this factor in view the viability gap funding per annum,
required by the bidders for operation and maintenance of above said ropeway as per the scope of
work, conditions mentioned in the RFP, shall be the bid variable, while quoting the above
following must be taken note of :-
a) The price shall be quoted in Indian Rupees. b) The price offer shall be prepared as per Annexure-VII. c) The rate shall include applicable taxes. d) The price shall be neatly and legibly written both in figures and words. If the rates quoted in
figures and in words differ, the lower of these two will be adopted.
e) Before quoting rates, the applicant shall inspect the existing ropeway system and shall include all possible essential requirements/ replacement if any in their rates along with the
salary of technical team (Site in charge, Electrical Engineer, Mechanical Engineer, Operators,
etc.) and salary of non-technical team (Guard etc.). Maintenance of all consumables, AMC/
Testing and inspection charges, D. G. Set(62 KVA), Wireless etc., maintenance charges,
annual shutdown 6 days, all operation charges (electricity charges, diesel charges, etc.), cost
of insurance charges and any other charges including GST.
f) Price bid shall not contain any commercial conditions. Variation in the commercial terms and conditions of the tender will not be accepted.
8. RENEWAL OF THE CONTRACT
SIIDCUL shall have the exclusive right of renewing the contract of successful applicant
depending on the performance and compliances by the successful bidder during the contract
period. However the successful bidder shall have no right of claim for such renewal. The
decision of SIIDCUL shall be final and binding to the applicant.
9. LANGUAGE OF THE PROPOSAL
The Proposal prepared by the Applicant as well as all correspondences and documents relating to
the Proposal shall be in English language only. If the supporting documents are in a language
other than English/Hindi, the notarized translated English version of the documents shall also be
enclosed. Proposal received without such translation copy will be rejected.

10. PROPOSAL DOCUMENTS
The RFPis available online on SIIDCUL website: https://www.siidcul.com. and also on e-
proposal portal of https:uktenders.gov.in. A non-refundable processing fee of Rs. 5,000 (Rupees
Five Thousand only) in the form of Demand draft/Online in favour of the Managing Director,
State Infrastructure and Industrial Development Corporation of Uttarakhand Ltd. while
submitting the bid or online payment as per details provided in Notice Inviting Proposal above.
11. CLARIFICATION ON THE PROPOSAL DOCUMENT
Any discrepancies, omissions, ambiguities or conflicts in the RFP document or any doubts as to
their meaning and any request for clarification must be notified to the Client, in writing, by 31-
03-2020 (upto 17.00 hrs). Any request for clarification in writing or by e-mail([email protected])
must be sent to the Client’s address “General Manager, SIIDCUL, 29, IIE (IT PARK),
Sahastradhara Road, Dehradun-248001, Uttarakhand (India)”. The Client will upload replies to
queries on its website :www.siidcul.com and e-procurement portal http://uktenders.gov.in .
12. AMENDMENT OF PROPOSAL DOCUMENT
SIIDCUL whether on its own initiative or as a result of a query, suggestion or comment of an
Applicant or a Respondent, may modify the RFP document by issuing an addendum or a
corrigendum at any time before the opening of the proposal. Any such addendum or corrigendum
will be communicated to all the agencies who had purchased the RFP documents through e-
procurement portal http://uktenders.gov.in and the same will be binding on all Applicants or
Respondents, as the case may be.
13. PROPOSAL PREPARATION AND SUBMISSION COST
a) Applicant shall bear all costs associated with the preparation and submission of proposal
including visits, if need be, for personal inspection of the site and SIIDCUL will in no case be
responsible or liable for those costs, regardless of the conduct or outcome of the proposal
process.
b) Applicant to have no claim on SIIDCUL on the outcome of the proposal process. SIIDCUL
reserves the right to accept, in its sole and unfettered discretion, any proposal or reject any
proposal.
c) No claim for compensation etc. will be entertained by SIIDCUL for rejected proposals on any
ground whatsoever.
14. AUTHORISATION OF THE APPLICANT
The proposal shall be signed on each page by the Applicant or by the person who is duly
authorized for the same by the Applicant. A letter of authorization from the Board of Directors or

Managing Director of Applicant organization authorizing the Proposal Submitting Authority
shall be enclosed. The proposal received without letter of authorization will be summarily
rejected.
15. SUBMISSION OF PROPOSAL
a) Format & Signing of Bid: The Bidders shall provide all the information online sought
under this RFP. The Authority will evaluate only those Bids that are received in the
required formats and complete in all respects.
b) Submission of Bid: The Bidder shall submit the Price Bid in the format as specified in
the RFP document online through www.uktenders.gov.in.
c) Technical bid documents: The documents of Technical Bid shall also be submitted
online through www.uktenders.gov.in in the format as specified. Bids not submitted in
the prescribed forms/formats will be summarily rejected. Bidders are advised to fill all
information clearly and legibly in prescribed format.
16. EARNEST MONEY DEPOSIT
a) The Proposal shall be accompanied by an Earnest Money Deposit (EMD) to the value of Rs.
1,50,000/- (Rupees One Lakh Fifty Thousand only) in the form of a Demand Draft or
Banker’s cheque drawn on any Indian Nationalised/Scheduled Commercial Bank in favour of
the Managing Director, State Infrastructure and Industrial Development Corporation of
Uttarakhand Ltd.”, payable at Dehradun or online payment as per details provided in Notice
Inviting Proposal above. The EMD in any other form will not be accepted. The Earnest
Money Deposit will be returned to the unsuccessful Applicant after signing of the contract
agreement with the successful bidder.
b) EMD will be retained in the case of successful Applicant and it will not earn any interest and
will be dealt with, as provided in the terms and conditions of the proposal.
c) Any request of Applicant, under any circumstances claiming exemption from payment of
EMD will be rejected and their Part II price offer will not be opened.
d) The amount remitted towards EMD is liable to be forfeited in case the Applicant fails to
execute the contract after submission of the proposal or after acceptance of the offer by
SIIDCUL or fail to sign the Agreement or to remit the Security Deposit.
17. VALIDITY
The amount quoted in the Proposal shall be valid for the acceptance by the SIIDCUL, for a
minimum period of 120 days from the date of opening of the Proposal. The accepted amount is
valid during entire contract period. Escalation in the amount will not be entertained under any
circumstances.

18. OPENING AND EVALUATION OF THE PROPOSAL
a) The proposals received up to 2.00 PM as per the office clock on 18-04-2020 will be taken
up for opening. Proposals received after specified date and time will not be accepted. The
Proposal will be opened by the evaluation Committee authorized by SIIDCUL at 03.00
PM on the same day in the presence of the available Applicants / representatives of the
Applicants who choose to be present. The Applicant or their authorized agents are allowed
to be present at the time of opening of the proposals.
b) If the date fixed for opening of the proposal happens to be a Government holiday, the
sealed proposals will be received up to 3.00 PM on the next working day and opened at
04.00 PM on the same day.
c) The Technical bid will be evaluated by the Committee of SIIDCUL in terms of the
qualification Criteria. The Committee reserves the right to disqualify any of the proposal
in case the Committee is not satisfied with the documents furnished.
19. EVALUATION OF THE PRICE
a) The Applicant whose quote is lowest for Operation and Maintenance of ropeway will be
adjudged as L1.
b) SIIDCUL will not be responsible for any erroneous calculation of tax rates or any subsequent
changes in rates or structure of applicable taxes. All differences arising out as above shall be
fully borne by the successful applicant.
20. AWARD OF CONTRACT
The Applicant who has quoted lowest price (L1) will be invited for negotiations. Upon
finalization of negotiated rate, SIIDCUL will issue the Letter of Acceptance (LoA) to the
successful applicant.
On receipt of the Letter of Acceptance from the SIIDCUL, the successful Applicant shall remit a
Security Deposit (SD) of 10% of the total value of the contract, by way of Demand Draft
drawn on any scheduled commercial bank in favour of the “Managing Director, State
Infrastructure and Industrial Development Corporation of Uttarakhand Ltd.”, payable at
Dehradun. within 15 (fifteen) working days from the date of receipt of Letter of Acceptance. The
EMD shall be adjusted with the security deposit.
21. SECURITY DEPOSIT
a) Any other amount pending with SIIDCUL will not be adjusted under any circumstances,
against the Security Deposit if so requested.
b) If the Security Deposit amount is not paid within the time specified, the EMD remitted by the
Applicant shall be forfeited, besides cancelling the communication of acceptance of the

Proposal.
c) Security Deposit amount remitted will not earn any interest.
22. AGREEMENT
The successful Applicant shall execute an agreement as may be drawn up to suit the conditions
on a non-judicial stamp paper of value, as prescribed in law on the date of remittance of Security
Deposit and shall pay for all stamps and legal expenses incidental thereto. In the event of failure
to execute the agreement, within the time prescribed, the EMD/SD amount remitted by the
Applicant will be forfeited besides cancelling the Proposal.
23. PERIOD OF CONTRACT
The contract period will be maximum of Three years from the date of agreement and the
agreement shall be Pre-closed with one month prior notice before the contract period as desired
by the SIIDCUL. In the event of pre-closure of agreement by the contractor an prior notice of six
months before the pre-closure needs to be given by the contractor to SIIDCUL. In such event the
EMD and security deposit of the contractor shall forfeited.
24. STANDARDS TO BE ADOPTED
a) The materials and workmanship of all works shall confirm to the latest Bureau of Indian
Standards, Important among them are:
(i) IS 3973-1934: Code of Practice for the Selection, Installation and Maintenance of Wire
Ropes
(ii) IS 5228-2003: Fixed grip monocable ropeway
(iii) IS 5229-1998: monocable automatic grip (detachable) ropeways
(iv) IS 7403-1974: selection of standard Worm & helical gear boxes.
b) The above list is not exhaustive. Reference shall be made to other relevant codes whenever
necessary and wherever applicable. It shall not be necessary to append and specify such
standards and codes with the RFP documents and they shall be deemed to be an inseparable
part of the RFP document and agreement to be entered into. When the codes or specifications
are silent on certain aspects, the construction shall conform to sound engineering practice. In
case of any dispute arising out of the interpretation of the above, the decision of SIIDCUL
shall be final and binding on the successful applicant. These shall be bound to this document
and become part and parcel of the agreement.
25. INSURANCE
a) The Successful applicant shall insure the plant and machineries for their full value against all
risk by fire, burglary, strikes, riots and civil commotion and natural calamities like floods,

earthquake, explosion etc. before commencing the works and keep the policy alive till the
end of the Operation and Maintenance period. The policies shall be in the name of SIIDCUL
from insurance companies approved by IRA. The Value of the successful applicant’s All
Risk Policy (CAR) shall be that of the total value of existing systems /works to be carried out
by the applicant.
b) The Successful applicant shall take suitable insurance policy value as detailed below to meet
all Personal /Public/ labour liabilities and claims during the Operation and Maintenance
period.
(i) Public liability – For any one accident Rs. 2.00 crores, For any one-year Rs. 4.00
crores
(ii) Personal accident – For one person Rs.5.00 Lakhs
(iii) Medical reimbursement - For one person Rs. 2.00 Lakhs
c) The Successful applicant will be responsible for the premium in connection with extending
the period(s) of insurance covers.
d) The Successful applicant shall be entirely responsible for any loss/ injury or damage to
persons, animals or things and for all damage to property which may arise from any act or
omission on the part of the successful applicant.
e) The Successful applicant shall be entirely responsible for any loss or damage to the public,
passengers, operators, plants and machineries due to any deficiency / negligence on the part
of the successful applicant/his personnel during the O&M until the plant is taken over.
f) The liability under this clause shall cover also, inter alia, any damage to structures, whether
immediately adjacent to the works or otherwise, any damage to roads, streets, footpaths,
bridges as well as damage caused to the buildings and other structures and works forming the
subject matter of this Contract. The Successful applicant shall also be responsible for any
damage caused to the buildings and other structures and works forming the subject matter of
this Contract due to rain, wind, frost or other inclemency of weather.
g) The Successful applicant shall indemnify and keep indemnified SIIDCUL and hold him
harmless in respect of all and any loss and expenses arising from any such injury or damage
to persons or property as aforesaid and also against any claim made in respect of injury or
damage, whether under any statute or otherwise and also in respect of any award or
compensation or damage consequent upon such claim.
h) The Successful applicant shall reinstate all damage of every sort mentioned in this clause so
as to deliver up the whole of the works complete and perfect in every respect and so as to
make good or otherwise satisfy all claims for damage to property of third parties including
neighboring buildings etc.
i) SIIDCUL shall also be protected against all claims in respect of damages to third parties
including the SIIDCUL’s staff, visitors, neighbors and other passers-by which may be made
against SIIDCUL by any person in respect of anything which may arise in respect of the
works or in consequence thereof or due to accidents on account of the incidental risks which

may occur during the execution of works/operation& Maintenance and the successful
applicant shall, at his own expense, effect and maintain, until the virtual completion of the
O&M Contract, with an Insurance Company approved by SIIDCUL a policy of Insurance in
the name of SIIDCUL against such risks and deposit such policy or policies before
commencement of the works.
j) The Successful applicant shall also indemnify SIIDCUL against all claims made upon
SIIDCUL, whether under the Workmen’s Compensation Act or any other statute in force
during the currency of this Contract or at Common Law in respect of any employee of the
successful applicant or of any Sub-applicant and shall at his own expense effect and maintain
until the completion of the O&M Contract, with an insurance company, approved by
SIIDCUL, a Policy of Insurance against such risks and deposit such policy or policies with
SIIDCUL from time to time during the currency of this Contract.
26. RESCUE SYSTEM
Latest system for easy and quick emergency rescue of passengers in sufficient quantity shall be
provided by the successful applicant (Minimum 2 sets). The successful applicant has to conduct
Mock-up rescue operation to train the operating personnel as instructed by the safety committee
once in 3 months.
27. RETRIEVED MATERIALS
The retrieved materials/worn out spares shall be listed out then & there and shall be removed
from the site by the successful applicant after approval of SIIDCUL.
28. HANDING OVER OF SYSTEMS
The Ropeway Systems (Both Passenger & Goods) as a whole shall be handed over to the
SIIDCUL in good working condition to the satisfaction of SIIDCUL & Safety/Expert committee
and fit for public use after the completion of contract period.
29. PAYMENT TERMS
a) Payment will be made on quarterly basis on the contracted rate for three years.
b) No interest will be paid for the payment due for the bills submitted.
c) All payments shall be made in Indian currency.
30. INTEREST
SIIDCUL shall not be liable to pay any interest to successful applicant on his deposits with
SIIDCUL or any deferred payments.

31. TAXES
(i) The Govt. taxes and other levies, if any shall be borne by the Applicant.
(ii) Income Tax
Income Tax, if applicable, will be deducted at source, while releasing the payment against R.A-
Bill/Total Bill.
32. PENALTY AND LIQUIDATED DAMAGES
a) In case the Successful applicant fails to employ equivalent substitute for the O&M staff
within twenty-four hours a penalty of Rs. 2500/- per day of default for each person in the
case of Engineers and Rs. 1500/ - per day of default for each person in the case of
Technician and Rs.1000/- per day of default for each person in the case of Operator shall be
levied & deducted from the payments due to the successful applicant. Biometric attendance
will be taken as the basis for the levying penalty.
b) All essential spares shall be listed and kept ready for immediate replacement. O&M shall
not be stopped for any type of break down for more than 48 Hours except for regular
scheduled maintenance. The delay beyond 48 hours will attract a liquidated damage of 2
times of daily average collection of previous month for first year of operation and
corresponding month of previous year from subsequent years for every 24 hours and part
thereof.
c) If the stoppage is more than 48 hours due to major break down caused due to the reason
beyond the control of the successful applicant, the successful applicant has to take
expeditious action to rectify the defects and bring back the system for safe operation within
the mutually agreed time period.
33. TERMINATION OF CONTRACT
a) Termination by Default
(i) SIIDCUL may without prejudice to any other remedy for breach of contract, by written
notice of default with a notice period of one month, sent to the Successful Applicant,
terminate the contract in whole or part,
• if the Successful Applicant fails to Operate & Maintain a Twin track Bi-Cable Jig-
Back Ropeway of 60 PPH specified in the details, or fails to fulfill the requirements
as per the Proposal conditions or within any extension thereof granted by
SIIDCUL; or
• if the Successful Applicant fails to perform any of the obligation(s) under the
contract; or
if the Successful Applicant, in the judgment of SIIDCUL, has engaged in
fraudulent and corrupt practices in competing for or in executing the Contract. if

the activities of the successful applicant or his men is found be detrimental to the
interest of the SIIDCUL.
(ii) In the event SIIDCUL terminates the Contract in whole or in part, SIIDCUL may opt
up on terms and in such manner as it deems appropriate, the services of the other
Applicants. However, the Successful Applicant shall continue the performance of the
contract to the extent not terminated.
b) Termination for Insolvency
(i) In the event of the Applicant
• Becoming bankrupt or insolvent, or
• Making a composition or arrangement with or assignment in favour of his creditors,
or
• Agreeing to carry out the Contract under a committee of inspection of his creditors,
or
• Being a company, having a winding up order made or (except for purposes or
reconstruction), a resolution for voluntary winding up passed, or a receiver or
manager of his business or undertaking duly appointed or possession taken by or on
behalf of the holders of any debentures secured by a floating charge, of any
property comprised in or subject to the floating charge, the employment of the
Successful applicant under this Contract shall be forthwith automatically
determined but the said employment may be reinstated and continued if SIIDCUL
and the Successful applicant, his trustee in bankruptcy, liquidator, receiver or
manager as the case may be shall so agree.
(ii) SIIDCUL may at any time terminate the Contract by giving written notice with a notice
period of one month to the Successful Applicant, if the Successful Applicant becomes
bankrupt or otherwise insolvent. In this event, termination will be without compensation
to the Successful Applicant, provided that such termination will not prejudice or affect
any right of action or remedy that has accrued or will accrue thereafter to SIIDCUL.
c) Corrupt Practice
(i) SIIDCUL shall be entitled to terminate the employment of the Successful Applicant
under this Contract
(ii) If the Successful Applicant shall have offered or given or agreed to give to any person
any gift or consideration of any kind as an inducement or reward for doing or forbearing
to do or for having done or forborne to do any action in relation to the obtaining or
execution of this Contract with SIIDCUL, or For showing or forbearing to show favour
or disfavor to any person in relation to this Contract, or any other Contract with
SIIDCUL or if the like acts shall have been done by any person employed by the
Successful Applicant or acting on his behalf (whether with or without the knowledge of

the Successful Applicant) or if in relation to this Contract or any other Contract with
SIIDCUL the Successful Applicant or any person employed by him or acting on his
behalf shall have committed any offence under the prevention of corruption act, or shall
have given any fee or reward the receipt of which is an offence under the Local
Government Act
d) Consequences
(i) In the event of the employment of the Successful Applicant being terminated as
aforesaid and so long as it has not been reinstated and continued, the following shall be
the respective rights and duties of SIIDCUL and Successful Applicant.
(ii) The Retention money & Security Deposit shall stand forfeited in favour of SIIDCUL.
(iii) The Successful applicant shall deliver to the Expert committee all Manuals and other
documents made by or for the Successful Applicant in connection with the O&M
Works.
(iv) SIIDCUL may employ and pay other persons to carry out and complete the works and
he or they may enter upon the Works and use all temporary buildings, plant, machinery,
appliances, goods and materials intended for, delivered to and placed on or adjacent to
the works and may purchase all materials and goods necessary for the carrying out the
completion of the Works.
(v) The Successful applicant shall if so required by SIIDCUL / Expert committee within 14
days of the date of termination assign to SIIDCUL without payment the benefit of any
Agreement for the supply of materials or goods and/or for the execution of any works
for the purposes of this Contract but on the terms that a supplier or Subapplicant shall
be entitled to make any reasonable objection to any further assignment thereof by
SIIDCUL. In any case SIIDCUL may pay any supplier or Sub-applicant for any
materials or goods delivered or Works executed for the purpose of the Contract
(whether before or after the date of determination), in so far as the price thereof has not
already been paid by the Successful applicant. Payments made under this paragraph
may be deducted from any sum due or to become due to the Successful Applicant.
(vi) The Successful applicant shall as and when required in writing by SIIDCUL / Expert
committee so to do (but not before) remove from the works any temporary buildings,
plant, tool, equipments, goods and materials belonging to or hired by him. If within a
reasonable time after any such requirements has been made the Successful applicant,
has not complied therewith then SIIDCUL may (but without being responsible for any
loss or damage) remove and sell any such property of the Successful applicant, holding
the proceeds less all costs incurred to the credit of the Successful Applicant.
(vii) The Successful applicant shall not be released from any of his obligations or liabilities
under the Contract prior to the date of termination.

(viii) The Successful applicant shall allow or pay to SIIDCUL in the manner hereinafter
appearing the amount of any direct loss and/or damage caused to SIIDCUL by the
termination. Until after completion of the works under this Clause SIIDCUL shall not
be bound by any provisions of this Contract to make any further payment to the
Successful applicant , but upon such completion and the verification within a reasonable
time of the accounts thereof the Expert committee shall certify the amount of expense
properly incurred by SIIDCUL and the amount of any direct loss and/or damage caused
to SIIDCUL by the determination and if such amounts when added to the monies paid
to the Successful applicant before the date of determination exceed the total amount
which would have been payable on due completion in accordance with this Contract,
the difference shall be a debit payable to SIIDCUL by the Successful applicant and if
the said amounts, when added to the said monies be less than the said total amount, the
difference shall be a debit payable by SIIDCUL to the Successful applicant.
34. GENERAL CONDITIONS
a) Conditional Proposal in any form will not be accepted.
b) Any notice regarding any problems, to the supplier shall deemed to be sufficiently served, if
given in writing at his usual or last known place of business.
c) SIIDCUL reserves the right to relax or waive or amend any of the proposal conditions.
d) SIIDCUL reserves the right to reject any or all the proposals without assigning any reason
thereof.
35. ASSIGNMENT/SUB-CONTRACTING
a) The successful applicant shall not assign or sub-let this Contract or any part thereof
without the prior written consent of SIIDCUL. This consent shall not, however be denied
unreasonably.
b) Any sub-contracting by the successful applicant shall not relieve him of his responsibility for
performance of his obligations under this contract.
36. CONFIDENTIALITY
All process details, engineering data, drawings, documents, correspondence, decisions and orders
concerning the Contract shall be treated as confidential and/or restricted in nature by both parties
and they shall not divulge or allow access to them by any unauthorized person.
37. FORCE MAJEURE
a) Neither SIIDCUL nor the Successful Applicant shall be liable to the other for any delay or

failure in the performance of the irrespective obligations due to causes or contingencies
beyond their reasonable control such as:
Natural phenomena including but not limited to earthquakes, flood sand epidemics, Acts of
God, any Government authority, domestic or foreign including but not limited to war
declared or undeclared, priorities and quarantine restrictions. Accidents or disruptions
including, but not limited to fire, explosions, breakdown of essential machinery or
equipment.
b) If at any time during the continuance of this Contract the performance by either party under
this Contract of any of its obligations is rendered impossible by reasons of Force Majeure
then, provided written notice of the happening of the event of Force Majeure is given by the
affected party to the other within 15 days, of the occurrence thereof and provided that such
event of Force Majeure has not resulted from the negligence or failure of the affected party
to perform its obligations, the affected party shall not be liable for fulfillment of any of its
obligations pursuant to this Contract during the continuance of the event of Force Majeure.
c) So soon as practicable, upon the cessation of the Force Majeure conditions, the affected party
shall continue performance of its obligations under the Contract.
d) The affected party shall take steps to remedy and mitigate the effects of the Force Majeure
event on its ability to perform its obligations under the Contract.
e) Time for performance of the relative obligation suspended by the Force Majeure shall then
stand extended by the period for which such cause lasts. If the Contract shall be terminated
under the provision of the above clause, the Successful Applicant shall with all reasonable
diligence remove from the Site all the Successful Applicant’s equipments.
f) Any extension of time granted by SIIDCUL in terms of above clause, shall neither entitle the
Successful Applicant to any claim for increase in prices nor shall it release him from any of
the obligations under the Contract. If the performance of the Contract as a whole is delayed
by reason of the Force Majeure conditions continuing to persist for a continuous period
exceeding 30 Working days, SIIDCUL will grant due extension of Time for the time lost.
g) SIIDCUL shall not be held responsible or be called upon to make good any losses / costs
incurred by the Successful Applicant consequent to the happening of any of the event under
clause above.
38. DISPUTE RESOLUTION MECHANISM
(A) All disputes and differences of any kind whatsoever arising out of or in connection with the
Contract, whether during the progress of the works shall be referred by the successful
applicant to the SIIDCUL and the SIIDCUL shall within a reasonable time after their
presentation make and notify decisions thereon in writing. The decisions, directions,
clarifications, measurements, drawings and certificates of the SIIDCUL shall be final and

binding upon the successful applicant during the progress of the works and shall not be set
aside on account of non observance of any formality, any omission, delay or error in
proceeding in or about the same or on any other ground or for any reason.
(B) If the successful applicant is dissatisfied with the decisions of the SIIDCUL or if the
SIIDCUL fails to make a decision on any reference within a reasonable time, then and if in
any such case, the successful applicant may after 90 days of the reference to the SIIDCUL
refer the matters to Dispute resolution committee consisting of following members:
a) Principal Secretary/ Secretary Industries Department
b) Managing Director, SIIDCUL
c) Director of Applicant Agency
d) Representative of Finance Department SIIDCUL.
e) Technical Representative of SIIDCUL
The decision of above committee will be binding on both parties. The language of the
Proceedings shall be in English/Hindi. The governing law shall be the laws in the State of
Uttarakhand and of India, as applicable.
39. JURISDICTION OF THE COURT
Any dispute arising out of non-fulfillment of any of the terms and conditions of this
Proposal/Agreement or Civil or Criminal matter or any other dispute will be subject to the
jurisdiction of the relevant court at Dehradun, and High Court at Nainital only.

NOW, THEREOF, this indenture witnesses:
1. That the contract for the said work shall be valid for
the period of 3 (Three) years from the date
___________________, unless terminated earlier on account of
following:-By giving 30 (Thirty) days’ notice in writing from
SIIDCUL without assigning any reason.
2. That in addition to above rates the concessionaire is
liable to pay all Govt. Taxes including GST (presently @18%)
applicable at the rates declared by Govt. of India/State
Govt./ union Territory from time to time.
3. That the Concessionaire shall deposit an earnest money
amounting to Rs. 1,50000/- (Rupees One lac Fifty Thousand
only) in the form of Demand Draft/NEFT/RTGS/ FDR pledged in
favor of SIIDCUL/Bank Guarantee of a Nationalized / Scheduled
Bank in favour of SIIDCUL for a period of 37 months. In the
event of the Concessionaire committing any breach of the terms
& conditions of the agreement, SIIDCUL may without prejudice

to other rights and remedies be entitled to forfeit/adjust the
total amount of Security Deposit or any part thereof. In Such
an event he shall pay in the same manner as stated above such
additional sum immediately as he may be called upon by SIIDCUL
to pay, so that the Security Deposit shall at all times during
the continuance of these presents, be for the same amount. On
the expiration or earlier determination of the licence SIIDCUL
shall return the Security Deposit or part thereof which has
not been forfeited as aforesaid, to the concessionaire,
without interest
4. That the Concessionaire shall equip himself with all
necessary NOCs permits, licence and such other permissions as
may be required under the law in force at any time with regard
to the operation of the subject agreement.
5. The Concessionaire shall not terminate the contract
before the expiry of the period of the agreement except by Six
months notice in writing. The agreement can be terminated by
SIIDCUL by giving one month notice in writing without
assigning any reason thereto.
6. SIIDCUL and the Concessionaire further agree that they
are bound by the General Terms & conditions mentioned in the
RFP respectively annexed hereto.
7. The RFP document, NIT, General Terms & Conditions, Letter
of Award, handing over/taking over Note shall also form part
and parcel of this agreement and the concessionaire and
SIIDCUL are bound by the same.
