held May 21 1 1956

A meeting of the COMMITTEE ON MERGER OF AMERICAN INr.IAN

DEI<'F.NSE ASSOC::::ATION was held, pursuant to due notice, on May 21, 1936, at

3:30 o'clock p.m., in the office of Howard S. Gans, at No. 270 Madison

Avenue, New York, N. Y.

There were present, Haven Emerson, M.D., and ~Ar. Howard

s. Gans.

Dr. E.~erson acted as Chairman of the meeting, and Y.r.

Gans acted as· Secretary.

On motion of Mr. Gans, it was

RESOLVED, t.hat the Committee .recommend to the Board of

Directors of the Associati. on that a merger be effected betv1een this

Association and the National Association on Indian Affairs, in accordance

with the terms of the proposed statement and the documents annexed there-.

to, heretofore circulated among the members of this Committee and the

Board of Directors of the Association.

held May 21, 1936

A meeting of the Board of Directors of the AMERICPJl INDIAN

DEF'ENSE ASSOCIATION was held, pursuant to due notice, on May 21, 1936, at

4 o'clock p.~., in the office of Howard s. Gans at No. 270 Madison Avenue,

New York, N. ~-.

There were present:

Dr. Haven Emerson Mr. Howard S. Gans Mr. Fred M. Stein Mrs. John Rogers, Jr.

Dr. Emerson acted as Chairman of the meeting, and ~r. Gans

acted as Sec.·etary.

Mr. Gans reported that he had received proxies from Messrs.

Jaates M. Young and Joseph M. Price,. directors of the Association, e.uthoriz-

ing him to vote upon the matter of the merg~r with National Association on

Indian Affairs at this meeting. Mr. Stein reported that he had received a

piOx:f in the same form from Mr. F. W. Hindchs, Jr. of Pasadena, California.

Dr. Emerson reported that he h&d received proxies in the same. form from

the folloYting members of the Board: Pearl Chase, Mr. Chauncey s. Goodrich, •

Mr. James Ford, Stella· M. Atwood, Mabel C. Washburn and William Gates.

Mrs. Rogers reported that she had received a proxy in the same form from

Mr. Lester F. Scott.

On motion, duly made and seconded, it was directed that the

~roxies be annexed to the minutes of this ~ceting.

Mr. Gans reported that the Merger Committee had filed a

report, reading as follows:

"RESOLVED, that the Committee recomcend to the Bos.rd

of Directors of the Association that a merger be effected

between this Association and the National Association on Indian

· Affairs, in accordance with the terms of the proposed statement

and the documents annexed thereto, heretofore circulated among

the members of this Committee and the Board of Directors of the

Ass~ciation. n

Thereupon, it was moved by Mr. Stein, and seconded by Mr.

Gans, that the Board of Directors recommend to the Association that the

repvrt of the Merger Committee be accepted and that the President of the

Association be authorized nnd directed to take such steps as may be required

for the purpose of effectuating a merger in accordance dth the terms of

the recommendation anci that, to that end, he call a meeting of the members

of the Association entitled to vote, at the earliest convenient date, -'ind

take all other appropriate measures to effectuate the merger.

All the members present in person, or by proxy, having

voted in the affirmative, the resolution was passed unanimously.

There being no further business before the meeting, it was •
