EXECUTIVE SUMMARY:

On July 9, 2014, the Board authorized procurement of sixteen (16) new buses from Gillig LLC for the Dumbarton Express service. MV Transportation is contracted to operate and maintain the Dumbarton Express service through December 2016. While the District led the procurement of the new buses in its role as administrator of the Dumbarton Express service, its labor agreements preclude AC Transit-owned rolling stock from being operated and maintained by a contractor. This report seeks Board authorization to transfer ownership of the new buses to the San Mateo County Transit District, which is also a member of the Dumbarton Bridge Regional Operations Consortium (DBROC or the Consortium), consisting of the five transit agencies which have oversight over the Dumbarton Express service.

BACKGROUND/RATIONALE:

The current Dumbarton Express fleet consists of buses ranging from 12 to 18 years old, and they are a challenge to maintain in nominal operating condition due to their age. MV Transportation is contracted to operate and maintain the Dumbarton Express service from December 2011 through December 2016. AC Transit acts as administrator of the Dumbarton Express service on behalf of the

DB ROC. DB ROC membership consists of AC Transit, the Bay Area Rapid Transit District, the San Mateo County Transit District {SamTrans), Union City Transit, and the Santa Clara Valley Transportation Authority.

The District led the procurement of the new buses in its role as administrator ofthe Dum barton Express service. However, provisions in labor agreements preclude AC Transit-owned rolling stock from being operated and maintained by a contractor. Historically, Sam Trans holds title to the rolling stock used for the Dum barton Express.

The new buses were procured using Regional Measure 2 (RM-2) capital funds redirected from the Dumbarton Rail project with approval and consent from the Metropolitan Transportation Commission (MTC) and the Dumbarton Rail project stakeholders. MTC Resolution 4157 authorized allocation of the redirected funds for the new bus procurement.

The only provisions identified for inclusion by MTC staff as part of the transfer agreement between AC Transit and SamTrans for the new buses is to restrict their use to Dumbarton Express service and to include repayment/reimbursement clauses should the buses be removed from Dumbarton Express service prior to the end of their useful life. For this reason and because the Consortium has contracted with MV Transportation via AC Transit to operate the Dumbarton Express service through December 2016, AC Transit cannot make use of the new buses for its own service.

ADVANTAGES/DISADVANTAGES:

The advantage of this action is that it facilitates the replacement of the old Dumbarton Express rolling stock with new buses, thereby improving passenger comfort and contributing to an overall positive riding experience. In addition, new buses will help to improve service reliability and reduce maintenance costs. There is no disadvantage to this action.

ALTERNATIVES ANALYSIS:

The alternative action is to deny the transfer. This is not recommended because the Dumbarton Express service would then continue to operate with aging vehicles past their life cycle. Moreover, due to the MTC RM-2 provisions, the new buses could not be used anywhere else.

A RESOLUTION AUTHORIZING THE GENERAL MANAGER, OR HIS DESIGNEE, TO EXECUTE A TRANSFER OF OWNERSHIP AGREEMENT WITH THE SAN MATEO COUNTY TRANSIT DISTRICT

FOR THE TRANSFER OF SIXTEEN (16) BUSES FOR THE DUMBARTON EXPRESS BUS SERVICE

WHEREAS, the current Dumbarton Express Bus Service fleet consists of buses 12 or more years old; and

WHEREAS, the Dumbarton Rail Policy Advisory Committee {PAC) consented to and petitioned for redirecting Regional Measure 2 (RM-2) capital funds from the Dumbarton Rail project to procure new replacement buses for the Dumbarton Express Bus Service; and

WHEREAS, the Metropolitan Transportation Commission, as administrator of the RM-2 programs, authorized redirection of RM-2 capital funds from the Dumbarton Rail project to procure new replacement buses for the Dumbarton Express Bus Service under MTC Resolution 4157;and

WHEREAS, the Dum barton Bridge Regional Operations Consortium {DBROC) consists of the Alameda-Contra Costa Transit District, the Bay Area Rapid Transit District, the San Mateo County Transit District, and the Santa Clara Valley Transportation Authority as a collaborative extra-governmental body responsible for funding and oversight of the Dumbarton Express Bus Service; and

WHEREAS, AC Transit has day-to-day administrative oversight of the Dum barton Express Bus Service on behalf of the DB ROC; and

WHEREAS, sixteen {16) diesel buses were procured by AC Transit in 2015 for use by the Dumbarton Express Bus Service with the full purchase costs borne by the redirected RM-2 capital funds; and

WHEREAS, MV Transportation is under contract with AC Transit acting on behalf of the DBROC to operate and maintain the Dumbarton Express Bus Service through December 31, 2016;and

WHEREAS, AC Transit's labor agreements preclude AC Transit-owned rolling stock from being operated and maintained by contractors; and

WHEREAS, AC Transit requested and SamTrans agreed to assume ownership of the sixteen {16) diesel transit buses, identified in Exhibit A, that will be used for Dumbarton Express Bus Service and replace the current older fleet.

NOW THEREFORE, the Board of Directors of the Alameda-Contra Costa Transit District does resolve as follows:

Section 1. The General Manager is authorized to execute a Transfer of Ownership Agreement (TOA) on behalf of AC Transit with the San Mateo County Transit District for the transfer of sixteen (16) diesel buses identified in Exhibit A, attached hereto and incorporated herewith.

Section 2. The General Manager, or his designee, is authorized to furnish information to the Metropolitan Transportation Commission as deemed required in connection with the completion of the transfer for the program of projects.

Section 3. Said title transfer will become effective on December 7, 2015.

Section 4. This resolution shall become effective immediately upon its passage by four affirmative votes ofthe Board of Directors.

Dear Ms. Lee:

On September 24, 2014, the Metropolitan Transportation Commission (MTC) approved Resolution No. 4157, which allocated Regional Measure 2 (RM2) revenues to the AC Transit. Funds in the amount of$10,041,581 were allocated to cover expenses incurred for activities specified in the Allocation Instruction(s).

The Regional Measure 2 (RM 2) Capital program is operated on a reimbursement basis. The agency should submit invoices once per quarter, but no more frequently than once per month unless specified in Attachment B of the authorizing resolution. Invoices covering expenditures in the final month of the fiscal year (June 1 through June 30) must be submitted to MTC within 30 days of the end of the fiscal year (no later than July 31). Invoices are to be addressed to the following:

METROPOLITAN TRANSPORTATION COMMISSION

RESOLUTION No. 4157

WHEREAS, pursuant to Government Code Section 66500 et seq., the Metropolitan

Transportation Commission ("MTC") is the regional transportation planning agency for the San

Francisco Bay Area; and

WHEREAS, Streets and Highways Code Sections 30950 et seq. created the Bay Area Toll

Authority ("BAT A") which is a public instrumentality governed by the same board as that governing

MTC;and

WHEREAS, on March 2, 2004, voters approved Regional Measure 2, increasing the toll for all

vehicles on the seven state-owned toll bridges in the San Francisco Bay Area by $1.00, with this extra

dollar funding various transportation projects within the region that have been determined to reduce

congestion or to make improvements to travel in the toll bridge corridors, as identified in SB 916

(Chapter 715, Statutes of2004), commonly referred as Regional Measure 2 ("RM2"); and

WHEREAS, RM2 establishes the Regional Traffic Relief Plan and lists specific capital projects

and programs and transit operating assistance eligible to receive RM2 funding as identified in Streets

and Highways Code Sections 30914( c) & (d); and

WHEREAS, RM2 assigns administrative duties and responsibilities for the implementation of

the Regional Traffic Relief Plan to MTC; and

WHEREAS, BATA shall fund the projects of the Regional Traffic Relief Plan by transferring

RM2 authorized funds to MTC; and

WHEREAS, MTC adopted policies and procedures for the implementation of the Regional

Measure 2 Regional Traffic Relief Plan, specifying the allocation criteria and project compliance

requirements for RM 2 funding (MTC Resolution No. 3636); and

WHEREAS, the Alameda Contra Costa Transit (AC Transit), Alameda County Transportation

Commission, and the Dumbarton Bridge Regional Operations Consortium member agencies are the

project co-sponsors and have designated the AC Transit as the lead project sponsor and implementing

agency for the Dumbarton Express Bus Replacement project; and

WHEREAS, AC Transit has submitted a request for the allocation of RM 2 funds for the

Dumbarton Express Bus Replacement project; and

WHEREAS, the Dumbarton Express Bus Replacement project is an element of the Regional

Measure 2 Express Bus South program, identified as capital project number 29 under RM 2 and is

eligible to receive RM 2 funding as identified in Streets and Highways Code Sections 30914(c)(29);

and

WHEREAS, AC Transit has submitted an Initial Project Report (IPR), as required pursuant to

Streets and Highway Code Section 30914(e), to MTC for review and approval; and

WHEREAS, Attachment A to this resolution, attached hereto and incorporated herein as

though set forth at length, lists the project and phase for which the AC Transit is requesting RM2

funding and the reimbursement schedule and amount recommended for allocation by MTC staff; and

WHEREAS, Attachment B to this resolution, attached hereto and incorporated herein as though

set forth at length, lists the required project specific conditions which must be met prior to execution of

the allocation and any reimbursement of RM2 funds; and

WHEREAS, Attachment C to this resolution, attached hereto and incorporated herein as though

set forth at length, includes MTC staffs review of AC Transit's Initial Project Report ("IPR") for this

project; and

WHEREAS, Attachment D attached hereto and incorporated herein as though set forth at

length, lists the cash flow of RM2 funds and complementary funding for the deliverable/useable RM2

project segment; and

WHEREAS, the claimants to which funds are allocated under this resolution have certified that

the projects and purposes listed and recorded in Attachment A are in compliance with the requirements

of the California Environmental Quality Act (Public Resources Code Section 21000 et seq.), and with

the State Environmentallmpact Report Guidelines (14 California Code of Regulations Section 15000 et

seq.); now, therefore, be it

RESOLVED, that MTC approves MTC staff's review of AC Transit's IPR for this project as

set forth in Attachment C; and be it further

RESOLVED, that MTC approves the allocation and reimbursement of RM2 funds in

accordance with the amount and reimbursement schedule for the phase, and activities as set forth in

Attachment A; and, be it further

RESOLVED, that the allocation and reimbursement of RM2 funds as set forth in Attachment A

are conditioned upon AC Transit complying with the provisions of the Regional Measure 2 Regional

Traffic Relief Plan Policy and Procedures as set forth in length in MTC Resolution 3636; and be it

further

RESOLVED, that the allocation and reimbursement of RM2 funds are further conditioned upon

the project specific conditions as set forth in Attachment B; and, be it further

RESOLVED, that the allocation and reimbursement of RM2 funds as set forth in Attachment A

are conditioned upon the availability and expenditure of any complementary funding as set forth in

Attachment D; and be it further

RESOLVED, that reimbursement of RM2 funds as set forth in Attachment A is subject to the

availability of RM2 funding; and be it further

RESOLVED, that a certified copy of this resolution, shall be forwarded to the project sponsor.

ALAMEDA-CONTRA COSTA TRANSIT DISTRICT RESOLUTION NO. 15-052

A RESOLUTION AUTHORIZING THE GENERAL MANAGER, OR HIS DESIGNEE, TO EXECUTE A

TRANSFER OF OWNERSHIP AGREEMENT WITH THE SAN MATEO TRANSIT DISTRICT FOR THE TRANSFER OF SIXTEEN (16) BUSES FOR USE IN THE DUMBARTON EXPRESS BUS SERVICES

WHEREAS, the current Dumbarton Express Bus Service fleet consists of buses 12 or

more years old; and

WHEREAS, the Dumbarton Rail Policy Advisory Committee (PAC) consented to and petitioned for redirecting Regional Measure 2 (RM-2) capital funds from the Dumbarton Rail project to procure new replacement buses for the Dumbarton Express Bus Service; and

WHEREAS, the Metropolitan Transportation Commission, as administrator of the RM-2

programs, authorized redirection of RM-2 capital funds from the Dumbarton Rail project to procure new replacement buses for the Dumbarton Express Bus Service under Resolution 4157; and

WHEREAS, the Dumbarton Bridge Regional Operations Consortium (DBROC) consists of

Union City Transit, the San Mateo County Transit District, the Santa Clara Valley Transportation Authority, the Bay Area Rapid Transit District and the Alameda-Contra Costa Transit District as a collaborative extra-governmental body responsible for funding and oversight of the Dumbarton Express Bus Service; and

WHEREAS, AC Transit has day-to-day administrative oversight of Dumbarton Express

Bus Service on behalf of the DBROC; and WHEREAS, sixteen (16) diesel transit buses were procured by AC Transit in 2015 for use

by the Dumbarton Express Bus Service with the full purchase cost borne by the redirected RM-2 capital funds; and

WHEREAS, MV Transportation is under contract with AC Transit acting on behalf of the DBROC to operate and maintain the Dumbarton Express Bus Service through December 31, 2016; and

WHEREAS, AC Transit’s labor agreements preclude AC Transit-owned rolling stock from being operated and maintained by contractors; and

WHEREAS, AC Transit requested and SamTrans agreed to assume ownership of the sixteen (16) diesel transit buses identified in Attachment A, that will be used for Dumbarton Express Bus Service and replace the current older fleet.

NOW, THEREFORE, the Board of Directors of the Alameda-Contra Costa Transit District does resolve as follows:

Section 1. The General Manager is authorized to execute a Transfer of Ownership Agreement (TOA) on behalf of AC Transit with the San Mateo County Transit District for the transfer of the sixteen (16) diesel buses identified in Exhibit A, attached hereto and incorporated herewith.

Section 2. The General Manager, or his designee, is authorized to furnish information to

the Metropolitan Transportation Commission as deemed required in connection with the completion of the transfer for the program of projects.

Section 3. Said title transfer will become effective on December 710, 2015. Section 4. This resolution shall become effective immediately upon its passage by four

affirmative votes of the Board of Directors.
