CBA’s five Spring Regional Luncheon Meetings attracted over 300 attendees statewide. With the two lunchtime topics, “Managing Interest Rate Risk for Optimal Balance Sheet Performance” and “Ways to Grow Your Business in a Challenging Environment,” the meetings were very popular and timely. Two Great Afternoons of GolfCBA’s Leadership Division (LD) is one of the most proactive groups in raising funds for the CBA – specifically for CBA’s Political Action Committee and Public Relations Funds (PAC/PR). Every year, the LD hosts golf tournaments to help raise funds for this worthwhile cause. The CBA maintains the only state PAC working exclusively for Georgia’s community banks. Again this year, the golf tournaments were held following two of CBA’s Spring Regional Luncheon Meetings attracting a greater number of participants. Peake Wilson, CBA’s VP of Corporate Events and Leadership Division stated, “Fellowship and camaraderie always go hand-in-hand with CBA events, making an educational session that much more meaningful.” CBA began hosting their annual golf tournaments in conjunction with the Spring Regional Luncheon Meetings last year.

The first 2014 tournament was held on April 3rd at Chateau Elan in Braselton, and the second was held on April 16th at Doublegate Country Club in Albany. With 65 golfers and 25 sponsors collectively participating, the tournaments will certainly enhance the PAC/PR funds in addition to the Inaugural PAC/PR Fundraising Events held earlier this year (January 23rd Women In Banking Seminar and March 25th Sporting Clay Event). Other efforts for PAC/PR fundraising are the “Runnin’ at The Ritz” 5k and the “Kids’ Fun Run” being held during the 36th Annual Leadership Division Convention & Mini-Trade Show in June.

FDIC Urges Georgia Justices to Say Bank Directors Can Be Personally LiableThe Daily Report Online reports the Supreme Court of Georgia is considering whether a Georgia law protects the corporate officers and former executives of a Buckhead bank that failed under their watch from personal liability for the bank's losses even if they neglected their corporate duties.

The justices heard oral arguments Monday because U.S. District Judge Thomas Thrash sought their interpretation of the state's business judgment rule and how it may apply to bank directors and officers in a suit brought by the FDIC against them.The business judgment rule, in general, protects company officers from liability when they make "good faith business decisions in an informed and deliberate manner," according to a 2009 ruling by the Georgia Court of Appeals (Brock Built v. Blake, 300 Ga. App. 816). The presumption behind the rule, according to the appeals court, is that a company's corporate officers have acted on an informed basis, in good faith, and with the belief that any actions they took were in the best interests of the company. As a result, they can't be held personally liable for managerial decisions that turned out badly, caused harm or led to a company's collapse, and the state courts shouldn't second-guess those decisions.

Thrash certified this question to the state Supreme Court: "Does the business judgment rule in Georgia preclude as a matter of law a claim for ordinary negligence against the officers and directors of a bank in a lawsuit brought by the FDIC as receiver for the bank?" The judge said he had been unable to find any clear precedent set by the Georgia high court that the rule applies to bank officers and directors, whose conduct is governed by separate state statutes. FEMA Restoring Subsidized Flood Insurance Rates on May 1 The Federal Emergency Management Agency said it will stop National Flood Insurance Program policy increases for certain subsidized policyholders in accordance with a new ICBA-backed flood insurance law. In a bulletin for Write Your Own insurance companies, FEMA provided guidance on how to adjust rates for certain pre-Flood Insurance Rate Map (FIRM) properties, which typically were built before the development of detailed flood maps.

Effective May 1, pre-FIRM properties that were subject to a full risk rate because they were purchased after enactment of the Biggert-Waters Act or because of a lapse in coverage will see their subsidized rates restored. Read the FEMA Bulletin.

Comptroller: Hackers Likely Turning Toward Community BanksBanks and thrifts that use third-party vendors must recognize the risks these relationships pose, Comptroller of the Currency Thomas Curry said. In a speech on cybersecurity, Curry noted that institutions that supplement their resources with outside providers should have risk-management practices commensurate with their risks. As the big banks improve their IT defenses, hackers likely will turn their attention to community banks, he said. Click here to read more.

OCC Reports Increased Loan Growth Among Southern District Community Banks and ThriftsThe Office of the Comptroller of the Currency (OCC) today reported that the average loan growth rate doubled among community national banks and federal savings associations (FSAs) located in the nine states that make up the OCC’s Southern District from 2012 to 2013, reaching 4 percent in 2013. Some areas experienced even greater average loan growth with as much as 11 percent in areas of Texas and Oklahoma, and 6 percent to 7 percent in some areas of Florida. The growth rate reflects the difference between new loans put on the books minus pay-offs. The OCC’s Southern District includes Alabama, Arkansas, Florida, Georgia, Louisiana, Mississippi, Tennessee, Texas and Oklahoma. Click here to read the full news release. NRF to Establish Retail Information-Sharing Platform to Combat CybercrimeBank Credit News reports the National Retail Federation recently said it will establish a program to provide the retail community with information on cybersecurity threats identified in the financial services sector. The program, which will be developed in partnership with the Financial Services Information Sharing and Analysis Center, will set up an information-sharing platform for information security specialists in the retail industry. The plan also calls for a retail ISAC to be established in June.

“We believe a heightened and well-coordinated information sharing platform such as a retail ISAC is a vital component for helping retailers in their fight against cyberattacks,” NRF President and CEO Matthew Shay said. “Establishing a new program takes time, but time is not our friend when it comes to stopping these sophisticated and unpredictable criminals. The willingness of the FS-ISAC to work with retailers provides our industry with a new and important tool as we explore all of the options available for merchants to protect their customers and their businesses.”

FDIC Hosting Free Deposit-Insurance Seminars for Bank Officers and Employees The FDIC will conduct the following 12 free seminars on deposit-insurance coverage for bank officers and employees between May 6 and Dec. 4:

Four sessions on "Fundamentals of Deposit Insurance Coverage" (Fundamentals Seminar), which will provide an overview of the rules for determining deposit insurance coverage for the nine most common account ownership categories.Four sessions on "Deposit Insurance Coverage for Revocable Trust Accounts" (Revocable Trust Seminar), which will focus on the rules for informal and formal revocable trust accounts.Four sessions on "Advanced Topics in Deposit Insurance Coverage" (Advanced Topics Seminar), which will focus on government accounts, mortgage servicing accounts, bank mergers, pass-through deposit insurance coverage, and other deposit insurance topics.

The agency announced it is hosting four sessions each on the fundamentals of deposit insurance coverage, coverage for revocable trust accounts, and advanced topics in deposit insurance coverage. Each seminar also will be followed by a question-and-answer period with FDIC subject matter experts. Read more from FDIC.

Cyberattacks Targeting ATMs and Card Authorization SystemsThe Federal Deposit Insurance Corp. (FDIC) and Federal Financial Institutions Examination Council (FFIEC) are warning all financial institutions about the risks associated with recent cyberattacks on ATMs and card authorization systems. The attacks have resulted in large-dollar fraud losses and are known as “Unlimited Operations.”

This type of threat is not new. For the most part, financial institutions that issue debit, prepaid or ATM cards have the highest probability of being affected, and therefore, face a variety of risks from Unlimited Operations, including operational, reputational, fraud, liquidity and capital risks.
