The goals of the capstone project are to provide students in Texas A&M’s College of ___________________________________________ with real‐world experience and to provide Company with the opportunity to work with students, develop relationships with students and faculty, and benefit from design efforts and innovations resulting from student projects. nationals.Companymaynotdiscloseexport‐controlledinformationtoTexasA&MorparticipatingstudentsaspartoftheProject.

3.2 TexasA&MrecommendsthatCompanynotintroduceconfidentialinformationintotheProject,whichtakesplaceinanopenandcollaborativeacademicenvironment,andTexasA&MwillnotberesponsiblefortheenforcementoranyviolationsoftheIntellectualPropertyandNondisclosureAgreementbystudents.

3.3 CompanycertifiesthatallpersonsparticipatingintheprojectarenotaRestrictedPartyaslistedontheDeniedPersonsList,EntityList,andUnverifiedList(DepartmentofCommerce),theDebarredPartiesLists(DepartmentofState),theSpeciallyDesignatedNationalsandBlockedPersonsList(DepartmentofTreasury)oranysimilargovernmentallists.TAMUmaybeprohibitedbylawfromengaginginbusinesstransactionswithindividualsorentitiesontheselistsormayrequirealicensefromanagencyoftheU.S.governmentforexporting.Iftheprojectinvolvesexportcontrolledresearchortechnology,Companycertifiesthatitanditsemployeesandagentsareincompliancewithallfederalexportcontrollaws.

4. Results4.1 TexasA&MshallprovideCompanywithacopyoftheProjectresults,includingas

appropriate,anydata,analysis,hardwareand/orsoftware(the“Results”).4.2 TexasA&MshallnotclaimownershiporanyrightsintheResults,andshallrequireall

participatingstudentstosignaseparateIntellectualPropertyandNondisclosureAgreementsubstantiallyintheformattachedtothisAgreementasExhibitA.TexasA&Mhasnolegalauthorityoversitsstudents.

4.3 Companyacknowledgesthat:(a) TheProjectiseducationalinnatureandintendedtofacilitatestudentlearning;(b) Studentsmaymakemistakesasanatural,expected,andappropriateaspectofthe

educationalprocess;and(c) TheProjectisperformedbystudentsandisnotsubjecttopeerreviewor

independentverificationofresults.4.4 TheResultsareprovided“asis,”withoutanyrepresentationorwarranties,express

orimplied,including,butnotlimitedtoanywarrantyastofitnessforparticularpurposes,merchantability,ornon‐infringement.

4.5 CompanyshallindemnifyTexasA&M,TheTexasA&MUniversitySystem,andtheirregents,agents,employees,students,andvolunteersforanyharm,loss,liability,claimsordamageswhichmayarisefromCompany’suseoftheResults.

4.6 TheResultsarenottheworkofTexasA&MandCompanyshallclearlyidentifythesourceoftheResultsinanyreferences,eitherinternallyortothirdparties,asanundergraduatestudentprojectperformedatTexasA&Mwithoutsubsequentindependentevaluation.

5. Term5.1 TheperiodofperformanceforthisAgreementcommencesontheEffectiveDateand

terminates___________________________,unlessextendedbywrittenagreementbytheparties.5.2 EitherpartymayterminatethisAgreementeffectiveupon30days’writtennoticetothe

other,butthepartiesshallusetheirbesteffortstopreventorminimizeanydisruptiontotheeducationalexperienceofthestudentswhentheProjectisunderway.

6. GeneralProvisions6.1 ThesubstantivelawsoftheStateofTexas(andnotitsconflictsoflawprinciples)governall

mattersarisingoutoforrelatingtothisAgreementandallofthetransactionsitcontemplates.VenueforanyclaimarisingoutoforrelatingtothisAgreementandallofthe

transactionsitcontemplatesisasprovidedunderTexaslaw.6.2 BothPartiesacknowledgethatthisAgreementissubjecttocompliancewithanyandall

applicableUnitedStateslaws,regulations,ororders,includingthosethatmayrelatetotheexportortransferofcontrolledtechnologyortechnicaldata,andPartiesagreetocomplywithallsuchlaws,regulationsandorders,including,ifapplicable,allrequirementsoftheInternationalTrafficinArmsRegulationsand/ortheExportAdministrationAct,asmaybeamended.EachPartyfurtheragreesthatiftheexportlawsareapplicable,itwillnotdiscloseorre‐exportanycontrolledtechnologyortechnicaldatareceivedunderthisAgreementtoanycountries,ortheircitizensorresidents,forwhichtheUnitedStatesgovernmentrequiresanexportlicenseorothersupportingdocumentationatthetimeofexportortransfer,unlessthatPartyhasobtainedpriorwrittenauthorizationfromtheU.S.OfficeofExportControlorotherauthorityresponsibleforsuchmatters.

6.3 AnynoticesrequiredorpermittedunderthisAgreementwillbedeemedgiven:(a)threebusinessdaysafteritissentbycertifiedorregisteredmail,returnreceiptrequested,(b)thenextbusinessdayafteritissentbyovernightcarrier,(c)onthedatesentbyfacsimileoremailtransmissionwithconfirmationoftransmissionandreceipt,ifsentduringtherecipient’snormalbusinesshoursandifnot,onthenextbusinessday,or(d)onthedateofdeliveryifdeliveredpersonally,andineachcase,addressedtotheintendedrecipientattheaddressbeloworsuchotheraddressastheintendedrecipientmayspecifyinwriting:(a) Company: (b)TexasA&M:DivisionofResearch TexasA&MUniversity Attn:AutumnBiggers 301OldMainDrive,ILSBSuite3104 CollegeStation,TX77843‐1260 Phone:979.458.1140 Email:[email protected]

6.4 Thepartiesareindependentcontractorsandnotagentsoremployeesofeachother.Neithermaymakeanystatements,representations,orcommitmentsortakeanyactionwhichbindstheotherparty,exceptasmaybeexplicitlyprovidedinthisAgreementorauthorizedinwriting.

6.5 ThisAgreementcontainstheentireunderstandingofthepartiesastothematterscontainedinthisAgreement,andsupersedesallotherwrittenandoralagreementsbetweenthepartiesastothosematters.Thepartiesmayexecuteothercontracts,butthosewillnotchangeoralterthisAgreementunlessexpresslystatedinwriting.

6.6 ThisAgreementisassignableonlywiththewrittenconsentofbothparties.6.7 TexasA&MisanagencyoftheStateofTexasandnothinginthisAgreementwaivesor

relinquishesTexasA&M’srighttoclaimanyexemptions,privileges,andimmunitiesasmaybeprovidedbylaw.

6.8 ThefailureofeitherpartyatanytimetorequireperformancebytheotherpartyofanyprovisionofthisAgreementwillinnowayaffecttherighttorequiresuchperformanceatanytimethereafternorwillthewaiverbyeitherpartyofabreachofanyprovisionbetakenorheldtobeawaiverofanysucceedingbreachofsuchprovisionorasawaiveroftheprovisionitself.

6.9 EachprovisionofthisAgreementisseverable.Ifanyprovisionisrenderedinvalidorunenforceablebystatuteorregulationsordeclarednullandvoidbyanycourtofcompetentjurisdiction,theremainingprovisionswillremaininfullforceandeffectiftheessentialtermsofthisAgreementremainvalid,legal,andenforceable.

IntellectualProperty

1.1 IherebyassigntoCompany allintellectualpropertyrights(including,butnotlimitedto,copyrightandpatentrights)thatImayacquireincopyrightableand/orpatentabledocuments,inventions,ordiscoveriesthatIcreate,author,conceive,orfirstactuallyreducetopracticeasaresultofmyparticipationintheProject(theIntellectualProperty”).

1.2 IshallinformCompanyofanyIntellectualPropertythatImaydevelop,andcooperatewithCompany,atCompany’sexpense,toobtainapatentand/orregisteracopyrightasthecasemayberegardingtheIntellectualProperty.

1.3 IunderstandthatCompanywillmanagetheIntellectualPropertyandbesolelyresponsibleforpatentingandcommercializingtheIntellectualProperty.

1.4 IunderstandthatIwillnotreceiveanyfinancialbenefit,licensing,orpatentingassistance,orotherfinancialcompensationfromTexasA&M.AnyfinancialbenefitwouldhavetobeagreedtoinaseparateagreementwithCompany.

1.5 Ishallmakemyselfavailabletopatentattorneys,tosignallpapers,takeallrightfuloaths,andperformallactswhichmaybenecessaryforfulfillingthisassignmentandforsecuringandmaintainingpatentstotheIntellectualPropertyandforvestingtitlewithCompany.

1.6 IunderstandthatCompanywillincludemeasaninventorinanyresultingpatentsoughtbyCompanyfortheIntellectualProperty.IunderstandthatmyresponsibilitiestocooperateinthepatentingprocessunderthisagreementwillcontinueaftercompletionoftheProjectandpossiblyevenafterIleaveTexasA&M.

2. Confidentiality

2.1 Forpurposesofthisagreement,“ConfidentialInformation”meansanynonpublicinformationthat:(a) IsdisclosedbyCompanyduringtheProjectandisclearlymarked“Confidential;”or(b) IobtainfromonsitevisitstoCompany’sfacilitiesifCompanyidentifiesthat

informationasconfidentialinwritingtomewithin30daysofthevisit.

2.2 “ConfidentialInformation”doesnotincludematerial,knowledge,orinformationwhichIcanestablishbycompetentevidencethatsuchinformation:(a) Wasalreadyknownbymeatthetimeofdisclosure;(b) Waspubliclyavailableatthetimeofdisclosure;(c) WasindependentlydevelopedbymewithoutuseofConfidentialInformation;(d) Becameavailabletothepublicafterdisclosurebymeansotherthanviolationofthis

agreementbyme;or(e) WasapprovedfordisclosurebyadvancewrittenpermissionofCompany.

2.3 IshallexercisereasonablecaretopreventthedisclosureofConfidentialInformationtoany

thirdpartyandshallonlyuseConfidentialInformationfortheeducationalpurposeforwhichitisshared.

2.4 ImaymakeuseoftheConfidentialInformationforthelimitedpurposesofworkingontheProject.AspartoftheclassrequirementsImayberequiredtogivepresentationsabouttheProjecttotheotherstudentsintheclass.Somepresentationsmaybeopentootherfacultyandstudentsand,insomesituations,eventhepublic.AllpresentationsaresubjecttoadvancereviewbyCompany.CompanymaydesignateaspecificitemoftheConfidentialInformationthatcannotbeincludedinanypresentation.Companymayalsorequestinwritingthatthepresentationbegiventoaverylimitedaudience.Iwillnotberequiredtoeditthepresentationbeyondthepointofitbeingunderstood.

2.5 IunderstandthatImaymentiontheProjectbynameduringjobinterviewsoronrésumés,butIcannotdiscloseConfidentialInformation.

2.6 TheobligationsofArticle2ofthisagreementwillbeinplacefromthedatethatIsignthisagreementuntilthreeyearsafterthelastdayofclassoftheTexasA&MsemesterinwhichtheProjectconcludes.

3. Iconsenttothedisclosureofpersonallyidentifiableinformationofmyeducationrecords(asdefinedundertheFamilyEducationalRightsandPrivacyAct)relatedtotheProjecttoCompanytotheextentnecessaryformetointeractwithCompanyasanticipatedinthecourseoftheProject.

4. IunderstandthatIhaveoptionstoparticipateinalternativeactivitiesinwhichIwouldnotberequiredtoagreetotheabove.
