The Splunk Partner+ Reseller Program was designed for our partners that sell, and may also install and deliver, Splunk solutions. The Reseller Program aims to recognize your expertise, reward your commitment to Customers, and deliver value to help your business thrive through the sales of Splunk products and services. Our Reseller Partners play an integral role in Splunk’s go-to-market strategy and we are committed to investing in and growing with you.

About this Guide

This Splunk Partner+ Reseller Program Guide (Guide) describes the Splunk Partner+ Reseller Program (Reseller Program), including the program policies, benefits, requirements, and tools and training we’ve developed to help you grow your business as a Splunk Reseller Partner. This Guide, along with the applicable Splunk Reseller Agreement, governs the benefits and conditions of your relationship with Splunk as a Splunk Reseller Partner (Reseller) starting March 1, 2017.

Splunk Partner+ Reseller Program Guide & Changes

Some legacy Splunk Reseller Agreements refer to the content of this Guide as the “Program Terms” applicable to the reseller’s participation in the Reseller Program. Periodically, Splunk may modify or update this Guide, in its sole discretion, with 30 days’ advance notice via the Splunk Partner Portal (Partner Portal). Please subscribe to this Guide in the Partner Portal to timely receive notifications of any changes or modifications. Splunk plans to introduce the majority of any changes to the Reseller Program by updating this Guide on an annual basis, but in any event with at least 30 days’ advance notice via the Partner Portal.

Any request for a quote and/or submission of an order after the effective date of any announced changes to the Guide will represent your acceptance of the changes and your agreement to continue to participate as a Reseller in the updated Partner+ Reseller Program subject to the updated Guide. Capitalized terms used in this Guide are further defined in the Splunk Glossary of Terms.

Reseller Program Policies

Reseller Authorization

Enrollment and Agreement

To join the Splunk Partner+ Reseller Program, you must complete the online application and be approved by Splunk as a Reseller Partner in the Associate Partner Tier. When accepted into the Reseller Program, the Reseller must execute the then-current Splunk Reseller Agreement. Resellers participating in the Reseller Program must have an active Splunk Reseller Agreement in place with Splunk, even if they have a separate reseller agreement in place with an Authorized Distributor.

If a Reseller desires to go to market with Splunk concurrently as a different kind of partner, the Reseller can apply to participate in other Splunk Partner+ Programs (e.g., the Splunk Partner+ Managed Service Provider Program), and if accepted, execute the separate agreement applicable to participation in that Splunk Partner+ Program.

The Splunk Reseller Agreement and a Reseller’s participation in the Reseller Program will automatically renew each year for successive one-year terms unless either party has earlier terminated or notified the other party of its intention not to renew the Splunk Reseller Agreement in accordance with its terms.

Integrity

Prior to approving an application to join the Reseller Program, and periodically thereafter, Splunk may perform due diligence on the Reseller, which may include a background check of the Reseller entity and its principals, denied party review, and EthicsBase review.

From time to time, Splunk may update and add required partner training modules for Resellers covering, among other topics, the Splunk Code of Conduct, Foreign Corrupt Practices Act (FCPA), and country-based compliance regulations that Resellers must successfully complete within the stated timeframes.

Reseller Program Compliance and Partner Tier Changes

Splunk evaluates Resellers against Partner Tier requirements bi-annually, in February and August, with any resulting Partner Tier re-assignment or other Splunk actions affecting a Reseller taking effect on February 15th or August 15th.

Splunk will promote a Reseller to a higher Partner Tier at the start of the next month after the Reseller achieves the requirements of that Partner Tier. For example, if Reseller X is in the Associate Partner Tier and on April 20 attains the requirements of the Premier Partner Tier, then starting on May 1, Splunk will automatically assign Reseller X to the Premier Partner Tier and Reseller X will enjoy the benefits of that Partner Tier (including higher Premier Partner Tier discounts for all new opportunities) going forward. New Partner Tier benefits (including the discounts available for a given quote) are not retroactive and will not serve to amend pricing offered for previously initiated opportunities.

Loss of Authorization

If a Reseller does not have any sales activity (new sales, renewals, pipeline) in any 12-month period, Splunk may update that Reseller’s status within the Reseller Program from “active” to “inactive” and then notify the Reseller regarding the change. After notifying the Reseller, Splunk will cease all communication with the Reseller and terminate the Reseller’s access to the Partner Portal. Any Reseller in inactive status is subject to termination from the Reseller Program at Splunk’s discretion.

Product Access

Resellers on the most current form of the Splunk Reseller Agreement have access to all Splunk licensed software and subscription products available via the applicable Channel Price List. Resellers’ access to Splunk Cloud requires the execution of a separate, specific Cloud Reseller Addendum.

Legacy Agreements.

Beginning on March 1, 2017, Resellers operating under older versions of the Splunk Reseller Agreement or under reseller terms originally provided by the Reseller (Legacy Agreements) may not have access to all current Splunk products or Reseller Program Benefits for the life of their Legacy Agreement. On March 1, 2017, Splunk will begin sending out notices of non-renewal to any Reseller operating under a Legacy Agreement. Any Reseller that receives this notice will be required to execute the current form of the Splunk Reseller Agreement and complete Splunk’s standard partner due diligence in order to avail itself of the Reseller Program Benefits described in this Guide.”

Customer Order Requirement

Resellers may not place an order for a Splunk product or service unless and until it has received a corresponding purchase order from a Customer.

Direct Resellers and via Authorized Distributors

Splunk’s primary route to market with Resellers is through Authorized Distributors. At Splunk’s sole discretion, Splunk may designate a Reseller as a “Direct Reseller” authorized to purchase directly from Splunk.

Discounts available to a Direct Reseller will be determined based on the discounts outlined in the applicable Sales Theater Discount Supplement.

Splunk provides the discounts outlined in the Sales Theater Discount Supplement to the Authorized Distributors as suggested discounts for Reseller transactions in a given Sales Theater. The actual discounts available to a Reseller from an Authorized Distributor shall be as finally agreed between the Reseller and the Authorized Distributor.

Territory

Splunk authorizes a Reseller to resell Splunk products and services only to Customers primarily located in the approved Territory as set forth in its Splunk Reseller Agreement. The “Territory” is stated as a country, multiple countries, and/or the U.S. Public Sector in each Splunk Reseller Agreement or as otherwise communicated to the Reseller via the Partner Portal. Only Resellers with a Territory that includes the U.S. Public Sector are authorized to sell to Federal and SLED Customers in the United States.

A Reseller’s Territory is typically limited to the country in which the Reseller’s principal place of business is located, but can be expanded to include other countries at Splunk’s discretion. For Resellers whose principal place of business is located within the European Economic Area (EEA), the authorized Territory shall mean the EEA, with a focus on the country in which the Reseller’s principal place of business is located. If a Reseller’s authorized Territory includes multiple countries, the Reseller must meet the Reseller Program requirements for the Reseller’s current Partner Tier in each country where the Reseller does business.

Resellers (other than Direct Resellers) must submit orders for Splunk products or services solely to Authorized Distributors doing business in the Territory.

Affiliates

Except as otherwise agreed in writing by Splunk, a Reseller Affiliate is not authorized to transact under the Splunk Reseller Agreement executed by Reseller or another Reseller Affiliate. Any Reseller Affiliate authorized by Splunk to participate as a Reseller must undergo Splunk’s partner due diligence and be approved by Splunk prior to participating in the Reseller Program.

Mergers and Acquisitions

If a Reseller is involved in an acquisition, merger, and/or other business combination resulting in a change of control or ownership in whole or in part (a “Change of Control Event”), Splunk reserves the right to approve or deny the resulting entity’s participation in the Reseller Program. If approved, Splunk will assign the resulting entity to a Partner Tier and Territory, which shall determine the applicable criteria and Program Benefits (including available discounts) going forward.

Partners are expected to notify Splunk of any Change in Control Event in a timely manner.

Renewals

Splunk works to honor Reseller incumbency on renewals as a best practice. We expect the incumbent Reseller to notify Splunk or the applicable Authorized Distributor for a Customer renewal at least 75 days prior to the expiration of the Customer’s paid up Support period, term software license and/or Splunk Cloud subscriptions, and to complete the renewal with the Customer at least 15 days prior to the expiration. If the incumbent Reseller fails to meet these expectations, or upon the Customer’s request, Splunk reserves the right to take the renewal direct, or to assign it to another Reseller. Rules of Engagement

The Rules of Engagement (ROE) outline Splunk’s guiding principles for partnering on sales through Resellers, our rules for Customer and deal management, and the escalation path if an issue arises. The Rules of Engagement are important guidelines to help us go to market with Resellers in a fair and predictable manner. The Rules of Engagement are posted in the Partner Portal.

Reseller Program Overview Splunk is committed to fostering success with Resellers by enabling Resellers to profitably address the needs of Customers. The Reseller Program recognizes Resellers based on a combination of value and sales volume, organized around three Partner Tiers: Associate, Premier, and Elite. The Reseller Program offers increasing Reseller Program Benefits to a Reseller as it improves sales and technical skills, drives sales of more Splunk solutions.

Reseller Program Requirements Resellers are required to achieve and maintain the applicable Annual Bookings Attainment and Certification Requirements for their Partner Tier as outlined below. Note that when Splunk changes the training requirements to attain a Certification, Resellers will have six months to recertify against the updated requirements from the date Splunk makes the applicable new certification course(s) available.

To reflect the varied stages of market development and Splunk priorities, Splunk defines certain Reseller Program requirements based on the Reseller’s assigned Country Group: Growth, Accelerate, or Develop. Splunk assigns Resellers to a Country Group based on the country in which they are headquartered.

Executed Reseller Agreement

To participate in the Reseller Program, Resellers must execute a current version of the Splunk Reseller Agreement.

Annual Bookings Attainment

Resellers are required to meet minimum bookings for the Premier and Elite Partner Tiers. Splunk will measure bookings on a rolling 12-month basis. Bookings will be calculated as the estimated value of the Reseller’s purchase price for all Splunk products and services sold by Reseller in the review period. Bookings will include licenses, subscriptions, Support (including renewals), and professional services. If an opportunity is referred by a Reseller and fulfilled by Splunk, the net fees paid to Splunk by the Customer will be counted toward the referring Reseller’s bookings for that 12-month review period.

Splunk Certified Sales Reps and SEs

Splunk offers higher discounts to Premier and Elite Resellers in part to help them invest in building a successful business around Splunk by obtaining Certifications. Experience shows us that successful sales of Splunk products and expansion of sales within existing Customer accounts involve Splunk-certified sales engineers supporting every opportunity. Premier and Elite Resellers are required to have a minimum number of current personnel who have successfully completed the Splunk Certified Sales Rep I and Splunk Certified SE I Certifications. Splunk strongly recommends that Premier and Elite Resellers have appropriate personnel continue training to complete the Splunk Certified Sales Rep II, and Splunk Certified SE II. Splunk further recommends that Elite Resellers have a Splunk Certified Consultant (I or II) on staff. These Certification Requirements and recommendations establish a minimum baseline, and we expect Resellers to have adequate Splunk-Certified staff to cover their prospective Customers.

If a Reseller employee with one of the Reseller’s required Splunk Certifications leaves the Reseller’s organization, the Reseller has a 6-month grace period to train or hire a replacement to satisfy the minimum Certification Requirements.

DESCRIPTION OF BENEFITS Financial Benefits

Deal Registration Discount and Standard Discount

Splunk rewards Resellers for their investment and active selling through a Deal Registration Discount and Standard Discount. Resellers qualify for varying discounts on Splunk products and services purchased through an Authorized Distributor. It is up to each Authorized Distributor to determine the price offered to a Reseller.

Discounts are Sales Theater-specific and are included in the applicable Sales Theater Discount Supplement. To request the applicable Sales Theater Discount Supplement, please email [email protected].

Splunk offers discounts to Resellers for resale opportunities as follows:

Partner-Sourced Deal Registration Discount – This is the highest discount available to Resellers in each Partner Tier, and rewards Resellers for identifying, registering and driving new opportunities for Splunk. Partner-Sourced Deal Registration is described in the Deal Registration Guide available in the Partner Portal.

Partner-Sourced Deal Registration and Deal Registration Discounts are not available for opportunities arising from a Public Tender or RFP because the Customer has not agreed/decided on a Reseller when the opportunity is announced.

Co-Sell Discount – This discount is available to Resellers that have been assigned a Splunk-sourced opportunity at Splunk’s request and also help close the opportunity. The Co-Sell Discount is equivalent to the Standard Discount but also allows the Reseller to request additional discounts from Splunk to help close the opportunity.

Standard Discount – The Standard Discount is available to Resellers based on their Partner Tier.

Resellers should leverage the Standard Discount applicable to their Partner Tier when responding to a RFP or submitting a tender. For U.S. Public Sector Resellers, please contact your Authorized Distributor.

Alternate Sales Scenarios

On occasion, Splunk may need to transact an opportunity via one of our alternate sales scenarios:

Reseller Fulfillment: Resellers are sometimes brought into an opportunity to provide a transacting vehicle, and are not expected to participate in the sales process. For details on the discount associated with Reseller Fulfillment, please view the applicable Sales Theater Discount Supplement.

Referral Fee: When a Reseller participates in sourcing the opportunity and/or actively engages in selling to the Customer, but ultimately does not transact the sale, Splunk offers a Referral Fee. For more information on Referral Fees, please view the Referral Fee Guide available on the Partner Portal.

Special Pricing and Discounting

From time to time, Customers may request special pricing considerations associated with an opportunity. Any different pricing outside of the Standard Discount off of the Splunk SKU will be handled on a case-by-case basis. To request any special pricing, Resellers with a Partner-Sourced Deal Registration, Co-Sell Discount or any other Reseller who has assisted in maturing the opportunity for closure may submit a form located on the Partner Portal for consideration. For questions or inquiries, please speak to your distribution liaison or your partner account manager.

Relationship Benefits

Account Management

Resellers are provided a Partner Account Manager, either by Splunk or by the Authorized Distributor. The Partner Account Manager is the Reseller’s primary point of contact to manage their reseller partnership and business involving Splunk products.

Partner Summit

The Global Partner Summit is Splunk’s annual meeting to share company imperatives, partner initiatives, program enhancements, and product news. It occurs in conjunction with the annual Splunk Sales Kickoff, and is invitation only. Invitations are typically extended to our Resellers in top Partner Tiers, and other strategic partners making investments in their Splunk business practice. We expect all invited Resellers to make time to attend this event.

Partner Advisory Council

We invite a limited number of Reseller executives to participate in Splunk’s Partner Advisory Council and provide regular feedback on Splunk’s programs, policies, products, and direction. This feedback plays an important role in determining how Splunk invests and enhances our partner programs.

Partner Newsletter/Communication

The Partner Portal provides Resellers convenient access to information about the Reseller Program and other Splunk Partner+ Programs, training, marketing and enablement tools, Deal Registration, and other resources. Partner Enablement Portal

The Partner Enablement Portal is the central repository for free partner training on a variety of different subjects. It contains hundreds of on-demand courses to learn how to be successful selling Splunk products and services, as well as technical enablement content, demo scripts, and more. The on-line training required for sales Certification is available to Resellers free of charge. For technical Certifications, some portions of the required training are free, but courses through Splunk Education have associated fees payable by the Reseller. Splunk Resellers are eligible for a 50% discount on Splunk Education courses. This discount is available to individuals in the Reseller’s organization focused on selling or delivering Splunk solutions to Customers.

Internal Use Licenses

Internal Use Licenses allow Resellers to use and become more familiar with Splunk products. These are term licenses that can only be used in a Reseller’s facilities for its Internal Business Purposes as defined in the Splunk Software License Agreement. To learn more, view the Internal Use License Guide posted on the Partner Portal. Resellers must accept a form of license agreement associated with products made available through Internal Use Licenses.

Virtual Enablement Calls (VEC)

Virtual Enablement Calls are held weekly and are for both Splunk Sales Teams and Resellers. These calls cover topics that range from new product releases to sales and technical enablement. We invite Resellers to our internal Virtual Enablement Calls (VEC) as appropriate.

Marketing Benefits

Market Development Funds (MDF)

Splunk sets aside Market Development Funds (MDF) to support successful proposals for Reseller-led activities focused on end-user demand generation and awareness for Splunk products and services, or partner enablement initiatives to increase the Reseller’s ability to sell and deploy Splunk solutions. To request MDF, Resellers submit funding requests to Splunk for approval in advance to help the Reseller pay for specific, pre-approved market development activities. For more information, please refer to the MDF Guide.

Splunk Partner Hub (SPH)

Splunk Partner Hub (SPH) is an online lead generation tool available to Resellers via the Partner Portal offering marketing campaigns and other sales materials. Partner Logo

Resellers can promote their partnership with Splunk by displaying the Splunk Partner logo on their web sites, in Customer communications and in other marketing materials. Resellers can access and download the applicable Splunk branding and logo usage guidelines and graphic files in the Partner Portal.

Discounted Demo/NFR Licenses

Non-production use, demonstration and Not-for-Resale Splunk Software licenses (NFR Licenses) are available at no charge to Resellers to install and use Splunk Software at their local training facilities and briefing centers, or to demonstrate Splunk Software functionality on-site to potential Customers. NFR Licenses may not be used on internal production networks, resold or otherwise distributed. The NFR License associated with each Splunk Software product comes with a different indexing capacity. To learn more about NFR Licenses, view the Not-for-Resale License Guide posted on the Partner Portal. Resellers must accept the Splunk license agreement associated with each Splunk Software product.

Splunk Oxygen

Splunk Oxygen is an online tool that enables Resellers to demo Splunk, premium solutions, applications, and custom integrations to Customers. Access to Splunk Oxygen is limited to Reseller personnel with current Certified SE I and Certified SE II Certifications.

Interactive Value Assessment (IVA)

The Interactive Value Assessment (IVA) tool helps Resellers sell the value of Splunk to prospective Customers through customizable ROI calculations for various use cases. The IVA tool is accessible via the Partner Portal.

Splunk End User Events

Splunk invites Resellers to participate in and encourage their prospects and Customers to attend Splunk events featuring keynote presentations and technical sessions where the latest Splunk software, apps, and use cases are showcased: .conf is Splunk’s annual global end user conference, and SplunkLive! events are regional and take place in different locations throughout the year.
