If you wish to address the Board of Trustees The Board shall give members of the public an opportunity to address the Board on any item of interest to the public that is within the subject matter jurisdiction of the Board, either before or during the Board's consideration of the item. At a time so designated on the agenda at a regular meeting, members of the public may bring before the Board, matters that are not listed on the agenda. The Board shall take no action or discussion on any item not appearing on the posted agenda, except as authorized by law. The Board need not allow the public to speak on any item that has already been considered by a committee composed exclusively of Board members at a public meeting where the public had the opportunity to address the committee on that item. However, if the Board determines that the item has been substantially changed since the committee heard it the Board shall provide an opportunity for the public to speak. A person wishing to be heard by the Board shall first be recognized by the president and shall then proceed to comment as briefly as the subject permits. Individual speakers shall be allowed three minutes to address the Board on each agenda or nonagenda item. Speakers are not permitted to yield their time to another person. The Board shall limit the total time for public input on each item to 20 minutes. W ith Board consent, the president may increase or decrease the time allowed for public presentation, depending on the topic and the number of persons wishing to be heard. The president may take a poll of speakers for or against a particular issue and may ask that additional persons speak only if they have something new to add. The Board president may rule on the appropriateness of a topic. If the topic would be more suitably addressed at a later time, the president may indicate the time and place when it should be presented. The Board president shall not permit any disturbance or willful interruption of Board meetings. Persistent disruption by an individual or group shall be grounds for the chair to terminate the privilege of addressing the Board. Brown Act In compliance with Government Code section 54957.5, non-exempt writings that are distributed to a majority or all of the Board of Trustees in advance of its meetings, may be viewed at the South Bay Union School District located at 601 Elm Avenue, Imperial Beach, California 91932. BACKGROUND INFORMATIONThe South Bay Board has identified District goals and priorities related to teaching and learning.These goals are reflected in our Local Control Accountability Plan (LCAP).

Ensuring Academic ExcellenceAdvancing Equity and InclusionProviding Safe, Welcoming and Nurturing Learning Environments

Each school develops a Single Plan for Student Achievement aligned to the District LCAP. ThisPlan identifies the actions and services at the site level to support the LCAP goals and sitespecific needs. School reports to the Board provide an opportunity for sites to highlight one or two key focus areasthat illustrate the mission and vision of the school as well as specific action steps aimed at schoolimprovement.

CURRENT CONSIDERATIONSIn alignment with the Board’s priorities and LCAP, Berry has focused great effort in actualizing theschool’s mantra “Keeping it R3E2AL,” whereby the acronym R3E2AL stands for relationships,relationships, relationships + expectations for excellence + accelerate learning.

IMPACT ON STUDENT ACHIEVEMENTBerry was proud to have exited Additional Targeted Support and Improvement (ATSI) status rightbefore the beginning of the global pandemic and we remain committed to the areas thataccelerated student achievement. The dedicated group of educators, staff, and families propelledthe school from one of only four schools in California in ATSI status in four areas to a vibrant,engaging community focused on student learning. Berry achieved this outcome by focusing onrelationships, high expectations for all stakeholders, and intentional instructional strategies. Berry’s approach is based on Abraham Maslow’s Hierarchy of Needs. Our focus is to ensure thatour students’ basic needs such as physiological, safety, and love and belongingness are met as westrive to support each student develop their self-esteem and become self-actualized. Great effortis devoted to creating an inclusive community where all students and families strongly believe thatthey are part of the school. The following results from 2020/21 California School Parent Survey indicate that we are heading inthe right direction:

Due to the global pandemic and a hiatus in state testing the most current California Dashboard isfrom the 2019 school year. The data demonstrated significant growth especially in the areas ofEnglish Language Arts, Chronic Absenteeism, and Suspension. Dashboard data indicated thefollowing performance levels from 2017/18 school year to the 2018/19 school year:

Overall increase in English Language Arts from the red performance level to the yellowperformance level including all three student groups that performed in the red during the2017/18 moving out of the red performance levelOverall results in math remaining in the orange performance levelOverall increase in suspensions from the orange level to the green performance levelOverall results in chronic absenteeism remaining in the yellow performance level; however asignificant reduction in students who were chronically absent (4.4% reduction) resulted in ashift to the highest cell on the 5 by 5 grid

Although the results from the 2018/19 school year are outdated, it is important to note that we arecommitted to picking up on this trend now that school has resumed to in-person learning. In closing, Berry is heading towards greatness. In March 2021, the National Center for UrbanSchool Transformation requested that school staff to serve on a panel at their annual summit todiscuss the school’s efforts. The school will continue to build upon the great work by implementingthe following action steps:

Further implement the Caring School Community curriculum, restorative practices,mindfulness, and trauma-informed practices to address the social-emotional learning needsof studentsUtilize Culturally Responsive Teaching and the Brain as the foundation for professionaldevelopment to further develop the staff’s ability to create an equitable and student-centeredlearning environment for ALL studentsImplement opportunities for students to connect with each other and develop their self-esteem and agency through after school and lunch-time extracurricular activities, and school-wide performances and celebrationsIncorporate parenting classes and workshopsEnhance collective efficacy through extensive grade level collaboration and planning and astrong PLCImplement Multi-tiered System of Support (MTSS) and establish strong parent-partnershipsto ensure that all students are receiving differentiated instruction and support to enhance theiracademic and social-emotional growth

EMPLOYMENT AGREEMENT

This Agreement between the South Bay Union School District of San Diego County,California, (hereafter "District") and Mr. José Espinoza (hereafter "Mr. Espinoza" or"Superintendent") is entered into subject to the following terms and conditions andsupersedes any prior written agreements:

1. Employment

Pursuant to a vote by the District's Governing Board duly taken and recorded in theminutes of its meeting, the District hereby employs Mr. Espinoza as its Superintendent andMr. Espinoza accepts employment as Superintendent, South Bay Union School District,San Diego County, California. By accepting employment as Superintendent, Mr. Espinozaagrees to devote his full time best efforts and abilities to performing the duties andresponsibilities outlined herein or as assigned to him from time to time by the GoverningBoard.

2. Term of Agreement

The term of this Agreement shall be from January 1, 2022 through midnight June 30,2025, subject to the terms and conditions set forth in this Agreement. In the event theSuperintendent's evaluation under Section 10 of this Agreement results in an overall ratingof satisfactory or above, the expiration date of this Agreement may be extended, subject toBoard approval at a regular meeting in open session.

3. Work Year

The Superintendent shall be required to render twelve (12) months of full and regularservice to the District during each annual period covered by this Agreement, excludingvacations, holidays, sick leave, and approved leaves.

4. Salary

The Superintendent's annual salary shall be two hundred forty-seven thousand fivehundred dollars ($247,500), payable in twelve (12) equal monthly installments.

a. Salary Increases by Mutual Consent. The Board reserves the right to change theSuperintendent’s salary for any year of this Agreement with the mutual written consent ofthe Superintendent and the Board.

b. The Board and the Superintendent will discuss salary increases as part of theSuperintendents yearly evaluation.

c. Salary increases shall be effective on any date ordered by the Board inaccordance with the terms of this Agreement and Education Code section 35032.

Prior to January 1, 2022, the Superintendent may work up to 10 days, at his dailyrate of pay, to further his effective transition to his new position with the District. TheSuperintendent shall request and receive prior approval from the Governing Board Presidentbefore working any of the 10 days. To determine the Superintendent’s daily rate of pay, theSuperintendent’s annual salary shall be divided by his work days.

5. Benefits

a. During the term of this Agreement, the Superintendent shall receive the samebenefits that all other twelve (12) month certificated management employees receive byreason of their employment by the District, including but not limited to, legal defense andindemnification in the event of suit as provided under the laws of the State of California.

b. The Superintendent shall be entitled to twenty-five (25) working days annualvacation with pay, and in addition will receive holidays defined in Section 37220 of the EducationCode provided that those days are determined to he holidays by the Board. Vacation days shallaccrue at the rate of 2.083 days per month. It is further stipulated that no fewer than ten (10)vacation days must be taken during the year in which earned, except by special agreementbetween the Board and the Superintendent. The Superintendent may accrue vacation days up toa maximum of thirty-five (35) days. Once the Superintendent reaches this maximum, he willcease to accrue vacation days until the balance falls below the thirty-five (35) day maximum. Inthe event of termination of this Agreement, or retirement or resignation, the Superintendentshall be entitled to full compensation for unused vacation at the current salary rate. TheSuperintendent must provide an annual accounting of the use of vacation days to the BoardPresident prior to the annual evaluation.

c. The Superintendent shall be entitled to all leave benefits which are provided tothe District’s certificated management employees. Sick leave benefits shall be computed inthe same method as other certificated management employees.

d. The Superintendent may enroll himself and his dependents in his choice of Districtsponsored medical, dental, and/or vision program. Superintendent shall receive benefits,contributions and eligibility for health and retirement programs normally granted othercertificated management employees. District shall make the ordinarily required contributionsand deductions for STRS, Unemployment Insurance, and Workers' Compensation.

e. Mr. Espinoza shall receive the annual amount of six thousand dollars ($6,000)payable monthly at the rate of five hundred dollars ($500) for the purpose of transportationand other expenses in the performance of his duties as Superintendent within Districtboundaries. The Superintendent shall be responsible for providing his own automobile andappropriate levels of insurance.

f. The District shall reimburse Mr. Espinoza for necessary and actual relocationexpenses (movers, transportation expenses, temporary housing expenses, and otherexpenses directly related to his move from Northern California to Southern California), up to$12,500 within the first six months of this Agreement. The Superintendent shall submitreceipts and other proof of the expenditures.

g. The District shall pay directly for or reimburse Mr. Espinoza for the necessary andactual expenses not otherwise covered by paragraph five, subdivisions (e) and (f) aboveincurred by Mr. Espinoza in the performance of duties, upon submission of receipts and otherproof of the expenditures.

h. The District encourages the Superintendent to participate in professionalorganizations and activities provided such participation is consistent with his overallresponsibilities to the District and, provided further, that such participation does not interferewith the satisfactory performance of his duties and obligations to the District. Consistent withthe above, the District shall pay the Superintendent's membership dues in one local, state,and national professional organization of the Superintendent's choice and other professional

organizations as may be approved by the Board. The Superintendent is expected to attendappropriate professional meetings at the local, county, state, and national levels. Priorapproval of the Board shall be obtained when the Superintendent attends state and nationalfunctions, and all actual and necessary expenses of attendance shall be paid by the District.In case of required emergency attendance, the Board President will be promptly notified andthe expenses will be ratified at the next appropriate Board meeting.

i. The Superintendent may engage in limited professional and consultant services toother school districts and/or organizations when it is deemed by the Board that suchactivities will be of value to the District and subject to prior agreement of the Board.

6. Medical Examination

On an annual basis, Mr. Espinoza shall have a complete medical examination; theDistrict shall reimburse Mr. Espinoza for the costs of the medical examination which are notcovered by his health insurance. The District reserves the right to require an additionalexamination from a physician of the District's choosing, at District expense, in any yearwhere the results of the Superintendent's physical examination raise questions about hisfitness for duty. The Board shall keep confidential the results of any such physicalexamination.

7. Powers and Duties

The Superintendent shall be the chief executive officer of the South Bay Union SchoolDistrict and shall serve as secretary to the Board, and be an authorized agent of the District.All powers and duties lawfully delegated to the Superintendent are to be executed inaccordance with the policies adopted by the Governing Board. Acts which require ratificationby the Governing Board shall be referred to the Board at the earliest possible opportunity.The Board does not favor after-the-fact ratification.

He shall give his exclusive professional services to the District during the period ofthis Agreement except as otherwise provided herein. He shall attend all regular and specialmeetings of the Board, unless circumstances are such as to excuse such attendance uponprior, if possible, or subsequent approval of the Board. He shall perform faithfully anddiligently the duties and responsibilities regularly performed by superintendents of schooldistricts, those required by law, and those assigned to him by the Board for twelve (12)months of full and regular service in each year during the term of this employmentagreement and shall accept as full payment for these services the compensation hereinprovided.

The Superintendent shall:

a. Serve as the responsible chief executive officer of the South Bay Union SchoolDistrict and be responsible for administration of the District.

b. The Superintendent, working with the Board, District personnel, parents, and thepublic, shall develop short- and long-range goals with clear criteria for determining effectiveachievement and evaluating outcomes.

c. Represent the interests of the Board and the District in day-to-day contact withparents, other citizens, community, and governmental agencies,

d. Provide leadership, guidelines, and direction to ensure that policies related tocurriculum, instruction, pupil personnel services, personnel, budget, and business affairs arecarried out.

e. Report regularly to the Board information regarding student learning and ananalysis of student achievement and test scores.

f. Review all policies adopted by the Board and make appropriate recommendationsto the Board for addition, deletion, or modification.

g. Evaluate employees directly accountable to the Superintendent and oversee theevaluation of other employees as defined by California law and Board policy.

h. Provide leadership and direction in planning and financing school facilities to meetgrowth needs.

i. Advise the Board and make recommendations regarding possible sources of fundswhich may be available to implement present or contemplated District programs.

j. Endeavor to maintain and improve his professional competency by all availablemeans, including reading appropriate periodicals and joining and/or participating inappropriate professional associations and their activities.

k. Establish and maintain an effective community relations program includingeffective relationships with the media.

l. Communicate openly, systematically and timely to the Board, staff, and thecommunity and promptly inform the Board of critical issues or incidents.

m. Provide educational leadership, with and through staff, to ensure quality teachingand learning.

8. Organization

The Superintendent shall be responsible for recommending such organization and/orreorganization of District management and support staff which in the Superintendent'sjudgment will best serve the needs of the South Bay Union School District. TheSuperintendent shall have the responsibility of organizing, reorganizing, and arranging theadministrative and supervisory staff, including business affairs which, in his judgment, bestserve the District. The Superintendent shall have such responsibility in all personnel matters,including selection, assignment, and transfer of employees. In all personnel matters, theSuperintendent shall present a recommendation to the Board. In the event the Board doesnot approve said recommendation, the Superintendent shall submit anotherrecommendation to the Board within a reasonable time.

9. Board-Superintendent Relations

The Superintendent will work with the Board in developing and maintaining a spirit ofcooperation and teamwork in which the Board will accept responsibility for formulating andadopting policy and for taking action on matters which by law require Board action.Administrative responsibility and commensurate authority for administering the schoolsystem will be delegated by the Board to the Superintendent. The Board shall provide theSuperintendent with periodic opportunities to discuss Board-Superintendent relationships. As

a part of this provision, if deemed necessary by either the Board or Superintendent, anoutside advisor may be retained to facilitate candid discussion and evaluation of Board-Superintendent relationships as they relate to the Board's productivity and the effectivenessof the Superintendent's leadership. It is agreed that the Board, individually and collectively,will refer promptly to the Superintendent, for study and recommendation, criticism,complaints, and suggestions brought to their attention.

10. Evaluation

Working with and through the Board, the staff, and the community, theSuperintendent shall submit to the Board, within ninety (90) calendar days from theeffective date of his employment, an analysis of District needs and recommendations forpriority goals and tasks to be addressed by the Superintendent. These priority goals andtasks will be reviewed, modified if deemed necessary, and become the Board's priority goalsand objectives. In subsequent years, this process will take place before the beginning ofeach school year.

The Board shall formally evaluate and assess in writing the performance of theSuperintendent at least once a year, along with a mid-year informal progress assessment.The formal written assessment will be completed by June 30 of each school year. Saidevaluation and assessment shall be related to the overall duties and responsibilities of theSuperintendent and, in particular, the specific priority tasks which have been mutuallyidentified and agreed upon for each year. It shall be the Board's responsibility to establish areasonable timeline and to take whatever time is necessary to review, revise, and approvethose goals and objectives and arrive at a mutually acceptable agreement as to what willconstitute satisfactory achievement and/or performance and identify areas of improvement.

If the Board determines the Superintendent's performance to be unsatisfactory, itshall describe in writing the areas of unsatisfactory performance and includerecommendations for improvement. The Superintendent shall have the right to review andprovide a written response to the evaluation, which response shall be attached to theevaluation and placed along with it in the Superintendent's personnel file. Within thirty (30)days following the evaluation the Board and Superintendent shall meet to discuss it.

The evaluation provided herein shall not be a condition precedent for any termination noticecalled for under this Agreement or required by law.

11. Termination

This Agreement may be terminated prior to its expiration date on any of the followingbases:

a. By mutual agreement, in writing, at any time.

b. By the Board, at any time, should it determine that it is in the best interests ofthe District to obtain a new chief administrative officer. Under such circumstances, theBoard shall meet with the Superintendent to discuss its intentions. However, no cause needbe alleged or demonstrated other than the Board's determination of the needs of theDistrict. In the event the Board exercises this option, the Superintendent agrees torelinquish any further claims against the District, including any claims under thisAgreement, in return for monthly payment of twelve (12) months' salary or the balance ofremaining unpaid salary whichever is less. The Superintendent's District health insurancemay be maintained for a similar period of time. It is agreed that upon the Board's exercise of

this option, the Superintendent shall not be required to render further service to the District,and shall not be entitled to compensation except for pay for unused vacation days and thesalary payment referred to above. It is further understood that such salary payment andgroup medical insurance shall cease upon acceptance of employment elsewhere. As acondition of payment, the Superintendent shall make reasonable efforts to seek otheremployment in a timely manner and to notify the District in writing immediately if theSuperintendent earns income from any employment as superintendent of an educationalagency.

c. By the Board, at any time, for cause. The Superintendent's employment and all ofthe Superintendent's rights under this Agreement may be terminated by the Board at anytime for cause, including but not limited to, (1) acts done in bad faith to the detriment ofthe District; (2) refusal or failure to act in accordance with specific provisions of thisAgreement or lawful Board directives; (3) material breach of this Agreement; (4) convictionof a crime involving dishonesty, breach of trust, or physical or emotional harm to anyperson; and (5) occurrence of any event which would justify dismissal of a tenuredcertificated employee as set forth in Education Code section 44932 et. seq. The Board shallnot terminate this Agreement pursuant to this paragraph until a written statement of thegrounds for termination has first been served upon the Superintendent. The Superintendentshall then be entitled to a conference with the Board in closed session at which time theSuperintendent may respond, orally or in writing, to the Board's statement of grounds fortermination. The conference shall not be an evidentiary hearing and neither party shall havethe opportunity to call witnesses. The Superintendent shall have the right to have counselattend at his own expense. The conference with the Board shall be deemed to satisfy theSuperintendent's entitlement to due process and shall be the Superintendent's exclusiveright to any conference or hearing otherwise required by law. After the conference, theBoard shall deliberate and determine whether to take final action on termination. Thedecision of the Board shall be final.

d. By resignation. Upon voluntary resignation of the Superintendent prior to the endof the Agreement term, the Superintendent will, upon the effective date thereof, forfeit anyfuture benefits. The Superintendent's resignation shall be in writing and presented to theBoard ninety (90) days prior to the effective date of the resignation. During the ninety-dayperiod, the Superintendent may not take any accrued vacation days without the expressconsent of the Board.

e. The Board may elect not to renew this Agreement for any reason by providingwritten notice to the Superintendent in accordance with Education Code section 35031

f. The provisions of this section are intended to comply with Government Codesections 53243 et seq. and 53260 et seq., which are incorporated herein by this reference.

i. If the Superintendent is convicted of a crime involving an abuse of hisoffice or position, he shall fully reimburse the District of any and all cash settlementsreceived due to his termination. This provision is intended to implement the requirementsof Government Code section 53243.2, which is incorporated into this Agreement by thisreference.

ii. Any salary or paid leave salary provided to the Superintendent pending aninvestigation shall be fully reimbursed if the Superintendent is convicted of a crime involvingan abuse of his office or position, as set forth in Government Code sections 53243 and53243.4.

iii. Any funds provided for the legal criminal defense of the Superintendentshall be fully reimbursed if the Superintendent is convicted of a crime involving an abuse ofhis office or position, as set forth in Government Code section 53243.1.

iv. Notwithstanding any other provision of this Agreement to the contrary, ifthe Board believes, and subsequently confirms through an independent audit, that theSuperintendent has engaged in fraud, misappropriation of funds, or other illegal practices,then the Board may terminate the Superintendent and the Superintendent shall not beentitled to the cash, salary payments, health benefits or other non-cash settlement as setforth above. This provision is intended to implement the requirements of Government Codesection 53260(b).

12. Notice of Finalist in Search

In all cases the Superintendent shall immediately notify the Board should he becomea finalist in the selection process for a position with any other district or employer.

13. Professional Liability

The District will cover Superintendent under its liability insurance policy which coverserrors and omissions by District managers and/or agents arising out of the scope of theiremployment; Superintendent will be provided such protections, defenses, legalrepresentation and indemnification as are provided under such policy of insurance.

14. Governing Law

This Agreement is subject to all applicable laws of the State of California and thelawful rules and regulations of the Governing Board of the South Bay Union School Districtas well as those of the California State Board of Education. Such laws, rules, and regulationsare to be considered part of the terms and conditions of this Agreement.

15. Savings Clause

If any provisions of this Agreement are held to be contrary to law by final legislativeact or by a court of competent jurisdiction inclusive of appeals, if any, such provisions willnot be deemed valid and subsisting except to the extent permitted by law, but all otherprovisions will continue in full force and effect.

16. Complete Agreement

This Agreement is the full and complete agreement between the parties hereto. Anyamendments, modifications or variations from the terms of this Agreement shall be inwriting and shall be effective only upon approval of such amendment, modification, orvariation by the Governing Board and the Superintendent.

BACKGROUND INFORMATIONAt their meeting on January 17, 2019, the Board adopted Resolution 18-054 to initiate the processof establishing trustee areas and elections by trustee areas to ensure compliance with theCalifornia Voter Rights Act (CVRA). After a process that spanned several months, on June 6,2019, the Board adopted Resolution 19-019 establishing and implementing Trustee Area Districtelections for Board Members pursuant to Elections Code Section 10010. The data from the 2020 census is now available through the US Census website(www.census.gov/2020census). State law requires that trustee area election division boundaries beadjusted so that equal representation is maintained. The District has again retained the services of National Demographics Corp (NDC) and Dr. JustinLevitt to assist in this process. Dr. Levitt will present information on 2020 census data and draftmaps for consideration. The Board may adopt these maps or direct changes for adoption at theregularly scheduled November meeting. A Public Hearing is also scheduled to provide anopportunity for public input.

BACKGROUND INFORMATIONImperial Beach Charter School and Nestor Language Academy have participated in intermuralsports over the years, partnering with various organizations. The organizations have changeddepending on costs, sports being offered, and league size.

CURRENT CONSIDERATIONSOn August 26, 2021, South Bay entered into an agreement with the Sweetwater Union HighSchool District to participate in the South Bay Athletic League. This allows our middle schoolstudents to play sports throughout the year, competing with teams representative of all of SouthBay. A new requirement to participate in the league is weekly COVID testing. The District isseeking to enter into an agreement with the California Department of Public Health (CDPH) toprovide such testing (Exhibit). The CDPH and the Testing Task Force make pooled testing services available to districts andschools that apply at no cost through the end of the 2021-2022 school year. Pooled testingservices for COVID-19 combine (“pool”) a set of individual test specimens and yield a single testresult for the overall pool. The pooled test results are not intended for diagnostic or treatmentpurposes but are instead offered as a screening tool to increase the likelihood of identifyingpossible positive cases amongst students participating in sports. In the event of a positive testresult from the pool, individual-level follow-up testing will be conducted.

IMPACT ON STUDENT ACHIEVEMENTPhysical activity is essential for increased student focus and achievement in core content areas.Team sports provide students the opportunity to work collaboratively, as well as demonstrate goodsportsmanship and responsibility.

Pooled Testing Program: Participation Agreement

The foundational principle of the CDPH COVID-19 Public Health Guidance for K-12 Schools in California, 2021-22 School Year is that all students must have access to safe and full in-person instruction and to as much instructional time as possible. In California, the surest path to safe and full in-person instruction at the outset of the school year, as well as minimizing missed school days in an ongoing basis, is a strong emphasis on the following: vaccination for all eligible individuals to get COVID-19 rates down throughout the community; universal masking in schools, which enables no minimum physical distancing, allowing all students access to full in-person learning, and more targeted quarantine practices, keeping students in school; and access to a robust COVID-19 testing program as an available additional safety layer. In order to reduce transmission of COVID-19 and to support in-person classroom instruction, the California Department of Public Health (CDPH) and the Testing Task Force are making pooled testing services available to districts and schools1 that apply at no cost through the end of the 2021-2022 school year. Pooled testing services for COVID-19 combine, i.e., “pool”, a set of individual test specimens and yield a single test result for the overall pool. The pooled test results are not intended for diagnostic or treatment purposes but are instead offered as a screening tool to increase the likelihood of identifying possible positive cases in the school population. No COVID-19 test is perfect, and the pooled test may produce false positives (i.e., indicate that at least one individual has COVID-19 when no one in the pooled population actually does) or false negatives (i.e., indicate that no individual in the pooled population has COVID-19 when one or more individuals actually do). Notwithstanding the results of any pooled test, your district/school should encourage members of the school population to consult their individual health care providers if they have signs or symptoms of COVID-19, or otherwise believe they have been exposed to COVID-19. In the event of a positive test result from the pool, individual-level follow-up testing will be conducted. Upon approval as an authorized school, your district/school will be assigned to a CDPH-approved pooled testing provider (the “Pooled Testing Provider”) that will provide end-to-end operational support for pooled testing. This includes the provision of pooled test kits, pooled testing services, diagnostic testing services, courier logistics, staffing, whole genomic sequencing, and support services. To support the effective administration of this program as well as the safe and effective administration of

pooled testing, CDPH seeks assurances from your district/school before authorizing access to the pooled testing services. Specifically, for access to pooled testing program services made available by CDPH, your district/school must agree to: Testing Protocols

• Allow for the Pooled Testing Provider to test all consenting staff and students in a pooled test, on a schedule set by the authorized school and the testing provider;

• Allow for the Pooled Testing Provider to follow-up on a positive test result from a pool with individualized diagnostic testing of all members in the pool.

Isolation, Quarantine, & Contact Tracing • Authorized schools must also have in place appropriate protocols to ensure individuals stay home

from school until it is safe to return, follow other ordinary isolation and quarantine protocols, and to conduct additional contact tracing if necessary.

Communication & Support • Communicate with teachers, staff, students, and families about this program on an ongoing basis; • Work with the Pooled Testing Provider, depending on the support level needed by the authorized

school, to promote an effective delivery of this program including following instructions from the Pooled Testing Provider.

CURRENT CONSIDERATIONSBest practices and our insurance company suggest regular ongoing Cybersecurity training mustoccur for all users in the organization. We are required to provide lessons for students about CyberBullying, Appropriate Online Behavior, and Safety and Privacy. We are currently building ourrepertoire of tools for staff training to include Keenan yearly videos about safe passwords andways to protect personal data. This platform for Phishing provides an additional layer to buildCybersecurity awareness for staff. The agreement is attached as an Exhibit.

Memorandum of Understanding This Agreement, for Phishing Simulation Services, is entered into this 28th day of September 2021, by and between the South Bay Union School District (hereinafter referred to as “District”) and the SAN DIEGO COUNTY SUPERINTENDENT OF SCHOOLS (hereinafter referred to as “County") who agrees to provide the following services to the District:

WHEREAS cybersecurity, which includes, but is not limited to, the secure installation of systems and networks, the protection of unauthorized access to data, and other safe internet practices, is an integral part to the operations of every school district in today’s modern, data-driven environment; WHEREAS October is Cybersecurity Awareness Month, allowing an opportunity for employees at school districts to become aware of safe internet practices and implement them in their daily work routine; WHEREAS without sufficient training on the common vulnerabilities of weak passwords and pernicious phishing messages, employees can fall prey to the aforementioned tactics, jeopardizing their district’s internet connections and networks to unauthorized users, malware, and other viruses; WHEREAS the County Office of Education has created a software that sends fake phishing emails to employees in order to help train them to safely recognize and appropriately respond to emails of this kind; WHEREAS local school districts could also benefit from, and have shown interest in, utilizing this software; NOW THEREFORE, the District and County hereby agree as follows:

1) Scope of Work.

County will allow District to use Phishing Simulation software called Red Herring that is created by County for the sole purpose of Cybersecurity awareness activities. The County will create an administrator account for District to perform the phishing simulation. District is not permitted to use this application for any activity other than awareness program within the District network. District is not permitted to use this software to send email to individuals and/or organizations outside the district domain. Information gathered by the software is intended for District administrators only and is to be used to improve employee awareness. Any email template or landing page that is marked as public by the District will be available for all individuals and organizations that have access to the system. Prior to using this application, the administrator should get a written approval from the superintend of the District. County will activate the software when the written approval is received from the superintendent of the District. County has a super admin account for the purpose of creating an admin account for District. The super admin user does not have access to view District data. However, since all the information from District is stored in a local database, County database manager will have access to view District data. This agreement is valid for a period of one year from the date this document was signed by the San Diego County Superintendent of Schools.

2) Compensation and Reimbursement.

There will be no exchange of funds for the performance of these services.

3) Term of Agreement.

This Agreement shall be effective from the period commencing upon 09/28/2021, and ending 09/27/2022, unless sooner terminated by as provided in the section of the Agreement entitled “Termination.”

4) Renewal.

This Agreement shall automatically renew for successive one-year periods, on the same terms and conditions, unless earlier terminated as provided for herein. 5) Termination.

This Agreement may be terminated with or without cause by County. Termination without cause shall be effective only upon 30-day written notice to District. During said 30-day period County shall not revoke license. Upon termination of this agreement, County shall download and store District data for a period of 30 days during which District may reclaim all stored data. Upon the expiration of 30 days all data may be deleted. This Agreement may be terminated by District for cause in the event of a material breach of this Agreement, misrepresentation by County in connection with the formation of this Agreement or the software performance, or the failure to provide benefit to District. Termination for cause shall be affected by delivery of written notice of termination to County. Such termination shall be effective upon delivery of said notice.

6) Confidential Relationship.

District may from time to time communicate to County certain information to enable County to effectively improve the product. County shall treat all such information as confidential, whether or not so identified, and shall not disclose any part thereof without the prior written consent of the District. County shall limit the use and circulation of such information, even within its own organization, to the extent necessary to perform the intendent upgrade or bug fixes. The foregoing obligation of this Paragraph 4, however, shall not apply to any part of the information that (i) has been disclosed in publicly available sources of information; (ii) is, through no fault of County, hereafter disclosed in publicly available sources of information; (iii) is now in the possession of County without any obligation of confidentiality; (iv) is required to be disclosed by operation of law; or (v) has been or is hereafter rightfully disclosed to County by a third party, but only to the extent that the use or disclosure thereof has been or is rightfully authorized by that third party.

County shall not disclose any reports, recommendations, conclusions or other results without the prior written consent of the District. In its performance hereunder, County shall comply with all legal obligations it may now or hereafter have respecting the information or other property of any other person, firm or corporation.

7) Ownership of Documents.

All final stored information within the database is the property of District and shall be delivered to District by County upon demand (hereafter, “Deliverables"). County shall own its working papers and any engagement documentation. County also shall own its consultant-related general skills, know-how, expertise, ideas, concepts, methods, techniques, processes, software, materials or other intellectual

property which may have been discovered, created, received, developed or derived by County either prior to or as a result of providing services under the Agreement, so long as County acquires such information without any unauthorized use or disclosure of confidential information of the District.

8) No Assignments.

Neither any part nor all of this Agreement may be assigned or subcontracted. Any assignment or subcontracting in violation of this provision shall be void.

9) Audit.

County agrees to maintain and preserve, until three (3) years after termination of the Agreement with the District and to permit the State of California or any of its duly authorized representatives, to have access to and to examine and audit any pertinent records related to this Agreement.

10) Assumption of Risk.

District understands that the transactions contemplated by this Agreement are subject to complex risks that may arise without warning and may at times be volatile. Because the losses that may occur can be of unanticipated magnitude, District expressly acknowledges that it hereby assumes any and all risks associated with the use of the phishing simulation software and accepts such terms and conditions. The County shall have no liability to District or any third party for any liability, problem, loss, or damage resulting from their use or attempted use of the simulation software.

11) Independent Contractor.

It is expressly understood that at all times, while rendering the services described herein, and in complying with any terms and conditions of this Agreement. County is acting as an independent contractor and not as an officer, agent, or employee of the District.

12) Indemnification.

Each party shall defend, indemnify, and hold the other party, its officers, employees, and agents harmless from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims for personal injury (including death) or damages to property arising out of the performance of this Agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent or intentional acts or omissions of the indemnifying party, its officers, employees, students, or agents.

13) Notices.

All notices hereunder shall be in writing and sent to the following address:

14) Governing Law/Venue.

In the event of litigation, the Agreement and related matters shall be governed by and construed in accordance with the laws of the State of California. Venue shall be with the appropriate State or Federal court located in San Diego County.

15) Compliance with Law.

The County shall be subject to, and shall comply with, all Federal, State, and local laws and regulations applicable with respect to its performance under this Agreement including, but not limited to: licensing, employment, purchasing practices, wages, hours, and conditions of employment, including nondiscrimination.

16) Final Approval.

This Agreement is of no force or effect until approved by signature by the County Superintendent of Schools or his designee, the Assistant Superintendent of Business Services.

17) Entire Agreement.

This Agreement represents the entire Agreement and understandings of the parties hereto and no prior writings, conversations or representations of any nature shall be deemed to vary the provisions hereof. This Agreement may not be amended in any way except by a writing duly executed by both parties hereto.

IN WITNESS WHEREOF, the parties hereto have caused this Contract to be duly executed, such parties acting by their representatives being thereunto duly authorized.

BACKGROUND INFORMATIONPursuant to Education Code 17605, the Governing Board may delegate to any officer or employeeof the District the authority to purchase supplies, materials, apparatus, equipment, and services. At South Bay, the Purchasing Department edits, processes, and approves allDistrict purchase orders. Then we consolidate a list of all orders processed monthly. This is ourpresentation to the Board for authorization of payment.

CURRENT CONSIDERATIONSPurchase Order Report 4 for 2020-21 (Exhibits) contains a listing of Purchase Orders,encumbered from September 1, 2021 to October 5, 2021 for approval and ratification at this time.

IMPACT ON STUDENT ACHIEVEMENTThe employees at South Bay Union School District purchase materials, supplies, food, equipment,and services for the students, which help to contribute to student achievement.

As we move through the pandemic, prioritizingsafety and flexibility is key to every plan the District makes for both staff and students. This focus isto ensure student achievement is maintained throughout the school year.

MEMORANDUM OF UNDERSTANDING BETWEEN THE SOUTH BAY UNION SCHOOL DISTRICT

AND THE SOUTHWEST TEACHERS ASSOCIATION

REGARDING COVID-19 SAFETY PROTOCOLS FOR THE 2021-2022 SCHOOL YEAR

September 10, 2021

The South Bay Union School District (“District”) and the Southwest Teachers Association (“Association”), jointly known as the Parties (“Parties”) enter into this Memorandum of Understanding (“MOU”) regarding the ongoing issues related to the COVID-19 pandemic that may impact the 2021-2022 school year.

Unless otherwise noted below, the provisions of this MOU shall supersede any provisions of the Collective Bargaining Agreement (“CBA”) between the Parties that are in conflict for the duration of this MOU, or until modified by mutual agreement of the District and the Association. The Parties affirm the obligation to comply with all provisions of the CBA not in conflict with this MOU. Further, the Parties affirm that all provisions of the Educational Employment Relations Act (“EERA”) California Government Codes 3540 et seq. apply and remain in effect.

Definitions

A. “Classroom” – is any academic, learning, assessment, or instructional space designated by the District. B. “Face Coverings” – cloth or disposable face coverings or masks as recommended by federal, state, and

local public health guidance. C. “Hand Sanitizer” – when provided by the District this product must contain at least 60% alcohol. D. “Personal Protective Equipment (PPE)” – this refers to equipment that is used to minimize transmission

of germs, such as COVID-19, from person to person. E. “Physical Distancing” – also known as social distancing is the practice of establishing space between

people as recommended by state and local health officials. 1. Health and Safety

a. Health Screenings: The District shall conduct any and all health screening processes for staff and

students in compliance with CDPH and San Diego County Health Department requirements.

i. Schools will follow the most restrictive requirements as defined by CDPH and County

Health Orders, for those returning after exposure and or diagnosis of COVID-19.

ii. Visitors and Volunteers: District shall adhere to the current public health guidelines and

requirements applicable to volunteers and visitors.

iii. Upon notification that an employee or student has tested positive for COVID-19, the

District shall adhere to CDPH and county public health requirements and follow AB 685

requirements.

b. COVID-19 Testing: All bargaining unit members shall be provided access, as needed, to free,

onsite and/or off-site COVID testing as required by and in compliance with CDPH and County

Health. Testing schedules shall be made available to unit members electronically. Unit members

are expected to schedule testing, which may be during the duty day in consultation with their

supervisor, as soon as possible and without delay. Results will be delivered electronically to

each unit member and unit members must send positive results to Human Resources promptly,

with all relevant privacy rights preserved.

c. Physical Distancing: Although, at the time of this MOU, physical distancing is no longer required

in many settings, SBUSD will follow all current CDPH requirements/recommendations in the

event that physical distancing is required.

d. Meetings:

i. Subject to applicable Brown Act or other legal requirements, site meetings, parent conferences, district meetings and professional development, shall be conducted virtually until the end of Winter Break, at which point SBUSD and SWTA will meet again to discuss this topic going forward.

ii. All other meetings shall take place in-person in accordance with all applicable safety

guidelines.

e. Personal Protective Equipment (PPE): The District shall provide all members with appropriate

and necessary PPE (e.g. compliant face coverings, respiratory PPE, face shields, gloves, and

aprons). Unit members may choose to bring their own compliant PPE, and no unit member shall

be disciplined or evaluated negatively for not bringing their own PPE. No unit member will be

expected or required to work with students or other staff in the absence of appropriate and

necessary PPE for the unit member. In such an unlikely event, the unit member will be sent

home for the day and remain in paid status.

i. Face Coverings (Masks): In accordance with the current CDPH guidelines, at a minimum,

the District will provide compliant face coverings for staff which may include disposable

3-ply surgical or NIOSH approved N95 masks (or equivalent if approved by the FDA)

subject to availability and assignment. The use of compliant face masks which cover

both the mouth and nose will be required as specified by CDPH, CalOSHA, and county

public health.

ii. The District shall provide safety and sanitation training and/or information (such as

videos, website, flyers, newsletters, and/or meetings), including proper mask usage and

safety guidelines to students, staff and parents/guardians on an ongoing basis.

f. Hand Sanitization: The District shall comply with the following hand washing logistical

requirements:

i. Every room with an operational sink shall be stocked with soap, hand sanitizer, and

paper towel dispensers;

ii. Every classroom shall be provided hand sanitizer;

iii. Non-classroom workspaces shall be provided hand sanitizer or close proximity access to

handwashing;

iv. All hand washing/hand sanitizing supplies noted above or otherwise provided shall be

checked and restocked promptly as needed and prior to the beginning of each school

day or between sessions.

g. Daily Cleaning and Disinfecting: The District shall ensure all classrooms, restrooms, and

workspaces are cleaned by trained custodial staff, according to state and county public health

requirements.

h. Disinfecting Due to Positive Case: In the event of a positive case of COVID-19 the District shall

ensure that contaminated areas are closed and disinfected in accordance with applicable

requirements issued by CDPH and County Health. Disinfecting shall be done by trained,

qualified custodial staff. Disinfecting shall occur with sufficient time for any harmful chemicals

to dissipate prior to the space being occupied by staff, students, administrators, or visitors.

i. Ventilation: The District shall ensure all HVAC systems operate on the mode which delivers the

most frequent fresh air exchanges per hour, including disabling demand-controlled ventilation,

and open outdoor air dampers to 100% as indoor and outdoor conditions, and equipment

operation, safely permits. Air filters shall be MERV-13 or the highest capacity the HVAC system

can accommodate and changed at the recommended intervals. HEPA air purifiers will be

provided in classrooms and offices and shall be regularly inspected and maintained by the

District to ensure working order. Staff assigned to workspaces in rooms without adequate, or

functioning, HVAC, should report concerns to their site administrator for assessment of

equipment and alignment with this section.

i. All areas used as the isolation space/room of individuals presenting COVID-19 symptoms

shall be equipped with adequate ventilation as stated in i. Ventilation above.

ii. The District will verify ventilation and air exchanges by contracting a certified air

balancing specialist to test HVAC systems.

j. Upon request of the Association, the District shall provide copies of all Safety Data Sheets (“SDSs”) required to be maintained by Cal-OSHA.

k. Upon request of the Association, the District shall provide a copy of the Injury Illness

Prevention Plan (IIPP). The District intends to align safety provisions within the Covid Prevention Plan (CPP) to the safety provisions of this MOU.

2. COVID-19 Exposure and Quarantines The District will comply with CDPH and County Department of Public Health exposure and quarantining requirements.

3. All components of the current Collective Bargaining Agreement between SWTA and District not addressed by the terms of this agreement shall remain in full effect unless agreed otherwise in this or subsequent MOUs.

4. Negotiation Procedures

Due to the evolving nature of the pandemic, the District and Association reserves the right to negotiate

safety and/or any impacts and effects related to the COVID-19 pandemic should the CDPH and/or San

Diego County COVID-19 guidelines change, and those changes substantially and materially affect any of

the provisions of this agreement.

The terms and conditions set forth in this MOU shall be subject to the terms of Article 13, Grievance

Procedure, as outlined in the parties’ collective bargaining agreement.

This MOU shall continue in effect until June 30, 2022, unless the parties agree to extend this MOU beyond

that date.

This MOU shall not be precedent setting nor form any basis for a past practice. It is agreed and understood

that this agreement is subject to the approval of SWTA and the Board of Education.

BACKGROUND INFORMATIONThe SDCOE will be funding a one-time implementation cost for 15 districts with ESSER IIfunding. This solution will provide a streamlined and automated recruiting process and digitizing theonboarding/off boarding processes. The recruiting solution will leverage PeopleSoft deliveredintegration technology, allowing districts to streamline and automate their processes and reduceduplicate entry for the recruit-to-hire process.

CURRENT CONSIDERATIONSOn August 12, 2021, the SDCOE selected South Bay as one of 15 school districts to participatein a PeopleSoft system implementation project. The project will enhance current systems byutilizing them to their maximum capacity. The cost to participate in the project, which includes manynew features like onboarding/off boarding, will be paid by the SDCOE. The projected date ofcommencement will be August 2021 and is estimated to go until February 2022. The agreement isattached as an Exhibit.

IMPACT ON STUDENT ACHIEVEMENTThe MOU will enhance student achievement by offering school operations solutions to eliminatecurrent manual operations, which will serve to provide and facilitate the recruitment of personnelneeded to support daily student success.

FINANCIAL IMPLICATIONS AND FUNDING SOURCEThere are no financial implications related to this item.

MEMORANDUM OF UNDERSTANDING BETWEEN

SAN DIEGO COUNTY OFFICE OF EDUCATION AND THE

South Bay Union School District This Memorandum of Understanding (“MOU” or “Agreement”) is made and entered into as of the 16 day of August 2021, by and between the San Diego County Superintendent of Schools (“SDCOE”) and South Bay Union School District (“District”). SDCOE and the District may be hereinafter referred to collectively as the “Parties”.

RECITALS

WHEREAS, the District, along with other San Diego area school districts and charter schools, currently participates in and receives software and services from SDCOE for the Personnel/Payroll, Financial Information System, and other peripheral systems; and

WHEREAS, SDCOE owns licenses for Oracle’s PeopleSoft Recruiting Module which is part of Oracle’s Human Capital Management platform (HCM); and

WHEREAS, SDCOE has completed an RFP process for the implementation of Oracle’s

PeopleSoft Recruiting Module and selected CherryRoad Technologies as the Implementation Solution provider for the implementation; and

WHEREAS, SDCOE has asked the District to commit to participate in SDCOE’s

programs/services as well as make a resource contribution to support the project implementation requirements, configuration, and testing for Recruiting solution with SDCOE; and

WHEREAS, the purpose of this MOU is to memorialize the District’s contractual commitment to participate in the implementation of the Recruiting solution; and

WHEREAS, SDCOE will rely on the District’s commitment set forth herein in order to include the District in the development and finalization of the contracted scope with the Implementation Solution provider and the included services; and

WHEREAS, the Parties acknowledge and agree that without the District’s commitment

pursuant to the terms and conditions set forth herein prior to South Bay Union School District, SDCOE will not be able to include the District in the scope of this project and the District will be required to seek and bear the full cost of its own solution(s) and meet all federal, state and local statutory requirements.

AGREEMENT

NOW, THEREFORE, in consideration of the terms, conditions, and mutual covenants contained herein, the sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. SCOPE OF SERVICES/DISTRICT COMMITMENT

To ensure a successful implementation of the Recruiting solution, as further described in Exhibit “A”, and to ensure that the District is included in the scope of configuration and implementation, the District agrees to allocate the appropriate resources and time based on the below time and resource estimates:

a. Project overview and Requirements gathering – 40 to 80 hours - Aug-Oct b. Project meetings – 2 to 4 one-hour meetings per month - Aug-Feb c. Design Review/Conference Room Pilot – 40 to 80 hours - Oct-Nov d. System testing – 20 to 40 hours - Nov-Dec e. User acceptance testing – 20 to 40 hours - Jan-Feb f. Training – 4 to 8 hours - Dec-Jan

The project is expected to run August 2021 through February 2022. District understands and agrees that the commitment outlined above is an estimate based upon the most current knowledge available. SDCOE maintains the right to make adjustments to the above estimates if necessary for the District to fully participate in the configuration and implementation of the project. SDCOE shall discuss all changes with District prior to implementation. Such changes shall not require written approval of the parties. In the event of a conflict in or inconsistency between the terms of this agreement and Exhibit A, the Agreement shall prevail. Unless specifically stated otherwise, the order of precedence for the purpose of determining any conflict or inconsistency between the terms of this agreement and any other documents shall be as follows: 1) any amendment to this agreement, 2) this agreement, 3) exhibit(s) to this agreement, 4) other associated documents named in the agreement.

2. TERM OF AGREEMENT

This Agreement shall be effective from the period commencing August 16, 2021, and ending March 31, 2022, unless sooner terminated by either party as provided in the section of this Agreement entitled "Termination."

3. COMPENSATION SDCOE will fund 100% of the total cost utilizing ESSER funding for District to implement the PeopleSoft Recruiting Project in consideration for the District’s commitment to participate as stated above.

4. TERMINATION This Agreement may be terminated with or without cause by SDCOE. Termination without cause shall be effective only upon 30-day written notice to the District. This Agreement may also be terminated by either party for cause in the event of a material breach of this Agreement, misrepresentation in connection with the formation of this Agreement or the performance of services, or the failure to perform services. Termination for cause shall be affected by delivery of written notice by the non-breaching party. It is understood and agreed the termination may be delivered via email and shall be effective on the date sent.

5. INDEPENDENT CONTRACTOR It is expressly understood that at all times, while rendering the services described herein, and in complying with any terms and conditions of this MOU, District is acting as an independent contractor and not as an officer, agent, or employee of the SDCOE. Except as SDCOE may specify in writing, District shall have no authority express or implied, to act on behalf of SDCOE in any capacity whatsoever, including but not limited to, as an agent. District shall have no authority, express or implied, to bind SDCOE to any obligation whatsoever.

Either Party may separately engage the services of outside professionals in the course of administration, development or technical support of data systems. Any such professionals will be bound at all times by the same confidentiality and security requirements which are applicable to any data within the Parties’ systems, and by state and federal law governing such access.

6. CONFIDENTIAL RELATIONSHIP The District may from time to time communicate to SDCOE certain information to enable SDCOE to effectively perform its services. SDCOE shall treat all such information as confidential, whether or not so identified, and shall not disclose any part thereof without the prior written consent of the District. SDCOE shall limit the use and circulation of such information, even within its own organization, to the extent necessary to perform the intended purpose. The foregoing obligation, however, shall not apply to any part of the information that (i) has been disclosed in publicly available sources of information; (ii) is, through no fault of SDCOE, hereafter disclosed in publicly available sources of information; (iii) is now in the possession of SDCOE without any obligation of confidentiality; (iv) is required to be disclosed by operation of law; or (v) has been or is hereafter rightfully disclosed to SDCOE by a third party, but only to the extent that the use or disclosure thereof has been or is rightfully authorized by said third party. SDCOE shall not disclose any reports, recommendations, conclusions or other results of the services or the existence of the subject matter of this Agreement without the prior written consent of the District. In its performance hereunder, SDCOE shall comply with all legal obligations it may now or hereafter have respecting the information or other property of any other person, firm or corporation. Both Parties will abide by all mandated statutes for the protection of client confidentiality. The rights of all will be respected without regard to color, creed, religion, sex, ethnicity, sexual orientation, nationality, legal status, health, or disability.

7. PUBLIC RECORDS ACT The District acknowledges that SDOCE is a public agency subject to the requirements of the California Public Records Act (Cal. Gov. Code section 6250 et seq.) or “CPRA.” SDCOE acknowledges that the District may submit information that District considers confidential, proprietary, or trade secret information pursuant the Uniform Trade Secrets Act (Cal. Civ. Code section 3426 et seq.), or otherwise protected from disclosure pursuant to an exemption to the CPRA. District acknowledges that SDCOE may submit to District information that it considers confidential or proprietary or protected from disclosure pursuant to exemptions to the CPRA. Upon request or demand of any third person or entity not a party to this Agreement (“Requestor”) for production, inspection, and/or copying of information designated by a Disclosing Party as Confidential Information, the Receiving Party as soon as practical, but within three (3) days of receipt of the request, shall notify the Disclosing Party that such request has been made, by telephone call, letter sent via facsimile, and/or by US Mail to the address and facsimile number listed at the end of the Agreement. The Disclosing Party shall be solely responsible for taking whatever legal steps are necessary to protect information deemed by it to be Confidential Information and to prevent release of information to the Requestor by the Receiving Party. If the Disclosing Party takes no such action, after receiving the foregoing notice from the Receiving Party, the Receiving Party shall be permitted to comply with the Requestor’s demand and is not required to defend against it.

8. OWNERSHIP OF DOCUMENTS

SDCOE shall own its working papers and any engagement documentation. SDCOE shall also own its consultant-related general skills, ingenuity, expertise, ideas, concepts, methods, techniques, processes, software, materials, or other intellectual property that may have been discovered, created, received, developed, or derived by SDCOE, either prior to or as a result of providing services under this Agreement, so long as SDCOE acquires such information without any unauthorized use or disclosure of confidential information of the District. All memoranda, reports, plans, specifications, maps and other documents prepared or obtained under the terms of this Agreement by or for SDCOE shall be the property of SDCOE and shall be delivered to SDCOE by District upon demand. Services provided to SDCOE, and all participating schools therein, and all related materials including, but not limited to: audio, video, images, District’s name, logo, slogans, quotes, or writings, posters, and any other related materials which are exclusively owned by the District will remain the exclusive property of the District.

9. FUND AVAILABILITY Funding of this Agreement, if funded by the SDCOE, is contingent upon appropriation and availability of funds. In the event the funds are not available by operation of law or budget determination, SDCOE shall have the exclusive right to terminate this agreement.

10. DATA PROTECTION AND PRIVACY All SDCOE content/data (including but not limited to: students, teachers, interns, aides, principals, and other administrative personnel) information involved in this Agreement shall continue to be the property of and under the control of SDCOE. All content/data created by SDCOE or by its students or personnel using the service provided will cease to be retained by the District at the conclusion of this Agreement and will, in fact, be removed from the District’s records. District will not use any information in a student or personnel record for any purposes other than those required or specifically permitted by this Agreement. Any other use of SDCOE student and personnel information will not be undertaken without the express, written consent of the SDCOE. The District will notify SDCOE within 24 hours of the District discovering an unauthorized access or disclosure of SDCOE data. The parties will work together to ensure compliance with FERPA regulations as applicable. The District and SDCOE will work together to ensure compliance with FERPA regulations as applicable.

11. NO ASSIGNMENTS Neither any part nor all of this Agreement may be assigned or subcontracted, except as otherwise specifically provided herein, or to which SDCOE, in its sole discretion, consents to in advance thereof in writing. Any assignment or subcontracting in violation of this provision shall be void.

12. AUDIT

SDCOE agrees to maintain and preserve, until three (3) years after termination of the Agreement with the District, and to permit the State of California or any of its duly authorized representatives, to have access to and to examine and audit any pertinent books, documents, papers, and records related to this Agreement.

13. LICENSES, PERMITS, ETC. The SDCOE represents and declares to District that it has all licenses, permits, qualifications, and approvals of whatever nature that is legally required to use and implement the program. SDCOE warrants and assures that SDCOE shall, at its sole cost and expense, keep in effect at all times during the term of this Agreement, any license, permit, or approval that is legally required.

14. TUBERCULOSIS CLEARANCE The District shall certify in writing that its employees, volunteers, and subcontractors receive clearance for tuberculosis (TB). In such cases where District does not have frequent and/or ongoing in-person contact, District shall not be required to obtain TB clearance.

15. PUPIL SAFETY/SCHOOL SAFETY ACT

The District shall comply with all provisions of Education Code section 45125.1 et seq., as applicable to the determination below. SDCOE has completed the “Pupil Safety Provisions” below certifying the level of contact that the District is expected to have with SDCOE pupils.

_____ SDCOE has determined that greater than limited contact with pupils may occur under the terms of this Agreement. Fingerprinting and certification will be required of the District. No work may take place until the requirements of Education Code section 45125.1 have been met.

_____SDCOE has determined that limited contact with pupils may occur under the terms of this Agreement. In lieu of fingerprinting, a SDCOE employee will provide supervision at all times when the Consultant has contact with pupils.

16. ASSUMPTION OF RISK District understands that the transactions contemplated by this Agreement are subject to complex risks that may arise without warning and may at times be volatile. Because the losses that may occur can be of unanticipated magnitude, District expressly acknowledges that it hereby assumes any and all risks associated with the use of the Recruiting solution and accepts such terms and conditions. SDCOE shall have no liability to the District or any third party for any liability, problem, loss, or damage resulting from their use or attempted use of the solution.

17. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its Affiliates, and their respective directors, officers, employees and agents (each, an “Indemnified Party”), from and against all losses, liabilities, damages, settlements, claims, actions, suits, penalties, fines, costs or expenses (including reasonable attorneys’ fees, experts’ fees and other costs of investigation or defence at any stage of the proceedings) to the extent relating to a Third Party claim, action or demand (any of the foregoing, a “Loss”) arising out of or resulting from actions arising from this agreement. This indemnification obligation is not limited in any way by any limitation on the amount or type of damages or compensation payable to or for the District or its agents under workers' compensation acts, disability benefits acts, or other employee benefits.

18. TOBACCO-FREE FACILITY SDCOE is a tobacco-free facility. Tobacco use (smoked or smokeless) is prohibited at all times on all areas of or within San Diego County Office of Education property.

20. AMENDMENT

No oral or other agreements or understandings shall be effective to modify or alter the written terms of the agreement. This Agreement may be amended or modified only by a written instrument signed by SDCOE and by a duly authorized representative of the District unless otherwise provided in this agreement.

21. GOVERNING LAW/VENUE In the event of litigation, the Agreement and related matters shall be governed by and construed in accordance with the laws of the State of California. Venue shall be with the appropriate State or Federal court located in San Diego County.

22. MEDIATION In the event of any dispute, claim, question, or agreement or disagreement arising from or relating to this Agreement or breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith, recognize their mutual interests, and attempt to reach a just and equitable solution satisfactory to both parties. If the parties are unable to resolve the issue(s) within a period of thirty (30) days, then upon notice of either party to the other, all disputes, claims, questions, or disagreements shall be resolved through mediation. The parties will select a mediator by their mutual agreement, within 30 days. If there can be no such agreement, each party will submit a list of five mediator choices to the other, rank ordered by preference. The mediator will then be selected based on a further discussion, unless an individual is on both lists and then that person would have preference. Each party shall bear its own costs, including without limitation one half of the cost of the fees and costs of mediation.

23. COMPLIANCE WITH LAW SDCOE and the District shall both be subject to, and shall comply with, all federal, state, and local laws and regulations applicable to its performance under this Agreement including, but not limited to: licensing, employment, purchasing practices, wages, hours, and conditions of employment, including non-discrimination. To the extent that this Agreement may be funded by fiscal assistance from another governmental entity, District and any subcontractor(s) shall comply with all applicable rules and regulations to which SDCOE is bound by the terms of such fiscal assistance program.

24. FINAL APPROVAL This MOU is of no force or effect until executed by both the District and approved by signature of the SDCOE Superintendent of Schools or his designee, the Deputy Superintendent, Chief Business Officer.

25. EMPLOYMENT WITH PUBLIC AGENCY AND RETIREES The District, if an employee of another public agency, agrees that it will not receive salary or remuneration, other than vacation pay, as an employee of another public agency for the actual time in which services are being performed pursuant to this Agreement. Retirees should seek guidance from their respective retirement system to avoid a loss of retirement benefits. In the event that District or any employee, agent, or subcontractor of District providing services under this Agreement is determined by a court of competent jurisdiction, the California Public Employees Retirement System (PERS) or the State Teachers Retirement System (STRS) to be eligible for enrolment as an employee of SDCOE, District shall indemnify, defend, and hold harmless SDCOE for the payment of any employee and/or employer contributions for such retirement benefits on behalf of District or its employees, agents, or subcontractors, as well as payment for any penalties and interest on such contributions, which would otherwise be the responsibility of SDCOE.

26. COUNTERPARTS This Agreement (and any amendments) may be executed in multiple counterparts, each of which shall constitute an original, and all of which shall constitute one and the same instrument. Documents delivered electronically shall be valid and binding.

27. SEVERABILITY If a court of competent jurisdiction finds or rules that any provision of this Agreement is invalid, void, or unenforceable, the provisions of this Agreement not so adjudged shall remain in full force and effect. The invalidity in whole or in part of any provision of this Agreement shall not void or affect the validity of any other provision of this Agreement.

28. ENTIRE AGREEMENT This Agreement represents the entire Agreement and understandings of the parties hereto and no prior writings, conversations or representations of any nature shall be deemed to vary the provisions hereof. This Agreement may not be amended in any way except by a writing duly executed by both parties hereto.

29. EXHIBITS AND RECITALS

All Exhibits and Recitals contained herein are hereby incorporated into this Agreement by this reference.

30. AUTHORITY TO EXECUTE The persons executing this Agreement on behalf of their respective Parties represent and warrant that they have the authority to do so under law and from their respective Parties. IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be duly executed as of the day and year first written above.

PeopleSoft Recruiting Scope

The expected overall scope of work encompasses the full-scale implementation of the PeopleSoft Recruiting Module and employee on/off boarding. The solution will be specifically geared towards (K-12) school operations. The solution will consider that some of the districts have a K-12 educational merit system. The implementation is planned to include the following functionality. The District agrees to fully participate and support SDCOE and the Implementation Solution provider in configurating and implementing the following functionality:
