10. To incoporate CCP ALO-001, rev 3, dated 11 June 2015, which provides an alternative CAC configuration to be included to provide

connectivity alternatives for radio disabled use and with Bluetooth connectivity. When the radios in the HHT are disabled a snap-on CAC

is substituted for the Bluetooth CAC at no charge.

Also, to incoporate CCP ALO-003, rev 1, dated 30 June 2015, which removes the Apriva end of life BT200-T and replaces it with the Apriva

replacement product BT200-Z. With this change there will be improved functionality in that BT200-Z supports Windows 8.1. Additionally,

with this change there is no change to price.

Lastly, to incoporate CCP ALO-004, rev 1, dated 15 July 2015, which removes the Cozumel end of life CN70/70e and CK71 and replace it

with the Pasion CN70/70e and CK71 replacement product.

THE FOLLOWING IS AN ADDENDUM TO FAR 52.212-4 - CONTRACT TERMS AND CONDITIONS -- COMMERCIAL ITEMS

This Executive Summary is provided as a synopsis of important and relevant features of this contract. If conflict exists between this

summary and the provisions of the contract, the provisions of the contract govern.

1. Award. In support of Product Director Automated Movement and Identification Solutions (PD AMIS) mission, the U.S. Army Contracting _____

Command Rock Island (ACC-RI) hereby awards contract NO. W52P1J-15-D-0060 to Lowry (Cage Code 8Y716). This multi award contract is a Firm

Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) with reimbursable CLINs for Other Direct Costs (ODC) and Travel.

This contract vehicle is decentralized and available to Department of Defense (DoD), United States Coast Guard (USCG), North Atlantic

Treaty Organization (NATO), Coalition Partners, other Foreign Military Sales (FMS), other Federal Agencies, and contractors in support

of DoD activities. All Federal Contracting Officers are delegated procurement authority to place Task Orders/Delivery Orders against

this AIT-V FFP IDIQ contract. All Contracting Officers seeking to place orders against the contract shall agree to comply with the

terms and conditions of the base contract.

In this decentralized contract vehicle, The Contractor will provide AIT-V data communications, hardware, software, documentation, and

incidental services to authorized Government users worldwide. The incidental services include training, warranty, and Technical

Engineering Services (TES).

The AIT-V hardware and software purchased under this contract will be ISO/IEC 17050-1:2004 compliant. The TES available will provide

turnkey solutions for integrating a user's existing Automated Identification Technology (AIT) and Passive RFID (pRFID) with the Active

RFID (aRFID) technology. TES shall include those services required for AIT-V turnkey implementation, Item Unique Identification (IUID)

implementation support, equipment integration, site analysis, installation, de-installation, relocation, problem-solving, user unique

training, Integrated Planning Team (IPT) support, conducting Physical Configuration Audits (PCAs)/ Functional Configuration Audits

(FCAs), software development; communications, interfaces to other Government systems, equipment and systems engineering services, System

Design and systems integration to include middleware integration to enterprise systems. Any cables or adapters not listed in this

Contract, middleware or other items and materials required for installation of Contractor-provided AIT-V components, may be ordered

through the contract in accordance with (IAW) the provision entitled Incidental Materials Paragraph H within Section H of the Contract.

Delivery of the products and performance of the services will be worldwide.

2. Ordering Period. The ordering period of this AIT-V contract includes a two (2) year (24 months) base Ordering Period, with one (1) _______________

twelve (12)-month evaluated Option Ordering Period. The ordering periods are outlined below:

Base Ordering Period: 11 May 2015 through 10 May 2017

Option Period 1 (if exercised): 11 May 2017 through 10 May 2018

3. Guaranteed Minimum. The guaranteed minimum dollar value of this contract is $25,000.00 (base plus option year). The maximum value for __________________

the entire AIT-V procurement inclusive of all awarded IDIQ contracts is $181,000,000.00. There is no guarantee that the Government will

order, in combination of all orders, the maximum value under this procurement. Contract award does not obligate the Government to place

additional orders beyond the guaranteed minimum amount.

4. Performance Work Statement. Performance for this contract shall be performed IAW the "Performance Work Statement (PWS)" (Sect. J, __________________________

Attachment 0002).

5. CLIN/SLIN Structure and Pricing. _______________________________

5.1 The CLIN/SLIN structure and pricing for this contract is outlined in Sect. B, Supplies or Services and Prices/Costs. CLIN/SLIN

descriptions include model numbers and all correlating ancillary items.

5.2 Prices are on a FOB Destination basis and in U.S. currency.

5.3 Government Ordering Officers shall issue Requests for Quote(s) (RFQs)/Requests for Proposal(s)(RFPs) to the Contractor for

individual Task Orders/TES Projects. Each individual Task Order will be accompanied by its own unique Task Order PWS that will align

with the Base Contract's PWS (Sect. J, Attachment 0002).

5.4 Government Ordering Officers shall issue RFQs/RFPs to the Contractor for individual Delivery Orders. Each individual Delivery

Order will be accompanied by its own unique Delivery Order PWS that will align with the Base Contract's PWS (Sect. J, Attachment

0002).

6. Special Contract Requirements. See Sect. H, Special Contract Requirements. _____________________________

7. CONUS/OCONUS. Performance of this contract can be Contiguous United States, not continental (CONUS) or Outside the Contiguous United ____________

States, not continental (OCONUS). Additional clauses required to perform OCONUS shall be added at the Task Order level.

8. Trade Agreements Act (TAA). This procurement is subject to the Trade Agreements Act (TAA). For the purpose of the applicability of ___________________________

the Trade Agreements Act, end products in this procurement are at the level of the CLIN/SLIN. In addition, note that due to a change in

regulation, U.S. made end products are no longer subject to application of a 50% penalty.

9. Invoice Instructions: ____________________

9.1 Invoices are to be submitted through the Wide Area Workflow (WAWF) system. The Contractor must have the ability to comply with

DFARS Clause 252.246-7000, Material Inspection and Receiving Report and DFARS 252.232-7003, Electronic Submission of Payment

Requests. The Contractor must be capable of accepting electronic fund payment.

9.2 Orders shall be awarded and invoiced per the appropriate CLIN/SLIN(s) as listed in Section B.

9.3 Payments made against this contract will be paid in U.S. currency.

9.4 Defense Finance and Accounting Service (DFAS) Co/North Entitlement Operation, DoDAAC HQ0337, is the designated payment office

for Delivery Orders/Task Orders. Note: an alternate DFAS office can only be used if the Government Ordering Contracting Officer

authorizes the use on an individual order.

10. Ordering. All orders against this decentralized contract vehicle shall be issued IAW the terms and conditions in this Base Contract. _________

Ordering Procedures are outlined in Sect. H, Special Contract Requirements. In addition, an Ordering Guide for Government Contracting

Officers can be found on the PD AMIS website, http://www.ait.army.mil/Contracts. The Contractor shall deliver hardware and software

items to the destination specified in the order within 45 days after date of order for all orders. DCMA inspection must also be

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract

was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-

2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and

right to examine any of the Contractors directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for

examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR

Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially

terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination

settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating

to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type

and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in

the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not

required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise

indicated below, the extent of the flow down shall be as required by the clause--

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the

individuals or activities designated in the contract schedule. All Federal Contracting Officers are delegated procurement authority to

place TOs/DOs against the AIT-V IDIQ contract.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a

delivery order or task order and this contract, the contract shall control.

(c)(1) If issued electronically, the order is considered "issued" when a copy has been posted to the Electronic Document Access system,

and notice has been sent to the Contractor.

(2) If mailed or transmitted by facsimile, a delivery order or task order is considered ``issued'' when the Government deposits the

THE UNITED STATES

(a) Definition. United States, as used in this clause, means, the 50 States, the District of Columbia, and outlying areas.

(b) Except as provided in paragraph (c) of this clause, the Contractor and its subcontractors, if performing or traveling outside the

United States under this contract, shall

(1) Affiliate with the Overseas Security Advisory Council, if the Contractor or subcontractor is a U.S. entity;

(2) Ensure that Contractor and subcontractor personnel who are U.S. nationals and are in-country on a non-transitory basis, register

with the U.S. Embassy, and that Contractor and subcontractor personnel who are third country nationals comply with any security related

requirements of the Embassy of their nationality;

(3) Provide, to Contractor and subcontractor personnel, antiterrorism/force protection awareness information commensurate with that

which the Department of Defense (DoD) provides to its military and civilian personnel and their families, to the extent such information

can be made available prior to travel outside the United States; and

(4) Obtain and comply with the most current antiterrorism/force protection guidance for Contractor and subcontractor personnel.

(c) The requirements of this clause do not apply to any subcontractor that is:

(1) A foreign government;

(2) A representative of a foreign government; or

(3) A foreign corporation wholly owned by a foreign government.

This clause supplements the Federal Acquisition Regulation 52.219-9, Small Business Subcontracting Plan, clause of this contract.

(a) Definitions. As used in this clause--

"Summary Subcontract Report (SSR) Coordinator," means the individual who is registered in eSRS at the Department of Defense (9700).

(b) Subcontracts awarded to workshops approved by the Committee for Purchase from People Who are Blind or Severely Disabled (41 U.S.C.

8502-8504), may be counted toward the Contractors small business subcontracting goal.

(c) A mentor firm, under the Pilot Mentor-Protege Program established under section 831 of Public Law 101-510, as amended, may count

toward its small disadvantaged business goal, subcontracts awarded to--

(1) Protege firms which are qualified organizations employing the severely disabled; and

(2) Former protege firms that meet the criteria in Section 831(g)(4) of Public Law 101-510.

(d) The master plan is approved by the Contractor's cognizant contract administration activity.

(e) In those subcontracting plans which specifically identify small businesses, the Contractor shall notify the Administrative

Contracting Officer of any substitutions of firms that are not small business firms, for the small business firms specifically

identified in the subcontracting plan. Notifications shall be in writing and shall occur within a reasonable period of time after award

of the subcontract. Contractor-specified formats shall be acceptable.

(f)(1) For DoD, the Contractor shall submit reports in eSRS as follows:

(i) The Individual Subcontract Report (ISR) shall be submitted to the contracting officer at the procuring contracting office, even

when contract administration has been delegated to the Defense Contract Management Agency.

(ii) To submit the consolidated SSR for an individual subcontracting plan in eSRS, the contractor identifies the Government Agency

in Block 7 (Agency to which the report is being submitted) by selecting the Department of Defense (DoD) (9700) from the top of the

second dropdown menu. Do not select anything lower.

(2) For DoD, the authority to acknowledge receipt or reject reports in eSRS is as follows:

(i) The authority to acknowledge receipt or reject the ISR resides with the contracting officer who receives it, as described in

paragraph (f)(1)(i) of this clause.

(ii) The authority to acknowledge receipt or reject SSRs in eSRS resides with the SSR Coordinator.

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $300 for _________

maintenance and $50 for products, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those________________________________

supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of $5,000,000;

(2) Any order for a combination of items in excess of $5,000,000; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in

subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition

Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds

the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations

in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice

stating the Contractors intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government

may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the

Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor

shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the

quantity designated in the Schedule as the maximum. The Government shall order at least the quantity of supplies or services designated

in the Schedule as the minimum.

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of

orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple

locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the

Contractor within the time specified in the order. The contract shall govern the Contractors and Governments rights and obligations with

respect to that order to the same extent as if the order were completed during the contracts effective period; provided, that the

Contractor shall not be required to make any deliveries under this contract 45 days for supplies and 12 months for TES after expiration

of the contract term.

52.217-9 Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor anytime during the life of the contract;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 days before the

contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three (3) years.

52.237-3 Continuity of Services (Jan 1991)

(a) The Contractor recognizes that the services under this contract are vital to the Government and must be continued without

interruption and that, upon contract expiration, a successor, either the Government or another contractor, may continue them. The

Contractor agrees to --

(1) Furnish phase-in training; and

(2) Exercise its best efforts and cooperation to effect an orderly and efficient transition to a successor.

(b) The Contractor shall, upon the Contracting Officers written notice,

(1) furnish phase-in, phase-out services for up to 90 days after this contract expires and

(2) negotiate in good faith a plan with a successor to determine the nature and extent of phase-in, phase-out services required.

The plan shall specify a training program and a date for transferring responsibilities for each division of work described in the plan,

and shall be subject to the Contracting Officers approval. The Contractor shall provide sufficient experienced personnel during the

phase-in, phase-out period to ensure that the services called for by this contract are maintained at the required level of proficiency.

(c) The Contractor shall allow as many personnel as practicable to remain on the job to help the successor maintain the continuity and

consistency of the services required by this contract. The Contractor also shall disclose necessary personnel records and allow the

successor to conduct on-site interviews with these employees. If selected employees are agreeable to the change, the Contractor shall

release them at a mutually agreeable date and negotiate transfer of their earned fringe benefits to the successor.

(d) The Contractor shall be reimbursed for all reasonable phase-in, phase-out costs (i.e., costs incurred within the agreed period after

contract expiration that result from phase-in, phase-out operations) and a fee (profit) not to exceed a pro rata portion of the fee

(profit) under this contract.

The Office of the Assistant Secretary of the Army (Manpower & Reserve Affairs) operates and maintains a secure Army data collection site

where the contractor will report ALL contractor manpower (including subcontractor manpower) required for performance of this contract.

The contractor is required to completely fill in all the information in the format using the following web address:

https://contractormanpower.army.pentagon.mil.

The required information includes:

(1) Contracting Office, Contracting Officer, Contracting Officer's Technical Representative;

(2) Contract number, including task and delivery order number;

(3) Beginning and ending dates covered by reporting period;

(4) Contractor name, address, phone number, e-mail address, identity of contractor employee entering data;

(5) Estimated direct labor hours (including sub-contractors);

(6) Estimated direct labor dollars paid this reporting period (including subcontractors);

(7) Total payments (including sub-contractors);

(8) Predominant Federal Service Code (FSC) reflecting services provided by contractor (and separate predominant FSC for each sub-

contractor if different);

(9) Estimated data collection cost;

(10) Organizational title associated with the Unit Identification Code (UIC) for the Army Requiring Activity (the Army Requiring

Activity is responsible for providing the contractor with its UIC for the purposes of reporting this information);

(11) Locations where contractor and sub-contractors perform the work (specified by zip code in the United States and nearest city,

country, when in an overseas location, using standardized nomenclature provided on website);

(12) Presence of deployment or contingency contract language; and

(13) Number of contractor, and sub-contractor employees deployed in theater this reporting period (by country).

As part of its submission, the contractor will also provide the estimated total cost (if any) incurred to comply with this reporting

requirement. Reporting period will be the period of performance not to exceed 12 months ending September 30 of each government fiscal

year and must be reported by 31 October of each calendar year. Contractors may use a direct XML data transfer to the database server or

fill in the fields on the website. The XML direct transfer is a format for transferring files from a contractor's systems to the secure

web site without the need for separate data entries for each required data element at the web site. The specific formats for the XML

direct transfer may be downloaded from the web site.
