Festival

The Sweetlife Festival is an annual celebration of flavorful music, wholesome food, and

thoughtful living. A festival with a soul, the day will not only rock you with top national talent,

but will delight your tastes with delicious and hearty grub from regional restaurants,

producers and farmers, and sing to your conscience by vowing to be a carbon neutral event.

The Sweetlife Festival is presented by Sweetgreen, a Washington D.C. based restaurant

group that leads the national charge in sourcing delicious local and organic ingredients, with

an underlying commitment to the environment, their community, and cultural curation.

Party with a PurposeTogether, with our partners, we are committed to providing sustainable, locally sourced food

options through relationships with a range of other like-minded food producers, artisans, and

chefs. Sweetgreen will also be partnering with Washington D.C. Central Kitchen (DCCK) to

ensure the food production at the festival has as local a footprint as possible, and a portion

of proceeds will be donated to the local charity. DCCK turns leftover food into millions of

meals while offering nationally recognized culinary training to once homeless and hungry

adults.

The Green Low DownIn alignment with community needs and values, the 3rd Annual Sweetlife Festival is striving to be a carbon neutral event. Several initiatives will help to reduce the festivalʼs carbon footprint while educating our concertgoers on how to “go green”. Living the sweet life is easy, hereʼs how YOU as a festival partner can help make the Sweetlife Festival a carbon neutral event. Live it with us!

The following are guidelines to facilitate our green initiatives and each vendor MUST:

1. Purchase eco-friendly products from ACME. These products include serviceware, utensils, napkins and cups.a. Each vendor should order independently from ACME. Quantities will be determined by the

anticipated amount of items sold through your concessions. Email requests to: [email protected]

On the day of the festival, she will ensure your vending area is stocked with the appropriate amount of product you purchased from ACME.

2. Utilize the Fat Worm composting buckets. These will be provided and it is expected any food waste produced will be disposed of in these buckets.a. Your station may require more buckets than others depending on the quantity of

compostable items you have. Please contact Jill Moss to discuss the quantity of buckets you will require at your station in order to follow through with this commandment.

3. Recycle any paper and/or plastic products in recycle-binsa. Your station may require more bins than others depending on the quantity of recyclable

items you have. Please contact Jill Moss to discuss the quantity of buckets you will require at your station in order to follow through with this commandment.

4." Ask each costumer if they would like a receipt with their purchase. We would like to eliminate the amount of paper used.

5." Hand each costumer only two napkins with each food item purchased, unless otherwise " requested.

Terms, Conditions and Rules for Vendor Participants

1. All exhibitors will follow rules regarding passes, parking regulation as set forth at the time of the Sweetlife Festival event and specified in the Vendor Logistics Package provided to you by the Sweetlife Festival.

2. Exhibitors will not sell any items not approved by the Sweetlife Festival.3. All equipment necessary to the exhibitor display must be provided by the exhibitors, unless

otherwise specified by the Sweetlife Festival.4. Exhibitors agree to confine their display area to the space assigned by the Sweetlife Festival. To

insure the professional look of the event, exhibitors will arrange their displays in a neat, orderly manner, and must not display outside their assigned space.

5. Dogs and other animals: It is Merriweather policy that no animals are allowed on grounds. No refunds will be issued if you are asked to leave.

6. Exhibitors agree to use their name, picture and image, recorded voice and those of their employees and helps by the Sweetlife Festival promotional use.

7. Exhibitors are solely responsible for his/her wares and possessions. Thus, it is agreed that Sweetlife Festival and any function of the event and their employees shall not be held responsible for collecting monies to any city, county, state or federal agency, or any loss, damages and/or theft to the exhibitors wares or possessions or those his/her employees and helpers.

8. Exhibitors agree to hold harmless and indemnify Sweetlife Festival, and their employees from any and all loss, liability, claims, attorney fees, costs and expenses arising out of the exhibitors activities including, but not limited to, the manufacture or sales of goods and vending or services.

9. Exhibitors, as independent contractors are solely responsible for his/her workmanʼs compensation insurance, and those of his/her employees and helpers. All exhibitors must possess a valid sellerʼs permit as required by the State Board of Equalization.

10. All deadlines must be met by advertised deadlines set by the Sweetlife Festival.11. Be prepared for inclement weather. No Refunds will be awarded.12. No refunds will be given to any exhibitor once registration is submitted with a check.13. Failure to comply with any of the General Terms may result in immediate expulsion from the

Sweetlife Festival event with no refund.14. Location or booth area will be assigned by the Sweetlife Festival. Notification of both assigned

upon arrival of the event or included in your Vendor Logistics Pacakge.15. Bounced checks will result in immediate Sweetlife Festival booth cancellation.16. Electric Power cannot be provided to the vendors, unless otherwise specified by the Sweetlife

Festival and have been pre arranged with your coordinator.

Add-ons

1. ASSIGNMENT Neither party shall assign, delegate, subcontract, nor otherwise transfer their rights and obligations under this Agreement without the written consent of the other party.

2. NO PARTNERSHIP Nothing contained herein shall be construed as forming a legal partnership between the parties nor shall there be an employer/employee relationship. Each party hereto is an independent contractor responsible for the payment of their own taxes.

3. INDEMNITY Vendor shall indemnify, defend and hold harmless the Sweetlife Festival from any and all costs, expenses, liabilities and penalties including reasonable attorneyʼs fees and expenses, incurred by Producer arising out of any actual or alleged breach by Sponsor of any of Sponsorʼs obligations, representations and warranties set forth hereunder.

4. ARBITRATION Any controversy or claim arising out of or relating to this Agreement, or the breach hereof, shall be settled by arbitration in accordance with the rules, then obtaining, of the American Arbitration Association, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.

5. WARRANTIES Vendor represents, warrants and covenants to the Sweetlife Festival as follows:(i) Sponsor has the full right and legal authority to enter into and fully perform this Agreement

in accordance with its terms; (ii) this Agreement, when executed and delivered by Sponsor, will be its legal, valid and binding obligation enforceable against Sponsor in accordance with its terms (iii) the execution and delivery of this Agreement have been duly authorized by Sponsor and (iv) this Agreement is entered into solely for the purpose of the rights described herein and for no other purpose.

6. FORCE MAJEURE Neither Party shall have any rights against the other Party hereto for the non-occurrence of the event if such non-occurrence is due to an Event of Force Majeure. A Force Majeure Event is any act of God, terrorism, war, government authority, strikes, civil disorders, disasters, curtailment of transportation facilities, severely inclement weather or other emergencies, any of which make it illegal or impossible to hold the Event.

7. ENTIRE AGREEMENT This Agreement constitutes the entire agreement of the parties in connection with the subject matter hereof, and cannot be modified or amended except in writing signed by the parties hereto. This Agreement shall be binding upon and inure to the benefit of the partiesʼ respective licensees and successors.

ADDENDUM A: Certificate of Insurance, Limits and Indemnification Language for Merriweather VENDOR shall maintain a general liability insurance policy that shall provide no less than one million U.S. dollars ($1,000,000.00 USD) coverage per occurrence. The policy must list as an additional insured: I.M.P., Inc., It’s My Party, Inc., It’s My Amphitheater, Inc., I.M.A., Inc. d/b/a Merriweather Post Pavilion, It’s My Baltimore, Inc., I.M.B., Inc., Seth Hurwitz, Rich Heinecke, Charm City Hospitality, Inc., The Howard Hughes Corporation, The Howard Hughes Management Co., LLC, The Columbia Association, Inc., , Inc., Merriweather Post Business Trust, The Howard Research and Development Corporation and the respective parents, partners, shareholders, officers, directors, affiliates, subsidiaries, successors, agents, employees, representatives and assigns of each . Proof of this insurance must be provided by a certificate of insurance furnished to Account. This certificate must demonstrate that the policy cannot be canceled without notification to the named insured. VENDOR shall also provide applicable workers compensation insurance for its employees, as required by applicable state law.
