Section A: Guidelines of Tender Proposal

1. Overall Guidelines

1.1 The Tender Proposal must follow the general layout and format provided below. Non-compliance to this format may render the Tender Proposal invalid:

1.2 Further information can be provided as additional sections or Annexes. All Annexes must be properly labelled and cross-referenced in the main body of the Tender Proposal.

2. Submission and Short Listing Criteria

2.1 The Tenderer shall comply with the following submission criteria. Tender Proposals not conforming to any of the requirements stipulated below may be rejected:

3. One (1) set of Financial Statements (for the last 3 years)

2.2 The Tenderer shall note and comply with the following short listing criteria:

1. The Tenderer has complied fully with all Terms and Conditions stated in Part I of these Tender Documents.

2. The Tenderer has submitted a complete Tender Proposal for the provision of all Specifications stated in Part II of these Tender Documents. A complete Tender Proposal shall exhibit characteristics such as:

Completeness in terms of the level of details in solutions proposed as well as responses to the Statement of Compliance;

Ability to meet Commissioning Dates and Specifications stated in Part II; Proven good implementation strategy, design and development for other

organisations preferably education institutes (completed or currently providing services of similar scope and scale within the last three (3) years);

Cost effectiveness and value-for-money Services (including options) to the University.

3. The Tenderer has prepared and submitted the Tender Proposal in the layout stated in Clause 1.1 above. Tender Proposals bearing any alterations or erasures must be initialled and prices must be legibly stated.

4. The Tenderer has answered to SMU’s objectives with the proposed design.

The Tenderer shall present within one (1) week after the Tender Closing date at SMU, if so required by the University. SMU shall liaise with the Tenderer the date / time for the presentation.

5. Implementation Strategy The Tenderer has proposed a comprehensive and effective Project

Implementation Plan which has been delineated into the various Project phases and milestones.

6. Project Implementation Expertise The Tenderer has a proven understanding of the best practices in terms of

the methodology, design and development. The Tenderer has proposed a Project Manager as a single point of contact

for the University.

The Project Manager has proven project management experience in the proposed solution with other organisations preferably research academic institutions. The Project Manager should also have relevant skills to manage all work involved and to liaise with other Sub-Contractors / third party vendors, if any, to ensure the successful implementation.

The Tenderer has proposed a team of functional and technical consultants with proven experience in customizing and development based on the proposed solution.

7. Proof of Concept The Tenderer has proposed an effective and comprehensive plan to

conduct a proof of concept exercise, if so required by the University.

8. Training and Knowledge Transfer The Tenderer has proposed an effective and comprehensive plan in the

areas of training and knowledge transfer for the University.

Section B: Presentation of Tender Proposal

1. Overview of Proposal

1.1 The first section of the Tender Proposal shall contain an overview of the Tenderer, the proposed Products, Services and support offered, prices and any major assumptions made by the Tenderer.

1.2 If the use of sub-contractor(s) is proposed, the Tenderer shall describe how each sub-contractor is managed internally and evidence of previous successful partnerships should be included, if any. Their respective relationships with the Tenderer and roles in the Project must also be clearly defined.

1.3 Tables, charts, schematic diagrams and other graphic representations should be used to summarize the information whenever possible.

1.4 The prescribed form ‘Form of Tender’ (Part III Annex A) is to be completed and attached together in this section.

2. Tenderer Information

2.1 This section shall contain background information of the Tenderer, including at least a brief history, scope of operations, staff size and distribution, financial standing and in particular, information required under Part I Section B Clause 22 and 23.

2.2 Pursuant to Part I Section B Clause 22, the Tenderer shall provide full information with regard to, inter alia, share capital, shareholding structure and board details.

2.3 Pursuant to Part I Section B Clause 23, the Tenderer is required to provide:

a. Full details of the capital resources including details of any subsidiaries and percentage of capital resources that was channelled into research and development work.

b. Manpower resources including number of headcounts responsible for research, design, development, implementation and support work and the change in the headcount numbers over the last three (3) years. The Tenderer is required to provide a diagram showing its organization structure.

c. Current partnerships and alliances involving the Tenderer relating to the sale, distribution, development or integration of the proposed services, including the purpose for and duration of each collaboration.

2.4 The prescribed form ‘Tenderer Information’ (Part III Annex B) is to be completed and attached together in this section.

2.5 The prescribed form ‘Company Financial Particulars’ (Part III Annex C) is to be completed and attached together in this section. In addition, the Tenderer is required to attach the audited financial statements of its company operations for the past three (3) financial years.

3. Prices and Charges

3.1 In this section of the Tender Proposal, the Tenderer must submit all prices and charges clearly according to the format as specified in the ‘Cost Schedule’ (Part III Annex D).

3.2 The University is a research academic institution and the Tenderer must take into consideration any special discount that is normally given to such purposes / institutions when preparing the Tender Proposal. The prices quoted must be competitive relative to the prices offered to other research academic institutions.

3.3 The prices shall be quoted in Singapore dollars.

3.4 The prices quoted shall be all inclusive. The pricing should be given at the item level. The price should include freight charges, insurance, installation and all required materials, manuals and documentation. No further charges shall be incurred for the successful installation of the System and / or any other Software.

3.5 In the event of market price reduction during the Contract, the successful Tenderer shall adjust the price of the supplied Products and Services to the new market listed price less the discount percentage as quoted in the Tender Proposal over the new listed price. In the event of market price increase, the successful Tenderer shall adhere to the price stated in the Tender Proposal, i.e. no change.

3.6 The Tenderer shall provide a standard daily rate for each resource type and its validity period to the University for additional Services that are required from the Tenderer beyond the scope of this tender.

3.7 For work covered in this tender, the Tenderer must submit a fixed fee proposal.

3.8 The Tenderer agrees that all Specifications are to be strictly complied with in the Tender Proposal. However, if the Tenderer is able to propose a better or more cost-effective solution or specifications to satisfy the University's requirements in part or as a whole, it can be proposed as an optional item for the University’s consideration.

3.9 The Tenderer shall complete the Schedule of Rates and Schedule of Labour Rates contained in the ‘Cost Schedule’.

3.10 The Schedule of Rates shall include all items (including all options described under

Part II) and can be expanded to include any additional items that the Tenderer sees fit to add. The Schedule of Rates will be used should there be any alterations to the Works. This will include both additions and deletions.

3.11 The University reserves the right to use the Schedule of Rates for procurement of equipment, Products and Services at a later date.

3.12 The Tenderer shall explain why his pricing is competitive and how it will remain competitive relative to the industry.

3.13 The prescribed forms ‘Cost Schedule’ (Part III Annex D) are to be completed and attached in this section.

4. Proposal for Services

4.1 This section shall contain a comprehensive description of the Services proposed by the Tenderer.

4.2 Pursuant to Part III Section 7, this section shall also contain a description of the Tenderer’s expertise and proposal for the Services required by the University:

a. Project Management

b. Requirements Analysis

c. Implementation Strategy

d. System Design

e. System Installation and Configuration

f. User Acceptance

g. System Maintenance and Support

Details of the Tenderer’s personnel involved must be provided in Section 8 below.

4.3 The Tenderer shall submit a detailed proposal on any other value-added services that will be offered.

4.4 The Tenderer shall state which elements of the Works (if any) they propose to subcontract to other companies or individuals not directly employed by the Tenderer.

4.5 The Tenderer shall highlight any assumptions, risks and constraints made in the Tender Proposal.

5. Statement of Compliance

5.1 In this section of the Tender Proposal, the Tenderer shall include a paragraph-by-paragraph statement according to the section and paragraph references of Part II and state whether the specified requirements can be complied with, in the format provided in Part III Annex F of these Tender Documents. The Statement of Compliance shall only contain statements pertaining to the Specifications in Part II of these Tender Documents. Any statements pertaining to Part I or Part III of the Tender Documents will be disregarded by the University.

5.2 It is imperative that all information requested be supplied accurately and concisely. Failure to supply such information may disqualify the Tender Proposal. Late submission of information after the Tender Closing Date shall not be entertained.

5.3 The prescribed form ‘Statement of Compliance’ (Part III Annex E) is to be completed and attached in this section.

6. Implementation and Handover Plan

6.1 Pursuant to the Terms and Conditions of Tender (Part I Section B) Clause 18, the Tenderer shall provide an Implementation Plan and Handover Plan detailing the schedule and duration of all milestones and activities for the implementation of the System (project phases, start and end points and man-day efforts required) as well as for the handover of the System to the University. Gantt type charts should be used to better illustrate this.

6.2 The Implementation Plan shall include but not be limited to scheduled activities such as the site preparation for production, development and testing, user requirements study, Software delivery, installation, system configuration and customisation, training, documentation, system delivery, acceptance, roll out, system reviews during tests and warranty.

6.3 Both the Implementation Plan and Handover Plan shall also reflect information such as activities to be undertaken by the Tenderer as well as the University and critical / key milestones in the Project.

7. Project Methodology and Deliverables

7.1 The Tenderer shall outline the research, design and implementation approach, processes and methodologies (including any tools and techniques to be used) to be adopted for the Project in this section.

7.2 Capabilities of the Tenderer in the areas described in Clause 7.1 above (substantiated with user references in Section 10 below) shall be outlined in this section. The Tenderer shall provide samples of all Project deliverables, including listing in this section all the documentation to be provided. Any documentation that is already available may be submitted as part of the Tender Proposal.

8. Project Management Structure and Composition

8.1 This section shall include an overview of the Project team including Project leadership and reporting responsibilities. The Tenderer shall specify the composition of the Project team in the form of an organization chart, showing the reporting structure and the relationship to third party vendors or sub-contractors, where applicable.

8.2 The Tenderer shall outline the roles and responsibilities of each position in the Project team. The description of each position shall include the skill sets and expertise required. The Tenderer shall provide a resource / labour histogram over the Project duration until the Letter of System Acceptance is issued by the University.

8.3 The Tenderer shall attach the CVs of all personnel to be assigned to this Project using the format as stated in Part III Annex F. The Tenderer could use his own CV format if it contains all the information required in Annex F. Pursuant to Clause 8.1 and 8.2 above, the roles and responsibilities of each Project team member must be clearly spelt out in the ‘Roles and Responsibilities’ column provided in Annex F.

8.4 The University may request for interviews with key personnel to be involved on the Project, such as the Project Manager and consultants named pursuant to Clause 8.3 above prior to the tender award.

8.5 The prescribed form ‘Curriculum Vitae’ (Part III Annex F) is to be completed and attached together in this section. In this regard, the Tenderer undertakes to be in compliant with all personal data protection laws and regulations when submitting the ‘Curriculum Vitae’ to the University.

9. Information on Training and Knowledge Transfer

9.1 This section shall contain a comprehensive description of the proposed training by the Tenderer as well as the approach to effectively provide knowledge transfer for personnel nominated by the University.

9.2 The Tenderer shall include in this section, information on the type of training, the number of trainees per class, the duration of each class, schedule of the classes, the knowledge transfer proposal etc.

10. Client References

10.1 This section describes the Tenderer’s relevant experience in implementing and providing Services of similar nature to major academic research institutions such as those listed in world-wide university ranking list such as Financial Times, The Times Higher Education Supplement, Shanghai Jiao Tong University Ranking. Where possible, the Tenderer shall provide references to sites that are similar to the University in size and have implemented all the Products that the Tenderer will propose to the University.

10.2 The Tenderer shall submit at least three (3) client references whom the University can contact for successful projects of similar nature carried out by the Tenderer. Pursuant to Part I Section B Clause 23, the Tenderer shall provide details such as:

a. Particulars of the contact person for the reference site

b. Project(s) implemented for the reference site

10.3 If applicable and where possible, the Tenderer shall explain the relationship with existing customers that may affect the Works in this tender.

10.4 The prescribed form ‘Client References’ (Part III Annex G) is to be completed and attached together in this section.

10.5 The Tenderer undertakes to be in compliant with all personal data protection laws and regulations when submitting client references to the University.

11. Works by Others

11.1 In this section, the Tenderer shall identify any other works to be performed by other parties, so that the System when completed can fully perform in accordance with the Specifications.

11.2 The Tenderer shall state any conditions, qualifications or pre-requisites required of the University’s personnel, or others who will undertake maintenance, that are required for the warranties in Part I Section C-14 to be valid.

12. Terms of Payment

12.1 In this section, the Tenderer shall describe the proposed payment terms and schemes in accordance to the payment schedule stated in Part I Section C-41.

12.2 If the Tenderer is unable to comply with the aforesaid payment schedule, the Tenderer may propose alternative payment terms and schemes which will be subjected to the evaluation and approval of the University.

12.3 Intentionally Omitted.

12.4 Upon award of the Tender, the successful Tenderer will be required to place a security deposit with the University (Part I Section C-39).

13. Proof of Concept

13.1 This section shall describe the Tenderer’s strategy and approach towards developing and conducting a proof of concept exercise for the University in the event that it is required. The Tenderer must provide detailed information on the approach, processes and methodologies (including any tools and techniques to be used) to be used.

13.2 CVs of the Tenderer’s personnel involved in the proof of concept exercise must be provided in Clause 8.3 above.

14. Quality Assurance (QA)

14.1 The Tenderer shall state whether his organization has a series of documented internal Quality Assurance policies, standards, procedures and / or guidelines.

14.2 This section shall contain a description of the relevant Quality Assurance policies and procedures that the Tenderer would be adopting for the Project.

15. Goods and Services Tax

15.1 If the Tenderer is a taxable person under the Goods and Services Tax Act (Cap 117A), the Tenderer shall provide (if any) the Tender Registration Certificate in this section.

16. Other Information

16.1 The Tenderer shall include in this section additional information deemed to be relevant to the tender. For example, the Tenderer can state in this section, the significant points and additional advantages that would distinguish the Tenderer’s Tender Proposal from the rest.

Dear Officers In-Charge,

Open Tender for the Design, Implementation and Commissioning of Wireless Microphone System in Seminar Rooms and Classroom for the Singapore Management University. Open Tender for the Term Contract for the Design, Implementation, and Commissioning of Audio Visual Control System and Projector System in Teaching FacilitiesProjection System in Project Rooms and Group Study Rooms for Singapore Management University

1. We refer to the University’s Invitation to Tender in respect of the above captioned matter and bearing the tender number as stated above.

2. We offer to carry out and complete the Works in conformity and accordance with the Specifications and subject to the Terms and Conditions of Tender and the Terms and Conditions of Contract together with any Authorised Variations thereto for the prices as quoted in the attached Cost Schedule(s).

3. Our Tender Proposal is made subject to the Terms and Conditions of Tender and we agree that our Tender Proposal shall remain open for consideration for a period of One Hundred and Twenty (120) days commencing on the Tender Closing Date for the submission of tenders i.e., commencing on the Tender Closing Date and expiring at 10.00 am Singapore time (GMT +8 hours) on the 120th day (inclusive).

4. We understand that you are not bound to accept the lowest or any Tender Proposal you may receive and that you have the right to accept our Tender Proposal in whole or in part in accordance with Clause 24 of the Terms and Conditions of Tender (Part I Section B-24).

5. Unless and until a Formal Agreement is executed, as may be required by you under Clause 26 of the Terms and Conditions of Tender (Part I Section B-26), our offer set out in this Tender Proposal (incorporating the Specifications and subject to the Terms and Conditions of Tender (Part I Section B) and the Terms and Conditions of Contract (Part I Section C)) with any Authorized Variations thereto and your written acceptance thereof shall constitute a binding agreement between us should you agree to accept our said Tender Proposal.

6. All terms used in this Form of Tender which are defined in the Terms and Conditions of Contract (Part I Section C) shall have the meanings so ascribed to them.

Annex E: Statement of Compliance

1. Please state clearly the compliance to each clause in Part II of these Tender Documents only. Any statements in this Annex E pertaining to Part I or Part III of the Tender Documents will be disregarded by the University. Where there is a failure to indicate any compliance against any clause contained in Part II, it shall be deemed that the Tenderer has indicated ‘Compliance’ and the offer shall be evaluated accordingly.

2. The Tenderer shall state compliance with Part II of the Tender Documents in all respects and provide a detailed statement confirming compliance with each sub-section of Part II of the Tender Documents. Where appropriate, the Tenderer shall provide the information required and indicate how compliance will be achieved.

3. The Tenderer shall give a section-by-section response to all items listed in Part II of the Tender Documents, including any information specifically requested therein. Any comments whether raised prior to submission or otherwise shall be noted here. The following format shall also be used to submit the Statement of Compliance.

4. Only the following responses are acceptable:

‘Compliance’ or ‘C’ When the System or Service meets all Specifications / requirements without any customization / modification. The Tenderer shall NOT add any explanatory notes against the clause that vary the meaning of full compliance to the clause and such notes provided (if any) shall be ignored.

‘Non-Compliance’ or ‘NC’

When the System or Service does not comply with the Specifications / requirements.

‘Compliance with Customization’ or ‘CC’

When the System or Service is able to comply with the Specifications / requirements by means of customization of the System or Service. The Tenderer must provide condensed but complete information on the customization involved and must indicate the additional charges involved (if any).

‘Compliance with Third Party Software’ or ‘CT’

When the System or Service is able to comply with the Specifications / requirements by adding third party software. The Tenderer must provide condensed but complete information on the third party software proposed, including any integration efforts required, the additional charges involved (if any) as well as cite specific examples of customer sites where such third party software has been successfully integrated.

‘Noted’ or ‘ND’ When a statement is made in the Tender Documents which does not call for the Tenderer to meet specific Specifications / requirements but merely informs the Tenderer of a fact, then the term ‘Noted’ shall be accepted as acknowledgement that the Tenderer has read and understood the information. Where ‘Noted’ is used against clauses requiring a response other than ‘Noted’, the Tenderer’s response shall be deemed and classified as ‘C’.
