GENERAL POINTSThis price list is exclusively meant for direct Came customers;it may, in some cases, constitute a directo offer from Came to third parties buying our products and shall not in any way bind Came to said end customers.These general conditions apply to all purchase contracts for Came Cancelli Automatici S.p.A. materials,from hereon "the company".2. OFFERS AND ESTIMATES The company's offers are valid for maximum period of 30 days from the date they are sent.3. ORDERSThe sales agreement is executed by written confirmation of orders by Jolly Motors S.r.l. or when the company carries out the order. Any orders addressed and signed by Came Cancelli Automatici S.p.A. clients constitute firm and irrevocable orders for 30 days from the date they are received by the company. Any changes or additions of single provisions of these general conditions of agreement or of single provisions of the order which was originally addressed by the client, have no validity whatsoever unless approved in writing by the company. For any changes to the order the company reserves the right to cancel both the changes and the original order.The delivery date for the goods mentioned in the orders is always and in any case merely indicative and any delays of said terms may never constitute grounds for demanding compensation or winding up of the agreement. Particularly the company reserves the right to delay delivery times or to cancel the order in the event of: force majeure or events that are beyond the control and will of the company; changes in the Client's legal situation; difficulty in sourcing raw materials and component parts.4. DELIVERIES AND SHIPMENTSThe goods are delivered at the place where they are produced or at the company's operations facilities. The goods travel at cost and the buyer is fully liable for them, in case the transport goes via a and ex works port pursuant to incomterms 2010. Unless otherwise specified the company decides, on behalf of and on account of the client, on the type of shipment, routes and shipping firms that will be used. The company reserves the right to possibly partially execute or deliver orders, thereby issuing a separate invoice with each delivery: in this case all partial deliveries shall be invoiced autonomously and payment terms shall apply as of the date of each invoice; the client may not therefore defer payment on partial deliveries, to the completion of deliveries of the original order.5. PRICES AND PRICE LISTSPrices are for goods supplied at the company's works, VAT excluded, normal packaging included, and shipping costs not included.Any reference to list prices shall mean the latest price list issued by the company, which cancels any previous price lists.6. PAYMENTIf we do not receive payment within the agreed terms, late interest applicable under legs. decr. 09/10/2002 n. 231 (in acceptance ofEuropean PArliament and Council Directive 2000/35/CE and the Vienna Convention of 11/04/1980 ratified by the Italian State with L. 765/1985) and subsequent amendments, with no prejudice to any greater damage. In case of delayed payment, any losses due to exchange rates shall be owned by the client to the company. The client may not question nor request exceptions from the company, until it has paid for the goods it has purchased. The company reserves the right to clock all shipments in being, and all supply orders in being should there be any problems with the payments, without giving prior notice and without owing any compensation of any kind.7. RETURNS AND CLAIMSWe must receive all claims in writing within eight days of receving the goods, whether the claims concern quantity or quality.Returned goods shall be accepted by the company only after written agreement, and only for new goods complete with orginal packaging.Any returned goods must also bear the transport bill, showing written authorisation to return the goods plus quantity and quality of the goods returned. GUARANTEEThis CONVENTIONAL GUARANTEE (or warranty) for business dealings or in case of the sale of goods for professional use, is provided in compliance with the provisions set for the Civil Code, art. 1512 and modifies the LEGAL GUARANTEE conditions found in the Civil Code of Law at art. 1490 -1495.The company Guarantees the proper functioning of the supplied products that bear CAME Cancelli Automatici S.p.A. trademark.Srl. Validity of the GUARANTEE, unless otherwise agreed by the parties (*), is 24 months from the manufacturing date stamped on the product. The guarantee is subordinated to the respect of the technical specifications and proper state-of-the-art installation, safety and compliance with intended use, all of which is stated in the technical documentation supplied with the products.The guarantee is limited to the repair and replacement of parts which Came Cancelli Automatici S.p.A. finds to have flaws, without this involving any extensions of the standing legal guarantee conditions or payment of damages of any kind.The Guarantee does not cover consumer goods, installation activities, maintenance and assembly; for any damage or malfunctioning generated by factors which are external to the product, on existing yet-to-be made installations, or those caused by environmental interference of any nature that exceed the limit values established by law.Also, the Guarantee expires in case of ascertained tampering with or improper use of the product.Terms of implementation:Unless otherwise agreed (*), the right to the Guarantee is exercised by showing a copy of the acquired document (i.e. the commercial invoice) to the other party involved.The client must report any flaw to the seller within 30 days of discovering said flaw, and any legal action must be filed within 6 months of discovering the flaw, or the statute of limitations will apply.The parts requiring the GUARANTEE must be shipped at the customer's expense to SERVICE at CAME Cancelli Automatici S.p.A..The client may not request compensation for indirect damages, lost profits, loss of production and in any case may not demand payment for damages of sums greater than the value of the components or of the supplied parts.Any cost due for transporting goods repaired or needing repair, even if covered by the guarantee, are borne by the requesting party.No external action by company technical staff is covered by these Guarantee conditions.These Guarantee conditions are applied to the domestic market and extended to international and European Union territories which apply the Vienna convention of 1980, as concerns the sale of goods.Any issue whatsoever that may emerge from the sale agreement, shall be subjected to the laws of the Italian state, thereby excluding any other laws and in supplement to the Vienna convention on the international sale of goods. All disputes shall be subjected to Italian jurisdiction and come under the exclusive competence of the Court of Treviso (Italy) (**).Court of jurisdiction: (art. 19 of the c.p.c.) REPAIRSCustomer requested repairs on goods they have bought shall be carried out by the company after a written agreement specifing the price.In any case all labour and two-way transport costs shall be borne by the client.10. RIGHT OF OWNERSHIPIt is expressly agreed that, right of ownership for delivered goods remains with the company until the client pays the entire balance, regardless of who is in possession of said goods. Transport expenses and any other expenses needed to retrieve the equipment, therein including any extraordinary expenses as well as any repeatable ones, shall be borne by the client.11. PATENTS, TRADEMARKS AND DISTINCTIVE SIGNSThe Client is aware that the products bearing the Came Cancelli Automatici S.p.A. trademark are protected by patents and result from know-how and design which are the exclusive property of Came according to Legislative Decree n. 30/2005 (Code of industrial property). The client is expressly prohibited from violating said Came Cancelli Automatici S.p.A.rights and in any case from removing, suppressing or in any way altering trademarks or other distinctive signs or logos of any kind from the products, and in the same way it is prohibited to afffix any of any kind. Thus, it is prohibited to reproduce or use the Came Cancelli Automatici S.p.A. trademark in any way or any other distinctive sign appearing of the products, unless expressly agreed to in writing by Came.12. WINDING-UP CLAUSEPursuant to and by effect of art. 1456 of the Civil Code missed or delayed payment, even partial, by the client as per point 6 of the General Conditions of Sale shall result in the winding up performed the agreement, with Came Cancelli Automatici S.p.A. retaining the.11. PROVISIONS ON THE SAFEGUARDING OF PRIVATE INFORMATIONUnder the current privacy act, customers are informed that their personal data is stored in the company's databank. This is required for properly complying with both the agreement and the law, as well as for statistical, commercial, marketing, promotional, credit protection, management and suspension.The personal information of the purchasing party are process via automated and paper-based tools by authorised persons, in security conditions designed to guarantee the reserved nature of the information. The personal information of the client may be transmitted to Agencies, companies of the group, credit recovery agencies, namely, companies, consortiums or associations that operate in business, market research and marketing.The company owns the processed information, and the client may turn to the company to exercise their lawful rights. To this end the purchasing party is hereby informed that at any time they may access their own personal information, ask for it to be updated, rectified or cancelled and/or request that they not longer be processed.
