CONDITIONS AGREED BY BOTH PARTIES

A. Acceptance, Modication.AcceptancebyBuyerofdeliveryofthegoodsindicatesacceptancebySellerandBuyeroftheWarrantyandTermsandConditionsherein.AnyadditionalordifferenttermsproposedbyBuyershallbedeemedobjectedtobySellerwithoutneedoffurthernoticeofobjectionandshallbeofnoeffectnorinanycircumstancesbindinguponSeller.NoprovisionoftheseTermsandConditionsshallbedeemedwaived,amendedormodiedbyeitherpartyunlesssuchwaiver,amendmentormodicationbeinwritingsignedbyadulyauthorizedsignatoryofthepartyagainstwhomitissoughttoenforcethewaiver,amendmentormodication.B. Cancellation.

ThissalecannotbecanceledexceptupontermsthatwillcompensateSelleragainstlossandnotunlesswrittenapprovalofsaidcancellationhasbeenobtainedfromSeller.C. Claims.

(4) Custom programmed or custom printed cards or tags are not returnable.Stockitemsreturnedforcreditmustbepre-approvedbySellerandmustbeassignedareturnmaterialauthorizationnumber.TheseProductsmustbeintheiroriginalpackaging.

Delivery and Title.SubjecttoSellersrightofstoppageintransit,deliveryoftheProductstoacarriershallconstitutedeliverytoBuyer,andriskoflossshallthereuponpasstoBuyer,howevertitleshallremainwithSelleruntilBuyermakespaymentinfullunderthecontract.ProductsinvoicedandheldbySellerforanyreasonshallbeatBuyersriskandexpense.DeliveryrouteshallbeatthediscretionofSellerunlessspecicallydesignatedbyBuyer.E. (3) Nodelayoromissiontoexerciseanyright,powerorremedyaccruingtoSelleruponbreachordefaultbyBuyerunderthiscontractshallimpairanysuchright,powerorremedyofSeller,orshallbeconstruedasawaiverofanysuchbreachordefault.Allwaiversmustbeinwriting.

(4) Intheeventanyoftheprovisionshereofshall,foranyreason,beheldvoidorunenforceable,theremainingprovisionsshallremaininfullforceandeffectandshallcontrol.

(5) Anyprovisionsofthiscontractprohibitedbythelawofanystateshall,astosaidstate,beineffectivetotheextentofsuchprohibitionwithoutinvalidatingtheremainingprovisionsofthiscontract.

(6) Itisagreedthatintheeventofadisputebetweentheparties,foranyreasonconnectedwiththepurchaseoftheitemsmentionedinthiscontract,orinanywayrelatedthereto,thepartiesagreetosubmitthecontroversyfordecisiontothe

AmericanArbitrationAssociationtotheofcelocatedinLosAngelesCounty,CA.

Secura Key Limited Warranty (United States and Canada)SecuraKeyproductsarewarrantedagainstdefectsinmaterialsandassemblyfortheperiodindicatedbelow.IntheeventthatanySecuraKeymanufacturedproductfailstoperformasintendedduringthewarrantyperiod,SecuraKeywillreplacethedefectiveproductwitha

neworrefurbishedproduct.Thisissubjecttotheequipmentbeinginstalledinaccordancewiththeinstructionsandusedappropriatelyinsuitableconditions.Thewarrantyperiodbeginsonthedateofshipmentfromourfactory,orifsoldthroughaDistributor,onthedateofsale(originalreceiptordocumentationisrequired).Thiswarrantydoesnotincludeyourcostfortaxes,duties,orinstallationexpenses. within30days,SecuraKeymayinvoicethecustomerforthefullpriceofthereplacementunit.

Returnof2-YearWarrantydefectiveproductisalwaysrequired,andmustbedonewithin30daysorcustomeraccountissubjecttofullcostofthereplacementunit.Warranty Exclusions

Productswhichhavefailedduetovandalism,willfuldamage,installationerrors,inappropriateelectricalloading,mis-useandActsofGodsuchaslightning,re,ood,hurricane,etc.

Cardsthathavebeenmodiedbythirdpartiesaftersaleinamannerthataffectsperformanceofthecard. ReaderModules,CodeStrips,TagsorInsertsthatareembeddedintootherproducts-thesearecoveredbyaseparate

warrantycheckwithfactory. Productswheretheserialnumberhasbeendefacedorremoved. ProductsnotmanufacturedbySecuraKeyarecoveredbytheirownoriginalmanufacturerswarranty.Pleasecontact
