This Information/Bid Package was prepared by Geneva Land Services, Inc. (referred to as "Broker") solely for the use of prospective purchasers of the real property known as Shearer Estate Compound, Mims, Volusia County, Florida (the "Property"). Neither the Broker nor the owner of the Property ("Owner") makes any representation or warranty, express or implied, as to the completeness or the accuracy of the material contained in this package, the selection or exclusion of any material, and no legal liability with respect thereto is assumed or may be implied.

Prospective purchasers of the Property are advised (1) that changes may have occurred in the physical

condition of the Property since the documents or information in this Information/Bid Package were obtained or any statements therein were prepared and (2) that any statements and/or projections contained herein were made by Broker and not by Owner and are based upon assumptions of events beyond the control of Broker and Owner, and therefore may be subject to variation.

The Information/Bid Package is a solicitation of interest only and is not an offer to sell the Property.

The Owner and Brokers expressly reserve the right, at their sole discretion, to reject any or all expressions of interest or offers to purchase the Property and expressly reserve the right, at their sole discretion, to terminate discussions with any party at any time with or without notice. The Owner shall have no legal commitment or obligations to any party reviewing the Information/Bid Package or making an offer to purchase the Property unless and until such offer for the Property is accepted by Owner, and the signature of an authorized representative of Owner is affixed to a Real Estate Purchase Agreement prepared by Owner. SEALED BID PROCEDURES All of the terms and conditions relating to the purchase and sale of this Property are set forth in the Seller

generated Purchase and Sale Agreement (PSA), which will be provided to the selected bidder. Seller will not be required to make any changes to the PSA or any of the exhibits attached thereto. Nonetheless, Seller reserves the right to make changes to the PSA a) to complete blank sections, b) to attach appropriate exhibits and c) if necessary or desirable because of specific laws or regulations applicable to the subject transaction.

In no event will Seller or Geneva Land Services, Inc. (Brokerage ) or any of their respective members,

partners, employees, officers, directors, agents or representatives have any liability whatsoever to any bidder or other person or entity if Seller rejects or fails to conform to any terms, including failure or refusal to execute an acceptance of any offer.

TERM SHEET DELIVERY: Term Sheets must be submitted to the offices of Geneva Land Services,

Inc., utilizing the attached form; which can be found in the Information Package, on or before 5:00 P.M. ET, Friday, July 31, 2020 (the "Sealed Bid Deadline").

Deliver Bids via Federal Express or overnight mail to: Geneva Land Services, Inc. 180 Wood St Oviedo, FL 32765 **VERBAL BIDS, FAXED BIDS OR BIDS COMMUNICATED IN ANY OTHER MANNER WILL NOT BE ACCEPTED** The Sealed Bid must include: 1) The completed Term Sheet signed by authorized individual 2) Bidder's Demonstration of Ability to purchase (i.e. Cash or Letter from a Financial institution)

Geneva Land Services, Inc. and Seller do not accept any responsibility for: (i) mistakes in the completion or submission of any bids or (ii) any lost, stolen or undelivered bid.

PROPERTY INSPECTIONS: The property is available for inspection at any time prior to the Term Sheet due date. Prospective bidders can also tour the property by calling Rocky Metcalf at (407) 832.5466.

RESPONSE TO BIDS: Seller shall review all Bids. Notice shall be given by Seller to the successful

bidder by email or by telephone and followed by a written "Notice of Successful Bid." Seller reserves the right to select the best bid, at its sole and absolute discretion, which may or may not be the highest bid. Bidders are strongly encouraged to submit financial information with their bids. All terms of sale, including requirements for submitting a Bid, are specifically set forth in the Information Package. Upon selection of best offer Seller’s agent will furnish the contract for sale and purchase to Buyer. In the event a successful bidder fails to execute the Purchase and Sale Agreement or close the transaction within the timeframe outlined in this invitation, the acceptance of the bid may be cancelled in the Seller’s sole discretion. The next highest back-up bidder will be notified in the same manner as the initial bidder and will become the new successful bidder.

AS-IS SALE, NO CONTINGENCIES OR CONDITIONS: The Property shall be sold on an As-Is, Where-Is basis with no guarantees, representations or warranties made by Seller or any other party as to the condition of the Property, the land use or zoning entitlements or the ability of the purchaser to develop the Property for its particular purposes. The Purchase and Sale Agreement will allow for a 25 day due diligence period.

INFORMATION PACKAGES: Information Packages providing more information on the property are available. The Information Package contains documents that are intended to assist with a Bidder's review. The Information Package is for information purposes only. Seller and Geneva Land Services, Inc. offer no representation or warranty as to the accuracy or completion of the reports.

TITLE AND ESCROW/CLOSING: All title and escrow/closing services will be handled by the Seller’s Counsel.

ACCEPTABLE SALE TERMS: Cash or Financing.

CLOSING: Closing shall occur no later than fifteen (15) calendar days from the expiration of the Purchase and Sale Agreement Due Diligence period.

BROKERAGE: Geneva Land Services, Inc. is the exclusive representative of the Seller and will be compensated by the Seller and will provide a 3% commission to a cooperating Brokerage. ADDITIONAL CONDITIONS: 1) Except as noted in the Information Packages, title insurance will be available at closing, insuring fee simple title to the Property subject to no encumbrances except for: (i) current taxes and assessments; (ii) easements, right of ways, reservations, covenants, conditions and restrictions of record; (iii) zoning, restrictions, prohibitions and other requirements imposed by governmental authorities; (iv) any title objections made by Buyer which the Seller will not or cannot cure; and (v) standard exceptions in an owner’s title insurance policy. 2) The property is being sold in its "as is" condition without any warranties or representations, expressed or implied. The information contained in these marketing materials has been obtained from sources deemed reliable; however, accuracy and completeness cannot be guaranteed and prospective bidders are advised to independently verify any information they deem important. Prospective bidders should use the information provided herein only as an aid in deciding whether to conduct their own full-scale investigation of the property prior to submitting a bid to purchase. 3) No claim will be considered for allowance, adjustment or rescission based upon failure of the property to correspond to any particular exception or standard (except the title report). 4) Unless and until a binding Purchase and Sale Agreement is entered into by the parties, Seller shall not be bound to accept any offer to purchase the Property nor shall Seller be obligated to sell the Property nor compensate a potential buyer or buyer's agent in any manner whatsoever. 5) Seller and Broker have the right, at their sole discretion, to postpone or cancel the sale, in whole or in part, and to modify or add any terms and conditions of the sale and to announce such modifications or additional terms and conditions prior to the deadline for bid submission.
