Die Preise verstehen sich zuzüglich Mehrwertsteuer. Lieferzeit ab Lager oder kurzfristig. Der Mindestrechnungsbetrag beträgt EUR 30,-, bei Exportsendungen EUR 50,-. Im Übrigen gelten unsere allgemeinen Lieferungs- und Zahlungsbedingungen. Farbwünsche und Sonderanferti-gungen nach Zeichnung oder Muster können bei entsprechenden Abnahmemengen berücksichtigt werden.

AllgemeinesAlle unsere Angebote und Lieferungen erfolgen, auch ohne ausdrückliche Erwähnung bei Verhandlungen, ausschließlich aufgrund dieser Bedingungen, die auch ohne wiederholte Bekanntgabe für spätere Angebote und Lieferungen gelten. Spätestens mit der Annahme der Ware gelten die Bedingungen als angenommen. Änderungen oder Ergänzungen sind nur wirksam, wenn sie schriftlich vereinbart wurden; ebenso sind Geschäfts- oder Einkaufsbedingungen des Bestellers nur wirksam, wenn sie für den jeweiligen Vertragsabschluss schriftlich anerkannt wurden. Widersprechende Allgemeine Geschäftsbedingungen werden nicht anerkannt.

2. AngeboteundPreiseUnsere Angebote sind freibleibend. Bestellungen sind für uns nur verbindlich, soweit wir sie bestätigen oder ihnen durch Übersendung der Ware nachkommen, mündliche Nebenabreden nur, wenn wir sie schriftlich bestätigen. Unsere Preise verstehen sich ab Werk, einschließlich Verladung, ausschließlich Verpackung. Zu den Preisen kommt die gesetzliche Mehrwertsteuer am Tag der Rechnungsstellung hinzu. Kosten einer etwa vereinbarten Transport- oder ähnlichen Versicherung (ggf. Verladung oder Verpackung) trägt – vorbehaltlich anderweitiger schriftlicher Vereinbarungen – der Besteller. Treten bei einem Liefertag, falls dieser vier Monate nach Vertragsabschluss liegt, Änderungen der Preisgrundlage ein (z.B. Preiserhöhungen für Grundstoffe, Lohnerhöhungen), behal-ten wir uns eine entsprechende Preisanpassung nach Information des Bestellers vor. Bei Teillieferungen kann jede Lieferung gesondert in Rechnung gestellt werden. Sollten bei Vertragsschluss keine Preise vereinbart worden sein, gelten unsere am Liefertag gültigen Preise. Für die Beschreibung der Beschaffenheit der Waren ist die schriftliche Vereinbarung im Kaufvertrag oder Lieferschein maßgeblich. Abbildungen, Maße, Farb- und Gewichtsangaben im Katalog sind nur annähernd; Änderungen bleiben vorbehalten.

3. FristenundTermineLieferfristen und Termine gelten nur bei ausdrücklicher schriftlicher Zusage. Die Lieferfrist beginnt mit der Absendung der Auftragsbestäti-gung, jedoch nicht vor der Beibringung der vom Besteller zu beschaffenden Unterlagen, vor Eingang einer vereinbarten Anzahlung und Abklärung aller tech-nischen Fragen. Die Lieferfrist ist eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand das Werk verlassen hat oder die Versandbereitschaft mitgeteilt ist. Im Falle des Liefer-verzuges kann der Besteller nach fruchtlos abgelaufener, angemessener Nachfrist vom Vertrag zurücktreten; im Falle der Unmöglichkeit der Leistung steht ihm dieses Recht auch ohne Nachfrist zu. Beim Eintritt von Hindernissen, ob bei uns oder unseren Vorlie-feranten, die außerhalb unseres Einflussbereiches liegen und die wir trotz den Umständen des Falles zumutbarer Sorgfalt nicht abwenden konnten (z.B. höhere Gewalt, Streik und/oder Aussperrung), sind wir berechtigt, die Lieferzeit angemessen zu verlängern. Wir werden solche Umstände dem Besteller unverzüglich mitteilen.

4. VerpackungundVersandDie notwendige/erforderliche oder auf Anweisung des Bestellers verwandte Verpackung wird berechnet. Bei EURO-Paletten, die nicht bei Lieferung getauscht oder innerhalb von zwei Wochen nach Erhalt zurückgesandt werden, sind die uns berechneten Kosten vom Besteller zu tragen. Mit der Übergabe der Ware an den Spediteur oder Frachtführer, spätestens mit Verlassen des Werkes geht die Gefahr auf den Käufer über. Offensichtliche Transportschäden sind unverzüglich nach Zustellung/Erhalt der Ware dem Lieferanten und oder dem Spediteur oder Frachtführer anzuzeigen. Bei Vereinbarung frachtfreier Lieferung übernehmen wir die Frachtkosten, bei Bahnversand bis zum Bestimmungsort nächstgelegenen Vollbahnhof, bei Lkw-Versand bis zum Bestimmungsort unabgeladen. Rollgeld und Zustellungsgebühren trägt der Besteller.

5. SachmängelhaftungFür Mängel der Lieferung haften wir im Falle der ordnungsgemäßen Erfüllung der Untersuchungs- und Rügepflichten aus § 377 HGB durch den Besteller:5.1 Liegt ein nicht unerheblicher Mangel der Kaufsache vor, sind wir nach unserer Wahl zur Beseitigung des Mangels oder zur Lieferung einer mangelfreien Sache berechtigt (Nacherfüllung). Die Nacherfüllung kann verweigert werden, solange der Besteller seine Zahlungspflichten nicht in dem Umfang erfüllt, der dem mangelfreien Teil der Leistung entspricht. 5.2 Bei Unmöglichkeit oder Fehlschlagen der Nacherfüllung steht dem Besteller das Wahlrecht der Minderung oder des Rücktritts vom Vertrag nach den gesetzlichen Vorschriften zu. Weitere Ansprüche des Bestellers, gleich aus welchem Rechtsgrunde, sind ausgeschlossen; dies gilt insbesondere für Ansprüche aus Schäden außerhalb der Kaufsache sowie für den Anspruch auf Ersatz entgangenen Gewinns; erfasst sind auch Ansprüche, die nicht aus der Mangelhaftigkeit der Kaufsache resultieren. Diese Vereinbarungen (Ziffer 5.1 und Ziffer 5.2) gelten auch bei Lieferung einer anderen Sache oder einer geringeren Menge. Der in Ziffer 5.2 geregelte Haftungsausschluss gilt nicht, sofern ein Ausschluss oder eine Begrenzung der Haftung für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit vereinbart ist, die auf einer

vorsätzlichen oder fahrlässigen Pflichtverletzung unsererseits, unseres gesetzlichen Vertreters oder unserer Erfüllungsgehilfen beruhen; er gilt ebenfalls nicht, sofern ein Ausschluss oder eine Begrenzung der Haftung für sonstige Schäden vereinbart ist, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung unsererseits, unserer gesetzlichen Vertreter oder unserer Erfüllungsgehilfen beruhen. Sofern wir schuldhaft eine wesentliche Vertragspflicht verletzen, ist die Haftung auf den vertragstypischen vorhersehbaren Schaden begrenzt; im Übrigen gilt der Ausschluss gemäß Ziffer 5.2. Der Haftungsausschluss gilt nicht in den Fällen, in denen nach Produkthaftungsgesetz bei Fehlern des Liefergegenstandes für Personen- oder Sachschäden an privat genutzen Gegenständen gehaftet wird. Der Haftungsausschluss gilt auch nicht bei Übernahme einer Garantie oder bei Zusicherung einer Eigenschaft, falls gerade ein davon umfasster Mangel die Haftung auslöst. Die Ansprüche auf Nacherfüllung, Schaden-ersatz und Verwendungsersatz verjähren in einem Jahr nach der Ablieferung der Kaufsache. Dies gilt nicht bei einer Sache, die entsprechend ihrer üblichen Verwendungsweise für ein Bauwerk verwendet worden ist und dessen Mangelhaftigkeit verursacht hat; in diesem Fall tritt Verjährung erst nach fünf Jahren ein. Die Ansprüche auf Minderung und die Ausübung eines Rücktrittsrechts sind ausgeschlossen, soweit der Nacherfüllungsanspruch verjährt ist, jedoch kann der Besteller die Zahlung des Kaufpreises soweit verweigern, als er aufgrund des Rücktritts oder der Minderung berechtigt sein würde. Ansprüche aus Herstellerregress bleiben unberührt. Sind Betriebs-, Wartungshinweise und für den Einbau des Produkts zu verwendende technischen Regelwerke nicht beachtet worden, Teile ausgewechselt worden oder wurde ohne unsere Zustimmung in den Liefergegenstand eingegriffen, so bestehen für den Besteller keinerlei Ansprüche. Es sei denn, der Besteller kann einwand-frei nachweisen, das der festgestellte Mangel auf anderen Ursachen beruht.

6. ZahlungSoweit keine abweichenden Zahlungsfristen vereinbart wurden, hat die Zahlung spätestens innerhalb von 30 Tagen nach Fälligkeit und Zu-gang der Rechnung zu erfolgen, bei Zahlung innerhalb von 14 Tagen nach Erhalt gewähren wir 2 % Skonto. Bei Zahlungsverzug des Bestellers werden 8 Prozentpunkte über Basiszins berechnet; ein höherer Zinsschaden kann bei Nachweis in Rechnung gestellt werden. Die Hereingabe von Wechseln bedarf unserer schriftlichen Zustimmung; deren Spesen und Kosten gehen zu Lasten des Verwenders. Die Nichteinhaltung der Zahlungsbedingungen, Verzug oder Umstände, welche die Kreditwürdigkeit des Bestellers zu mindern geeignet sind, haben die sofortige Fälligkeit aller unserer Forderungen zur Folge. Auf-/Verrechnungen sind nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen möglich.

7. Eigentumsvorbehalt7.1 Bis zur vollständigen Bezahlung aller Forderungen aus der Geschäftsverbindung mit dem Besteller (inkl. Nebenforderungen, Schadener-satzansprüchen etc.) bleiben die verkauften Waren unser Eigentum. Der Eigentumsvorbehalt bleibt auch bestehen, wenn einzelne Forderungen in eine laufende Rechnung aufgenommen werden.7.2 Der Besteller ist widerruflich befugt, über die gekaufte Ware im ordentlichen Geschäftsgang zu verfügen, er ist zur Weiterverarbeitung oder zum Einbau der Vorbehaltsware befugt. Verpfändungen oder Sicherungsübereignungen sind jedoch unzulässig. Für den Fall der Weiter-veräußerung tritt der Besteller schon jetzt die aus dem Weiterverkauf entstehenden Forderungen mit allen Nebenrechten gegen Dritte an uns ab. Der Käufer kann die Forderungen im eigenen Namen einziehen, solange er seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt. Ansonsten erlischt die Einzugsermächtigung. Bei Zahlungsverzug oder substantieller Verschlechterung der wirtschaftlichen Lage des Käufers, sind wir – nach Zahlungsaufforderung und Fristsetzung – berechtigt, die Abnehmer der Produkte von der Abtretung in Kenntnis zu setzen und die Forderungen selbst einzuziehen. Der Käufer ist verpflichtet, Auskünfte über die Abnehmer und Forderungen zu erteilen. Im Falle des Factoring durch den Käufer wird die Forderung sofort fällig und der Käufer tritt seine Forderung gegen den Factor in voller Höhe an uns ab und leitet seinen Verkaufserlös weiter. Wir nehmen alle Abtretungen vollumfänglich an. Im Fall der Weiterverarbeitung, der Vermischung oder Vermengung erlangen wir Miteigentum. Die Verarbeitung, Vermischung oder Vermengung erfolgt in jedem Falle für uns. Bei Verarbei-tung / Vermischung der Vorbehaltsware mit uns nicht gehörenden Sachen erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltsware (Rechnungsbetrag inkl. Umsatzsteuer) zu den anderen verarbeiteten / vermischten Sachen im Zeitpunkt der Verarbeitung. Für die durch Verarbeitung ent-stehenden neuen Sachen gilt das Gleiche wie für die Vorbehaltsware. Ist die Sache des Käufers in Folge der Vermischung als Hauptsache anzusehen, besteht Einigkeit, dass der Käufer uns anteilsmäßiges Miteigentum an dieser Sache über-trägt. Bei Einbau in ein Grundstück tritt der Käufer schon jetzt die Ansprüche auf Vergütung an uns ab. Wir nehmen die Abtretung insgesamt an.7.3 Zugriffe Dritter auf die uns gehörenden Waren sind uns vom Besteller unverzüglich schriftlich mitzuteilen. Der Käufer teilt uns auch den Namen und die Daten des Zugreifenden mit. Der Käufer unterstützt uns bei der Geltendmachung unserer Rechte. Soweit der Dritte nicht in der Lage ist, die im Zusammenhang der Sicherung unserer Rechte entstehenden Rechtsverfolgungskosten zu übernehmen, haftet hierfür der Käufer.7.4 Die Ausübung des Eigentumsvorbehaltes, die Rücknahme der Liefergegenstände bedeuten nur dann einen Rücktritt vom Vertrag, wenn dies ausdrücklich erklärt wird. Wir können uns aus der zurück genommenen Vorbehaltsware durch freihändigen Verkauf befriedigen.7.5 Übersteigen die uns zustehenden Sicherheiten den Wert unserer Forderungen gegen den Käufer um mehr als 30%, so sind wir auf Verlan-gen verpflichtet, Sicherheiten in entsprechender Höhe freizugeben. Die Auswahl der frei zu gebenden Sicherheiten obliegt uns.7.6 Der Käufer hat die Vorbehaltsware pfleglich zu behandeln und diese auf seine Kosten ausreichend und zum Neuwert zu versichern. Der Käufer verwahrt die Kaufgegenstände für uns unentgeltlich. Der Käufer tritt Ansprüche gegen Versicherungsgesellschaften oder sonstige zum Ersatz verpflichtete an uns ab und zwar in Höhe des Wertes der Ware inkl. Umsatzsteuer.

8. Erfüllungsort,Gerichtsstand,anwendbaresRechtLeistungsort ist der Versandort (Werk oder Lagerort); Erfüllungsort für die Zahlung Altenkirchen. Gerichtsstand ist Altenkirchen, sofern der Be-steller auch Kaufmann ist; wir sind berechtigt, den Besteller auch an anderen zulässigen Gerichtsständen zu verklagen. Terms and Conditions

With the publication of this price list, valid from March 2012, all previous price lists will no longer be valid.

The prices do not include sales tax. The lowest invoice amount is 30 Euros, 50 Euros for exports. Our general delivery and payment conditions apply. Requests for colour and special designs based on drawings or samples can be considered with a proportionate purchase quantity.

1. GeneralAll our offers and deliveries are carried out, even if not mentioned expressly in negotiations, based exclusively on these conditions, which also apply to future offers and deliveries without repeated notification. The conditions are considered accepted when the goods have been accepted at the latest. Changes or additions are only valid when they have been agreed upon in writing. The customer’s business and purcha-sing conditions are also only valid if they have been recognized in writing for the respective concluded contract. Contradictory general terms and conditions will not be recognised.

2. OffersandpricesOur offers are non-binding. Orders are only binding for us insofar as we confirm them, or by way of us sending you the goods, additional verbal agreements are valid only when we confirm them in writing. Our prices are ex works, including loading, not including packaging. The statutory sales tax is added on the day the invoice is produced. Any costs relating to an agreed upon transport or similar insurance (loading or packaging, if applicable) are paid by the customer – subject to any other written agreements. If on the day of delivery – and if it has been four months since the conclusion of the contract - there have changes to the price basis (for example, increased prices for basic materials, sala-ry increases), we reserve the right to adjust the price respectively after informing the customer. For partial deliveries each delivery can have its own invoice. If no price has been agreed upon by the time the contract is concluded then the prices applicable on the day of delivery apply. A written agreement in the purchasing contract or delivery note is standard for the description of the compensation of the goods. Diagrams, measurements, colour and weight information in the catalogues are only approximate; subject to change without notice.

3. DeadlinesanddatesDeadlines and dates are valid only with express written agreement / consent. The delivery period begins when the order confirmation has been sent, however not before the necessary documents have been supplied by the customer, the agreed upon payment has been received and there has been a clarification of all technical questions. The delivery period is maintained if the delivery item has left the plant before the date of its expiry or there has been a notice of readiness for delivery. In the case of delivery delay the customer can withdraw from the con-tract after a fruitless, expired, reasonable grace period; in the case of impossibility of performance he /she has the right to withdraw without a grace period. In the event that hindrances arise, whether on our part or our primary suppliers, which are beyond our control and which we cannot avert in spite of appropriate care of the situation (for example, higher powers, strikes and /or lockout), we have the right to extend the delivery period by a reasonable amount of time. We will inform the customer immediately of such conditions.

4. PackagingandshippingThe necessary / obligatory packaging or packaging being used at the request of the customer will be charged to the customer. The customer pays for any costs charged to us for EURO-palettes that are not exchanged or shipped back two weeks after being received. After the goods have been transferred to the freight service or shipping company, after they have left the plant at the latest, the risk is transferred to the buyer. Obvious transport damage is to be reported to the freight service or shipping company immediately after they have been delivered / received. When freight-free delivery has been agreed on we carry the shipping costs, delivery by train to the full train station closest to the destination; to the destination without being unpacked, in the case of truck delivery. The customer carries the cost of freight charges and delivery fees.

5. LiabilityformaterialdefectsWe are liable for delivery defects in the case of proper completion of inspection and notification of defects by the customer from § 377 HGB:5.1 If there is an insignificant defect of the item being purchased than we are entitled to choose to either have the defect removed or the de-livery of a defect-free item (subsequent performance). The subsequent performance can be refused, as long as the customer has not fulfilled their payment obligations in the scope that corresponds to the defect-free part of the service. 5.2 In the case of impossibility or failure of subsequent performance, the customer can choose a reduction or to withdraw from the contract according to statutory regulations. Additional customer claims are excluded, no matter what the legal basis; this applies especially to claims for damages beyond the purchase item as well as for claims for compensation for loss of expected return; this also includes claims that do not result from the defects of the purchase item. These agreements (number 5.1 and number 5.2) also apply to the delivery of other items or to a smaller amount. The liability exclusion provision in 5.2 does not apply insofar as an exclusion or limitation of liability for damage or injury to life, limb or health has been agreed upon, which is based on intentional or negligent breach of duty on our part or that of our legal

representative or subcontractors; it also does not apply insofar as an exclusion or a limitation of liability for other damages has been agreed upon, which is based on intentional or negligent breach of duty on our part or that of our legal representative or subcontractors. Provided we violate an essential contractual obligation, the liability is limited to contract typical damages that are foreseeable; apart from that the exclusion according to 5.2 applies. The liability exclusion does not apply to cases where, according to the product liability law, there is liability for defects of the delivery item to personal or property damage of privately used items. The liability exclusion also does not apply for the transfer of a warranty or the assurance of a feature, in the case that the liability is triggered by a defect included thereby. Claims for subse-quent performance, compensation and reimbursement are barred a year after the purchased item has been delivered. This does not apply to an item, which is used corresponding to its usual method of utilisation for construction, which has caused its defects; in this case the limitation period kicks in after five years. Claims for reduction of exercising the right to withdraw are excluded, insofar as the claim for subsequent performance has come under the statute of limitations, however the customer can refuse to pay the purchase price insofar as he /she has the right to do so based on withdrawal or reduction. Claims from manufacturer recourse remain unaffected. If operation and maintenance instructions and the technical set of rules used for the installation of the product are not observed, if parts have been replaced or there has been interference with the delivery item without our approval, then the customer can make no claims. Unless the customer proves flawlessly that the defects found had other causes.

6. PaymentInsofar as no different payment deadlines have been agreed upon, the payment is to be made within 30 days after the due date when the invoice has been received. For payments made within 14 days of being received we grant a discount of 25. For a late customer payment 8 percent points above the basic interest will be charged; a higher interest fee may be billed with proof. Adding changes (provision of bills of exchange) requires our written approval; their expenses are the responsibility of the user. Not complying with payment conditions, lateness or conditions that seem to reduce the credibility of the customer have the consequence that the payment of all open invoices will be due immediately. Compensation / settlement is only possible with undisputed or legally recognised claims.

7. Reservationoftitle7.1 The purchased goods remain our property until the complete payment of all debts from the business relationship with the customer (incl. secondary claims, claims for damages etc.). The reservation of title also remains in force when individual claims have been taken on in a running account.7.2 The customer is revocably authorised to dispose of the purchased goods in proper business transactions, he / she is authorised to further process or install the goods supplied. However, pawning or assigning of the goods as security is forbidden. In the case of resale the customer transfers the claims from the resale with all subsidiary rights towards third parties to us. The buyer can collect the claims in his name as long as he / she complies with his / her payment obligations. Otherwise the debit authorisation expires. In the case of payment delay or substan-tial worsening of the buyer’s economic situation, we – after making payment demands and setting deadlines – have the right to inform the purchaser of the products of the surrender and to collect the claims ourselves. The buyer is obliged to share information about the buyer and to grant claims. In the case of factoring by the buyer the claim will be due immediately and the buyer transfers his / her claims towards the factor in the full amount and forwards his / her sales proceeds. We accept all transfers completely. In the case of further processing, the mixture or combination, we acquire joint ownership. Further processing, the mixture or combination takes place for us in any case. For the further processing, mixture / combination with items that do not belong to us, we acquire joint ownership of the new items in relation to the value of the goods (invoice amount incl. sales tax) of the other processed / mixed items at the time of processing. The same goes for the processing of resulting new items as goes for goods subject to retention of title. If the buyer’s items are considered the main item after being mixed, then there is consensus that the buyer transfers the corresponding joint ownership of these items to us. If there has been installation in a property the buyer transfers payment claims at this moment to us. We accept the complete transfer.7.3 We are to be informed immediately by the customer of third party access to goods belonging to us. The buyer is also to share the names and dates of those who have been given access. The buyer assists us in enforcing our rights. Insofar as third parties are incapable of taking over arising costs for legal proceedings to ensure our rights the buyer is liable to do so. 7.4 Exercising the reservation of title, the retraction of delivery items are considered a withdrawal from the contract if this has been expressly stated, We can satisfy ourselves with taking back the goods under retention of title through private sale.7.5 If the securities we are entitled to exceed the value of our claims against the buyer by more than 30% we are obliged by request to release securities in the corresponding amount. The selection of securities rests with us.7.6 The buyer is to treat the goods subject to retention of title with care and to insure them at their original value at his / her own expenses. The buyer keeps the purchase items safe without any charge for us. The buyer transfers claims towards insurance companies or other com-pensation obligations to us in the amount of the value of the goods incl. sales tax.

8. Placeofperformance,placeofjurisdiction,applicablelawThe place of performance is the place of dispatch (factory or inventory location); the place of performance for payment is Altenkirchen. The place of jurisdiction is Altenkirchen, insofar as the customer is also a merchandiser; we reserve the right to also sue the customer in other ac-ceptable places of jurisdiction. The standardised law of the Federal Republic of Germany (BGB, HGB) applies. The validity of the UN purchasing right (CISG) is expressly excluded.
