    (f) any reference to a recital2 su!pararaph2 pararaph2 su!clause2clause2 schedule or party is to the rele+ant recital2 su!pararaph2pararaph2 su!clause2 clause2 schedule or party of2 or to2 thisAreement and any reference to this Areement or any of thepro+isions of this Areement includes all amendments andmodi%cations made to this Areement from time to time in force;

    () any reference to a statutory pro+ision includes any modi%cation2consolidation or reenactment thereof for the time !ein in force2and all statutory instruments or orders made pursuant thereto;

    (h) any reference to "writin"2 or conate e,pressions2 includes anycommunication eected !y tele,2 ca!le2 facsimile transmission orother compara!le means;

    (i) any reference to a "!usiness day" is to a day (not !ein a 1aturdayor 1unday) on which !an5s2 licensed to carry on !an5in !usiness

    under the pro+isions of the Ban5in and 0inancial Institutions Act-@E@2 are open for !usiness in 6uala 'umpur and 1elanor , anyreference to a "day"2 "wee5"2 "month" or "year" is to that day2 wee52month or year in accordance with the 3reorian calendar; and2 anyreference to a time of day is to 6uala 'umpur time; and

    () if any period of time is speci%ed from a i+en day2 or the day of ai+en act or e+ent2 it is to !e calculated e,clusi+e of that day and ifany period of time falls on a day2 which is not a !usiness day2 thenthat period is to !e deemed to only e,pire on the ne,t !usiness day.

    pro+isions of this Areement2 such conGict or discrepancy shall2 for thepurposes of the interpretation and enforcement of this Areement2 !eresol+ed !y:

    (a) i+in the pro+isions contained in the 1chedules of this Areementpriority and precedence o+er the pro+isions contained in the lausesand ecitals of and to this Areement ; and

    (!) i+in the pro+isions contained in the lauses of this Areementpriority and precedence o+er the pro+isions contained in the ecitalsof and to this Areement.

    -.H The headins and su!headins in this Areement are inserted merely forcon+enience of reference and shall !e inored in the interpretation andconstruction of any of the pro+isions herein contained.

    23 SALE AND PURCHASE AGREEMENT

    C.- In consideration of the $urchaser areein to pay to the Vendor the$urchase $rice2 the Vendor here!y arees to sell and the $urchaser here!yarees to purchase the $roperty on an as is where is !asis with +acantpossession #and with the %,tures and %ttins contained as stated in thein+entory list as anne,ed hereto in Anne,ure - hereto !ut su!ect to suchconditions and restrictionsininterests in the title imposed !y theAppropriate Authorities on the said $roperty whether e,press or impliedfor the consideration and on the terms and su!ect to the terms andconditions hereinafter appearin.

    C.C =n e,ecution of this Areement or as soon as practica!le thereafter:

    (a) #where the Vendor is an indi+idualThe Vendor shall deli+er to the $urchaser and&or the #$urchasers1olicitors &Vendors 1olicitors two (C) true and complete copies ofthe $urchasers national reistration identity card with the$urchasers sample sinature thereon.

    #where the Vendor is companyThe Vendor shall deli+er to the #$urchasers 1olicitors&Vendors1olicitors two (C) certi%ed true copies each of the followindocuments:

    (i) the 9emorandum and Articles of Association of the $urchaserincludin its certi%cate(s) of incorporation;

    (ii) the ompanies eulations 0orms CH and latest 0orms HHand H@ of the Vendor; and

    (iii) +alid and su!sistin !oard of directors and shareholdersresolutions (the latter where necessary) of the Vendorappro+in the sale of the $roperty to the $urchaser on theterms and su!ect to the conditions herein stated2 thee,ecution of this Areement2 the 9emorandum of Transfer

    and any other documents for the purposes of the purchase of

    the $roperty and the a>,ation of the common seal on any ofsuch documents.

    (!) #where the $urchaser is an indi+idualThe $urchaser shall deli+er to the Vendor and&or the #Vendors1olicitors&$urchasers 1olicitors two (C) true and complete copies ofthe $urchasers national reistration identity card with the$urchasers sample sinature thereon.

    #where the $urchaser is companyThe $urchaser shall deli+er to the Vendor and&or the #Vendors1olicitors& $urchasers 1olicitors two (C) certi%ed true copies each ofthe followin documents:

    3 MANNER /F PAMENT /F PURCHASE PRICE

    F.- The $urchase $rice shall !e paid !y the $urchaser to the Vendor in thefollowin manner:

    #If /arnest *eposit and Balance *eposit $aid(a) the $urchaser has prior to the date of this Areement paid to the

    Vendor the /arnest *eposit for the $roperty the receipt of which theVendor here!y ac5nowledes2 and in the e+ent of completion of thesale and purchase herein2 such sum shall !e part payment towardsthe $urchase $rice;

    (!) upon e,ecution of this Areement2 the $urchaser shall pay to theVendor the Balance *eposit for the $roperty the receipt of which theVendor here!y ac5nowledes2 and in the e+ent of completion of thesale and purchase herein2 such sum shall !e part payment towardsthe $urchase $rice; and

    (c) the $urchaser shall pay or cause to !e paid to the Vendor theBalance $urchase $rice on or !efore the ompletion *ate.

    Vendor the *eposit for the $roperty the receipt of which the Vendorhere!y ac5nowledes2 and in the e+ent of completion of the sale

    (!) the $urchaser shall pay or cause to !e paid to the Vendor theBalance $urchase $rice on or !efore the ompletion *ate.

    "3 C/NDITI/N PRECEDENT

    H.- Jhere any one or more of the ondition(s) $recedent speci%ed in theSecond Schedulehereto are applica!le2 this Areement and the sale andpurchase of the $roperty shall !e su!ect to such ondition(s) $recedent!ein ful%lled !y or !efore the e,piry of the rele+ant $ $eriod2 /,tended$ $eriod or 0urther /,tended $ $eriod (as applica!le and as the case may!e).

    H.C Jhere the $urchaser and&or the Vendor (as the case may !e) is2 pursuantto the Second Schedulehereto2 o!lied to ful%l a ondition(s) $recedent2

    the $urchaser and&or Vendor (as the case may !e) shall at his&her&its owncost and e,pense and within ( *9usiness D)$s:D)$s from thedate of this Areement2 do all such acts2 deeds and thins and complete2e,ecute and su!mit all such applications2 forms2 instruments anddocuments whatsoe+er as may !e necessary to ful%l such ondition(s)$recedent !y the rele+ant $ $eriod2 /,tended $ $eriod or 0urther/,tended $ $eriod (as applica!le). The $urchaser and&or the Vendor (asthe case may !e) shall forward a true2 lei!le and complete copy of eachof all applications2 forms2 instruments2 documents2 letters of appro+als andany other correspondences and documents in respect of the ondition(s)$recedent to !e ful%lled !y the $urchaser and&or the Vendor (as the casemay !e) to the Vendor or the #Vendors 1olicitors&$urchasers 1olicitors or

    the $urchaser or the #$urchasers 1olicitors&Vendors 1olicitors (as the casemay !e) within ( *9usiness D)$s:D)$s of the $urchasersreceipt of the same.

    H.F Jhere any of the ondition(s) $recedent speci%ed in the SecondSchedule hereto are applica!le2 this Areement shall !ecomeunconditional on the date on which all the rele+ant ondition(s) $recedentare ful%lled in accordance with the pro+isions of this Areement.

    H.H In the e+ent that any ondition(s) $recedent has not !een ful%lled !y or!efore the e,piry of the /,tended $ $eriod and the $arties hereto fail to

    mutually aree to a 0urther /,tended $ $eriod2 each of the $arties shall!e entitled to terminate this Areement !y prior written notice to theother. In the e+ent of such termination2 this Areement shall lapse and !edeemed to !e null and +oid and of no eect2 and none of the $artieshereto shall thereafter ha+e any claim aainst the other $arty hereto.=nly where such failure to ful%l the ondition(s) $recedent and conse4uenttermination is not due to reasons attri!uta!le to the $urchaser and&or theVendor2 the Vendor shall refund to the $urchaser the *eposit (if alreadyfully paid to and recei+ed !y the Vendor) free of any and all interestwhatsoe+er.

    %3 L/AN AND C/MPLETI/N /F THE SALE AND PURCHASE

    .- In the e+ent the $urchaser o!tains a loan or other facility (Loan) fromthe 0inancier to ena!le the $urchaser to complete the purchase of the$roperty from the Vendor2 and pro+ided that:

    (a) the $urchaser shall ha+e o!tained appro+al for the 'oan from the0inancier and shall ha+e deli+ered to the Vendor and&or the#Vendors 1olicitors&$urchasers 1olicitors a true2 lei!le andcomplete copy of a +alid and !indin letter of oer from the0inancier duly accepted !y the $urchaser;

    (!) the $urchaser shall ha+e e,ecuted and&or caused to !e e,ecuted allsecurity or other documents and shall ha+e done all such acts andthins as may !e re4uired !y the 0inancier for the release !y or!efore the ompletion *ate of the 'oan to the Vendor;

    (c) the $urchaser shall cause the 0inancier to deli+er to the #Vendors1olicitors&$urchasers 1olicitors its letter of underta5in addressed

    to the Vendor to release the 'oan to the Vendor in accordance withthe terms of this Areement and !y or !efore the ompletion *ate;and

    (d) the $urchaser has paid to the Vendor and the Vendor has recei+edin full the *ierential 1um;

    then the Vendor shall2 if so re4uested !y the 0inancier or the 0inancierssolicitors or the #$urchasers 1olicitors&Vendors 1olicitors and pro+idedthat the ondition(s) $recedent has !een ful%lled2 deli+er to the 0inancieror the 0inanciers solicitors or the #$urchasers 1olicitors&Vendors1olicitors (as the case may !e) the oriinal #Issue *ocument of Title&1trata

    Title2 the 9emorandum of Transfer2 the 4uit rent and assessment receiptsfor the current year and a letter of underta5in addressed to the 0inancierto refund the 'oan to the 0inancier in the e+ent the 9emorandum of

    Transfer cannot !e perfected for any reason directly attri!uta!le to thefault of the Vendor resultin in the nonreistration of the chare !y the$urchaser in fa+our of the 0inancier2 for the 'oan to !e released to theVendor !y or !efore the ompletion *ate2 the oriinal 'etter of onsent to

    Transfer (if applica!le) and all other documents necessary for thereistration of the 9emorandum of Transfer (hereinafter referred to asthe Tr)ns

    .F The Vendor shall cause to !e deli+ered the Transfer *ocuments to the#$urchasers 1olicitors&Vendors 1olicitors & the $urchasers 0inanciers1olicitors2 as the case may !e2 within ( * 9usiness D)$:d)$sof the #Vendors 1olicitors&$urchasers 1olicitors receipt of the 0inanciersoriinal letter of underta5in to release the 'oan to the Vendor uponpresentation of the 9emorandum of Transfer2 the Transfer *ocuments andthe 0inanciers chare in fa+our of the 0inancier within the ompletion*ate failin which the ompletion *ate shall !e automatically e,tended2free of interest2 for the num!er of days commencin from the e,piry of thesaid stipulated period until the aforesaid documents and payments ha+e!een recei+ed !y the #$urchasers 1olicitors&Vendors 1olicitors or the$urchasers 0inanciers 1olicitors2 as the case may !e.

    .H In the e+ent the $urchaser shall !e payin the Balance $urchase $rice outof its own funds2 the parties here!y aree that :

    (a) #where the Vendor is an indi+idualThe Vendor shall within ( * 9usiness D)$:d)$s from thedate of receipt of such re4uest deli+er to the $urchasers 1olicitors astatutory declaration declarin that the Vendor is not !an5rupt andthat are no pendin !an5ruptcy petition(s) aainst the Vendor andthat no !an5ruptcy petition(s) has&ha+e !een %led aainst theVendor in any court of law as at the date thereof;

    #where the Vendor is an indi+idualThe Vendor shall within ( * 9usiness D)$:d)$s from thedate of receipt of such re4uest !y the #Vendors1olicitors&$urchasers 1olicitors deli+er to the #$urchasers

    1olicitors&Vendors 1olicitors a statutory declaration !y the directorsof the Vendor declarin that the Vendor is not woundup and thereare no pendin windinup petition(s) aainst the Vendor and thatno windinup petition(s) has&ha+e !een %led aainst the Vendor inany court of law as at the date thereof;

    (!) The Vendor shall cause to !e deli+ered to the #$urchasers1olicitors&Vendors 1olicitors the oriinal Issue *ocument of

    Title&1trata Title to the $roperty2 the oriinal 'etter of onsent toTransfer (if applica!le)2 the current 4uit rent and assessmentreceipts and all other documents necessary for the reistration of

    the 9emorandum of Transfer in fa+our of the $urchaser (theTr)ns

    (d) the parties here!y authorise the #Vendors 1olicitors&$urchasers1olicitors to release the Balance $urchase $rice toether with thelate payment interest (if any) to the Vendor after ( *9usiness D)$:d)$s from the date of presentation of the9emorandum of Transfer in fa+our of the $urchaser toether withthe Transfer *ocuments at the 'and eistry $=VI*/* A'JAK1

    TLAT +acant possession of the $roperty has already !een deli+ered!y the Vendor to the $urchaser.

    . 0or the a+oidance of dou!t2 notwithstandin any pro+isions to the contraryin this Areement2 the sale and purchase of the $roperty shall not in anymanner whatsoe+er !e conditional upon or !e su!ect to the $urchasero!tainin the 'oan2 and the $arties shall proceed to complete the sale andpurchase of the $roperty e+en if the 'oan is not o!tained and&or e+en ifany deed of assinment (!y way of security) !y the $urchaser in fa+our ofthe 0inancier is not perfected for any reason whatsoe+er2 pro+ided thatsuch reason (if any) is not directly attri!uta!le to the fault of the Vendor.

    #If the $roperty is encum!ered.- In the e+ent the $urchaser o!tains a loan or other facility (Loan) from

    the 0inancier to ena!le the $urchaser to complete the purchase of the$roperty from the Vendor2 and pro+ided that:

    (a) the $urchaser shall ha+e o!tained appro+al for the 'oan from the0inancier and shall ha+e deli+ered to the Vendor and&or the#Vendors 1olicitors&$urchasers 1olicitors a true2 lei!le andcomplete copy of a +alid and !indin letter of oer from the0inancier duly accepted !y the $urchaser;

    (!) the $urchaser shall ha+e e,ecuted and&or caused to !e e,ecuted allsecurity or other documents and shall ha+e done all such acts andthins as may !e re4uired !y the 0inancier for the released !y or!efore the ompletion *ate of the 'oan to the Vendor;

    (c) the $urchaser shall cause the 0inancier to deli+er to the #Vendors1olicitors&$urchasers 1olicitors its letter of underta5in addressedto the Vendor in accordance with the terms of this Areement and!y or !efore the ompletion *ate; and

    (d) the $urchaser has paid to the Vendor and the Vendor has recei+ed

    in full the *ierential 1um;

    (f) the Vendor shall within ( * 9usiness D)$s:D)$s fromthe date of receipt of such re4uest !y the #Vendors1olicitors&$urchasers 1olicitors deli+er or cause to !e deli+ered tothe 0inancier or the 0inancierMs solicitors an oriinal redemptionstatement cum letter of underta5in addressed to the $urchaser fromthe 'ender (hereinafter referred to as the Rede5#tionSt)te5ent) (in the 'enderMs format) from the 'ender in fa+our ofthe 0inancier; failin which the ompletion *ate shall !eautomatically e,tended2 free of interest2 for the num!er of dayscommencin from the e,piry of the said stipulated period until theedemption 1tatement has !een recei+ed !y the #$urchasers1olicitors&Vendors 1olicitors or the $urchasers 0inanciers 1olicitors2as the case may !e.

    () The Vendor underta5es that the Vendor shall forthwith redeem the$roperty from the haree and for this purpose the Vendor here!yauthorises the #Vendors 1olicitors&$urchasers 1olicitors o!tain theedemption 1tatement from the haree on the Vendors !ehalfand the parties hereto further authorise the #Vendors1olicitors&$urchasers 1olicitors to utiliDe part of the Balance$urchase $rice to pay the edemption 1um to the haree and toattend to the dischare and the release of the oriinal #Issue*ocument of Title&1trata Title to the $roperty2 the *uplicate hareto the hare and such other documents in the harees custodyre4uired to attend to the dischare of the hare !y the hareeand the +alid and reistra!le withdrawal of pri+ate ca+eat from for

    the withdrawal of the harees pri+ate ca+eat to the $roperty(hereinafter all are collecti+ely referred to as the Disch)r4eDocu5ents) from the haree to the Vendors and the release ofthe *ischare *ocuments !y the #Vendors 1olicitors&$urchasers1olicitors to the #$urchasers 1olicitors&$urchasers 0inanciers1olicitors.

    .- The Vendor shall simultaneously with the e,ecution of this Areement sina +alid 9emorandum of Transfer and the rele+ant forms for stamp duty anddeli+er the same to the #$urchasers 1olicitors & Vendors 1olicitors forimmediate su!mission to the ollector of 1tamp *uties for adudication ofad +alorem stamp duty paya!le thereon.

    .C The #Vendors 1olicitors&$urchasers 1olicitors are here!y e,pressly

    authoriDed !y the parties hereto to deal with the duly e,ecuted2adudicated2 stamped2 +alid and reistra!le 9emorandum of Transfer in thefollowin manner:

    (a) In the e+ent the $urchaser does not o!tain the 'oan from the$urchasers 0inancier2 to present the 9emorandum of Transfer forreistration at the rele+ant 'and eistry upon full payment of theBalance $urchase $rice and late payment interest (if any) to the#Vendors 1olicitors&$urchasers 1olicitors2 as sta5eholders2 inaccordance with the terms herein contained; and

    (!) In the e+ent that the $urchaser o!tains the 'oan from the

    $urchasers 0inancier2 to release the 9emorandum of Transfer to the$urchasers 0inanciers solicitors for reistration at the rele+ant 'andeistry upon the #Vendors 1olicitors&$urchasers 1olicitors receiptof the oriinal of the $urchasers 0inanciers letter of underta5inaddressed to the Vendor to release the 'oan to the Vendor inaccordance with the terms of this Areement and !y or !efore theompletion *ate and the *ierential 1um2 if any.

    #Jhere the Vendor is company(c) the Vendor is a company duly incorporated and e,istin under the

    laws of 9alaysia and has full riht2 power and authority to enter intothis Areement and perform the transactions contemplated here!y;

    (d) this Areement has !een duly e,ecuted and deli+ered !y the Vendorand constitutes the +alid and !indin o!liations of the Vendor2enforcea!le aainst the Vendor in accordance with the termsthereof;

    (e) no order has !een made2 windinup petition presented aainst theVendor or meetin con+ened for the Vendors windinup or for theappointment of a pro+isional li4uidator2 and no recei+er has !eenappointed in respect of the whole or any part of its property2 assetsand&or underta5in.

    #(f) that the Vendor has not prior to the date hereof areed to sell the$roperty nor ranted any option or the riht of %rst refusal to anyperson and in the e+ent of such areement2 that the Vendor haslawfully terminated and&or re+o5ed the same. The Vendor has notranted any power of attorney to any person2 corporation or !odycorporate or unincorporate in respect of the $roperty;

    () that there are no pendin leal proceedins and&or claims aainstthe Vendor which may aect in any way the Vendors title to or therihts to dispose of the $roperty. The Vendor has not ranted anyriht of access or easements o+er or upon the $roperty to any

    person2 corporation or !ody corporate or unincorporate;

    (h) that #sa+e for the e,istin hare in fa+our of the haree (if the$roperty is encum!ered)2 the $roperty is not su!ect to anyencum!rances2 ca+eats or prohi!itory orders as at the date hereofand the Vendor shall not chare transfer assin encum!er orhowsoe+er deal with the $roperty from the date hereof;

    (i) that there are no outstandin notices in respect of the $ropertyser+ed upon the Vendor;

    () that the Vendor has fully settled all outstandin outoins in respect

    of the $roperty and shall continue to do so until the date of deli+eryof +acant possession of the $roperty to the $urchaser;

    (m) that all reno+ations and e,tensions are done in accordance with!uildin plans and speci%cations appro+ed !y the rele+antauthorities; and

    (a) documentary e+idence that the $urchaser has withdrawn any pri+ate

    ca+eat entered aainst the $roperty !y the $urchaser and&or the$urchasers 0inancier;

    (!) redeli+er +acant possession of the $roperty in the same state andconditions (fair wear and tear e,cepted) (if it has already !eendeli+ered to the $urchaser) at the $urchasers own cost and e,pense;

    intact2 once the same is returned !y the 'and eistry;

    failin which interest calculated at the rate of #ercent ( ;*perannum on a daily !asis for the period commencin from the day after thee,piry of ( * 9months&days of such demand to the date of actualpayment shall !e paya!le to the $urchaser.     -H.C In the e+ent of the $roperty or any part thereof shall !e ac4uired orsu!ected to an intended ac4uisition !y the 3o+ernment or any otherauthority at any time after e,ecution of this Areement and prior to thepresentation of the 9emorandum of Transfer to the 'and eistry forreistration2 the Vendor shall forthwith notify the $urchaser of any such

    ac4uisition or intended ac4uisition wherein the $urchaser shall ha+e theoption to terminate or continue in the sale and purchase herein.

    (a) in the e+ent the $urchaser elect to terminate this Areementwhereupon the Vendor shall refund to the $urchaser the *eposit andany other sums paid hereunder2 free of interest $ro+ided That the$urchaser shall ha+e returned the oriinal 1trata Title to the$roperty and all other documents deposited with or deli+ered to the$urchaser and&or the #$urchasers 1olicitors&Vendors 1olicitorsand&or the $urchasers 0inancier and&or the $urchasers 0inancierssolicitors2 includin !ut not limited to the 9emorandum of Transferwith the Vendors interest intact2 redeli+ered +acant possession of

The Vendor shall not !e o!lied to ma5eany refund until the $urchaser has complied with his&her&theiro!liations herein; or

    (!) in the e+ent the Vendor proceed with the sale and purchase inaccordance with the terms and conditions herein (in which e+ent the$urchaser shall not !e entitled to any reduction in the $urchase$rice)2 the Vendor shall also notify the 3o+ernment or other authorityof the $urchasers interest in the $roperty.
