RESOLUTION

A Proposal for constitution of Kevadia Jungle Safari (Sardar Patel Zoological Park) Society was submitted by PCCF (WL) vide single file mentioned at (1) above. After careful consideration, the State Government is pleased to

Constitute an autonomous "Kevadia Jungle Safari (Sardar Patel Zoological Park) Society" to promote, support, assist, mobilize and manage resources for ex-situ and in-situ conservation of the wildlife, in general. Along with educative entertainment, the society aims to encourage study, research and awareness generation in general public at large on the following conditions: -

( 1) The Society shall be registered under the Indian Societies Registration Act (XXI) of 1860.

(2) The Registered office of the society shall be in the premises of Kevadia Jungle Safari (Sardar Patel Zoological Park) Society, Kevadia, Narmada District in Gujarat.

(4) The Society shall be governed as per the Memorandum of Association and Rules annexed as Appendix I to this G.R.

(5) The Society shall be autonomous and may enter into Mou/contract in pursuance of its objectives subject to the prevailing policy, guidelines of the state Government in this regard and subject to the approval of the state Government. ~'

( 6) The society shall follow prudent financial management in its working. ~~

(8) The amount of income from studies, consultation, training, bequests, entry fee of the park, projects and activities related to the objects of the society shall be retained by the society.

(9) The society will meet its various expenditure from its income mentioned in (8) above. Government may consider to provide budgetary support if and when required.

( 10) The Society would be free to raise donations, to invoke new ideas for raising resources and subject to constitutional arrangement of the society be able to utilize those funds for the objective mentioned in the Memorandum of Association and its rules.

(11) The society shall consider all its income mentioned in Rules No.10 (2) to (7) annexed as Appendix I to this G.R. while forming budget provision and also follow budget manual's guidelines.

(12) The Society should follow Government GRs/Circulars to deal with its Surplus Fund.

(13) The Society may hire certain services as per requirement through outsourcing as per GAD GR dated 01/04/2010 and subsequent amendments made in it from time to time.

(14) A separate bank account in a Nationalized bank shall be opened in the name of Member Secretary of the society and the accounts of Government funds and Society own funds shall be maintained separately by the society.

(15) The Society shall function like a corporate entity with a social purpose and optimize public benefit.

MEMORANDUM OF ASSOCIATION

KEVADIA JUNGLE SAFARI (SARDAR PATEL ZOOLOGICAL PARK) SOCIETY

t. NAME: The name of the Society shall be 'Kevadia Jungle Safari (Sardar Patel Zoological Park) Society'.

2. AREA OF OPERATION: The area of operation of the Society shall be Narmada district in state of Gujarat.

3. LOCATION OF OFFICE: The Society shall have its office in the Kevadia Jungle Safari (Sardar Patel Zoological Park) Society, at Kevadia, Narmada District in Gujarat. It may establish one or more support offices or outlets elsewhere in the state, if so required

4. REGISTERED OFFICE: The registered office of the society shall be in the premises of (Kevadia Jungle Safari Sardar Patel Zoological Park) Society at Kevadia, Narmada District in Gujarat.

5. DEFINITION: In the Memorandum, unless the context otherwise requires:

a. 'Society' shall mean the 'Society'.

b. Sardar Patel Zoological Park will mean the Sardar Patel Zoological Park, at Kevadia, Narmada District in Gujarat, as approved by Central Zoo Authority, MoEF & CC, New Delhi.

c. 'Governing Body' shall. mean the Governing body of the Society

d. 'Government' shall mean the Government of Gujarat;

e. 'Chairman' shall mean the Chairman of the Governing Body of the Society;

f. 'Member Secretary' shall mean the Member Secretary of the Society appointed by the State Government;

g. 'Secretary' means the Member Secretary of the Society and acting as Secretary of the Governing Body of the Society;

6. GOALS OF THE SOCIETY

The goal of the society shall be,

The society is established with a view to promote, support, assist, mobilize and manage resources for ex-situ and in-situ conservation of the wildlife, in general. Along with educative entertainment, the society aims to encourage study, research and awareness generation in general public at large.

7.0 OBJECTIVES OF THE SOCIETY:

To mobilize and provide resources/ manpower and related administrative structures for protection, development, operation, maintenance and management of KEVADIYA JUNGLE SAFARI (SARDAR PATEL ZOOLOGICAL PARK) SOCIETY, AT KEVADIA, NARMADA DISTRICT TN GUJARAT and its associated facilities in nearby areas and any other facilities added to it subsequently,

Objectives of the society in brief are narrated as here under:

a. The society shall strive to inspire amongst park visitors empathy for wild animals, an understanding and awareness about the needs for conservation of natural resources and for maintaining the ecological balance.

b. The Society shall support the conservation of endangered species. Towards this objective the Society shall support wildlife conservation in protected area.

c. The Society shall also faci litate functioning of the zoo as orphanage and rescue center for wild animals so rescued from wild.

d. The Society shall facilitate research for health care and conservation breeding of endangered in captive as also wild in coordination with the institutions of repute. Specific programme in this direction may target wild animals and its local associates .

~ and for Kevadia Jungle Safari (Sardar Patel Zoological Park) Society, at Kevadia, Narmada District in Gujarat, in particular.

b) The Society shall develop programme, activities, infrastructure, for meeting the overalJ objective of conservation of flora, fauna and ecosystem,

c) The Society shall perform role and duties, as requested by State Government or Chief Wildlife Warden

d) The Society shall establish horizontal and vertical networking with institutions of similar kind, both in India and abroad,

e) The Society shall prepare detailed Annual Plan of Operations (APO) for maintenance, operation, and upgrading of Sardar Patel Zoological Park and complex at Kevadia, Narmada District in Gujarat complex and for various operations and requirements in and around Sardar Patel Zoological Park complex at Kevadia, Narmada District in Gujarat and to meet other objectives of the Society. This APO shall be prepared in accordance with long term management strategy of Sardar Patel Zoological Park complex at Kevadia, Narmada District in Gujarat and adjoining area, as well as funds available or anticipated to be available, to the society. The APO shall be presented to the Committee of the society in its annual meeting for approval and shal I be reviewed from time to time. Prior to submission to the committee. It shall be submitted to CWL W for approval.

f) The Society shall provide technical assistance and guidance to the state Government and management of Sardar Patel Zoological Park complex at Kevadia, Narmada District in Gujarat complex.

g) The Society may commission studies and sponsor research to address its objectives.

h) The Society may organize a campaign to raise awareness on conservation issues through various means of communication. It may document, develop, publish and disseminate relevant material, data, and scientific details for the purpose.

i) In discharge of its functions, the society shall engage personnel and /or consultant on contract fixed period. subject to GAD GR dated 01/04/2010 and subsequent amendments made in it from time to time.

9. The Chairman shall be Additional Chief Secretary / Principal Secretary, Forest and Environment Department, Government of Gujarat by virtue of his/her post.

10. Except the government employees including the Member Secretary, who shall be on deputation from forest department whose services are made available to the Society by the State Government, all other employees of the Society shall be appointed by the Society on contractual or Outsourcing basis, keeping in view the actual requirement subject to GAD GR dated 01/04/2010 and subsequent amendments made in it from time to time.

11. No benefaction shall be accepted by the Society, which in its opirnon involves a condition or an obligation opposed to the spirit and objective of the Society.

12. If the State Government is satisfied that the Society is not functioning properly and its objects are failed in discharging functions, the State Government shall have the right and authority to take appropriate steps as State Government may think just and proper.

13. If on winding up or dissolution of the Society, there shall remain, after satisfaction of its debts and liabilities, any assets and property, the same shall not be paid to or distributed amongst the members of the Society but will be merged with other society of the same object and shall be dealt with in such manner as the State Government may determine.

14. The names and addresses of the first members of the Governing Body of the Society, to which by the rules of the Society the management of its assets is entrusted, as required under Section 2 of the Societies Registration Act of 1860, are as under:

15. The State Government shall have the right to nominate any other member in addition to or in substitution of the above-mentioned persons. Membership in the Governing Body shall be vested according to the official designation held by the person either in government or in the organization/institution he/she represents.

16. Institutions, Corporations, Companies or Organizations interested m promoting the objects of the Society may be co-opted to the Governing Body by the Governing Body. This shall not exceed two in number.

17. The Chairman of the Society shall preside over meetings of the Governing Body. In his/her absence the Vice Chairman shall preside over such meeting.

18. The Governing Body shall take policy level decisions and build the roadmap for the smooth functioning of the Society on a day-to-day basis.

19. Member Secretary shall be the administrative head of the Society. He shall run the day-to-day administration of the Society, subject to the policy and guidelines as decided by the state Government or by Governing Body.

20. The income and property of the Society shall be applied towards the promotion of the objects as set forth in this Memorandum of Association, subject to such conditions as the State Government may, from time to time, impose in respect of grant made by the State Government. No portion of income or property shall be paid or transferred directly or indirectly by way of dividends, or profits, bonus or otherwise to persons who may, at any time, be or have been members of the Society or to any other person;

Provided that nothing contained herein shall prevent payment in good faith to any supplier of goods or remuneration in return for any services rendered to the Society by any service provider, with the approval of Governing Body. ~ A~~,v;}

21. A copy of the rules of the Society is filed along with this Memorandum of Association.

22. The Governing Body has the power to approve any changes/amendments in the Memorandum of Association subject to prior approval of Government.

RULES OF KEV ADIA JUNGLE SAFARI /SARDAR PATEL ZOOLOGICAL PARK SOCIETY

1. SHORT TITLE AND COMMENCEMENT

(i) These rules may be called the Rules of the Kevadia Jungle Safari /Sardar Patel Zoological Park Society.

(ii) These rules shall come into force with effect from the date of registration of the Society under the Societies Registration Act, 1860 .

. 2. DEFINITION

In these rules, unless the context otherwise requires, the words and expressions used hereunder shall have the same meaning as assigned to them under Article 5 of the Memorandum of Association.

AREA OF OPERATIONS.

The society shall be authorized to carry out activities and operations in area as defined in AREA OF OPERATION in Memorandum of Association to pursue its objectives and to establish successful co-operation and co-ordination with organizations interested in similar activities.

3. MEMBERSHIP

3.1 The Society shall consist of the following members:

(a) First members of the Governing Body;

(b) Members nominated or appointed by the State Government under article 15 of the Memorandum of Association;

( c) Not more than two ordinary members can be co-opted by the Governing Body under article 16 of the Memorandum of Association. Such members shall not have voting rights.

( d) The co-opted members of the Society shall hold office for a period of two years from the date of being co-opted, but will be eligible for being co-opted again.

Member Secretary, shall cease of appointment or nomination, but will be eligible for re-appointment or re-nomination, as the case may be.

3.2 Membership & Membership Fees shall be as follows:

The Society may give honorary membership to individuals, institutions and organizations, if it is in the view of the Governing Body that· the person to whom such membership is proposed to be conferred will contribute towards the fulfilment of objectives of the Society. The rights, duties and powers of all the members will be defined later on in detailed.

The Society may make appropriate change in the membership fees as and when necessary.

These members will not have voting rights. This condition will override any condition for said purpose mentioned in any other place in this MoA.

4. CESSION OR TERMINATION OF MEMBERSHIP

offence involving moral turpitude (f) removal by the State Government from the membersbip of the Society or (g) failure to attend three consecutive meetings of the Society or the Governing Body without leave of the Chairman.

2. A member of the Society or the Governing Body may resign from office by a letter addressed to the Chairman. Such resignation shall take effect from the date on which it is accepted by the Chairman.

5. CASUAL VACANCY

1. A casual vacancy in the Society or in the Governing Body shall be filled by appointment or nomination by the State Government.

2. Notwithstanding any vacancy or any defect in the appointment or nomination of any of its members, the functioning of the Society or the Governing Body or any act or proceeding of the Society or the Governing Body, shaJl not be calJed in question merely by reason of the existence of any vacancy therein or any defect in .the appointment or nomination of any of its members.

6. GENERAL BODY MEETING OF THE SOCIETY

1. Members of the Society shall ordinary meet at least every year, provided that the Chairman may call a meeting of the Society at any time if he deems fit or upon a written request by the Member Secretary.

2. For every meeting of the Society, ordinarily seven days notice shall be given to the members.

3. Presence of five members of the Society, including the Chairman and the Member Secretary, shall constitute the quorum for such meeting.

4. In case of difference of opinion amongst the members, the opinion of the majority shall prevail.

5. Each member of the Society including the Chairman but excluding the co­ opted members shall have one vote. In the event of equality of votes on any issue to be determined by the Society, the Chairman shall have a casting vote in addition to his own vote which he can exercise in such circumstances.

6. Every meeting of the Society shall be presided over by the Chairman and, in his absence, by the Vice Chairman and, in his absence, a member chosen from

7.1 POWERS AND FUNCTIONS OF THE GOVERNING BODY

Subject to the provisions of the Memorandum, the Governing Body shall have the following powers:

a) To acquire by purchase, bequest, gift or otherwise and hold movable or immovable property necessary for the furtherance of the objects of the Society but Government property shall not be leased, mortgaged and given on hire to anyone.

b) To receive grants, endowments, donations, donation for adoption of animals/birds, bequests, entry fees of the park, gifts or contributions or borrow monies, with or without security, for the purpose of meeting the costs or expenses incurred or to be incurred for meeting the objects of the Society or for repayment of sums borrowed by the Society.

c) To accept donation or objects as gifts or on loan and to keep and use them as may be required under the stipulated terms and conditions.

d) To approve the annual work plan of the Society.

e) To have custody of the funds of the Society and to approve the annual budget estimates of the Society.

f) To determine policy, rules and regulations for the grant of scholarships, fellowship, stipends, prizes, medals etc. to research workers and trainees, and lay down standards of proficiency to be demonstrated before the award of diplomas, certificates and other destinations at the end of any training programme.

g) To sue and defend all legal proceedings on behalf of the Society.

h) To appoint committee or committees for the resolution of any disputes of the Society or tendering any advice to the Society.

i) To hire National/International consultants and other professional bodies from other agencies required for achieving the goals and objectives of the Society by following transparent bidding process and in accordance with Government policy and instructions, if any.

j) To delegate, to such extent as it may deem necessary, any of its powers to the '&bffice bearers or to a committee.

k) To frame policy to utilize proceeds of entry fees of the park and proceeds from donation for adoption of animals/birds for recurring expenditure and further development of the park.

I) To make, adopt, amend, vary or rescind from time to time, rules and regulations for any purpose connected with the management and administration of the affairs of the Society and the furtherance of its objects.

m) The Governing Body shall take policy level decisions and build the roadmap for the smooth functioning of the Society on a day-to-day basis.

n) To take any other steps in furthermore of carrying out the purposes of the Society which are not enumerated herein above.

7.2 MEETINGS OF THE GOVERNING BODY

1) The Governing Body shall ordinarily meet once in every six months. Provided that the Chairman may, on a written request made by the Member Secretary, call a special meeting. Not less than seven days notice shall be given for any meeting of the Governing Body.

2) Five members of the Governing Body, including the Chairman and the Member Secretary, shall constitute the quorum for any meeting of the Governing Body.

3) In case of difference of the opinion amongst the members, the opinion of majority shall prevail.

4) Each member of the Governing Body, including the Chairman, shall have one vote. In the event of equality of votes on any issue to be determined by the Governing Body, the Chairman shall, have the right to exercise a casting vote, in addition to his own vote.

5) Every meeting of the Governing Body shall be presided over by the Chairman and in his absence, by the Vice Chairman and, in his absence, by a member chosen from amongst themselves by the members present at the meeting.

6) A resolution except such as may be placed before the meeting of the Governing Body may be adopted by circulation. A resolution so circulated and adopted by a majority members of the governing body shall be as effective and binding as if such resolution had been passed at a meeting of the Governing Body. 7.3 TRAVELLING AND DAILY ALLOWANCE FOR ATTENDING MEETINGS:

a) The members of the committee appointed by the Government shall not be entitled to any remuneration from the Society. Non-official members of the committee appointed or invited shall be paid by the society such travelling and daily allowances as may be provided for in the Rules to be made in this behalf in respect of any journey undertaken by them for attending the meeting of the Society or the Committee as the case may be. Travelling and Daily Allowances in respect of official members for the journeys undertaken by them for similar purpose shall be borne by Government subject to provisions of Gujarat Civil Services (TravelJing Allowance) Rules 2002.

7.4 DELEGATION OF POWERS OF THE GOVERNING BODY

The Governing Body may, by resolution, delegate specific administrative and financial powers to the Member Secretary, for the conduct of the affairs of the Society, as it may consider necessary or desirable in meeting with the objects of the Society.

a) The Governing body shall, in its first meeting, decide the delegation of financial and administrative powers.

8.2 POWER AND FUNCTIONS OF .EXECUTIVE COMMITTEE

The Executive Committee shall have the following powers and duties, in addition to those delegated by the Governing Body, for the management of the affairs of the Society:

a) To provide overall day to day guidance needed for operation of Kevadia Jungle Safari (Sardar Patel Zoological Park) Society.

b) supervise and monitor the functioning and operation of Kevadia Jungle Safari (Sardar Patel Zoological Park) Society, in accordance with objectives of the Society.

c) To provide administrative, technical and financial approvals for activities, required for day to day operation of Kevadia Jungle Safari (Sardar Patel Zoological Park) Society.

d) To approve budget estimates and work plan, and to sanction expenditures within the approved budget estimates.

e) To approve, make and execute contracts, to invest the surplus funds of the Society in accordance with the policies and directives of the State Government.

f) To appoint or terminate the appointment of staff working on the contract basis, and fixing the terms, tenure, emoluments, allowances of all such appointments.

g) To ensure all compliances of CZA (Central Zoo Authority), preparation of necessary reports, etc.

h) accord approval to activities pertaining to research, awareness, education, etc, in conformity and for achieving the objectives of the Society.

9.0 MEMBER SECRETARY

The appointment of Member Secretary shall be made by the State Government and he shall be on deputation from forest department.

9.1. POWERS AND FUNCTION OF THE MEMBER SECRETARY

The Member Secretary shall be the chief executive officer of the Society. The Member Secretary shall have the following powers and duties, in addition to those delegated to him by the Governing Body, for the management of the affairs of the Society:

I.To prepare budget estimates and work plan, and to sanction expenditures within the approved budget estimates.

II.To make and execute contracts, to invest the surplus funds of the Society in accordance with the policies and directives of the State Government, to arrange for the preparation of the annual accounts and annual report of the Society, and to arrange for the audit of accounts and preparation of audit report of the Society in accordance with law.

III.To appoint or terminate the appointment of the officers and staff working on the contract basis, and fixing the terms, tenure, emoluments, allowances of all such appointments, and to prescribe the rules of conduct and discipline and other condition~O'.f=:s_~ice of the officers and the staff of the Society, including

government officers on deputation and to return the services of such officers working on deputation.

IV. To prescribe the role, functions, duties and responsibilities of aJJ officers and staff of the Society, and exercise such supervision and control as may be necessary.

V .To co-ordinate and exercise general supervision of the activities of the Society.

VI.To provide guidance for day to day management of the affairs of the Society.

VII.To institute and defend legal proceeding on behalf of the Society and to engage advocates for that purpose.

10. .FUNDS OF THE SOCIETY:

The funds of the Society shaII consist of the following:

I ) Grants if any made by the Central or State Government

2) membership fees, as collected by society, will also be added as mcome generated and will be treated as fund of society,

3) Income from studies, consultation, trainings, bequests, entry fees of the park, projects and activities related to the objects of the Society.

4) Contribution, gifts, donations, donation for adoption of animals/bird and benefactions received from other sources.

5) Income from investments and other sources.

6) Funds, grants, loans received from agencies inside or outside the country, with prior approval from the competent authority. .'... "·

7) Such other income as may be decided by Governing body.

ll. .FlNANCIAL YEAR OF THE SOCIETY

1. The financial year of the Society shall be from the first day of April to the thirty first day of March of the following year. Provided that if the financial year of the State Government is changed, then the Governing Body shall be competent to change the financial year of the Society to bring it in conformity with that of the State Government.

2. The annual accounts of the Society shall be audited by a Chartered

open to the audit of the office of the Accountant General, Gujarat in such matters as that office may decide.

3. The Society has to engage the service of Internal Auditor and get their accounts audited by Chartered Accountant firm enrolled as Chartered Accountant with Institute of Chartered Accountants of India every quarterly.

4. The society may engage the service of' Pre Auditor as per the requirements and get vouchers pre-audited by Chartered Accountant firm exceeding specific limits as decided by the society.

12. REPORT ON WORKING AND AUDITED ACCOUNTS

Within six months of the close of every financial year, the Society shall submit to the State Government a Statutory Audit Report on the working of the Society and the audited statement of the financial year.

13. AUTHORITY FOR LEGAL ACTION

For the purpose of section 6 of the Societies Registration Act. 1860, the person in whose name the Society may sue or be sued shall be the Member Secretary.

14. AUTHORITY FOR RESOLUTION OF ANY DISPUTE

In the event of any dispute or differences in resolution to any subjects regarding the working of or regarding any meetings of the Society or about any issue of any nature, no patties to the dispute shall resolve to taking in to any court of law but instead will approach the committee consisting of members nominated by Chairman for resolution of any dispute and the decision of the committee shall be binding on the parties.
