1.0 PURPOSE

This is a request for proposals for professional engineering services to provide a Project Manager (PM) for the City of Stockton, Regional Wastewater Control Facility (RWCF) Progressive Design-Build Project.

2.0 BACKGROUND

On November 15, 2016, the Stockton City Council awarded a Progressive Design-Build, Phase I contract has been awarded to a joint venture consisting of AECOM and W.M. Lyles, Inc. (Contractor) to provide preliminary design detail leading to a negotiated construction price for the RWCF CIEMP Progressive Design-Build Project, located at 2500 Navy Drive, Stockton, CA. Overall project costs for this rehabilitation are approximately $150M and project duration is estimated at between five and six years. It is the intent of this RFP that the requested services shall commence early in Phase I and be for a period of three years with available one year extensions through the completion of the project. In order to adequately address and coordinate the complex issues involved in this Progressive Design-Build project it is necessary to provide a Project Manager (PM) to manage the project. This RFP is to secure the services of an individual (PM) who is supported by a designated Engineering Firm to provide the services identified below in the Qualification Requirements and Scope of Services.

3.0 DESIRED ATTRIBUTES

An individual that:

3.1 Can dedicate about 20 to 30 hours per week to manage the project for the duration of the project or as long as the City desires.

3.2 Has personally managed or directly supported more than $100 million dollars of Wastewater Treatment Plant (WWTP) design, modifications and/or construction.

3.3 Has direct experience with both traditional (design-bid-build) and alternative (design-build, progressive design build, CM at-risk, design assist) project delivery as the Owner’s representative.

3.4 Has direct relevant knowledge of the type of RWCF treatment processes contemplated by the project.

3.5 Has experience in planning and implementing Instrumentation and Control Systems.

3.6 Has direct knowledge of National Pollution Discharge Elimination System (NPDES) discharge regulations.

3.7 Understands the policies, processes and procedures used by the Owner in obtaining approvals, procurement, processing payments, change orders, etc., and will work with others to seek approvals at all appropriate levels.

3.8 Understands various types of funding mechanism(s).

3.9 Has the ability to communicate openly and completely, both verbally, electronically and in writing.

3.10 Has the ability to communicate project status and progress reports to the governing bodies of the Municipal Utilities Department, City Administration and City Council.

3.11 Is supported by a designated Engineering Firm with resources capable of providing the necessary insurance, support and technical expertise as may be encountered during the project.

4.0 QUALIFICATION REQUIREMENTS

The following are the minimum required qualifications to be included. These are in addition to requirements listed in the attached Exhibit A – Scope of Services.

4.1 The PM shall have a BS degree in Civil / Environmental Engineering from an ABET accredited university. An MS degree is preferred.

4.2 The PM shall have a current California Civil Engineer Professional Registration.

4.3 The PM shall have more than 20 years of progressively-responsible civil engineering experience with a minimum of 5 years dedicated to direct management of WWTP projects as the Owner’s representative.

4.4 The PM shall have (preferred) California municipal, county and/or district utility management experience similar to the City and this Progressive Design-Build project.

4.5 The PM shall have served as Project or Assistant Project Manager on at least two major WWTPs expansions.

4.6 The PM shall have knowledge in the following areas including:

4.6.1 Procurement Management – consisting of procurement planning, contracts planning, authoring solicitations, evaluations, requesting solicitation responses, selecting contractor(s), administering contract(s), and contract(s) closing activities.

4.6.2 Schedule Management – consisting of activity definition and sequencing, resource estimating, duration estimating, schedule development, and schedule control activities.

4.6.3 Integration Management – consisting of project plan development, project plan execution, and integrated change control activities.

4.6.4 Scope Management – consisting of project initiation, scope planning, scope definition and scope change control activities.

4.6.5 Human Resource Management – consisting of organizational planning and staff development activities.

4.6.6 Risk Management – consisting of risk management planning, risk identification, risk quantitative and qualitative analysis, response planning, monitoring, and control activities.

4.6.7 Quality Management – consisting of quality planning, quality assurance and quality control activities.

4.6.8 Communications Management – consisting of communications planning, information distribution, progress and performance.

4.6.9 Federal, State and Local finance administration, including but not limited to State Revolving Loan Fund (SRF).

4.7 Have no conflicts of interest with the AECOM/W. M. Lyles, Joint Venture.

5.0 CITY OF STOCKTON SERVICES TO BE PROVIDED

The City will furnish available electronic data through the City’s bid flash or allow access to all information, data, drawings, reports, etc. as currently available in City files without charge. In addition, the City will cooperate in carrying out the work without undue delay. The selected PM agrees that the City’s responsibility to provide information is limited to data of record in City files and in the format as recorded. The selected PM shall check and investigate existing information and conditions, and notify the City of any deficiencies that are discovered.

6.0 PROPOSAL CONTENT

Include three copies of the proposal, not to exceed ten pages (10) pages in length, minimum 12-point font size and contain the following:

Identification and introduction of the individual who is fully experienced in the field of Project Management on Progressive Design-Build projects;

Technical Experience of Project Manager proposed to work on the Project;

Approach and Work Plan;

If warranted, identify any supplemental tasks, not identified in the Scope of Services, which may be necessary and required, or may enhance the work product.

Minimum three References; and

Task Effort Worksheets delineating all work tasks and professional services to be provided by PM.

The following items are required, but will not be counted as part of the page limitation:

Cover letter;

Executive Summary;

Resume;

Non-Collusion Affidavit. Refer to a document in the RFP called: “NONCOLLUSION DECLARATION “. Submit it with RFP, completely filled, signed and dated;

Cost Proposal and hourly labor costs (submitted in a separate, sealed envelope)

One (1) copy out of the three (3) submitted proposals must have wet, original signatures. Modifications to the proposal after the deadline will not be accepted by the City. Preprinted and prepared general company advertising literature, such as color brochures, are discouraged unless they are specifically related to the services requested and referenced as such.

6.1 Cover Letter

The proposal shall include a letter on company letterhead signed by an official with the authority to negotiate and contractually bind with the City regarding the proposal. The letter should address the following, if pertinent:

Acknowledgement of the receipt of any addenda, if any

Conflict of interest

Availability

When Proposals are signed by an agent other than an officer of a corporation or a member of a general partnership, a power of attorney authorizing the signature must be submitted with the Proposal.

6.2 Executive Summary

The Proposal shall include a summary of its contents, emphasizing the approach, work plan, schedule, and technical capabilities of the PM. The summary should indicate an understanding of the purpose of the Project and the services required for performance. The PM shall provide a brief statement that the technical proposal shall remain firm for one-hundred eighty (180) days following the closing date for the receipt of the proposal submittals.

6.3 Technical Experience/References

Sufficient evidence as to the PM’s qualifications to perform the work shall be provided. This information shall disclose and include all pertinent facts as may be appropriate and shall include at least a description of past performance on projects of similar type, scope and size; and any other pertinent information to demonstrate experience on similar assignments. In addition, provide a statement regarding the PM’s ability to complete the work in a timely and professional manner.

6.4 Approach and Work Plan

A work plan shall be included which delineates the approach employed to complete the Project. The work plan shall demonstrate the PM’s understanding and approach to completing the Scope of Work.

The work plan shall include the following:

Declare that the PM has a clear understanding of the Scope of Work;

Identify any challenges that are expected to be encountered, and how the PM will address and resolve the challenges;

Describe the approach and methodology that will be used to provide the required services. The specific level of work effort and subsequent work products must be emphasized. The level of detail must clearly delineate between major and minor work tasks;

Describe major tasks;

Identify any supplemental tasks deemed necessary and recommend alternatives, which may enhance the work product, reduce cost or expedite delivery.

6.5 Proposal Submission Requirements

Submit three (3) hard copies with one (1) itemized cost proposal and one (1) electronic PDF version of the proposal, signed by an authorized representative, and delivered before 3:00 p.m. on Thursday, April 6, 2017, to:

The electronic copy (PDF version) of the proposal must be with the hard copies under the same deadline. Postmarked or facsimile materials will not be accepted.

If your Proposal is late or incomplete in any way, you may, at the City’s sole discretion, be eliminated from consideration. Information contained in your Proposal will be considered proprietary until a Contract is awarded. Following award, however, such information may be used by the City, as the City deems appropriate.

7.0 SELECTION PROCESS

A selection committee will evaluate the submitted proposals by representatives of the Municipal Utilities Department. This is a qualifications based process, so ranking will be heavily weighted toward the PM’s approach to project and experience. Proposals will be evaluated based on the following factors:

1. Technical Experience/References (60%) 2. Project Approach (40%)

Allow for at least three weeks for City review and selection. The City reserves the right to modify this request for proposals, postpone selection for its own convenience, cancel this request for proposals at any time, and/or reject any and all submittals without disclosing cause. No submitted documents will be returned. No compensation is offered for any work related to these proposal requests. Proposals are entirely voluntary. All original documents, including electronic files, become the property of the City of Stockton.

8.0 GENERAL CONDITIONS

8.1 Accuracy of RFP and Related Documents

The Respondents will be responsible for the accuracy and completeness of all engineering and technical documents produced for the Project and contained in the associated supporting documents, memoranda, working papers, and reports. The City will exercise review and approval functions at key points and milestones. The PM will produce project status reports and schedules, and conduct progress meetings with the City. The City assumes no responsibility and disclaims any warranty for the completeness or accuracy of information presented in this RFP, the reference documents and any other reports, studies or investigations, including, but not limited to, those concerning existing site conditions, or otherwise distributed or made available during the selection process. Without limiting the generality of the foregoing statement, the City is not bound by or responsible for any explanation or interpretation of the documents other than those prepared in writing by the City. In no event may a Respondent to this RFP rely on any oral statement made by any of the City's agents, employees, advisors, or consultants. The City considers any information that it may have released either orally or in writing prior to the issuance of this RFP to be preliminary in nature, and the City is not bound by such information. If the PM fails to provide the services as developed and set forth in the Contract, then the City will have the right to withhold payment and terminate the Contract at any time prior to completion and upon receipt of written notice.

8.2 Personal Investigation

Respondents are solely responsible for conducting their own independent research and due diligence for the preparation of their Proposals, the preparation of their Proposals in response to the RFP, the negotiation of a Contract, and the subsequent project delivery under the terms and conditions of the Contract. No information derived from any part of this RFP, or from the City or any of its agents, employees, advisors, or consultants shall relieve the selected PM from any risk or from fulfilling all terms of the Contract.

8.3 Cost of Proposal Preparation

The costs and expenses associated with the preparation of a Proposal, attendance at an individual interview with City representatives and preparation of all other information required pursuant to this RFP will be at

the sole cost and expense of the Respondent. In no event will a Respondent have a claim against the City, its staff, its consultants, or agents for reimbursement of any such costs or expenses.

8.4 City Rights and Options

The City reserves, holds and may exercise, at its sole discretion, the following rights and conditions with regard to the selection, RFP, and Contract negotiation processes. By submitting a Proposal, Respondents acknowledge and consent to the following conditions relative to the selection process: 8.4.1 This RFP does not obligate the City to procure or contract for any

services.

8.4.2 The City reserves the right to negotiate separately with any source, whatsoever, in any manner necessary to serve the best interest of the City.

8.4.3 The City reserves the right to select the successful Proposal and negotiate an agreement as to the scope of services, the schedule for performance, and duration of the services with the PM whose proposal is most responsive to the needs of the City.

8.4.4 The City reserves the right to modify this Request for Proposals, postpone selection for its own convenience, cancel this Request for Proposals at any time, not award a Contract as a result of the Request for Proposals, waive any informality or irregularity in the Proposal as is in the City’s best interest, and/or reject any and all submittals without disclosing cause. Any submitted documents will not be returned.

8.4.5 The City reserves the right to make a selection after review of the Proposals. A decision to interview will be made after review of the Proposals.

8.4.6 The City reserves the right to change or alter the schedule for any events associated with this selection process. By submitting a Proposal, the Respondent agrees to be bound by any modification made by the City.

8.4.7 The City reserves the right to reject, for any reason, any and all Proposals and components thereof; to eliminate any and all Respondents to this RFP from further consideration; and to abandon this selection process at the City's convenience at any time.

8.4.8 The City reserves the right to eliminate any Respondent who submits incomplete or inadequate responses or is not responsive to the requirements of this RFP.

8.4.9 The City reserves the right, at any time, to determine that any or all Respondents will not be selected for further consideration and to notify such Respondents of the City's determination.

8.4.10 The City reserves the right to reject a Proposal or discontinue further consideration of any Respondent, if the City is in litigation with any such Respondent.

8.4.11 The City reserves the right, at any time prior to or during any negotiations entered into in developing the Contract, to negotiate with one or more parties.

8.4.12 The City may require Respondent to attend interviews and/or presentations.

8.4.13 The City reserves the right to conduct clarification discussions, at any time, with one or more Respondents and to discontinue discussions with any Respondent.

8.4.14 The City reserves the right to receive written questions concerning this RFP from potential Respondents and to provide such questions and the City's written responses, if any, to all potential Respondents, except for matters relating to confidentiality as expressed in this document.

8.4.15 The City reserves the right, without prior notice and at its sole discretion, to supplement, amend or otherwise modify this RFP.

8.4.16 All Proposals, attachments, and accompanying materials become the property of the City and will not be returned to Respondents, except Proposals that are not received by the Submission Due Date, which shall be rejected and returned unopened to those Respondents.

8.4.17 All activities related to the selection process and the project delivery shall be subject to Applicable Law.

8.4.18 Neither the City, its staff, representatives, nor any of its consultants or agents will be liable for any claims or damages resulting from the solicitation, collection, review, or evaluation of the Proposals.

8.4.19 The City (including its staff, representatives, consultants and agents) reserves the right to visit and examine any of the facilities referred to by the Respondent in its Proposal, observe and

investigate the performance of such facilities, and discuss such facilities and performance and the Respondent’s performance with those parties served by or associated with the facilities.

8.4.20 The City reserves the right to conduct investigations of the Respondents and their Proposals and request additional evidence to support the submitted information.

8.4.21 The City reserves all rights with respect to the evaluation, clarification and selection processes set forth in this RFP.

8.5 Legal Authority Transaction

Contract to be forthcoming as a result of negotiations. 8.6 City Rights and Responsibilities

In general, the City has the right and the responsibility to provide:

Responses to inquiries from the selected PM and participation in certain communications, meetings and material decision-making about the project scope

Policy, planning guidance and approval of capital improvements

Environmental permitting for the facilities

Signing of permit applications that are prepared by the selected PM, if necessary

Access to the RWCF site for the selected PM

An individual (City Contact Person) to act as liaison with the selected Respondent in connection with the performance of services

Cooperation with the selected PM and taking all steps within its reasonable control to allow the selected PM to commence services in accordance with the requirements of the Contract

Review of selected PM’s documents, potentially by a third-party or value engineering consultant(s), although such review shall not relieve the selected PM from any responsibilities for Contract performance

Review of selected PM’s payment requests, and payment of approved requests to selected Respondent under terms of the Contract

Monitoring of administrative and technical compliance with Contract requirements

8.7 Selected PM’s Responsibility

The selected PM shall provide internal project management and the following services to the City:

Coordination of the delivery of the engineering, technical and supporting documents for the Project;

Advising the City and facilitating City participation in all material decision-making concerning the Project, as such decision-making may affect the Project scope and value;

Facilitating City participation in Project meetings and communications;

Coordination of the timely final completion of the engineering, technical and supporting documents for the Project within the negotiated cost and in accordance with all Contract requirements.

Scope of services as per Section 16.0.

8.8 General Contract Principles

This RFP contains the preliminary contract principles envisioned by the City for incorporation into the draft Contract. They are described in this RFP to solicit comments from Respondents to help the City in preparing a draft Contract. The preliminary Contract principles are neither all-inclusive nor definitive as to form or substance, and the City reserves the right to amend these Contract principles during Contract negotiations.

8.9 City Ownership

The City will own all of the facilities that are planned, procured or designed as part of the Project. The selected PM may not treat itself as the owner of the facilities or any of the capital improvements thereto for federal tax or any other purpose, and will not be entitled to borrow against, or mortgage or otherwise encumber any interest in the facilities. Furthermore, the City will own all of the reports, documents and electronic files prepared by the selected PM for the Project. City ownership will include any copyrights for the documents and their contents.

8.10 Contract Term

The Contract will take effect upon execution by the City and selected PM and continue through delivery of the engineering, testing, and supporting

documentation of the Project, or until the City determines PM services are no longer needed.

8.11 Audit Rights

The City shall have the right on three (3) business days’ written notice to review, examine and audit the selected PM’s books, records and related documents concerning the costs, fees and expenses related to the performance of the Contract.

8.12 Compliance with Applicable Law

All of the responsibilities that the selected PM and its designated Engineering Firm perform under the Contract must be performed in accordance with Applicable Law. The selected PM will remedy any failure to comply with Applicable Law at its expense, bear all loss and expense, including consequential damages, attorney’s fees, engineer’s and other consultant’s fees and expenses, expert witness costs, other litigation costs, and pay any fines and penalties related thereto.

9.0 INSURANCE

9.1 No Limitation of Liability

The City will not select or qualify any Respondent or accept a Proposal from any Respondent who attempts to limit its liability. The Contract will contain a covenant against any limitation of liability of the selected PM.

10.0 EMPLOYEES

10.1 Selected PM Employment The selected PM shall provide for employment of qualified, properly licensed and certified staff sufficient to meet the requirements of Applicable Law and to satisfy the requirements of the Contract.

10.2 Termination of Contractual Relationship

If the PM, as designated in the Contract, terminates his/her contractual relationship with his/her designated Engineering Firm, the City shall have the right to approve or reject the proposed replacement for the designated Engineering Firm on this Project.

11.0 COMMENTS REGARDING CONTRACT PRINCIPLES Respondents should state their level of willingness to accept the business terms described in this RFP. In addition, Respondents are encouraged to identify any provisions of the Contract Principles, which they would not accept or suggest a change to such provision. Respondents should be specific in describing the reason for disagreement and any suggested change in the relevant provision. Any such information provided by Respondents in response to this subsection will not influence the determination of Qualified Respondents. However, such information will assist the City in preparing the draft Contract.

12.0 ABILITY TO PERFORM SERVICES IN CALIFORNIA, SAN JOAQUIN COUNTY

AND STOCKTON

Respondent must not currently be debarred or precluded in any way by the federal government, the State of California, the County of San Joaquin or the City of Stockton from submitting proposals on public projects or performing the requested services.

Respondent must be in “Good Standing” with the United States Government, the State of California (if applicable), San Joaquin County (if applicable) and the City of Stockton (if applicable) regarding payment of any taxes or fees.

Respondent must not be convicted of any criminal conduct or found to be in violation of any federal, state, or local statute, regulation, or court order concerning antitrust, public contracting, employment discrimination, or prevailing wages.

13.0 DISQUALIFICATION

Any of the following may be considered cause to disqualify a Respondent without further consideration:

Evidence of collusion

Any attempt to improperly influence any member of the evaluation panel

Any attempt to communicate in any manner with a City of Stockton official or City staff member other than the Engineering Services Manager identified in this RFP, between the time the RFP is released to the time of award of the Contract, will and shall be just cause for disqualification/rejection of Proposal submitted.

A PM’s default in any operation of a Contract which resulted in termination of that Contract

Existence of any lawsuit, unresolved contractual claim, or dispute between PM and the City

16.0 EXHIBIT A - SCOPE OF SERVICES

The professional scope of services shall include the following tasks and these shall be in addition to the qualification requirements outlined in Section 3 – Qualification Requirements and Section 8.7, Selected PM Responsibility of this RFP.

The PM shall coordinate efforts of and manage the Design-Build (DB) project team comprised of City and DB-JV contractor personnel. Responsibilities include overall project governance and direction and implementing course corrections as needed. Duties shall focus on project monitoring, control, team integration, change integration, and corrective action as needed. The PM shall ensure the application of City and State standards in managing the project. The PM shall report to the Director of Municipal Utilities Department (Director or their designee) and perform the tasks described below. The

PM shall be capable of performing all tasks with self-sufficiency and minimal guidance from the Director. The PM shall manage and integrate project resources including oversight of the DB project team. The PM is expected to ensure and oversee the creation of any and all written deliverables that do not exist for the project, and review and oversee updating of those that do exist. The PM shall exercise best practices for the DB project and oversee project activities consistent with the nine knowledge areas included in the qualification requirements. The PM shall be familiar with the latest edition of the City of Stockton’s standard plans and specifications, including all updates, addendums and memorandums to them. The PM shall monitor the Contractor’s progress in sufficient detail to evaluate an as-built history of the Project. Evaluate the construction progress and adherence to initial or revised schedules. The PM shall be a liaison between Owner, Design-Build Contractor, other agencies, and other non-owner utility companies to insure effective and timely communications, as well as resolution of construction questions and problems. The PM shall skillfully investigate and resolve Notice of Potential Claims at early stages and not wait until the end of the project to the mutual satisfaction of all parties. The PM shall provide schedule review and analysis and claims resolution. Coordinate the preparation of revised construction schedules as required. Recommend the proper course of action if schedule slips or work is unsatisfactory. Monitor milestone tasks on the project and identify schedule floats. Ensure that float in project schedule will be owned by the City. The PM shall ensure change orders are managed in accordance with City policy. Work with the DB project team to define change order scope, costs, and project impact. Perform cost-benefit analyses, and provide valid justifications for change orders. Document and coordinate the implementation of change orders. The PM shall be informed of and comply with all applicable laws, regulations, policies, standards and guidelines affecting the DB project.

The PM shall adhere to and remain abreast of current, new and revised laws, regulations, policies, standards and guidelines affecting the DB project execution and shall obtain at PM’s expenses, all licenses, insurance, training and updates necessary to the performance of the PM’s obligations under this Agreement. The PM shall monitor Contractor’s operations to ensure compliance. The PM shall provide review of the Contractor’s Budget. The PM shall interface with MUD Division stakeholders as needed. The PM shall provide Environmental and Permit Compliance Monitoring. The PM shall coordinate all project commissioning and closeout procedures.
