Local Students Participate in Youth Tour to Washington, D.C. The 2019 Electric Cooperative Youth Tour is happening this month! Collec- tively, North Carolina’s 26 electric cooperatives are sending 47 high-school students to Washington, D.C., where they will join more than 1,800 students from across the country for an immersive, week-long tour. Rutherford EMC has chosen three students to represent our cooperative on the June 15-21 tour, which will give them the chance to participate in leadership training, meet with elected officials, network with their peers and explore Washington, D.C. Macy McDaniel, a student at R-S Central High School, will be representing Rutherford EMC’s Rutherford-Polk District, while Allison Roper, a student at Burke Middle College High School, will represent the Burke-McDowell Dis- trict and William D’Amore, a student at Gaston Day School, will represent the cooperative’s Lincoln-Gaston District. Rutherford EMC is proud to have this outstanding group of student delegates representing us this year on an educational trip they will remember for a lifetime. In addition to receiving an all-expense paid trip to our nation’s capital, Youth Tour delegates are also eligible to apply for several college scholar- ships and the opportunity to represent North Carolina on the Youth Leader- ship Council, which is a national cooperative program that seeks to develop strong leadership, presentation and advocacy skills in America’s most prom- ising young leaders. Rutherford EMC has awarded Touchstone Energy Sports Camp scholarships that will send three local middle school students to basketball camps this month at the University of North Carolina in Chapel Hill and N.C. State Uni-versity in Raleigh.

Summary of Annual Meeting Bylaw Provisions(Article II, Sections 1, and 3-6; Article III, Sections 1-6)

Annual Meeting & Notice To Members An annual meeting of the members shall be held on the last Saturday in October of each year, for the purpose of electing directors, passing upon reports for the previous year, and transacting other business. Written notice of such meeting must be made to the members not less than 10 days prior to the meeting.

Quorum Attendance in person or by proxy of at least one percent of the total members is required for transaction of business. If less than a quorum is present, a majority of those present in person may adjourn the meeting to another time and date not less than 20 days later.

Directors The business and affairs of the Corporation shall be managed by a board of ten directors who shall exercise all of the powers of the Corporation except such as are by law or otherwise conferred or reserved to the members. The Board of Directors shall have all powers granted to it in N.C. General Statute §117-14 and other statutes.

Qualifications of Directors Directors are elected for three-year staggered terms. Any person serving on the Board, or nominated for the Board, must meet certain qualifications: must be a member and receiving electric service from REMC; must not be in any way employed by or financially interested in a competing enterprise or a business competing with REMC or its subsidiaries. When a membership is held jointly by a husband and wife, either one, but not both concurrently, may be elected a director, but both must meet the qualifications.

Composition of Board of Directors Directors shall be so nominated and elected that the Board shall be comprised of the following seats:

Nominations Nominations for the Board of Directors shall be made by a committee on nominations appointed by the Board. The Committee on Nominations shall consist of not less than 7 nor more than 12 persons who are members, but are not directors or close relatives of directors, and who shall be selected from the different sections served by the Corporation so as to insure equitable representation. The Committee on Nominations shall prepare and post at the principal office of the Corporation at least 40 days before the meeting a list of nominations by Directorate District. In addition, directors may be nominated by petition by using the form prescribed by the Board of Directors with each nominee having a separate petition. The nominee must meet the qualifications to be a director as outlined above. The petition must be signed by no fewer than one percent (1%) of the total members of the Corporation as of January 31 of such year and all members signing the petition must be residents of the Directorate District for which the nomination is sought. Each signature must be dated on the date it is actually signed and must not be dated more than 190 days before the date of the meeting. The petition must be received by the Corporation not less than 50 days before the meeting. A list of the nominations shall be mailed to the members at least 30 days prior to the meeting.

Voting Each member shall have only one vote, regardless of the number of meters where service is provided. All questions shall be decided by a vote of a majority of the members voting thereon in person, or by proxy, except as otherwise provided by law, The Articles of Incorporation, or the Bylaws. At each annual meeting of members, directors shall be elected in any proper manner including by voice vote or showing hands, except for elections with competing nominees which shall require an election by secret ballot. Directors, unless the members determine otherwise in advance, shall be elected by plurality vote of the members. When voting is by secret ballot, a Board of Elections, consisting of not less than 3 members, is appointed by the presiding chairman. The Board of Elections shall supervise the counting of the votes, rule on the regularity of any ballot in question, and certify the winner or winners to the chairman.

Proxies Members may vote by proxy, but only if the proxy is registered during business hours at the Corporate Office on or before the third business day preceding the date of the member meeting, is executed by the member in writing, designates only one holder who must be an adult relative living in the member’s own household or another member who is a natural person, specifies the particular meeting at which it is to be voted, and is dated not more than 90 days prior to the meeting date. No member may vote for more than one other member, unless the matter to be voted upon requires the affirmative votes of a clear majority of the Corporation’s members. When a member is absent and the member’s spouse attends a meeting, such spouse shall be deemed to hold, and may vote the proxy of such member to the extent that the member could vote if present in person. Presence in person of a member revokes any proxy previously executed.

Tips for Maintaining an Efficient HVAC System

Ah, summer. Cookouts, swimming pools, camping––it’s the perfect time to enjoy the outdoors with family and friends. And when it’s time to come back indoors, there’s nothing better than that cool blast you feel from your home’s air conditioning unit.

Your heating, ventilating and air conditioning (HVAC) system is essential to keeping your home comfortable during summer months, and if it breaks down, it’s also the most expensive equipment to repair or replace. Luckily, there are simple steps you can take to lengthen the life of your HVAC system.

Change or clean filters. Dirty filters block airflow, which can greatly decrease the efficiency of your

system. The Department of Energy recommends changing or cleaning filters every month or two during the cooling season. If your unit is in constant use or is subjected to dusty conditions or pet hair, consider checking filters more frequently.

Clean the HVAC unit. Outdoor condenser coils can become clogged with pol-len, dirt and small debris. Use a hose to spray the HVAC unit once each season

to ensure maximum airflow. (Warning: Turn off power to the unit and do not use a pressure washer, as it can damage the equipment.)

Clear space around the HVAC unit. Dryer vents, falling leaves and grass left behind from the lawnmower can create buildup. Remove any debris around the HVAC unit. If you have foliage near the unit, trim it back at least 2 ft. around the condenser to increase airflow.

If you want to evaluate the efficiency of your HVAC system, follow the steps in the graphic shown below, you should also have your HVAC system periodi-cally inspected by a licensed professional. The frequency of inspections de-pends on the age of your unit. The Department of Energy recommends sched-uling tune-ups during the spring and fall, when contractors aren’t as busy.

When HVAC equipment fails, it’s inconvenient and uncomfortable––espe-cially during the dog days of summer. Remember, your HVAC system runs best when it’s regularly cleaned and serviced. With a little maintenance along the way, you can add years to your system’s lifespan.
