Salesanddeliveryterms

1. General/Area of applicationa) Oursalesanddeliverytermsareexclusivelyvalid.Wedonotacknowl-

edgecontrarytermsorconditionsdeviatingfromoursalesanddeliv-erytermsoftheorderer,unlessweagreedtotheirvalidityexplicitlyinwriting.Oursalesanddeliverytermsarealsovalidifweperform

delivery to the orderer without reservation with knowledge of contrary termsor conditionsdeviating fromour sales anddelivery

conditions.b) Allagreements thataremadebetweenusandtheorderer for the

performanceof thiscontractare toberecorded in thiscontract inwriting.

c) These sales and delivery conditions are exclusively valid for the businesstransactionsbetweencompanies.

2. Offer, conclusion of contract, written forma)Ourgeneral statements, specifically inprice lists andbrochures are

subjecttoconfirmationandnon-binding.b) Agreementsrequireourwrittenconfirmationtobecomelegallyvalid.

Onlyourorderconfirmationisdecisivefortheextentofthedelivery.Later supplements, modifications, or other additional agreements

requirewrittenconfirmationtobecomevalid.c) We reserve property rights and copyrights to the illustrations, calculationsandotherdocuments.Theymaynotbemadeaccessible

tothirdparties.d) The documents relating to the offer like illustrations, drawings, measurementandweightspecificationsareonlyapproximateunless

explicitlytermedbinding.

3.Pricesa) Insofarnodeviatingagreementsexistintheorderconfirmation,our

pricesareapplicable„exfactory“, including loading inthefactory,excluding packaging, freight, and transport insurance. These arebilledseparately.

b) The legal value added tax is not included inourprices. It is listedseparatelyonthebillatthelegalamountonthedayofbilling.

4. Paymenta) Ourbillsaretobepaidwithin14daysafterinvoicedateminus2%

earlypaymentdiscount,orwithin30dayswithoutanydiscount.b) Iftheorderercomesunderdelayofpaymentwebillthelegalinterest

fordelayof8percentagepointsoverthebasic interestrateoftheEuropeanCentralBank.Ifweareabletoproveahigherinterestfordelay,weareauthorizedtoenforceit.

Theordererisauthorizedtoproveusthatwedidnothaveanyorasignificantlylowerdamageasaconsequenceofthepaymentdelay.

c) Rightsofretentionandoffsettingareonlyadmissiblefortheordererifhisopposingclaimshavebeenlegallydetermined,indisputable,oracknowledgedbyus.Wearenotobligedtoperformfurtherdeliver-iespriortothepaymentofdueinvoices,wealsoreservetherighttointerruptthemanufactureofpartsfromothercontractsoforderersunderdelayofpayment.

5. Delivery timea) Thebeginningof the stateddelivery time requires the clarification

ofalltechnicalquestionsaswellasthereceiptofapossiblyagreeddownpayment.

b) Iftheorderersetsusanadequategraceperiodwiththreatofdenialafterwehavealreadycomeunderdelay,he isauthorizedtowith-drawfromthecontractafterfruitlessexpirationofthisgraceperiod.Damagecompensationclaimsduetonon-fulfilmenttotheamountoftheforeseeabledamageareonlyadmissibletotheordererifthedelaywasbasedonintentionorgrossnegligence.Apartfromthatthedamagecompensationliabilityislimitedto50%oftheoccurreddamage.

c) The adherence of our delivery obligation requires the timely andproperfulfilmentoftheobligationsoftheorderer.

d) Iftheorderercomesunderdelayofacceptanceorifheviolatesotherobligationsofcontributionwehavetherighttodemandthedamageoccurredtousincludingpossibleadditionalexpenditures.Inthiscasetheriskofaccidentallossoranaccidentalworseningofthepurchaseobject is transferredtotheordererat thetimeatwhichhecomesunderdelayofacceptance.

6. Transfer of riska) Insofartheorderconfirmationdoesnotstateanythingelse,shipment

purchaseisagreedupon.Theriskistransferredtotheordererwiththedispatchofthedeliveryparts.Thisisalsovalidforpartialdeliver-ies,alsoifthesupplierhasassumedotherserviceslikeforexampletheshippingcostsordeliveryandset-up.

b) Byrequestof theorderer theshipment is insuredagainstburglary,damagebybreakage,transport,fire,andwaterdamageandotherinsurablerisks.

7. Retention of titlea) We reserve the property rights and the right of disposal to the purchase object up to the receipt of all payments from the deliv-

erycontractandpreviouslyconcludedcontracts.Chequeanddraft demandsaswellasdemandsfromMotorvoltageinvoicesorMotor

voltageaccountareincluded.Ifadraftliabilityforusisfoundedinassociationwiththepayment,thisretentionoftitledoesnotbecomevoidbeforeourutilizationfromthedraftisexcluded.

b) Priortothefullbalanceofourpreviouslystateddemandstheorderermaycontinuetousethedeliveredproducts intheframeworkofaproperbusinessoperation,unlessanassignmentprohibitionwasorisagreeduponfortheclaimsassignedtousinadvanceinlit.f)withthirdparties.Priortothatpledgingorassignmentassecurityispro-hibitedandresellingisonlyallowedtoresellersincommonbusinesstransactionunder the condition that the reseller receives paymentfromhiscustomerandforwardsittousimmediately.Possiblecostsofinterventionsarecarriedbytheorderer.

c) Incaseofpledging,confiscationorotherordersandinterferenceofthirdpartiestheordereristoinformusimmediately.

d) Iftheordererbehavesopposingtothecontract,specificallyincaseof delay of paymentwe are authorized to retrieve after payment

reminder,andtheordererisobligedtohandoutthegoods.e) The enforcement of the retention of title and the pledging of thedeliveryobjectbyusarenotregardedasawithdrawalfromthe

contract.f) The orderer already now assigns all demands amounting to the percentualamountofour invoice includingVATwithalladditional

rightstousthatarisetohimfromtheresellingtowardscustomersorthirdparties.ThisisalsovalidinthecasethattheordererceasesapurchasepricedemandheisentitledtobytheresellinginaMotorvoltageaccountagreedwiththecustomerorthirdparties.Weacceptthisassignment.

g) Incaseofassociationwithapropertyormobileobjectsofthirdpar-ties and theworkingor processing in the framework of a factorycontract, theordereralreadynowassignsthewagedemandand /ortheoccurringco-ownershippartamountingtoourpercentualin-voiceamountincludingVATfortheprocessedgoodsunderretentionoftitletous.Weaccepttheassignment.

h) TheordererisherebyauthorizedtocollecttheMountedontopassigned demandsintheframeworkoftheproperbusinesstransactionhim-

self, insofarheforwardsthe incomingamountstous immediately.Theallowancetocollecttheassigneddemandsbecomesvoidwithdelayofpayment,initiationofinsolvencyproceedingsorachequeordraftobjection.

i) Iftherealizedvalueofthesecurityexistingforusexceedsourclaimsbymore than 10%alone because of this regulation for retentionoftitleortogetherwithothersecurities,weareobligedtoreleasesecuritiesofourchoiceinsofarastheordererdemandsthis.

j) Weareauthorizedtoinsurethepurchasedobjectagainstburglary,fire,water,andotherdamagesoncostsoftheorderer, insofartheordererhasnotbyprooftakenoutinsurancehimself.

k) Theapplicationfortheinitiationofinsolvencyproceedingsauthoriz-esustowithdrawfromthecontractandtodemandtheimmediatereturnofthede-liveryobject.

8. Liability for defects of the delivery (warranty) Weareliableasfollowsformaterialandlegaldefectsofthedelivery

underexclusionoffurtherclaimsunderreservationofitem9:

Material defectsa) Alldefectsthatcomeabouttobedefectiveduetoacircumstance

prior to the transferof risk are tobe improvedordeliveredagainbyourchoice.Wearetobeinformedofthedeterminationofsuchdefectsimmediatelyinwriting.Replacedpartsbecomeourproperty.

b) Theordereristogiveusthetimeandopportunityafterinformationtoperformall improvementsandsupplementarydeliverieswefindnecessary,otherwisewearereleasedfromtheliabilityoftheresult-ingconsequences.Onlyinurgentcasesofdangeroftheoperationalsafety and thepreventionofunrelationally largedamages,where-aswearetobeinformedimmediately,theordererhastherighttoeliminatethedefecthimselforthroughthirdparties,andtodemandcompensationforthenecessaryexpenditures.

c) Fromtheimmediatecostsaccruingthroughtheimprovementreps.supplementary delivery we carry the costs of the supplementarypieceincludingshippingfreeborder–insofarthedefectclaimprovestobeadmissible–aswellastheadequatecostsfor instalmentandremoval,furtherwithinGermany,incasethiscanbeadequatelyde-mandeddependingonthesituationofthesinglecase,thecostsofthe possibly required assemblymen and auxiliary personnel. Apartfromthattheorderercarriesthecosts.Replacedpartsaretransferredintoourproperty.

d) Themanufacturerisauthorizedtowithdrawfromthecontractintheframeworkofthelegalregulationsifwe–underconsiderationofthelegalregulationsforexceptions–letanadequategraceperiodfortheimprovementorreplacementdeliverydueamaterialdamageexpirefruitlessly. If thedefect isonly insignificant, theordereronlyhastherighttoreducethecontractprice.Therightofreductionofthecontractpriceremainsexcludedotherwise.

e) Nowarranty is assumed specifically in the following cases: Inade-quateor improperusage, faultyassembly resp. startupby theor-derer or third parties, naturalwear, faulty or negligent treatment,improper maintenance, inadequate operating agents, chemical,

electro chemical or electrical influences, insofar they are not our responsibility.f) Iftheordererorathirdpartyimprovesimproperly,noliabilityisgiven

onpartoftheordererfortheresultingconsequences.Thesameisvalidforchangesonthedeliveryobjectwithoutpriorconsentoftheorderer.

g) Ifpartsormaterialforprocessingorassupplementtotheprocessingof anorder aredeliveredby theorderer, no receipt inspection fornon-apparentfaultsisconductedifnototherwiseagreed.

Legal faults:h) If the usage of the delivery object leads to the violation of trade protection rightsor copyrights,wewill procure thebasic right for

furtherusageoncostoftheordererormodifythedeliveryobjectinawayacceptablefortheorderersothattheviolationofthetrademarkprotectionrightnolongerexists.

i) Ifthisisnotpossibleundercommerciallyadequateconditionsinanadequateterm,theorderer isallowedtoresignfromthecontract.Weareal-soallowedtoresignfromthecontractunderthepreviouslystatedconditions.

j) Beyond that we will release the orderer from indisputable or le-gallydeterminedclaimsof the involved trademarkprotection right

owners.k) Ourobligationsstatedinlit.h)areconclusivewithreservationofthe

item9inthecaseoftrademarkprotectionandcopyrightviolation. Theyareonlyexistentif

- theordererinformsusimmediatelyofenforcedtrademarkprotec-tionorcopyrightviolations,

- theorderersupportsusinthedefenceofenforcedclaimstoanad-equateextentrespectivelyenablesustoconductthemodificationmeasuresaccordingtolit.i).

- all defence measures including settlement regulations remain reserved,-thelegaldefectisnotbasedonaninstructionoftheordererand- the legal violationwasnot causedby theorderermodifying thedeliveryobjectbyhimselforusedit inamannercontrarytothecontract.

9. Liabilitya) Ifmaterialdeliveredbytheordererbecomesdamagedorunusableat

ourlocation,specificallyintheworking/processingorrepair,weareonlyliableifthedamagewascausedbygrossnegligence,howeveronlytoanamountof10%oftheprocessingvalue,insofarunlimitedliabilityisnotlegallyrequired.

b) If thedeliveryobjectcannotbeusedaccording tocontractbyourfaultduetoneglectorfaultyexecutionofsuggestionsandconsultingpriortooraftertheconclusionofthecontractorbytheviolationofother contractual additional obligations – especially instruction foroperationandmaintenanceofthedeliveryobject–theregulationsofitem8)and9a)arevalidforfurtherclaimsoftheorderer.

c) Fordamagesthatdidnotoccuronthedeliveryobjectitselfweareforlegalreasonsonlyliablefor

- intention - grossnegligenceoftheowner,theorgans,ormanagingemployees, - incaseofculpableviolationoflife,body,health, - incaseofdefectsthatwehavemaliciouslyconcealedorwhose

absencewehaveguaranteed, - in case of faults of the delivery object, insofar liability is given according to the product liability law for persons or material damageonprivatelyusedobjects.d) Incaseofculpableviolationofessentialcontractobligationsweare

alsoliableforgrossnegligenceofnon-managingemployeesorslightnegligence,inthelattercaselimitedtothecontracttypical,reasona-blyforeseeabledamage.

e) Furtherclaimsareexcluded.

10. Our damage compensation claim in case of non-fulfilment of the orderer

weareauthorizedtodemanddamagecompensationduetonon-ful-filment.Theminimumdamagetobecompensatedisalumpsumof15%onfittingsandonotherdevices10%ofthepurchaseprice.Thedamageamountistobeincreasedordecreasedifweproveahigherortheordererprovesalowerdamage.

11. Statute of limitations Allclaimsoftheorderer–forwhateverlegalreasons–comeunder

thestatuteoflimitationsin12months.Thelegaltermsareapplicabletointentionalormaliciousbehaviourincaseofclaimsaccordingtotheproductliabilitylaw.

12. Other regulationsa) Thecontractremainsbindinginitsotherregulationsevenincaseof

legalinvalidityofsingleclauses.Thisisnotapplicableifthemainte-nanceofthecon-tractwouldposetobeanunreasonablehardshipforoneparty.

b) Shouldaregulationbeorbecomevoidinwholeorpart,thecontractpartnerswillpromptlymakeeffort toachieve thecommercial suc-cessstrivedforwiththevoidregulationbyanotherlegallyadmissible

manner.c) The court responsible for our company is the place of jurisdiction

foralldisputesarisingfromthecontractualrelationship.Wearealsoauthorizedtofilelawsuitatthelocationoftheorderer.

d) German law for the legal relationships of national parties amongeachotherisexclusivelyapplicableforalllegalrelationshipsbetweentheordererandus.TheapplicationoftheuniformUNconventionontheinternationalsaleofgoodsorotherconventionsconcerningtherightofgoodspurchaseisexcluded.
