1. Evaluate the Clients needs and timing.
2. Evaluate or assist in writing the clients business plan
3. Prepare a preliminary valuation analysis of clients company todetermine possible valuation range.
4. Assist client in developing a contingency plan.
5. Prepare Information Memorandum for distribution to potentialinvestors.
6. Identify list of potential investors/Partner.
7. Develop a compelling argument for clients growth strategy,management team and upside potential.
8. Liaison with potential investor/Partner and provide additionalinformation as required.
9. Arrange meeting between potential investor/Partner andclient.
10. Assist client in preparation of presentation to potentialinvestor/Partner.

11. Review investment proposals received and suggest counterproposals and negotiation strategy.
12. Refine proposed summary of terms to include any issuesomitted by investors.
13. When all investment proposals has been received, determinethe most favorable and begin negotiations with investors tomaximize value and benefit to the client.
14. Select final investors/partner and consolidate their variousproposals into a single acceptable offer.
15. Assist client in preparing for and responding to due diligencequestions.
16. Review documents with clients lawyers and negotiate “boilerplate” issues in the first draft of documents.
17. Coordinate with clients lawyer to ensure that all documentationis correct.
18. Assist client in last minute negotiation and closing process.
19. Assist client by undertaking research and providing advice andassistance on any issue raised during the old process.
