FOR ABORIGINAL HEALTH for 2015-2016 1.0 INFORMATION AND INSTRUCTIONS

1.1 PURPOSE

The University of Northern British Columbia, hereinafter referred to as the “University” or “UNBC” and the Northern Collaborating Centre for Aboriginal Health, hereinafter referred to as the “NCCAH” are in the final stages of selecting a contractor to Develop and Implement an Evaluation of the NCCAH for fiscal year 2015-2016. The resulting contract will be with the University. Through this Request for Proposal, the University and NCCAH seek to:

1.1.1 specify the terms and conditions that would govern any resulting contract;

and 1.1.2 through evaluations by the University and NCCAH Committee, select a

contractor or company who can fulfil the requirements as specified herein. This Request for Proposal states the instructions for submitting proposals, and the procedure and criteria by which a contractor or company will be selected. The lowest or any proposal will not necessarily be accepted. The University reserves the right to cancel this RFP process at any time.

1.2 DEFINITIONS

Hereinafter, each firm receiving this Request for Proposal is referred to as a “proponent”, and a proponent’s proposal in response to the Request for Proposal is referred to as a “proposal” and the successful proponent to whom the tender is awarded is referred to as the “contractor”.

1.4 KEY DATES

Listed below are the important events and the target dates and times by which the events are expected to be completed unless stated as must be completed elsewhere in this document:

1.5 CLOSING DATE AND TIME

Proposals, signed by either the proponent’s authorized representative, must be received by the Issuing Office, not later than 2:00 PM (1400 Hours) Pacific Time, June 25, 2015.

The University will not accept submissions of any Proposals after the closing date and time. Any submissions received after the closing date and time shall be considered disqualified and will remain unopened. Under no circumstances, regardless of weather conditions, transportation delays, or any other situation, will late submissions be accepted.

1.6 PROPOSAL SUBMISSION AND FORMAT

THE SIGNATURE PAGE, SCHEDULE II MUST BE SIGNED.

NO PAPER OR FAXED PROPOSALS WILL BE ACCEPTED

The Proponent’s proposal must be submitted to the Issuing Office on or before the closing date and time electronically to [email protected] with the subject: RFP15-1529. All information must be received prior to the closing date and time. The University accepts no responsibility for non-receipt and/or delays in receipt caused by transmission and reception problems, equipment failure, or any other similar cause. Vendors may not make modifications to their Proposals after the closing date and time except as may be allowed by the University.

Amendments to a Request for Proposal will be accepted by e-mail provided that the amendment amount is shown and not the total offer. Amendments must be received in writing prior to the Closing Time to be considered as part of the Proponent's proposal.

SECTIONS 1.0, 2.0, and 3.0, Part I, SCHEDULES I, II(A), II(B), III, IV, V, addenda, specifications, terms and conditions, and any attachments hereto shall become part of any contract entered into between the successful firm and the University of Northern British Columbia. Proposals will be opened immediately after the Closing Time at the office of the Purchasing Department, University of Northern British Columbia, Room 1085, 3333 University Way, Prince George, BC V2N 4Z9. Contractors are invited to attend the Proposal Opening. Only the names of the proponents submitting a proposal will be disclosed by the University of Northern British Columbia and only at this time.

The University may reproduce any of the proponent’s Proposal and supporting documents for internal use or for any other purpose required by law. The University will not be obligated in any way by any proponent’s Proposal. The University will not return any of the proponent’s Proposal and supporting documents to the contractor.

1.7 PROPOSAL COSTS

The proponent has the sole responsibility for any costs associated with preparing and submitting its Proposal in response to this Request for Proposal.

In no event will the University be responsible for the costs of preparation or submission of any Proposal.

1.8 IRREVOCABLE OFFER

The University reserves the right to accept the Proposal which it deems most advantageous, and the right to reject any or all Proposals if at its sole discretion and after appropriate investigation and evaluation, that:

a. the Proposal must be cancelled due to financing problems or changing economic circumstances

b. information becomes available after Proposal closing which significantly changes the scope or extent of the project

c. the proposal, or any of the proposal, exceed the projected spending approval

The University will not be liable under any contract in connection with this Request for Proposal, or the submission of Proposals, unless and until the University has accepted one Proposal and a written contract has been signed.

Proposals are to be open for University acceptance for 90 days from date of submission.

1.9 INQUIRIES AND CHANGES

Any inquiries regarding the selection process and the terms of the Request for

Proposal MUST be e-mailed by the end of June 15, 2015 to: [email protected] subject: RFP15-1529

The University accepts no responsibility for non-receipt and/or delays in receipt caused by late delivery due to reception problems, equipment failure, or any other similar causes. All questions and the answers from the University of Northern British Columbia will be issued in written form and issued as an addendum. Any Addenda shall be considered as part of the Proposal Documents. All Addendums will be posted on the UNBC Purchasing website listed as “Active Tenders & RFP’s”. In the event the University’s server is not available, or for any other situation the University deems reasonable, then the addendums will be faxed to all parties registered as having returned the Receipt Confirmation form and/or submitted an inquiry on time.

Any proponent who does not submit the RECEIPT CONFIRMATION may not

be sent any amendments or addenda.

It is the responsibility of each proponent to inquire about and clarify any requirements of this Request for Proposal which are not understood.

The University of Northern British Columbia shall not be responsible for, and the contractor shall not rely upon, any instructions or information given to any proponent other than in writing in accordance with the requirements of the Request for Proposal.

The RFP is not to be discussed with any other University of Northern British Columbia or NCCAH employee, representative, or agent except at the direction of the Purchasing Agent. Failure to do so could result in the rejection of your proposal.

Proponents must satisfy themselves in all respects as to the risks and obligations to be undertaken by them.

The University may, at any time, make and stipulate changes to this Request for Proposal. The University may provide additional information, clarification or modification by written addenda. All addenda shall be incorporated into and become part of the Request for Proposal. The University shall not be bound by oral or other informal explanations or clarifications not contained in written addenda.

1.10 SELECTION PROCESS

Because the University bases any decision to award a contract on the Proposals submitted, contractors should include all requirements, terms or conditions it may have in their proposal, and should not assume that any opportunity will exist to add such matters after the Proposal is submitted.

If the University determines, in its sole discretion, that one proponent is clearly more qualified than the others under consideration, it may decide to award a contract directly to that proponent.

The University reserves the right, at its sole discretion, to negotiate with any proponent as it sees fit, or with another proponent or proponents concurrently. Once a short list is established in no event will the University be required to offer any modified terms to any other proponent. The University shall incur no liability to any other proponent as a result of such negotiations or modifications.

Evaluation of proposals will be by a committee established by the University and NCCAH.

1.11 BASIS OF SELECTION

The University and NCCAH will not be limited as to its criteria for evaluation of Proposals. The University and NCCAH may take into account criteria and considerations as they relate to this contract and are deemed to be of value. These may include but are not limited to:

1.11.1 Any features or advantages which are unique to the proponent’s proposal

which the University has not listed in Part I. 1.11.2 The proponent’s relevant experience, qualifications and success in

providing services of the type described in Part I, with a demonstrated understanding of and experience engaging researchers and working with Aboriginal peoples.

1.11.3 The quality of the Proposal, specifically: Proposals shall be prepared in a

straight forward manner, and shall describe the proponent’s offering(s) in a format that is reasonably consistent, comprehensible, and appropriate to the purpose.

1.11.4 The contractual terms proposed by the proponent which would govern any

contractual relationship with the University. 1.11.5 The proponent’s references and examples of previous relevant work in

providing feedback. 1.11.6 Organizational capacity to do both develop and implement a process and impact evaluation requiring multiple methodologies across many jurisdictions in Canada.

1.11.7 Ability to engage researchers, policy-makers, practitioners, and First Nations, Inuit, and Metis communities and other stakeholders across many jurisdictions in Canada.

1.11.8 Evidence of good organization, management, environmental and social

responsibility

1.12 CONTRACTUAL OBLIGATION

Mandatory Contractual Provisions (Mandatory Provisions) and Preferred Contractual Provisions (Preferred Provisions) that will govern any subsequent contract issue are outlined in this Request for Proposal. The proponent’s Proposal is automatically deemed to include the proponent’s agreement to the Mandatory Provisions and the Preferred Provisions unless the proponent expressly and specifically provides otherwise in its Proposal. Mandatory Provisions are listed in Section 2.0. The proponent may not modify any Mandatory Provisions in its Proposal. If the proponent has any Mandatory Provision or wished to incorporate or use any proponent standard terms and conditions, the proponent shall append such materials to its Proposal and indicate thereon such Mandatory Provisions. The proponent’s Mandatory Provisions will also be considered as part of the selection process. Preferred Contractual Provisions are listed in Section 3.0. The proponent may propose alternate language, but are requested to limit their changes to those of a substantive nature. Except to the extent that changes are made in the proponent’s Proposal, these provisions shall be deemed to be incorporated in the proponent’s Proposal.

1.13 CONTRACT PROVISIONS BY REFERENCE

The University’s and NCCAH’s acceptance of the proponent’s Proposal will be by issuance of a Contract between the University and such proponent containing all specifications, terms and conditions in the Proposal except as amended in the Contract. Any exceptions taken by the proponent which are not included in the contract will not form part of the contract.

In the event of a conflict between the terms and conditions of the Request for Proposal and information submitted by the proponent, the terms and conditions of this Request for Proposal and the Contract will govern.

1.14 CONFIDENTIALITY

The proponent acknowledges that the University is a public body subject to the Freedom of Information and Protection of Privacy Act (the Act). The proponent shall review the Act and determine the categories of records which are excepted from disclosure under the Act. The proponent shall clearly mark “Confidential” all information regarding the items and conditions, financial and/or technical aspects of

the proponent’s Proposal, which in the proponent’s opinion are of a proprietary or confidential nature at the relevant item or page.

If the University receives a request for information under the Act which includes information provided by the proponent, the University will give the proponent notice of such request and the proponent will respond to such notice within 20 days or less. If the proponent does not respond to the notice from the University, the University will proceed to process the request for information. The University shall use all reasonable efforts to hold all information marked “Confidential” by the proponent in strict confidence but shall not be liable for any inadvertent disclosure.

If the University’s response to a request under the Act is appealed to the Office of the Information and Privacy Commissioner, the proponent shall have the burden of proof per section 57 (3) of the Act. The proponent shall be responsible for all costs related to its confidentiality requirements.

If the University declares and marks certain information about the University to be received by the proponent as “Confidential”, the proponent must not disclose such “Confidential” information to any third parties unless authorized to do so in writing by the University.

The proponent and the University agree that the reciprocal obligations of confidentiality will survive the termination of any contract that might arise between the parties.

1.15 FORCE MAJEURE The University shall not be liable for any damage, breach of contract, or breach of

covenant contained in this RFP, due to causes beyond the control of the University, and in particular, (but not so as to restrict the generality of the foregoing) it shall not be liable for damages or breach caused by act of God, acts of military or civil authorities, war, riot or civil disobedience, fire, explosion, strikes, lock outs or other labour unrest, including picketing. The University shall not, in any event, under any circumstances whatever, be liable for consequential damage or special damages to any person arising be reason of any of the aforesaid matters.

It is further expressly agreed by the parties that should legislation and/or budgetary

direction by the Ministry of Finance or other duly constituted governmental authority or granting agency adversely affect either party to this RFP so as to frustrate the intent of this RFP, or any part thereof then this RFP may, at the option of the University, be at an end and void.

In any event, should the University be of the opinion that this RFP cannot continue

due to circumstances beyond its control and jurisdiction, it shall thereupon be, at the option of the University, terminated and at an end and no action of any sort shall be taken against the University as a result thereof.

1.16 SAMPLES

Where required by the specifications, submission of samples shall be labelled with the Proposal name and number, proponent's name, and any other identifying information.

Samples, when requested by the specifications and/or in the evaluation phase or negotiation phase with the University of Northern British Columbia, shall be made available free of charge unless otherwise agreed upon by the University of Northern British Columbia. Please contact the Purchasing Agent if you have any concerns.

Samples may be returned, at the discretion of the Purchasing Agent and if so, will be returned collect to the Proponent's address.

2.0 MANDATORY CONTRACTUAL PROVISIONS

The following terms and conditions are mandatory and shall be deemed to be incorporated.

2.1 THE UNIVERSITY’S AUTHORIZED REPRESENTATIVES

It is hereby declared and agreed by the proponent that all Proposals submitted to the University by the proponent have been prepared on the basis of its own knowledge of the nature of the work to be performed as well as general and local conditions and all other such matters which can affect the proponent’s performance under any contract between the parties that might result from the proponent’s Proposal.

The proponent further agrees that it does not rely upon any information given or statements made by representatives of the University or NCCAH with regard to the contractor’s Proposal or work to be performed.

2.2 AMENDMENTS

No amendment of a contract resulting from this proposal process shall be effective unless it is reduced to writing and executed by the University’s Research Contract Coordinator and by the individual signing the contractor’s Proposal or another individual named by the contractor.

2.3 NOTICES If to the University:

All notices provided hereunder shall be given in writing and delivered in person, by facsimile, or by registered or certified mail, return receipt requested addressed as follows:

University of Northern British Columbia 3333 University Way Prince George, BC V2N 4Z9 Fax No. (250) 960-5507 If to the Contractor: The person signing the contractor’s Proposal in response to the University’s Request for Proposal, at the contractor’s address indicated in such Proposal; or to such other person or address as either may designate for itself in writing and provide to the other. Notice shall be deemed given when delivered the third business day following the day such notice is deposited in the mail, or upon facsimile transmission. In the event of any interruption in the ordinary postal service, any such notice shall be delivered or sent by facsimile transmission or courier and not mailed.

2.4 INSURANCE

Proof of insurance must be presented at the time the contract is awarded.

The proponent warrants and represents that it has the following insurance coverage:

2.4.1 GENERAL LIABILITY INSURANCE

General Liability Insurance with a limit of not less than $2,000,000.

inclusive per occurrence for bodily injury, (including death) and damage to property including loss of use thereof. Such insurance shall include coverage for broad from property damage, contractual liability, completed operations and product liability. The University of Northern British Columbia shall be named as an additional insured on the policy, but only with respect to the operations of the contractor in the performance of this contract.

2.5 WORKERS’ COMPENSATION

The proponent with whom the University wishes to contract warrants and represents that it shall comply with the relevant Workers’ Compensation Board requirements. If eligible for Workers Compensation Insurance, this Consultant shall maintain Workers Compensation coverage and shall at all times pay or cause to be paid any assessment or contribution required to be paid pursuant to the Workers’ Compensation Act. Said coverage shall fully cover all employees, employers, partners, proprietors, officers and directors of Consultant and Sub-contractors involved in any aspects of The Work at the Place of Work. Prior to Commencement Date, Date of Substantial Performance, the issuance of the final payment and at any other time during the Contract, the Client may request the Consultant and Sub-Contractors to provide evidence that all required assessments and contributions have been paid. If the Consultant and/or Sub-contractors fail to do so the Owner may deduct the amount of assessment or contribution from any payment due or to become due to Consultant and/or Sub-contractor(s).

If the proponent’s business does NOT qualify for Workers Compensation Board Coverage, the proponent would then be required to have Personal Protection Insurance. Upon award, proponents who have been denied WCB coverage will be required to provide to the University a copy of such notification of denial from WorkSafe BC as well as proof of Personal Protection Insurance.

2.6 GOVERNING LAW

Any contract resulting from this request for proposal shall be governed by and interpreted in accordance with the laws of the Province of British Columbia.

2.7 ASSIGNMENT

Any agreement, rights and/or obligations made as a result of this Request for Proposal may not be assigned or transferred by either party to such agreement without the prior written approval of the University.

2.8 STANDARD CARE OF CONTRACTOR

2.8.1 The Contractor shall perform its duties as outlined in this Agreement with all

due care and diligence and shall use its best efforts to ensure that all its employees and Sub-contractors perform their duties with all due care and diligence.

2.8.2 The Contractor shall perform all services as expeditiously as is consistent

with professional skill and care with the orderly progress of the Project.

2.8.3 The Contractor will communicate directly with the NCCAH Research Manager, or her designate, regarding performance of the services.

2.8.4 The Contractor will be required to sign the Standard Services Contract

between the University and Contractor. 2.8.5 The Contractor will be an independent contractor and not the servant,

employee or agent of the University.

2.8.6 The Contractor will not, without the prior written consent of the University, subcontract any obligation of the Contractor under this Agreement. The University reserves the right to approve the Contractor’s subcontractors that will participate in research involving human subjects (if any).

2.8.7 The Contractor will not, in any manner whatsoever, commit or purport to commit the University to the payment of any money to any person, firm or corporation.

2.8.8. The University and/or NCCAH may, from time to time, give such instructions to the Contractor as it considers necessary in connection with the provision of the Services but the Contractor will not be subject to the control of the University and NCCAH in respect of the manner in which such instructions are carried out.

2.8.9. Time is of the essence in any contract resulting from this proposal. The

University of Northern British Columbia reserves the right to invoke all available remedies for non-performance.

2.9 TERMINATION

Either party may at any time for any reason terminate this Agreement upon delivery of thirty (30) days written notice to the other. If such option is exercised the University will be under no further obligation to the Contractor except to pay the Contractor such fees and expenses as the Contractor may be entitled to receive, pursuant to Schedule III attached hereto, for Services provided and expenses incurred to the effective date of termination.

This Agreement may be terminated by the University on immediate notice to the

Contractor if the Contractor defaults in the performance or observance of any term or condition of this Agreement or persistently or repeatedly defaults in the performance or observance of any term or condition of this Agreement, and in each case such default remains unremedied for a period of TWELVE (12) days after notice from the University, or in the case of a default which cannot reasonably be remedied within such period, the Contractor fails to take immediate, and diligently carry out, steps to remedy such default in accordance with instructions of the University.

2.10 REJECTED WORK Defective work, whether the result of poor workmanship, use of defective products, or damage through carelessness or other act or omission of the successful contractor and whether incorporated in the Work or not, which has been rejected by UNBC and NCCAH as failing to conform to the Contract Documents shall be removed promptly by the Contractor and replaced or re-executed promptly in accordance with the Contract Documents at the Contractor's expense.

2.11 RECORDS

In connection with the provision of the Services the Contractor will:

(a) establish and maintain time records;

(b) establish and maintain books of account of all expenses incurred and refunds and remission obtained;

(c) maintain invoices, receipts and vouchers for the expenses, refunds and remissions referred to in paragraph (b) above; and

(d) provide the University or NCCAH with free access at all reasonable times to all such records, books of account, invoices, receipts and vouchers for the purposes of audit and inspection. For such purposes, the University or NCCAH may make copies thereof, take extracts there from and the Contractor shall provide the University and NCCAH with all information as it may from time to time require.

(e) not, without the consent of the University, dispose of any such accounts, records, invoices, receipts and vouchers, but shall preserve and keep the same available for audit and inspection at any time.

2.12 COPYRIGHT

The University retains the rights and ownership in and to all Material produced as a result of this RFP. Copyright in the Material belongs exclusively to the University. For the purposes of this Agreement, Material shall include:

(a) all findings, data specifications, drawings, working papers, reports, documents and material whether complete or otherwise that have been produced, received or acquired, by the Proponent on behalf of the University, or provided by the University to the Proponent as a result of this RFP; and,

(b) any and all deliverables, research results and intellectual property developed as a result of this RFP including without limitation, databases, audiovisual and computer material or equivalent circuitry, biotechnology and engineering products, computer software, inventions and discoveries (collectively, the “Material”).

The Material produced by the Proponent or received or provided by the University to the Proponent as a result of this RFP and any other property provided by the University to the Proponent as a result of this RFP is the exclusive property of the University.

The Proponent shall secure all necessary assignments, licenses, photo releases, consent forms, copyright clearance for use of non-owned and non-self-authored Material and other like agreements (collectively, “Clearances”) to ensure the University’s unrestricted ownership and use of the Material for the purposes set out herein and will provide copies of all such Clearances to the University upon delivery of the related Material.

All wordmarks, trademarks, logos and identifications of the University of Northern British Columbia and the National Collaborating Centre for Aboriginal Health are controlled and protected by the University. Use of these logos, wordmarks, trademarks and identifications is restricted to the University unless written permission is obtained in advance.

The University will not be bound to use any of the Material produced as a result of this Agreement should it be deemed unsatisfactory by the University.

2.13 COSTS Proposals must be quoted with tax(es) (if applicable) shown separately. Each contractor shall provide prices for:

2.13.1 expenses that will be invoiced to the University,

2.13.2 The proponent shall clearly indicate any known possibility for unanticipated

charges to the University, other than the Proponent’s charges specified in its Proposal.

3.0 PREFERRED CONTRACTUAL PROVISIONS

3.1 MORAL RIGHTS The author of the Material produced as a result of this Agreement hereby waives, in

favour of the University, all moral rights as established under the Copyright Act, as amended from time to time, or at common law or otherwise, in and to the Material and confirm and acknowledge the vesting of the ownership and copyright of the Material in the University. The author further agrees not to institute legal proceedings against the University, or its servants, agents or employees with respect to these moral rights.

3.2 INDEMNITY

The Contractor shall indemnify the University for all damage suffered by it due to the negligent actions or wrongful acts of the Contractor, its employees, servants or agents. The Contractor shall indemnify and hold harmless the University, its Board of Governors, its employees, students, servants and agents from all claims, demands, losses, costs, damages, actions, suits, or proceedings initiated by third parties arising from the negligence of the Contractor, his employees, servants, or agents.

Please include in your submission a proposed payment plan should it be different than net 30 after receipt of invoice for completed work to the satisfaction of the University’s NCCAH Research Manager.

Objective Develop and implement an evaluation for the National Collaborating Centre for Aboriginal Health (NCCAH) for fiscal year 2015-2016. Purpose

Provide performance measurement data and analysis on the outputs, outcomes, and impacts of the Centre’s knowledge translation products, activities, and partnerships to support continuous program improvement and strategic decision-making. About the NCCAH

The National Collaborating Centre for Aboriginal Health (NCCAH) was established in 2005 with funding from the Public Health Agency of Canada. The NCCAH’s mandate is to improve public health systems and support health equity for First Nations, Inuit, and Métis peoples through knowledge translation and exchange. The NCCAH is one of six National Collaborating Centres (NCCs) located across the country. The NCCAH is unique as the only population-based NCC. Together, the NCCs promote and support evidence-informed decision-making in public health programs, policies and practice through activities in three key areas: 1) knowledge translation, 2) the identification of knowledge gaps and, 3) network development to facilitate knowledge exchange, mobilization, and implementation. The NCCAH has been hosted by the University of Northern British Columbia in Prince George, B.C. since its inception through the provision of two consecutive five-year term Contribution Agreements. The NCCAH has been evaluated on a yearly basis since 2006. Provide an overview of suggested primary and secondary data collection methods, include timelines and staff responsible. Primary data collection methods must include an online survey of target users. Previous online survey questions will be provided to the successful applicant. The NCCAH will collect and provide the successful applicant with the following data for analysis: web and social media analytics, incoming requests/feedback to the Centre (e.g. requests to partner, present at a conference or testimonials), dissemination tracker (e.g. requests for hard copies of NCCAH products), and citation data (academic citations of NCCAH resources).

Ethics As per article 2.5 of the Tri-Council Policy Statement for Ethical Conduct for Research Involving Humans, program evaluation activities and performance reviews used exclusively for assessment, management or improvement purposes do not constitute research and do not fall within the scope of Researc Ethic Board (REB) review. However, the NCCAH requires that target users or stakeholders participating in the evaluation be informed of the purpose of the evaluation and their rights including that:

The evaluation is exclusively for the purposes of program improvement

The evaluation will not be published or publically available

Participation is voluntary and participants can withdraw at any time

Personal information will be kept confidential. All data will be aggregated to ensure confidentiality and anonymity

No person beyond the evaluation team will have access to the data during the evaluation. Upon completion of the evaluation, the evaluation team will submit the aggregated, anonymized data to the NCCAH where it will be stored in a locked cabinet for approximately one year before it is destroyed

Provide an overview of suggested primary and secondary data collection methods, include timelines and staff responsible. Provide a demonstration, through reference to the proponent’s past experience, of the understanding of providing feedback on process and progress. Depicting which of the current employees contributed, provide examples of proponent’s previous relevant work to develop and implement a national-level evaluation using mixed methods. Provide a detailed budget of the cost of services as described in Part I Specifications and Scope of Work. For the successful Contractor, expenses will need to be approved in advance by the NCCAH Research Manager or her designate and supported by original receipts. All other expenses would be the responsibility of the Contractor and would not be reimbursed by the University. Note: The contractor may not, without written prior approval, subcontract any obligation of the Contractor under this Agreement, that has not already been identified in the proposal as a sub-contractor role and by a proposed sub-contractor. The contractor’s request for written prior approval for a sub-contractor(s) would need to be submitted well enough in advance for consideration and include, but not be limited to, a description of the services that would be provided and company information. The University reserves the right to reject the contractor’s sub-contractor. The contractor will require written approval from the University prior to each sub-contractor that will participate in research involving human subjects, if any, as part of the services for this project. No subcontract entered into by the Contractor will relieve the Contractor from any of its obligations under this Agreement or impose any obligation or liability upon the University to any such subcontractor.
