    BACKGROUND Marinette County is soliciting proposals to provide a maintenance service plan, from a single provider, to perform preventive, predictive and corrective maintenance services of HVAC equipment and systems at Marinette County Courthouse (Courthouse), 1926 Hall Ave, the Law Enforcement Center (LEC), 2161 University Drive, Health and Human Services (HHS), 2500 Hall Ave, and Stephenson Public Library (Library), 1700 Hall Ave.

    Notwithstanding any other provisions of the RFP, Marinette County reserves the right to reject any or all proposals, to waive any irregularity or informality in a proposal, and to accept or reject any item or a combination of items when doing so would be to the advantage of Marinette County or its taxpayers. It is further within the right of Marinette County to reject proposals that do not contain all elements and information requested in this document. Marinette County shall not be liable for any losses incurred by the vendor submitting the proposal. The cost of preparing a response to this RFP is not reimbursable in part or in whole. Any proposal received will become the property of Marinette County and a matter of public record. Any proprietary material or information should be marked and submitted as a supplement to the proposal to allow the County to protect the information as warranted. Contractors are encouraged to visit the facilities prior to submitting a proposal. Bidders may contact Marinette County Facilities Director via e-mail to [email protected] to schedule a site visit.

    All questions related to this RFP must be submitted electronically no later than 10:00 a.m., CDT, November 7, 2012, via e-mail to [email protected] Clearly mark the e-mail Questions for HVAC Equipment Maintenance. Phone call and faxed questions will not be accepted.

    Answers to questions will be posted in the form of an addendum on the Marinette County website at www.marinettecounty.com on November 14, 2012 by no later than 4:00 PM, CDT. It is the responsibility of all interested vendors to access the website for this information. Calls for assistance with the website can be made to (715) 732-7419.

    RFP DUE DATE AND DELIVERY ADDRESS DETAILS All Proposals are due by no later than 10:00 a.m. central time, November 21, 2012. It is the vendors responsibility to ensure their Proposal is received by the due date and time. There will be no exceptions regardless of the circumstance. Proposals shall be clearly labeled HVAC Equipment Maintenance and submitted to the location/address listed below. Proposals can be hand delivered or mailed. To facilitate evaluation of proposals, submit one clearly marked original along with six (6) sealed copies. The proposal shall be prepared with a straightforward, concise delineation of the vendors capabilities to satisfy the requirements of this RFP.     PROPOSAL FORMAT All Proposals must be typewritten on standard 8 x 11 paper (larger paper is permissible for charts and spreadsheets) separating each section. Please print on both sides/duplex the Proposal. One original along with six (6) hard copies is required. Proposals should be prepared in a simple, cost effective format providing a straightforward, concise description of the vendors capabilities to satisfy the requirements of the RFP. The use of elaborate materials and the inclusion of additional information that has no direct bearing on the project are not desired. Emphasis should be placed on accuracy, completeness, and clarity of content. All parts, pages, figures, and tables should be numbered and clearly labeled.

    RFP REQUIREMENTS AND SPECIFICATIONS The County has determined that the following details shall be provided in all submitted Proposals to be considered for this service.

    Requirements:

    Any deviation from these requirements may result in the proposal being considered non-responsive, thus eliminating the vendor from further consideration. Potential respondents shall not contact, by written or verbal communication, any County Board members, the Evaluation Committee or County employees for information regarding this RFP, other than as expressly permitted by this RFP. The proposal shall be sealed and labeled with the following information:

    All respondents shall submit as a part of their proposals a federal W-9 Form (request for taxpayer information), the address that payments are to be made to, and an insurance certificate copy.

    Guarantees and warranties on workmanship/materials shall be stated in the proposal.

    SCOPE OF WORK The contractor shall provide a plan and approach that will meet the requirements of this RFP. The contractors proposal will include comprehensive HVAC services as described in this RFP in their proposed fee structure. The services detailed in this RFP represent the minimum service standards to be provided. The contractor is encouraged to perform above these standards. Provide scheduled, preventive and predictive maintenance tasks (labor and materials) meeting or exceeding manufacturers recommendations, for the HVAC equipment: boilers, chillers, controls and energy management systems. Include with your submittal proposed PM tasking schedules.

    Provide a block of 96 hours for corrective maintenance to be scheduled as needed. Include energy management system software updates to keep the existing Johnson Controls Metasys and Automated Logic energy management systems software current. Provide maintenance services including: vibration analysis and reporting; annual spectrographic oil analysis and reporting on all chillers; flue gas analyses and burner setup; and steam trap diagnostics, variable frequency drive troubleshooting. Provide an annual report summarizing all maintenance and repair activity.

    Provide a cost to set-up equipment numbering, recommended tasks and schedules to manage PMs and repairs for in-house maintained HVAC equipment in the Countys existing Facility Dude Internet Maintenance Management System (IMMS), as identified in the OPTION 1 column on the attached Equipment List (Attachment G).

    METHOD OF PAYMENT Monthly billing: Invoices shall be separated between base contract services and owner responsible services provided. The Base Contract services invoices shall be in an amount equal to one-twelfth (1/12) of the initial scope of the contract. This invoice shall include information regarding the base contract services that were scheduled for the period covered by the invoice and when they were actually completed. The owner responsible invoice shall be for additional authorized services such as owner responsible service calls and other maintenance and technical services which are priced in accordance with the contractors proposal.

    PROPOSAL SCORING AND EVALUATION Cost proposals will be evaluated using standard quantitative calculations in which the maximum cost points will be awarded to the proposal with the lowest cost for the base contract services. (20 pts) Submit your firms cost for base services on Attachment B, Proposal Cost Summary, in a sealed envelope. Accepted proposals will be reviewed by an evaluation committee and scored against the stated criteria. A proposer may not contact any member of an evaluation committee except at Marinette Countys direction. The committee may review references, request interviews or demonstrations, and/or conduct on-site visits and use the results in scoring the proposals. The evaluation committee's scoring will be tabulated and proposals ranked based on the total numerical score calculated. The Evaluation Committee is the sole judge of proposer qualifications and will make a recommendation to the Building and Property Committee. The factors to be used by Marinette County in evaluating the proposals will include, but are not limited to, the following:

    Organization capabilities (15 pts)

    Describe your firm's experience and capabilities in providing maintenance services for HVAC technology and equipment similar to that listed in this RFP. Be sure to include your firms experience with preventive maintenance on other manufactures systems. Service provider must be able to provide 2 hour on-site response time Service provider must be able to provide a qualified vibration analyst Service provider must be able to calibrate electronic and pneumatic systems

    Training, Education and Experience of Workforce (15 pts)

    Provide resumes describing the educational and work experiences for all personnel who will provide maintenance services and contracted work.

    Include the following information in the resume. Describe the type and length of formal training of employees assigned to perform

    work at the facility. Include any certifications or degrees or ongoing training your company requires.

    Specify the number of months/years of on the job experience.

    Technical Information (20 pts)

    Maintenance Procedures & Methods: Define service and maintenance procedures that will be used on each system. List your companys procedures and service documentation. Sample of Maintenance Reports: Provide sample maintenance reports that will be submitted detailing the maintenance performed. All required reports should be transmitted electronically.

    COST PROPOSAL (ATTACHMENT B) Provide a complete cost Proposal as additional travel and related expenses will not be accepted and shall be included in the costs. Cost Proposals MUST be submitted using the provided Cost Sheet, Attachment B. Any supporting information shall be submitted as attachments to the Cost Sheet. Pricing is to remain firm for one hundred twenty (120) days from date of Proposal due date. Pricing is required for a 1-year contract.

    REFERENCES (ATTACHMENT C) Each prospective vendor shall provide at least three references and not more than five in which one is required to be in the public sector. References should be of similar size and scope, providing HVAC equipment maintenance, using the provided Reference Sheet, Attachment C.

    FINANCIAL VERIFICATION Vendors financial solvency may be verified through financial background checks via Dun & Bradstreet or other means prior to contract award. Marinette County reserves the right to reject Proposals based on information obtained through these background checks if its deemed to be in the best interest of the county.

    OTHER All work shall conform to all applicable industry standards, federal, state and local laws, codes and ordinances. No vendor will be provided with financial and/or competitive vendor information on this Proposal until after the award of contract has been made. To the extent possible, it is the intent of Marinette County to withhold the contents of the Proposal from public view until such time as competitive or bargaining reasons no longer require non-disclosure, in the opinion of Marinette County. At that time, all Proposals will be available for review in accordance with the Wisconsin Open Records Law. Marinette County shall not be held liable for any claims arising from disclosure required under the Wisconsin Open Records Law. Marinette County and its departments are exempt from payment of all federal, state and local taxes on its purchases except Wisconsin excise taxes.

    Any contract between vendor and Marinette County shall be subject to the laws of the State of Wisconsin. In connection with the performance of work under such contract, the vendor agrees not to discriminate against any employee or applicant for employment because of age, race, religion, color, handicap, sex, physical condition, developmental disability, sexual orientation, or national origin. Marinette County is an Equal Opportunity Employer. By responding to this Proposal, prospective vendors acknowledge and accept the attachments, including insurance requirements and service template contract sample attached.

    CONTRACT TERMS (ATTACHMENT F) The vendor may provide a contract to be approved by Marinette County Corporation Counsel. If the vendor does not provide a contract, the vendor shall be required to sign a contract similar to that in Attachment F.

    ATTACHMENT E HVAC Equipment Maintenance

    Insurance Requirements

    Insurance Requirements Vendor shall provide and maintain at its own expense during the term of the agreement, minimally the following insurance coverage.

    A vendor shall not commence work until all insurance required under this paragraph are obtained and certificates of insurance have been provided to Marinette County. Notwithstanding any provisions of this section, vendor acknowledges that its potential liability is not limited to the amounts of insurance coverage it maintains or to the limits required herein.

    (1) Worker's Compensation Insurance and Employers Liability. State Statutory Workers Compensation Limits Employer Liability $100,000 each accident.

    (2) Comprehensive General Liability (Occurrence Form).

    Products and Completed Operations

    Personal Injury and Advertising Liability

    Independent Contractors/Protective Limits of Insurance $1,000,000 per occurrence

    $1,000,000 aggregate (3) Business Automobile Liability. Business Automobile Liability covering all owned, hired, and non-

    owned vehicles. Limits of Insurance $1,000,000 per occurrence for bodily injury and

    property damage.

    (4) Excess/Umbrella Liability. Limit of Insurance $1,000,000 per occurrence

    Additional Insured The vendor agrees that all liability coverage policies shall name Marinette County as additional insureds with respects to liability arising out of activities performed by or on behalf of the vendor/contractor; products and completed operations of vendor/contractor; premises owned, occupied or used by vendor; or automobiles owned, leased, hired or borrowed by vendor. The coverage shall contain no special limitations on the scope of protection to the County.

    Subcontractor Subcontractors of the vendor are subject to the same requirements as is vendor.

    Wavier of Subrogation Insurers shall waive all subrogation rights against Marinette County on all policies required under this section.

    Cancellation Notice Marinette County will be given 30 days notice in advance of cancellation, non-renewal, or material change in coverage.

    Proof of Insurance A valid Certificate of Insurance shall be issued to Marinette County prior to commencement of work.

    The insurance certificate must be issued by companies licensed to do business in the State of Wisconsin or signed by an agent by the State of Wisconsin. The certificates of insurance shall include a provision prohibiting cancellation of said policies except upon 30 days prior written notice to the County. The certificates of insurance shall include reference to the contract name or RFP number in the description section of the certificate. The certificate of insurance will be delivered to Marinette County prior to the execution of the contract. Marinette County Facilities

    MARINETTE COUNTY THIS AGREEMENT is made by and between Marinette County, a municipality, hereinafter referred to as COUNTY, and ___________________________, hereinafter referred to as VENDOR, for the purpose of maintaining HVAC equipment.     Certificates of insurance indicating COUNTY as additional insured must be presented to COUNTYs agent with a signed copy of this agreement prior to commencing work. Additionally, all policies shall contain endorsements by respective insurance companies waiving all rights of subrogation, if any, against COUNTY and shall further provide that policies are not cancelable except upon thirty days written notice to COUNTY.

    8. VENDOR hereby agrees to release, indemnify, defend and hold harmless Marinette County, its officials, officers, employees and agents from and against all judgments, damages, penalties, losses, costs, claims, expenses, suits, demands, debts, actions and/or causes of action of any type or nature whatsoever, including actual and reasonable attorney fees, which may be sustained or to which they may be exposed, directly or indirectly, by reason of personal injury, death, property damage, or other liability, alleged or proven, resulting from or arising out of the performance under this agreement by vendor, its officers, officials, employees, agent or assigns. Marinette County does not waive, and specifically reserves, its right to assert any and all affirmative defenses and limitations of liability as specifically set forth in Wisconsin Statutes, Chapter 893 and related statutes.

    9. This contract may be amended in writing by mutual agreement of both parties at any time. 10. This agreement shall be governed by the laws of the State of Wisconsin. 11. COUNTY may terminate this agreement in the event VENDOR breaches any of the terms of the

    agreement or for unsatisfactory performance by VENDOR. Termination shall be immediate upon written notification by the COUNTY.
