WALLED LAKE CONSOLIDATED SCHOOLSPURCHASING DEPARTMENT

REQUEST FOR PROPOSAL

The Walled Lake Consolidated School Board of Education will receive firm, sealed proposalsto provide Fresh-Made Pizza for the 201/2012 school year.

A mandatory pizza sampling session will be held on June 23, 2011 at Geisler MiddleSchool located at 46720 W Pontiac Trail, Walled Lake, MI 48390. Six (6) hot pepperonipizzas are to be delivered to the kitchen (248-956-2935) between 10:30 am and 10:45am. The pizzas are to be prepared to bid specifications and packaged with yourcompany’s name on pizza box.

Proposals are due and must be delivered to the Educational Services Center no laterthan 10:30 am on or before June 28, 2011(due date). Bids to be publicly opened andread immediately following due date. Each Proposal submission must include two (2)copies (one must be marked “Original”). Proposals submitted after “due date” or viaoral, telephonic, telegraphic, electronic mail or facsimile will not be considered oraccepted.

Bid must be accompanied by a sworn and notarized statement disclosing anyfamilial relationship that exists between the owner or any employee of the bidder andany member of the Board of Education or Superintendent. The Board of Educationshall not accept a Bid Proposal that does not include this sworn and notarizeddisclosure statement.

SUBMISSION OF PROPROSALS

1. Scope of Bid

The Walled Lake Consolidated Schools Nutrition Services Department is seeking abid proposal for the delivery of fresh-made pizza to the schools listed within thespecifications.

2. General Conditions

A. Bidders are expected to examine all instructions and specifications. Failure to do soand comply with requirements will be at the bidder's risk, and is cause for rejectionof the bid.

B. Each bidder shall furnish all information required on proposal form and requiredsubmittals. Erasures or other changes must be initialed by the person signing theform.

3. Submission of Bids

A. All bids shall be submitted in sealed envelopes and shall include the followinginformation on the face of the envelope: bidder's name, address, and statement:“Fresh-Made Pizza” Bid #11-0628G. Failure to do so may result in a prematureopening of, or failure to open, such proposal.

B. There will be a mandatory sampling on June 23, 2011, at Geisler MiddleSchool located at 46720 W Pontiac Trail, Walled Lake, MI 48390. At no chargeto the District each bidder must deliver six (6) hot, pepperoni pizzas to GeislerMiddle School between 10:30 am and 10:45 am. Pizzas are to be preparedaccording to bid specifications and packaged in your company’s pizza box (as theywould be delivered to school kitchen (248-956-2935). Failure to provide sampleswill disqualify your proposal.

C. Bidders must contact the Food Service Department at (248) 956-3081 with intentto participate in the sampling.

D. Each proposal must be submitted in a sealed opaque envelope clearly marked onthe face of the envelope: “FRESH MADE PIZZA” - Bid #11-0628G with theBidder’s name and address. If Proposal envelopes are not addressed asstated above and inadvertently opened that proposal will be disqualified.

E. Each Proposal submission must include two (2) copies (one must bemarked “Original”).

F. All Proposals are due and must be delivered on or before June 28, 2011 no later than10:30 am (local time). Any proposals received after this date and time will bedisqualified.

G. Proposals submitted via oral, telephonic, telegraphic, electronic mail orfacsimile will not be considered or accepted.

H. Proposals must be date stamped/signed at the address above in order tobe considered. Normal business hours are 8:00 a.m. to 4:00 p.m., Mondaythrough Friday. Each Bidder is responsible for submission of its Proposal. NoC.O.D. deliveries will be accepted.

I. The District shall not be liable to any Bidder for any delivery or postal delays.Postmarking to the Due Date will not substitute for receipt of the Proposal.

J. All Proposals received on or before the Due Date will be publicly opened and readimmediately thereafter. Any interested parties may attend. No immediate decisionwill be rendered.

GENERAL CONDITIONS

1. FAMILIAL DISCLOSURE

Bidders shall provide full disclosure of all existing client relationships that currently orprospectively may rise to conflicts of interest and disqualification.

All Proposals must be accompanied by a sworn and notarized affidavit disclosing anyfamilial relationship that exists between the owner and/or any employee of the Bidderand any member of the District’s Board of Education or the superintendent of theDistrict. Any Proposal not accompanied by said sworn and notarized affidavit will notbe considered or accepted by the District. The Affidavit of Bidder Familial RelationshipForm is included in this RFP.

2. ADDENDA

If it becomes necessary to revise any part of the RFP, notice of the revision will beposted to the District Website for all parties to download. All Addenda shall become apart of the RFP. Each Bidder must in its Proposal, to avoid any miscommunication,acknowledge all Addenda which it has received, but the failure of a Bidder to receive, oracknowledge receipt of; any Addendum shall not relieve the Bidder of the responsibilityfor complying with the terms thereof.

The District will not be bound by oral responses to inquiries or written responses otherthan written addenda.

3. PROPOSAL SECURITY (BID BOND) – not required for pizza bid

Each Proposal must be accompanied by a bid bond or certified check in an amount of5% of the total sum of base bid, as a guarantee of Bidder’s good faith on the part of theBidder. If a bid bond is posted by a Bidder, it shall be from a surety licensed to dobusiness in the State of Michigan and the attorney-in-fact who executes the bid bondon behalf of the Bidder shall attach a certified, current copy of its power of attorney. Inthe event a certified check is submitted, it shall be made payable to “Walled LakeConsolidated Schools.” The District shall not be liable for any interest earned thereon.The good faith deposit shall be forfeited as liquidated damages, and not as a penalty, ifthe Bidder withdraws its Proposal after the Due Date for submission of Proposals or,upon acceptance of its Proposal by the District, Bidder fails to execute the form ofContract acceptable to the District, substantially evidencing and incorporating this RFPand its Proposal and fails to provide the required performance bond, if any, and therequired insurance certificates, within fifteen (15) days of an award of a Contract to theBidder. Good faith deposits shall be returned to all non-successful Bidders within areasonable time after the award of a Contact and execution of a Contract by thesuccessful Contractor.

If the selected Bidder fails to complete the requirements set forth in the previousparagraph, the bid security will be forfeited to the District.

4. INSURANCE REQUIREMENTS

Bidders shall furnish with their bid proposal, Public Liability and Property DamageCertificates of Insurance in sufficient amounts as determined by the Owner.

Comprehensive General Liability and Automobile Liability insurance coveringpersonal injury or death in the amount of $500,000 per person, $2,000,000 peroccurrence, and property damage of $250,000 per occurrence, unless otherwisespecified by Owner, and Workmen's Compensation and Employer's Liabilityinsurance accordance with applicable law; and to indemnify and hold Ownerharmless against damages, claims, losses, and expenses, including reasonableattorney's fees and court costs, resulting from injuries or damages, includingdeath, to persons or property arising from Contractor's performance under contract.

Certificates of insurance, in duplicate, indicating the job site and evidencing all requiredcoverage must be submitted to and approved by Owner's Agent and Owner prior to thecommencement of any of the work. Submit to:

All policies shall expressly require thirty (30) day written notice to the Owner, at theabove address, of the cancellation or material alteration of such policy, and theCertificate of Insurance shall so provide.

5. EXCEPTIONS OF RFP SPECIFICATIONS

Any exceptions to the terms and conditions contained in this RFP or any other specialconsiderations or conditions requested or required by the Bidder MUST bespecifically enumerated by the Bidder and be submitted as part of its Proposal,together with an explanation as to the reason such terms and conditions of the RFPcannot be met. The successful Bidder shall be required and expected to meet thespecifications and requirements as set forth in the RFP in their entirety, except to the

extent exceptions are expressly set forth in the Bidder’s Proposal and those exceptionsare expressly accepted by the District as part of the award and documentedaccordingly.

6. PROPOSAL PRICING OPTIONS

The District is seeking the Proposal options as listed on the Proposal Pricing Form.Each Bidder shall submit a Proposal with a completed Proposal Pricing Form and anyadditional information requested within the RFP.

7. PROPOSAL PREPARATION

Each Bidder assumes all costs incurred by it or others acting on its behalf in preparingor submitting a Proposal, or otherwise responding to this RFP, or any negotiationsincidental to its Proposal or this RFP.

The District does not assume any responsibil ity for errors, omissions ormisinterpretations resulting from the use or interpretation of this RFP.

8. RFP/CONTRACT INFORMATION CONTROLLING

The District intends that all Bidders shall have equal access to information relative tothis RFP, and that this RFP contains adequate information. Part of the RFPpreparation may have included discussions with certain prospective Bidders; however,each Bidder shall prepare its Proposal based only on the information contained in thisRFP, notwithstanding any information that may have been previously provided to aprospective Bidder. A prospective Bidder noting any inconsistency between theinformation contained in this RFP and any information previously provided to it shouldsubmit a Request For Clarification to the District. No information communicated, eitherverbally or in writing, to or from a Bidder shall be binding upon the District unlesscontained in this RFP, an addendum to this RFP or the final Contract between theDistrict and the successful Bidder.

9. RESTRICTION ON COMMUNICATION

From the issue date of this RFP until a Contractor is selected and selectionannounced, a prospective Bidder shall not communicate about the subject of the RFPor a Bidder’s Proposal with the District, its Board of Education, or anyindividual member, administrators, faculty, staff, students, or employees,except for the interview process, or additional Requests for Clarification.

10. COLLUSIVE BIDDING

The Bidder certifies that their Proposal is made without any previous understanding,agreement or connection with any person, firm or corporation making a Proposal forthe same services and is in all respects fair, without outside control, collusion, fraudor otherwise illegal action.

11. RELEASE OF CLAIMS

Each Bidder by submitting its Proposal releases the District from any and allclaims arising out of, and related to, the RFP process and selection of a Contract.

12. PROPOSAL EVALUATION

Oral Interviews/Presentations/Samplings/Site visits could be requested of theBidders deemed by the District to be the best suited among those submittingProposals. Determination of best suited candidates will be at the sole andabsolute discretion of the District and the District’s decision shall be final. Afterpresentations have been completed, the District may select the Bidder(s) which, in itsopinion, has made the Proposal that is the most responsive and most responsible tomove forward with the negotiation process. The District will notify Bidders whenthe interviews will take place.

13. FINALITY OF DECISION

Any decision made by the District, including the Contractor selection, shall be final.

14. RESERVATION OF RIGHTS

The District reserves the right in its sole and absolute discretion (for this and the otherprovisions of this RFP) to accept or reject any or all Proposals, in whole or in part,with or without cause. The District reserves the right to waive any irregularity orinformality in the RFP process, and the right to award the Contract to other than thelowest Bidder.

The District reserves the right to request additional information from any or allBidders. The District reserves the right to negotiate with the Bidders concerning theirProposals.

The District may select one or more firms to perform the Services on behalf of theDistrict.

15. CONFIDENTIALITY OF PROPOSAL

Proposals and supporting materials become the property of the District and aresubject to public access in accordance with the Freedom of Information Act. TheBidder must ensure that suitable measures will be taken to assure the confidentialityof the District and the District’s data.

1 6 . DE B A RM E NT

Submission of a Proposal in response to this RFP is certification that the Bidder is notcurrently debarred, suspended, proposed for debarment, declared ineligible orvoluntarily excluded from participation in this transaction by any State or Federaldepartment or agency. Submission is also agreement that the District will be notifiedof any change in this status.

17. VERBAL REPRESENTATIONS

Proposals must contain in writing all the terms and conditions of the offer being made.Verbal representations made before or after Proposals are submitted will not beconsidered unless they are followed up in writing.

18. CONTRACT AWARD

The Contract shall be awarded when a Bidder has been issued either a letter of intentfollowed by a purchase order or a Purchase Order only. After a contract agreementhas been executed, the Bidder shall not be allowed any sum above the price (s)specified in the contract agreement.

19. ORDER DELECTIONS

Owner reserves the right to add or deduct item quantities from the originalspecifications without any effect on the unit prices submitted.

20. AFFIRMATIVE ACTION PROGRAM

Prices quoted are to be F.O.B. to Walled Lake Consolidated Schools. All purchasesPrices shall be net; including transportation and delivery charges fully prepaid by theSuccessful Bidder to destinations indicated in the bid.

22. TAX EXEMPT

The Walled Lake Consolidated School District is exempt from all taxes. The Bidder, ifawarded a contract for this work, shall be responsible for all “sales taxes” and “use taxes”as applicable to this work.

23. RELEASE OF CLAIMS

Interested firms, by submitting a proposal, release the District from any and all claims,whatsoever, arising from or relating to this RFP and the District’s decision to select oneor more interested firms.

24. COST OF PROPOSALS

Interested firms, by submitting proposals, agree to bear all costs incurred or related tothe submission of their proposals.

25. PROPOSAL WITHDRAWL

Bidders may withdraw their bids, if they desire, anytime before the Due Date. AllProposals submitted shall not be withdrawn and shall be irrevocable for a minimumperiod of Ninety (90) calendar days following the Due Date for receipt of Proposalsset forth above.

9. We plan to begin delivery of pizzas to our middle and high schools the week ofSeptember 12TH and to our elementary schools by the end of September.

10. The vendor is to provide, free of charge, appropriate logo merchandise such asbanners, posters, table tents, napkins, hats, etc. Please include a sample ordescription of items available.

11. A delivery slip showing the exact quantity of each item delivered is to accompany eachdelivery and must be signed by a responsible school employee at each location. Thisdelivery slip will be used as supporting documentation for the monthly statement ofaccount. Each location is to be billed separately; however, all invoices/billingstatements must be sent to the Food Service Office for proper processing andpayment.

12. CREDIT – Delivery of unacceptable pizza shall be rejected and returned at vendor’sexpense for full credit. Examples of unacceptable product would include, but not belimited to, cold pizza; uneven slices and cheese stuck to the box lid. Further, thevendor will reduce the price of pizza by 10% for the first tardy delivery, 25% for thesecond tardy delivery and 50% for a third offense. Continued late deliveries couldultimately lead to cancellation of this agreement. Adhering to strict delivery times isvery important to the success of this agreement.

13. Walled Lake Schools reserves the right to terminate this agreement for any reason.The Supervisor of Food Services for the district may inspect production locations atany time during this agreement to make sure all Health Department procedures arebeing followed.

Evaluation/Sampling - IMPORTANT INFORMATION – PLEASE READ CAREFULLY

The sampling will be conducted on June 23, 2011, by elementary staff, kitchenmanagers and students (approximately 100 people).

Come in through thebrown door - the Kitchen is just down the hall from this entrance in Receiving.
