GENERAL TERMS AND CONDITIONS AND INSTRUCTION TO BIDDERS
Electropreneur Park invites bids for “Request for Proposal for Supply of Equipments for
Electropreneur Park” on following terms and conditions:
i. The tender document can be downloaded from _______________ website.
ii. Product Specifications & Compliance Statement: The bidder should quote the
products strictly as per the tender specifications and only of technically reputed
and globally acclaimed brands / makes. Complete technical details along with
brand, specification, technical literature etc. highlighting the specifications must
be supplied along with the technical bid. A Statement of Compliance shall be given
against each item in the prescribed format given in Annexure V. The compliance
statements should be supported by authentic documents. Each page of the bid and
cuttings / corrections shall be duly signed by the authorized signatory. Failure to
comply with this requirement may result in the bid being rejected.. The nature of
deviation should be mentioned against each item as „Positive‟ if the specifications of
alternative model are higher and „Negative‟ if the specifications are below the
prescribed one. The details of the deviation and the reason should also be mentioned.
The bid evaluation committee shall be the final authority to decide on whether to
include the negative deviations in the final evaluation.
iii. Delivery: The delivery of the equipments is to be done at Electropreneur Park,
South Campus, University of Delhi and should be completed within 8-10
weeks from the date of award of contract.
iv. Materials must be properly packed against any damage and insured up to the
destination. The material should directly be supplied to Electropreneur Park,
South Campus, University of Delhi . All the expenses involved in shipping the
equipment to Electropreneur Park, South Campus, University of Delhi shall be
borne by the Bidder. All aspects of safe delivery shall be the exclusive
responsibility of the Bidder. Elec tro preneur Park, South Campus,
University of Delhi will have the right to reject the items supplied, if these do
not comply with the specifications at any point of installation / inspection.
v. If the material or part thereof is lost or rendered defective during transit, the supplier
shall immediately arrange for the supply of the equipment or part thereof, as the case
may be, at no extra cost.
vi. The p r i c e s for the entire work to be done at site should be quoted both in
Indian Rupees and US Dollars, a s w e l l a s i n f i g u r e s a n d w o r d s ,
All the quoted prices shall be fixed and shall not be subject to escalation during the
bid validity period.
vii. In case of any discrepancy between rates mentioned in figures and words, the latter
shall prevail. If there is a discrepancy between the unit price and the total price that
is obtained by multiplying the unit price and quantity, the unit price shall prevail and
the total price shall be corrected.
viii. Electro preneur Par k, S o uth Ca mp us, DU r es er ves the right to accept /
reject the offers or cancel the whole tender proceedings without assigning any
reason whatsoever. Offers through Email / Fax, etc and open offers shall not be
accepted. Late / Delayed offers shall not be accepted under any circumstances.
Incomplete offers will be rejected. In case the specified date for the submission of
offers being a holiday or declared holiday for South Campus, DU, the bid-closing

deadline shall stand extended to the next working day up to the same time.
ix. Disclaimer: This Tender / Request for Proposal (RFP) is not an offer by
E l e c t r o p r e n e u r P a r k , S o u t h C a m p u s , D U but an invitation for
bidder‟s response. No contractual obligation whatsoever shall arise from the RFP
process.
x. Price Basis: Price basis should be CIF, Electropreneur Park, South Campus
University of Delhi. Price quoted should be in the prescribed format as per
Annexure – I V . The quoted price will be considered firm and no price escalation
will be permitted during the bid validity period.
xi. Billing is to be done in favor of the CEO, Electropreneur Park, South Campus,
University of Delhi, New Delhi – 110 021
xii. Payment: As per terms and conditions
xiii. Delivery: Onsite by the bidder
xiv. Penalty for Delayed Services: Penalty will be charged @ 0.5% of the contract value
per day subject to maximum of 5% of total order value, in case of delay / non-
completion of work within the stipulated time period.
xv. Warranty: The item supplied shall carry minimum five years onsite warranty (as
per SLA). The service support/warranty services have to be provided at
Electropreneur Park, South Campus, University of Delhi .
xvi. EMD
The bidder would need to provide Earnest Money Deposit (EMD) of Rs. 5,00,000/- (Rs.
Five lakhs only) in the form of bank draft in favour of Electropreneur Park, South
Campus, University of Delhi , New Delhi – 110 021. The EMD would need to be
provided as part of the Bid Proposal and would be returned to the unsuccessful
bidder.
xvii. Performance Bank Guarantee (PBG): The successful bidder would need to provide
Performance Bank Guarantee equivalent to 10% of the order value valid for the period
of the contract.

1 PREAMBLE
The incubator „Electropreneur Park (EP)‟ is a unique initiative of the Department of Electronics and Information Technology (DeitY), Govt. of India. This novel initiative is being setup by a consortia
comprising of Software Technology Parks of India (STPI), University of Delhi (DU) and India
Electronics and Semiconductor Association (IESA) alongwith CyberMedia India Limited (CMIL) to
support and strengthen start-ups in the Electronic System Design and Manufacturing (ESDM). This park will specifically focus on development of products and IP creation for mass consumption of
electronics products. The development activities of the park will be purely not for profit and based on
research and development carried out by the incubatees in Electropreneur Park at University of Delhi, South Campus. Keeping in view the holistic approach and the objective of promoting innovation in
the ESDM sector, the Electropreneur Park invites turnkey proposals from the bidders such that that
the maximum benefits in terms of custom duty exemption, special educational and other discounts etc. may be extended to the EP to empower young researchers and budding entrepreneurs in ESDM
sector. It may be further mentioned here that the entire work will be carried out at University of Delhi
South Campus in a project mode.

2 BACKGROUND AND CURRENT STATUS
Funded by Department of Electronics & IT (DeitY), Government of India, the Electropreneur Park is the first of its kind Incubation Centre in India under PPP mode in the Electronic Systems Design &
Manufacturing (ESDM) sector. It is managed by Software Technology Park of India (STPI); other
stakeholders include Delhi University as the Academic Partner and India Electronics &
Semiconductor Association (IESA) being the Implementation Agency. IESA has engaged Cybermedia India Limited (CMIL) to support it in execution of the project.
The Electropreneur Park will develop, promote, recruit, incubate, mentor and create breakthrough innovations in the ESDM sector. It will be equipped with state-of-art facilities to promote ESDM
innovation, R&D and create Indian IPs.
The Electropreneur Park is currently looking for a system integrator, hereinafter referred to as
„Agency‟ or „Bidder‟ or „Supplier (interchangeably used in this document), who will provide the
complete set of equipments and solution for the state-of-the-art laboratory being set up to
support the incubatees in the Park.

3 SCOPE OF WORK
The Scope of Work for the Supply Chain Partner shall be as follows:-

Supply, install and commission equipments in ‘ready-to-work’ mode.
Provide training about operations and routine maintenance for any equipment and/or tool as
may be required for its safe and normal operations.
Provide regular servicing of the equipment and tools as per the SLA enclosed at Annexure or
any prescribed norms or as per any industry standards to ensure their highest uptime levels.
Facilitate inspection of the tools and equipments by way of supply of samples, etc. wherever
requested.
3.1 PROJECT OVERVIEW
A snapshot of the project is provided in the diagram enclosed herein. With STPI providing
funding and management of the incubation centre, (hereinafter named as „Electropreneur Park‟) and Delhi University providing infrastructure, knowledge experts and incubates, IESA
and CyberMedia India Limited shall provide Industry Connect, Mentoring, Technical
Knowhow, Promotion and Outreach in addition to Venture Capital (VC) access for the selected incubatees.
The selection of incubatees shall be based on the decision of Project Evaluation Team, which would
encompass industry stalwarts.

3.2 STAKEHOLDER EXPECTATIONS
The project is for a period of 5 years with a possibility of extension. Each year 10 Incubatees shall be
selected and will be provided infrastructure for a period of 12 months following which they would be
asked to graduate. The assignment requires continuous engagement for a period of 5 years from the selected bidder. Following would be the expectations from the agency-
The bidder has to ensure timely delivery of quality tools, equipments and software. All the
materials supplied must conform to industry specific quality certifications like ISO, etc.
Ensure SLA / industry accepted uptime norms of the equipments and tools supplied along
with all software, firmware, etc. as may be necessary to run the tools or equipments.
The bidder must ensure installation, fixing, fitting, etc. of all the tools and equipments
necessary to make them operational at the park.
The bidder has to ensure repair/replacement of any damaged tool or equipment within the
SLA norms specified along with the response to this RFP.
The bidder shall supply all technical documents including technical drawings, fact sheets,
manuals, etc. as may be requested.
The bidder should be able to supply, install and commission all the equipments, tools and
software within 8-10 weeks of the award of contract.
The quote is to be provided both in INR & US Dollars in figures and words and clearly
indicate the additional taxes and duties, wherever applicable.
3.3 QUALIFICATION CRITERIA FOR SUPPLIERS
The project shall entail the following requirements from the bidder:
Essential
The bidder must not have been blacklisted by any government department or agency for the
supply of equipments, tools and software.
The bidder should have experience of supplying similar tools and equipments to R&D labs of
Government/Educational Institution/ Research Institution/Industry
The bidder must have at least 5 years of operations in India.
The bidder must have annual turnover of INR 3.0 crore and above for each of the past 3
years for supply of equipments in India.
Before submission of the bid, the bidders may please verify the eligibility criteria and ensure
fulfillment of all the terms and conditions. In the absence of furnishing of documents / certificates,
the bid is liable to be rejected.
Desirable
The bidder should have the capability to supply tools and equipments in large as well as
small quantities as may be demanded from time to time.
The bidder should have the required certification/authorization from their respective OEMs/
Principals
The bidder should have prior experience of system integration and onsite support for similar
infrastructure.

The bidder should provide references of customers where such installations have been
performed in the last 3 years.
3.4 PARTICIPATION TO RFP -
Agencies willing to participate should confirm their Intent to Respond to Electropreneur Park
within 3 days of publishing the RFP. No communication in this regard shall be entertained after the stipulated date.

Agencies must ensure that the proposal is delivered and received at the following address
before the tender closing date of 19th
March 2015, till 1700 hrs. Every envelope needs to be superscribed with Tender for Equipments Supply for Electropreneur Park. The bid from
each bidder should contain two separate envelopes – 1st envelope for the Technical
Proposal and the 2nd
envelope for the Financial Proposal.

3.7 RFP EVALUATION PROCESS
The RFP will be evaluated in the following three stage process.
•RFP is submitted complete in all forms as per prescribed format furnishing all the details and information requested along all necessary documents and certificates.
RFP Submission
•Evaluation of technical parameters including but not limited to specifications of the equipment, reputation of the vendor,past experience and other parameters laid in this RFP.
Technical Evaluation
•The financial bid of the bidder qualifying the above stages shall be evaluated and the L1 bid shall be selected for the supply of equipments to the Electropreneur Park. The financial bid shall include the AMC (Annual Maintenance Cost) chargeable for the period of the contract for maintenance of equipments supplied.

3.8 RFP TERMS & CONDITIONS
Details of RFP Terms and conditions are as enclosed below:-
3.8.1 Liabilities of Electropreneur Park
This RFP is only an invitation for proposal and no contractual obligation on behalf of Electropreneur Park whatsoever shall arise from the RFP process unless and until a formal
contract is signed between Electropreneur Park and the selected bidder.
This RFP does not commit Electropreneur Park to pay any cost incurred in the preparation
or submission of any proposal.
3.8.2 Proposal Process Management
Electropreneur Park reserves the right to accept or reject any and all proposals, to revise the
RFP, to request one or more re-submission or clarification from one or more agencies, or to
cancel the process in part or whole.
Electropreneur Park will, at its discretion, award the contract to the responsible vendor
submitting the best proposal that complies with the RFP. Electropreneur Park may, at its
sole discretion, reject any or all proposals received or waive minor defects, irregularities, or informalities therein.
3.8.3 Bid Expiration Date
The bids need to remain valid for at least 3 months from the date of submission indicated above.
3.8.4 Confidentiality & RFP Ownership
This RFP is both confidential and proprietary to Electropreneur Park, and Electropreneur
Park reserves the right to recall the RFP in its entirety or in part. Bidders must not duplicate,
distribute or otherwise disseminate or make available this document or the information
contained in it without the express written consent of Electropreneur Park.
The bidder shall not include or refer the contents of this RFP in public without prior written
approval from the client, which, if required, shall be requested in written to the individuals named above. Bidders must accept all of the foregoing terms and conditions without
exception. All responses to the RFP will become the property of Electropreneur Park and
will not be returned.

3.8.5 Security – Non Disclosure Agreement
The selected bidder as part of the proposal must sign the non-disclosure agreement to
safeguard the confidentiality of Electropreneur Park‟s business information and data.
3.8.6 Essential Documents
The bidder must ensure that the following documents are included in the response docket to be
submitted in response to this RFP:
Technical Proposal
Financial Proposal
Documents in support of / evidence to claim like certificate of incorporation,
authorized distributor, awards and certifications, work completion certificates, etc.
Service Level Agreement (SLA) framework
All technical documentation including drawings, manuals, fact sheets, etc.
A self-certification for any claim for which a documentary support is not available /
possible. For instance, that the company is not blacklisted.
3.8.7 Solutions / Systems Acceptance Testing
Prior to going live, Electropreneur Park will require a period of time to conduct a thorough
User Acceptance Testing (UAT) of the entire set of equipments, tools & software supplied and installed. This period should be sufficient to verify the service operations and effectiveness.
The UAT will commence only after the entire set of equipments, tools and software are
supplied and installed.
3.8.8 Self - Certification
If self - certification is not available in absence of documentary evidence, the bid evaluation
committee shall have the right to reject the bid.

3.9 PAYMENT TERMS
The payment terms for the selected Bidder shall be as follows:-
10% Advance
75% on supply of all equipments, tools and software
15% on successful installation

4 RESPONSE FORMAT (PROPOSAL FORMAT)
The proposal should be submitted in print with two separate sealed envelopes – one for Technical
bid and the other for Financial bid. The respective envelopes should be clearly labeled in permanent
ink as „Technical Bid‟ and „Financial Bid‟. These two sealed envelopes should be submitted together
in a sealed paper envelop labeled in permanent ink with „Tender for Equipments Supply for
Electropreneur Park‟ along with the name of the bidding agency and the contact details of the key person along with email and mobile number.
The bidders must also keep the soft copies of the tender copies ready with themselves and may be asked to share them at any point of time after the submission of the hard copy of the bid
4.1 PROPOSAL CONTENT / FORMAT
The proposal content has been specified in the following sections
4.1.1 Completing the Requirement Specification
The bidder has to ensure that the equipments, tools and software are supplied strictly as per the
specifications prescribed (to be shared only with the agencies who will submit their „Intend to
Respond‟.
In case, the equipment / tools / software requested of a particular specification is discontinued by the
vendor, the bidder shall submit for the best alternative model without compromising the purpose, use
and functions of the particular equipment.
4.2 TECHNICAL PROPOSAL
It is recommended that the following contents shall be part of the proposal submitted. No financial
information should be a part of the Technical proposal:-
Supportive documents indicating annual turnover of the bidder
Proof of Work Order and installations of similar kind undertaken in the past.
Legal status of the bidding entity in India.
Experience details of projects worked with similar scope of work. (Format enclosed)

4.3 FINANCIAL PROPOSAL
The Agency is required to quote in the prescribed format Annexure IV under Point No. 6, which includes -:-
a) Cost of equipment, tools and software to be supplied, installed and commissioned.
b) Annual maintenance cost (AMC) to be quoted annually for a period of 5 years.
The bidder should quote the basic prices and taxes applicable separately.

The EMD and PBG should be part of the Financial Proposal
1. Termination By default:
The Electropreneur Park, South Campus, Delhi University, New Delhi may, without
prejudice to any other remedy for breach of contract, by written notice of default sent to supplier, terminate the Contract in whole or part:
If the Supplier fails to provide services /rectify the fault within the time period
specified in the contract or any extension thereof granted by the Electropreneur Park,
South Campus, Delhi University
If the Supplier fails to perform any other obligations under the Contract.
2. Rejection of the bid a. The bidder is expected to examine all instructions, formats, terms & conditions, & scope
of work in the bid document. Failure to furnish all information required as per bid
document or submission of bid which is not substantially responsive to the bid document
in every respect may result in rejection of bid. In respect of interpretation/clarification of this bid document and in respect of any matter relating to this bid document, the decision
of Bid Evaluation Committee will be final.
b. No prices are to be indicated in the Technical bid and if price is mentioned in the “Technical Bid” it may lead to rejection of the bid.
c. Bids not submitted as per two bid system will be summarily rejected.
d. The bidder will have to furnish the requisite documents supporting the qualification/eligibility criteria and credential as specified in the bid document, failing
which the bid is liable to be rejected.
e. The discount, if any, should be merged with the quoted prices. If the bidder does not
follow this stipulation, the bid is liable to be rejected. f. The bids received after specified date & time will not be considered.
g. The bids received through Fax / Telex/photocopy will not be considered.
3. Blacklisting Company/Firm blacklisted by Govt./PSU/Corporate organization are not eligible to Bid. If at
any stage of bidding process or during the currency of contract, such information comes to
knowledge of the Electropreneur Park, it shall have the right to reject the bid or terminate the contract, as the case may be, without any compensation to the bidder.
4. Arbitration All disputes or difference whatsoever arising between the parties out of or relating to the
construction, meaning and operation or effect of the purchase order/work order or the breach
thereof shall be settled by reference to arbitration by the Director, STPI Noida. The award made in pursuance thereof shall be binding on both parties. The venue of arbitration shall be
Noida.

If, at any time, during the continuance of the agreement, the performance in whole or in
any part by either party of obligation under the agreement shall be prevented or delayed
by reasons of any war, hostile acts of the enemy, civil commotion, subrogate, fire,
floods, earthquakes, explosions, epidemics, strikes and quarantine restrictions by acts of
God,(herein after referred to as eventualities) then provided notice of the happening of
any such eventualities is given by either party to the other within two days from the date
of occurrence thereon, neither party shall, by reason of such eventualities be entitled to
terminate this contract agreement nor shall either party have any claim of damages
against the other in respect of such nonperformance or delay in performance.
Performance of the contract agreement shall, however be resumed as soon as
practicable after such eventuality has come to an end.

10 SERVICE LEVEL AGREEMENT – (ANNEXURE – VII)
After commissioning & acceptance, during warranty, the bidder shall be responsible for the uptime of the equipment and shall enter into a contract with a SLA of maintaining the setup for 95% uptime on 24x7 basis. The Supplier would need to provide resolution to the fault in the equipment within 48 hours of its reporting. The penal provisions would become applicable on violation of the SLA terms three times in an individual year.. Reporting of the same fault again, not attended within the SLA norms mentioned above, would be counted as the 2nd incident of the equipment fault. Penalty clause for non-conformance to above SLA:
- The penal provisions would be applicable in case of non-adherence to the SLA Agreement.
- The penal provisions would be applicable if the SLA norms are not met from the reporting of the 4th incident of the equipment fault.
- The penal charges applicable would be Rs 10000/- per hour of downtime at a stretch or in parts up to total down time of 20 hours. This down time shall be calculated over and above the total hours of downtime permissible. Beyond 20 hours of down time, the Performance Bank Guarantee submitted by the Bidder to EP shall be forfeited. Any payments (payable to Bidder) shall also not be made. This will be deemed to be an event of default and EP/STPI may terminate the contract.
- The EP can relax the penal provisions on case to case basis.
SLA Terms
i) The bidder will carry out the work at user locations as specified by EP and will be responsible for total integration and execution of project as per the satisfaction of the EP.
ii) The bidder will carry out comprehensive site survey, prepare the necessary drawings, equipment layout plan, power estimation and distribution, power cabling from equipment to the power outlet, power and communication cabling plan, equipment’s rack placement, etc. for the Electropreneur Park (EP) & other infrastructure in consultation with the EP.
iii) The bidder will design, supply, install, commission, integrate and maintain the equipment supplied to Electroprenuer Park as per the requirement in conformity as per the Technical Specifications and terms & conditions of the tender. The bidder will ensure to install the supplied systems and make it operational on the premise and provide maintenance for Five years from the date of UAT (User Acceptance Testing).
iv) The bidder shall deliver and implement the technologies in conjunction with a set of best practices guidelines & global industry standards.
v) The bidder will ensure smooth integration of the offered equipment with any existing equipment/network at the site.
vi) The bidder will provide user manual to end-user detailing operations of the

equipment and on-site user level training at the time of installation. vii) The bidder will submit project plan after consultation with EP
within one week from the date of purchase order. viii) The Bidder has to ensure that during the execution of the project they do not
damage or disrupt the existing services under and above the ground. ix) The Bidder has to comply with the security policy of the EP/STPI End-user and Non-
Disclosure Agreement (NDA). x) The bidder shall organise technical training on the operations of all the equipment
after installation and commissioning has been completed. Annual Training for two batches will be provided every year for five years at no additional cost for a batch of 25-30 people for 3 days (twice a year) at the place of installation. The bidder must provide all the training material in both hard and soft copies (10 sets each).
xi) The bidder will ensure the availability of services from professionally qualified team during implementation of the project and to provide the required on-site warranty & maintenance for a period of five years.
xii) The Bidder will be liable for any hardware and software up-gradation for maintenance without any extra cost during warranty period.
xiii) On completion of the work the bidder shall submit the detailed diagram/drawings & documentation of the project to the EP and obtain a certificate.
WARRANTY
Warranty shall include free maintenance of the whole equipment supplied including free replacement of hardware parts, free software/firmware upgrades/ updates/ renewals. The defects, if any shall be attended to on immediate basis but in no case any defect should prolong for more than 48 hours. The comprehensive onsite warranty shall be for a minimum period of FIVE YEARS from the date of acceptance of the equipment by EP. The Comprehensive AMC includes onsite warranty with parts and software updates/upgrades/renewals. The bids received without FIVE YEARS of Comprehensive warranty would be outrightly rejected.
