SHELBY TOWNSHIP MUNICIPAL BUILDING

The Charter Township of Shelby Parks, Recreation & Maintenance Department is soliciting proposals for Photovoltaic System design and installation. PROPOSAL: Photovoltaic system for the Charter Township of Shelby Municipal Building (52700 Van Dyke Ave, Shelby Township, MI 48316). Specifications: See attached supporting documentation. Submission Requirements: Proposal packages must be hand delivered or mailed to the Shelby Township Clerk’s office at 52700 Van Dyke, Shelby Township, MI 48316 in a sealed envelope marked “RFP for Photovoltaic System”, for receipt by Friday, September 23, 2011 at 2:00 p.m. For further information contact Stacy Cerget, Fazal Khan & Associates, Inc, at (586) 739-8007 or email questions to [email protected]. Bidders are strongly encouraged to hand-deliver their proposals to the Office of the Township Clerk. Email and facsimile proposals shall not be considered. Proposals delivered by certified, registered or express mail will be accepted, provided that they are received by the Township prior to the scheduled Proposal Opening. The sealed envelope containing the Proposal shall be enclosed in a separate envelope plainly marked on the outside with the notation “Proposal Enclosed”. A mandatory pre-bid walk-thru of the building will be held on Monday, September 19, 2011 at 2:00 p.m., at the Shelby Township Municipal Building Lobby, 52700 Van Dyke, Shelby Township, MI 48316. The Charter Township of Shelby will award the project to the lowest responsible bidder; however, it reserves the right to reject any or all proposals, and to waive irregularities in proposals. The successful bidder will be required to furnish satisfactory performance, maintenance and guarantee, labor and material bonds and insurance certificates. No bid may be withdrawn after the above date and time for receiving bids for a period of ninety (90) days. The Charter Township of Shelby prefers that interested bidders have a business located in the State of Michigan, in Macomb, Oakland or Wayne County.

SCOPE OF WORK Provide a turnkey photovoltaic (PV) system for the 32,000 square foot Shelby Township Municipal Building. Qualified bidders will engineer, design, deliver, install, operate and maintain a grid connected solar PV system that maximizes the power generated. The goal of the RFP is to make lower-cost renewable energy available to the Charter Township of Shelby (herein also referred to as “Owner”). The successful respondent (herein also referred to as “Contractor” or “Bidder”) to this RFP will be required to contact the local utilities as needed to successfully execute the requirements of this RFP. PROJECT OVERVIEW: The Shelby Township Municipal Building is a 32,000 square foot facility located near the intersection of 24 Mile and Van Dyke. The building serves as the Municipal Office for the Township. In 2010, an Energy Grant through the Department of Energy was received to reduce energy consumption in the Township Municipal Building. At that time, several projects were constructed. The PV System was not constructed at that time. The Township wishes to complete this phase of the projects with this proposal. The two competitive factors for this fixed price project (other factors such as equipment quality and design and installation expertise being equal) shall be: 1) To reliably generate the most amount of electricity for the money available and 2) The ability to provide occasional ongoing promotional and education sessions to students and the general public. Said presentations shall promote Solar Photovoltaic electricity generation as a replacement for non-renewable resources, a reduction in our carbon footprint, and for increased national security, through a reduction in our reliance on foreign oil. The design engineering and installation shall be at a minimum, but not limited to, the following:

1. Calculate estimated annual amount of kWh of electricity generated per year by the proposed PV systems designed and the annual energy value. Calculate estimated MMBTU generated.

2. Design expandable systems and purchase all equipment necessary for the proposed project, including solar panels, racking systems and poles, electrical conduits, inverters, and wireless measuring equipment and install same.

3. Provide a minimum of four hours training to Township employees regarding the ongoing operation and maintenance of the equipment.

4. Conduct necessary arrangements and contracting with local government and utility companies for compliance with their metering system and safety standards.

5. Provide equipment that will collect ongoing bench mark data and include a web based energy efficiency system and provide training in its use.

6. The successful applicant shall provide a minimum of one informal educational session to the general public at a Township Board Meeting.

7. In selecting equipment for the project, special attention must be given to quality and long range durability and longevity of the components. Incorporating the

latest improvements in PV technology and innovative design characteristics shall be considered favorably.

8. All equipment must meet federal “Made in America” standards, free trade agreement claims notwithstanding, according to the Special Terms and Conditions for the Energy Efficiency and Conservation Block Grant Program, included within this RFP.

9. As part of the educational component, create an automated wireless link and presentation screen between the Township website and the installed inverters sowing real time energy generation and historic savings in a manner easily understood by the general public.

10. Provide a building plan with locations of all devices and equipment. 11. Provide lightning protection for the PV system. 12. Provide voltage drop calculations for all DC and AC wiring. 13. Provide a legend for all equipment shown on plans and riser. 14. Provide interconnection with utility companies and net metering. 15. Provide signage and warning labels for the entire PV system. 16. System shall provide for a nominal capacity of maximum 10kWh grid connected

PV system with no energy storage device. An alternate proposal shall be provided for a 15kWh system.

17. System should be designed for outdoor installation, for the normal ambient temperature range characteristic at the installation site, [Shelby Township, MI; -15°F to 100°F], contractor to verify.

18. PV system to be connected to utility electric grid through a grid-interactive power conditioner (inverter).

19. PV system shall be installed at the site, contractor to provide roof mounting in a manner acceptable to the owner.

20. Provide system testing and correct all necessary defects prior to final demonstration and Owner acceptance.

21. The total voltage drop for every DC circuit (PV string to inverter) shall be less than 2%. The total voltage drop for every AC circuit shall be less than 1.5%. Lower values shall be used if required by the equipment manufacturers (inverter, PV panels)

22. Provide emergency disconnect at roof level and ground level. Respondents must submit, at a minimum, the following to the plan reviewer, authorities having jurisdiction and local utility companies:

1. Floor Plans 2. Location of equipment on plans (power panels, disconnect switch, combiner box,

inverters, conduit and wire routing). 3. Building power connection 4. System riser diagram 5. Device circuiting on plans and or riser. 6. Circuit conductors, type and size. 7. Lightning protection for the PV system. 8. Interconnection with utility company and net metering. 9. Manufacturer data, cut sheets, listing and all related information for the

equipment and devices provided for the system. 10. UL label for all components. 11. Review and reply in writing to all plan/system review comments made by the

authority having jurisdiction. Copy the Township Building Department Director,

(Mr. Tim Wood), and the Township Engineer (Fazal Khan & Associates) with all comment responses.

12. Contact the local utility companies, coordinate all requirements and submit all documents required for review and approval of PV system for interconnection and net metering.

13. Engineer and Township Building Department will review system documents and submittals submitted.

14. Review will cover general compliance with project requirements and the intent of the specifications.

15. Contractor shall comply with the following codes: a. NFPA70 – National Electric Code b. UL 1703 c. IEEE std. 1547 d. IEEE std. 1262 or IEC 1215

CONTENT, INSTRUCTIONS AND SELECTION PROCESS/SCHEDULE: A. REQUIRED CONTENT: 1. Qualifications: A brief description of your firm, including its history and direct experience with: A. Relevant projects B. Projects completed with Grant Funding C. Renewable Energy D. Green Projects E. Sustainable Design F. LEED certifiable facilities

2. Proposed Project Team: Respondents should include a resume of each person who will bear primary work responsibility for the services. Identify each person’s participation in past projects with the firm (or under separate employment) that may specifically qualify them to provide the Services. Additionally, persons with primary work responsibility must meet the minimum qualifications of education and experience for a professional related to their specific responsibility for this project. 3. Technical: Generally describe the approach to be taken to provide the Services in order to demonstrate the firms’ understanding of the objectives of the project. Describe in detail the firm’s ability to complete the project.

4. Project References: Give name, address, phone number and e-mail address of client representatives for at-least three (3) projects you have completed which you consider closely related to this project. Briefly describe the scope and budget of each such project.

5. Sub-consultants or sub-contractors: Identify proposed sub-consultants and/or sub-contractors who will be involved in the Project, if any. Include the information described above for each sub-consultant and sub-contractor.

6. Understanding of the project: Provide a narrative of the project and a timeline for project completion.

7. Cost Proposal: Provide a written cost proposal for the project, using the form contained herein. In addition, provide a schedule of the firm’s hourly rates.

8. Insurance/Bonding Requirement: The Contractor shall not commence work or continue work, nor shall he allow any subcontractor to commence or continue to work under this contract, until all insurance policies or certificates of insurance required under this paragraph have been submitted to the Owner and approved by the Owner. The insurance policies must be through and insurance carrier with a current rating no less than A by A.M. Best Company and must be an admitted carrier. The Contractor, at his option shall, either, (1) require each of his subcontractors to procure and maintain during the life of his subcontract, Worker’s Compensation Insurance, Subcontractor’s Public Liability and Property Damage Insurance, Subcontractor’s Motor Vehicle Bodily Injury and Property Damage Insurance, Owner’s and Contractor’s Protective Public Liability and Property Damage Insurance of the types and in the amounts as specified for the Contractor, or (2) insure the activities of his Subcontractors in his own policies.

(a) Commercial Liability Insurance The Contractor shall procure and maintain during the life of this Contract, commercial liability insurance in the name of the Owner and Fazal Khan & Associates, Inc. The insurance shall be in the amount no less than the following: Occurrence Form Limits: $1,000,000 each occurrence (Bodily Injury and Property Damage) $2,000,000 general aggregate $1,000,000 personal & advertising injury $1,000,000 products/completed operations aggregate $ 500,000 fire damage to real property $ 5,000 medical payments Coverage shall not exclude contractual liability, explosion, collapse, or underground hazards.

(b) Commercial Automobile Liability Insurance (1) The Contractor shall procure and shall maintain during the life

of this Contract, Commercial Automobile Insurance in an amount not less than the following:

Commercial Automobile Liability Limits: $1,000,000 combined single limit Michigan No Fault as specified by law Commercial automobile liability coverage must include coverage for all autos, owned, non-owned, and hired.

(c) Owner’s and Contractor’s Protective Liability Insurance The Contractor shall procure and shall maintain during the life of this Contract, Owner’s and Contractor’s Liability Insurance in an amount not less than the following: Occurrence Form Limits: $1,000,000 each occurrence $2,000,000 general aggregate

(d) Umbrella Liability Limits: $2,000,000 each occurrence $2,000,000 general aggregate Coverage should be umbrella form and not excess insurance. Maximum Self-Insured Retention Limit: $10,000.

(e) Pollution Insurance Pollution insurance may be required for some projects based on the type of work being performed and at the discretion of the Township Board or the Township engineer. Pollution Liability Occurrence or Claims Made Forms are acceptable. Limits: $1,000,000 each claim/occurrence $2,000,000 general aggregate/per project Coverage shall include clean-up costs, on and off the site, and liability to third parties. Licensed and unlicensed insurers must maintain an A.M. Best rating of A.

(f) Builders Risk/Installation – Material Coverage Insurance Contractor shall maintain property insurance for 100% of the completed value of any structure or 100% of the materials being used in the installation. If the Charter Township of Shelby maintains an interest in any building materials or installation materials, the Township shall be named as a Lenders Loss Payee.

(g) Worker’s Compensation Insurance The Contractor shall procure and shall maintain during the life of this Contract Worker’s Compensation Insurance as required by Michigan State law for all of his employees to be engaged in work on the project under this Contract; and in case any such work is sublet, the Contractor shall require the subcontractor similarly to provide Worker’s Compensation Insurance for all of the latter’s employees to be engaged in such work. In case any class of employees engaged in hazardous work under

this Contract is not protected under the Worker’s Compensation statute, the Contractor shall provide and shall cause each Subcontractor to provide adequate Employer’s Liability Insurance for the protection of the employees not so protected. Workers compensation including Employers Liability Statutory coverage must be in an amount not less than the following: Employers Liability Limits: $500,000 each accident $500,000 policy limit $500,000 each employee If work involves exposure to Federal Waterway, workers compensation coverage shall include coverage for Longshoreman’s & Harbor Worker’s Act and Maritime Liability.

(h) Certificates of Insurance Contractor shall furnish to the Township and Engineer certificates of insurance evidencing the above coverages. Each policy and certificate shall grant a 30 day notice of intent to cancel or change any such insurance. Certificates of Insurance shall be furnished to the Township prior to commencement of any project, and the certificate shall verify that coverage is in effect until the Township approves and accepts the work performed by Contractor. If the project continues beyond the expiration date of Contractors Insurance, a renewal certificate must be proving continuous coverage.

(i) Additional Named Insured Insurance coverage shall include the Charter Township of Shelby and Fazal Khan & Associates, Inc. as additionally insured.

(j) Indemnification Clause The Contractor shall indemnify and save harmless the Owner and all Additional Named Insured for and from all claims, demands, payments, suits, actions, recoveries and judgments, of every name and description, brought or recovered against them or either or any of them for or on account of any personal injuries or damages to property received or sustained by any person or persons whomsoever by reason of any act or omission of said Contractor, his agents, servants or his contractors in the performance of said work, or by or in consequence of any negligence or carelessness in connection with the same or on account of the death of or injuries to persons who shall be engaged in or about the work to be performed under this contract and on account of liability or obligation imposed directly or indirectly upon the Owner, and all Additional Named Insured, by reasons of any law of the State of Michigan or the United States, now existing or which shall hereafter be enacted imposing any liability of obligation, or providing for compensation o any person

or persons on account of, or arising from the death of, or injuries to, employees. Said Contractor shall pay settle, compromise and procure the discharge of any and all claims and all such losses, damages, expenses, liabilities and obligations, and shall defend at his own cost and expense any and all claims, demands, suits and actions made or brought against the Owner, and all Additional Named Insured, for or upon any such claim. In case said Contractor shall fail, neglect or refuse to comply with any of the provisions of this paragraph, the Owner may, in order to protect himself and all Additional Named Insured from liability, defend any such claims, demand suits or actions and pay, settle, compromise and procure the discharge thereof, in which case, said Contractor shall repay the Owner any and all such loss, damage and expense, including attorneys’ fee paid, suffered or incurred by the Owner and all Additional Named Insured, in so doing. So much of the monies due, or to become due to said Contractor under this agreement as shall be deemed necessary by the Owner shall or may be retained by the Owner until every and all such claims, demands, suits, actions, recoveries, judgments, liabilities and obligations have been settled and discharged and evidence to that effect furnished the Owner, or the Owner may collect the same in whole or in part in any lawful manner from said Contractor. The Contractor shall provide adequate insurance until his work is completed, with a responsible insurance company which meets the approval of the Owner, covering liability to the public for loss resulting from injury to persons or damage to property arising out of, or caused by, his operations, acts or omissions, or those of his Subcontractors, agents or employees in procuring work for the Owner. Such insurance coverage shall be in such amounts as are provided in the public liability and property damage section herein, provided, however, that such insurance coverage shall include an endorsement providing that the contractual exclusion shall be removed or, in the alternative, contractual insurance shall be afforded. If the former, such endorsement shall contain specific language as follows: “It is hereby agreed that the contractual exclusion does not apply to the contract entered into between the insured and the Owner, and each Additionally Named Insured, as their interests may appear for the project work. Such insurance coverage shall also contain an endorsement guaranteeing that thirty (30) days’ notice to the Owner and each Additional Named Insured shall be given in writing prior to the cancellation of, or change in, any such insurance.”

B. INSTRUCTIONS Responses to the RFP must be received by the Charter Township of Shelby Clerk’s Office by 2:00 p.m. on Friday, September 23, 2011. SELECTION PROCESS/SCHEDULE The Charter Township of Shelby anticipates the following process and schedule to select an architect for this project: 1. RFP Issued: September 13, 2011 2. Pre Bid Walk Thru September 19, 2011 3. Bid Opening: September 23, 2011 4. Phone Interviews/Interviews: September 26, 2011 5. Selection Announced: October 4, 2011 6. Project Commences: October 5, 2011 This selection process and schedule remain subject to change at the discretion of the Charter Township of Shelby. D. ADDITIONAL REQUIREMENTS: Questions regarding this RFP should be directed via e-mail to Stacy Cerget before 4:00 p.m., September 20, 2011: [email protected] (Email) The subject line shall state “RE: Photovoltaic System RFP” The Charter Township of Shelby reserves the right to reject any and all RFP responses for any reason or no reason. Submissions will not be returned to applicants and will become the property of the Charter Township of Shelby once submitted. The Charter Township of Shelby reserves the right to request any additional information that might be deemed necessary after RFP information has been received. No person or entity may submit more than one (1) RFP response, either directly or by agent. Expenses incurred in the preparation of the RFP responses are borne by the applicant with the understanding that the applicant may not apply to the Charter Township of Shelby for reimbursement.

Minimum Submittal Requirements: Each RFP response must be submitted as follows: A. Three (3) original 8.5” x 11” copies of the proposal. B. Each submission must be accompanied by a cover letter, executed by an authorized person, which includes the e-mail address to which a confirmation of receipt may be sent. C. Three (3) original 8.5” x 11” copies of the Proposal Form in a separate sealed envelope with no percentage fees allowed, only fixed fees. The fee breakdown must include all personnel hourly rates in addition to the above mentioned fixed fees. The proposal must all include any reimbursable expenses or any additional expenses anticipated for this project and an estimate for each expense. (Example: copies, drive time, phone calls, etc…) Faxed or e-mailed submissions will not be accepted. Phone Interview: During the phone interview portion of the selection process, candidates will be asked to discuss, among other things:

1. Qualifications. 2. Fee structure and costs for the project. 3. Any objections to the Township’s ownership of intellectual property arising from

the Services. 4. Ability to prepare for and attend multiple meetings relating to the project. 5. Ability to complete the project within the allowed time frame.

Conflict of Interest: All bidders agree to disclose any, direct or indirect, current or future, conflict of interest between themselves and the Charter Township of Shelby, and the employees of said entity. If questions arise about potential conflicts of interest, please contact Robert Huth, Township Attorney at (586) 412-4900 prior to submitting proposal. Errors and Omissions in Proposal: The Charter Township of Shelby shall not be liable for any errors in proposals. The Charter Township of Shelby, at its option, has the right to request clarification or additional information from the respondents. Current Claims/Judgments: A statement must be provided regarding any claims, judgments, arbitration proceedings, or suits pending or outstanding against your firm or its officers, principals, employees, and/or consultants under your firm’s supervision.

Contractual Requirements: The selected firm shall be required to enter into a formal contract with the Charter Township of Shelby. The Charter Township of Shelby reserves the right to terminate the contract should the firm fail to provide services to the satisfaction of the Township as outlined in the RFP.

INSTRUCTIONS FOR CERTIFICATION

  1. By signing and submitting this proposal, the prospective primary participant is providing the certification set outbelow.

  2. The inability of a person to provide the certification required below will not necessarily result in denial of participationin this covered transaction. The prospective participant shall submit an explanation of why it cannot provide thecertification set out below. The certification or explanation will be considered in connection with the department oragency's determination whether to enter into this transaction. However, failure of the prospective primary participant tofurnish a certification or an explanation shall disqualify such person from participation in this transaction.

  3. The certification in this clause is a material representation of fact upon which reliance was placed when thedepartment or agency determined to enter into this transaction. If is is later determined that the prospective primaryparticipant knowingly rendered an erroneous certification, in addition to other remedies available to the FederalGovernment, the department or agency may terminate this transaction for cause or default.

  4. The prospective primary participant shall provide immediate written notice to the department or agency to which thisproposal is submitted if at any time the prospective primary participant learns that its certification was erroneous whensubmitted or has become erroneous by reason of changed circumstances.

5. The terms "covered transaction," "debarred," "suspended," "ineligible," "lower tier covered transaction,""participant," "person," "primary covered transaction," "principal," "proposal," and "voluntarily excluded," as used in thisclause, have the meanings set out in the Definitions and Coverage sections of the rules implementing Executive Order12549.
