its IPO of shares on the Hong Kong Stock Exchange. The IPO raised approximately HK$7.862.5 million for our client with exercise of the over-allotment option.

■ NBT (Baicheng) New Energy Development Company Ltd, China: Advising NBT (Baicheng) New Energy Development Company Ltd as project company and equity sponsors AEI and NBT in the first non-recourse long-term financing completed in the wind energy sector in China under the framework of the country’s renewable energy law. This is also the first Renminbi-denominated long-term project financing loan for HSBC and the first project financing transaction done by Bank of Communications in the wind energy sector. This is the first private international project finance wind farm in China.

■ Canunda Wind Farm, Australia*: Advising the project company, International Power, on the Canunda Wind Farm at Lake Bonney in South Australia. The wind farm has 23 turbines capable of generating approximately 46MW of electricity.

■ Taharoa Wind Farm, New Zealand: Advising on the EPC contracts, balance of plant contracts and WOM contract on the NZ$100 Taharoa Wind Farm.

■ Collgar Wind Farm, Australia: Advising REST on its 40% participation with UBS in the establishment of the greenfields wind farm at Collgar in Western Australia; undertaking due diligence; advising REST on the terms of the power purchase agreement with Synergy and the terms of Western Power Interconnection Works Contracts and Western Power Electricity Transfer Access Contract.

■ Mortons Lane Wind Farm, Australia*: Advising the developer on the Mortons Lane wind farm including drafting Turbine Supply Agreement and the Warranty Operations and Maintenance Agreement.

■ Mussleroe Wind Farm, Australia*: Advising the developer on the 168 MW $400 million Mussleroe Wind Farm including negotiating EPC, Supply and Installation Agreement and co-ordinating legal due diligence.

■ Cathedral Rocks Wind Farm, Australia*: Advising the financier in relation to reviewing EPC; redrafting EPC to reflect bankable performance guarantee provisions; reviewing pass through contracts; reviewing and redrafting WOM Agreement; and drafting Coordination and Direct Liability Deed.

■ Windy Hill Wind Farm, Toora Wind Farm, Starfish Hills Wind Farm, Emu Downs Wind Farm and Mt Mercer Wind Farm, Australia: Conducting due diligence investigations for Meridian NZ on the design and construction and operation and maintenance contracts for wind farm assets valued at $450 million across five states; preparation of a report on the bid for the acquisition of those assets; and briefing the bidder on specific risk issues arising from the contracts.

■ Moser Baer PhotoVoltaic, `United States of America: Representing Moser Baer PhotoVoltaic Limited, a solar panel manufacturer – Thin Film and Si on equity investment and solar module product development and manufacturing joint venture with SolFocus, Inc; equity investment in Solaria, Inc; purchase of first “SunFab” thin film manufacturing facility from Applied Materials.

■ Akeena Solar, United States of America: Advising Akeena Solar (PV Panel Manufacturer and Technology Developer on various licensing and distribution contracts.

– Managing the acquisition of the project vehicle and refinancing of partially built 4 MWp project in Teisendorf, Germany during the 2008 global economic downturn

– Managing the complex batched 3.6 MWp project with joint MT infrastructure arrangements in southern Italy through structuring the acquisition of the project vehicles, completion of project development, EPC contracting and managing the sell-off of the German holding company to investors during the construction phase

■ Various Solar Projects, Malaysia and Thailand: Advising the Equis Funds Groups on its proposed investment in four solar projects in Malaysia and Thailand, including advising on and coordinating three complex and interlocking – but separate – work streams on the projects: commercial project documentation (EPC contracts, supply contracts, O&M contracts), project financing plus a tightly-timed corporate acquisition. The complexity is increased by the different level of development that each project has achieved.

■ Confidential, Australia: Advising a manufacturer of solar panels on the effect of changes introduced by the Renewable Energy (Electricity) Amendment Act 2009 (Cth).

■ China Singyes Solar Technologies Holdings, China: Acting for China Singyes Solar Technologies Holdings Limited for initial public offering with funds of HK$63,000,000 raised and listing on the main board of the Hong Kong Stock Exchange. ICEA Capital Limited was the sole sponsor and Ernst & Young were the reporting accountants. Gordon Ng & Co. in association with Hogan & Hartson LLP acted as the Hong Kong legal advisor to the sole sponsor.

■ Proposed listing of energy company on HKEX, China: Advising the issuer in the proposed listing of a company based in Southern China and engaged in the design, fabrication and installation of building systems converting solar energy into electricity on the Main Board of the Hong Kong Stock Exchange.

■ Equity and debt financing advice, Singapore: Advising the Arranger of the equity and debt finance in connection with a proposed thin film solar panel manufacturing plant in Singapore. Our representation included advising the Arranger on the proposed off-take arrangements and the direct agreements with the various contracting parties and on the structure of the debt and equity financing, including the documentation of the debt financing through bonds to be issued in the Netherlands.

■ Photonic Energy A/S, Hong Kong: Advising Photonic Energy A/S in connection with the settlement of joint venture and commercial (relating to OEM contacts for solar modules) disputes and the purchase of a 10 percent minority interest in relation to a Hong Kong subsidiary set up between a subsidiary of Photonic Energy A/S and Centrosolar Group AG (a solar energy company listed on the Frankfurt market).

■ Managing contract negotiation – including German export credit finance – for a Bulgarian project with an estimated batched 9 MWp.

■ Bujagali hydroelectric project, Uganda: Acting for the Borrower on the financing of the $872 million Bujagali hydroelectric project in Uganda, including reviewing and advising on project finance documentation.

■ Rehabilitating disused hydro power stations, United Kingdom: Advising a Ukrainian energy company on raising funds in the UK market for the purpose of rehabilitating disused hydro power stations.

■ Shams’ Solar Plant, Emirate of Abu Dhabi: Advising Abener Energia SA on the $600 million ‘Shams’ solar plant (meaning ‘sun’ in Arabic), which is a 100MW concentrated solar plant located in the western region of the Emirate of Abu Dhabi. The project, which is being developed at a cost of US$600 million, is the first solar project to be developed by Masdar, the Abu Dhabi Government’s clean energy company, and will be the first solar power facility in the United Arab Emirates. Our team negotiated and finalised the EPC contract (including the usual annexed documents required for project financing), dealt with lender issues and provided support to our client’s sister companies, e.g. in respect of off-take, environmental and land arrangements.

■ Chromsun, United States of America: Advising Chromsun on solar thermal projects (PPA, EPC, tax equity, etc).

■ Renewable Energy Independent Power Producer Procurement Programme, South Africa: Advising with DLA Cliffe Dekker Hofmeyr, on a series of projects related to the Renewable Energy Independent Power Producer Procurement Programme led by the Department of Energy and Eskom in South Africa, including drafting key project documentation for:

– Ener-G Landfill Gas Projects: Advising Nedbank as lenders for the Ener-G Landfill Gas Projects.

■ Biomass Power Project, People’s Republic of China: Advising the sponsors of a biomass power project in the People’s Republic of China (PRC) on joint venture, feedstock supply and EPC agreements.

■ Acquisition of majority interest in waste to energy plants, China: Advising a European utilities and engineering group in relation to the acquisition of majority interests in two waste to energy plants in the PRC. Our team advised on the due diligence of the target companies (state-owned enterprises), the acquisitions and the re-negotiation of concession agreements with local authorities.

■ Shareholder rights, Thailand: Advising a Thai company that specialises in building and operating plants that convert renewable waste into energy, on the rights and obligations of its shareholders and management under a theoretical sale of shares by a current shareholder.

■ EESTech Inc., China: Advising EESTech Inc, the sponsors of a biomass power project in the PRC, on fuel supply, EPC, PPA, joint venture and technology licence agreements.

■ Guangxi Biomass Project, China: Advising Pulse Energy on a number of renewable energy projects in the People’s Republic of China, including the development of a biomass power project in GuangXi province; this involved drafting key term sheets for fuel supply, offtake, EPC and O&M arrangements.

■ Methanex Corporation, China: Advising Methanex Corporation, a global leader in the production and marketing of methanol, on the equity option and guarantee part of a long term contract with China’s XinAo Group to supply 300,000 tonnes per year of methanol, for a di-methyl ether (“DME”) plant near Shanghai. The option allows Methanex to take an equity stake of up to 20% of the DME facility, which it exercises. The company was subsequently converted from a WFOE to a Sino-foreign joint venture.

■ Bio-fuel products, Thailand: Representing a Belgian waste-to-energy group in setting up corporate entities in Thailand for opening the bio-fuel products for exportation and domestic sales, including advising on setting up energy plants.

■ Foreign investment into renewable energy project, Thailand: Advising the Thai subsidiary of a major international energy company on foreign investment in relation to renewable energy, assisting in the acquisition of land, setting up legal entity in Thailand, and applying for BOI for the operation of a renewable energy project.

■ 20-F registration, Singapore: Advising a Singapore-based renewable energy company in its 20-F registration as a reporting foreign issuer with the US SEC in preparation for subsequent Regulation S private placement. DLA Piper acted as transaction counsel, conducting due diligence and preparing documentation for SEC registration and Regulation S placement and assisting in raising US$50 million for its business requirements.

■ Representing Nordex USA, Inc., one of the world’s largest wind turbine producers and alternative energy project developers, and Synergics, Inc. as project counsel in a complex combination of bridge project financing and a receivable sale secured by a US Treasury cash grant in connection with a US$110 million wind power project in Maryland.

■ Representing Nordex USA, Inc. and Beebe Community Wind, LLC., a Michigan project developer, in their joint sale of a large wind energy project located in Gratiot County, Michigan, to an affiliate of Exelon Corporation, one of the country’s largest utilities. ■ Serving as counsel to Globeleq, Inc. in the acquisition of a majority interest in Energias Renovables de Mesoamerica S.A. (ERM or Mesoamerica Energy), the owner, operator and leading developer of wind projects in Central America.

■ Representing Energía Eólica de Honduras S.A. (a joint venture between Globeleq and Mesoamerica), as borrower, in connection the US$ 260 million senior secured financing provided by US Exim Bank and CABEI to finance the development and construction of a 102 MW wind power generation facility in Honduras.

■ Representing Synergics Roth Rock Wind Energy, LLC in the sale of a wind energy farm in Maryland to Gestamp Eolica.

■ Advising ITC Holdings Corp. on its development of the Green Power Express high voltage transmission project, which involves approximately 3,000 miles of 765 kV transmission through portions of North Dakota, Minnesota, Iowa, Wisconsin, Illinois, and Indiana bringing up to 12,000 MW of renewable energy to major Midwest load centers. The project cost is estimated at between US$10-$12 billion.

■ Representing ABB Energy Capital LLC in connection with:

– Providing term financing for two wind turbine projects currently being developed by Multon Lynde Power Partners, LLC and Champepardan Wind Power Partners, LLC (both of which are affiliates of Enexco, Inc.) located in Murray County, Minnesota. Representation included the review and restructuring of the project documentation, review of the due diligence materials and preparation of all loan documentation.

– Providing US$25 million of term financing for 17 separate wind turbine projects located in Minnesota owned by 17 affiliates of a joint venture involving CHI Energy, Inc. and Northern Alternative Energy, Inc. The transaction involved the review and modification of the project documents, review of due diligence materials, as well as the preparation of all loan documents and supervision of the closing of the transaction.

■ Representing BP Wind Energy North America Inc. in connection with a joint venture in which BP is a member with respect to real estate and other matters relating to a wind energy project located in South Dakota, Iowa and Illinois as well as one to be developed by BP in Ohio.

■ Representing Duke Energy Corporation in expanding its renewable portfolio with the acquisition of Catamount Energy’s wind power business.

■ Representing Idaho Wind Partners 1, LLC, as project counsel, and RP Wind ID LLC, its managing member, in connection with its acquisition of equity in and the development, construction, financing and operation of a 183 MW portfolio of wind farms under long-term power purchase agreements with Idaho Power.

■ Representing Reunion Power LLC in connection with a development capital loan and long-term debt equity joint venture with Mission Wind New York Inc., a subsidiary of Edison Mission Energy. Advising on the joint development agreement and development agreement with affiliates of Mission Energy. This matter had an initial funding of approximately US$2 million with a prospective total development capital of US$200-$250 million.

■ Advising BioTherm Energy in connection with its phase 1 bid for the development of wind power projects in South Africa.

■ Representing a Korean wind turbine manufacturer, as a developer and turbine supplier, in the development and subsequent financing of a 900 MW wind farm in West Crimea, Ukraine.

■ Representing the developer of an up to 770 MW wind farm on 30,000 acres in four counties in Illinois regarding all local and county land use and zoning approvals and related tax, real estate and transactional issues.

■ Representing a US-based developer/operator in the acquisition of a portfolio of wind generating assets under development in Vermont.

■ Representing a multinational manufacturer and project developer of wind turbines in obtaining licenses from California governmental agencies on an expedited basis.

■ Representing a large Germany-based bank as arranger and lead lender in a monoline wrapped bond financing for the acquisition of a portfolio of wind farms in Germany and France.

■ Representing the developer of a 240 MW wind farm in Illinois including obtaining all county land use and zoning approvals and addressing real estate easements, title review and other transactional and construction issues.

■ Representing an investor/operator in connection with its acquisition of an equity interest and management control of two wind projects located in Minnesota and Iowa totaling approximately 187 MW. Representation included the negotiation of the O&M contract and preparation of RFPs for various services.

■ Representing FPL Energy as Texas real estate counsel on the 75 MW Southwest Mesa, 160 MW Woodward Mountain project, and the 278 MW King Mountain wind power projects near Odessa, Texas. Representation included negotiation and preparation of ground leases, easements and other transaction documents; title review and corrective title work; environmental review; property tax abatements; development permits; construction financing; and overall coordination of all real estate matters. The ground lease forms developed for these projects have been widely used in numerous West Texas wind power transactions.

■ Representing Dexia Credit Local as Texas real estate counsel on the construction financing for the 121 MW Buffalo Gap wind power project near Abilene, Texas. Representation included advising on the due diligence review of title documents, ground leases, easements, property tax abatements, permits and approvals, environmental matters, regulatory issues and construction loan documents.

■ Representing RES North America in the preparation of a standard form of ground lease for wind power projects in Texas.

■ Advising Edp Renovaveis on a wide range of WPP projects belonging to a leading Turkish energy company while cherry-picking the most favourable projects. We have reviewed files of 65 WPP projects.

■ Advising Turkven in the agreement signed with a Turkish wind plant operator and provided legal advice on the up to date legislative improvements with respect to the operation of WPPs.

■ Representing Stion, a manufacturer of PV thin film modules, in Department of Energy (DOE) loan guarantee work and in several rounds of financing.

■ Representing Union Bank, N.A. in originating a US$55 million credit facility to SunPower Corporation, which designs, manufactures and delivers high-performance solar electric systems worldwide for residential, commercial and utility-scale power plant customers.

■ Representing Oxford Finance Corporation, a specialty finance lender, and Silicon Valley Bank, the premier technology (including “clean tech”) and life sciences bank, in connection with a US$25 million credit facility being provided to a company that designs and manufactures photovoltaic systems for the commercial rooftop market.

■ Representing eCube Systems, LLC, a manufacturer of solar cells based in the People’s Republic of China, in connection with:

– A reorganisation to prepare for a Series A financing. eCube had been organised as a Delaware, LLC with a very complicated capital structure, including three levels of subsidiaries including two Cyprus corporations, a Cayman Islands company and two PRC companies.

– Raising a Series B Preferred Stock round.

■ Assisting Novus Energy Partners, which invests in companies with technologies advancing solar power generation, wind power generation or electric transport, in connection with:

– Its investment in Voltaix, which is a US-based special chemical manufacturer whose products help produce both thin film and polycrystalline solar cells.

– The formation of a US$150-plus million transatlantic clean tech fund, its combination with iEnergies and in its portfolio investments in A123 Systems, Think, Bright and Voltaix.

– The Series D financing of Bridgelux, Inc., a manufacturer of high power LED arrays, with Passport Capital LLC.

– Representing Akeena Solar, Inc. (now Westinghouse Solar), a leading designer and distributor of rooftop solar power systems, in a US$2.2 million registered direct offering for which Akeena issued common stock and a new series of warrants. The transaction presented interesting issues relating to the allowable limits on offerings by small cap public companies under special SEC rules for registered direct offerings using Form S-3 and under NASDAQ corporate governance rules.

– Representing Scatec Solar North America in connection with a 0.5 MW solar installation at Australian Foster’s Brewing Group-owned Chateau St Jean Winery in Napa, California, including the drafting and review of the power purchase agreement (solar

– Representing Goldman, Sachs & Co. and its Special Situations Group in connection with a series of alternative energy and cleantech investments and related transactions. Representation included the US$25 million equity financing of Amonix Inc., a California-based developer and manufacturer of high concentration photovoltaic solar panels, which was led by Goldman with participation from MissionPoint Capital Partners. Also advised on the client’s US$25 million equity financing of Ice Energy, Inc., a Colorado-based developer of new technology for HVAC that dramatically reduces energy costs.

– Representing Suniva, Inc., an Atlanta-based photovoltaic cell manufacturing and development company, in its US$50 million Series B financing. The initial closing, for approximately US$47.5 million, included repeat and new investors. DLA Piper also was instrumental in Suniva’s formation and initial funding, which included the negotiation of a license of the company’s key technology from Georgia Tech.

– Representing Pfizer in connection with development of over US$160 million of solar power projects in Puerto Rico and related request for proposal from potential developers and corresponding power purchase agreement.

– Advising Florida Power & Light on different regulatory aspects related to thermal solar projects in Spain.

– Representing Lighthouse Solar, a Boulder-based solar services company, in a private equity round.

– Representing Innovalight, Inc., a company specializing in advanced silicon inks and process technologies that increase the efficiency of crystalline silicon solar cells, in a US$5 million venture (debt) financing and in its acquisition E. I. du Pont de Nemours and Company.

– Representing MiaSolé, a fast-growing, venture-backed solar technology company, in all its real estate and corporate work including a Series E financing of US$20 million.

– Representing Moser Baer Photo Voltaic Limited (MBPV) in its acquisition of Thin Film Manufacturing Plant from Applied Materials; an equity investment and long-term manufacturing arrangement with SolFocus; an equity investment in Solaria; and an equity investment in Scion.

– Representing AQT Solar, Inc. in a US$21 million series B preferred stock financing.

■ Advising Renovalia Energy in its solar energy portfolio acquisition projects in Turkey.

■ Representing Pacific Light & Power (PL&P), as developer of the Konohiki Hydroelectric project located on Kauai in Hawaii, in opposing a competing application for development of the facility. Representation included filing an opposing statement with FERC noting PL&P’s existing control of the site, leases, water use contracts, requisite permits and support from the local community. As a result, FERC denied the competing applications.

■ Representing RBC Merchant Bank (Caribbean) Limited and a group of lenders, including FMO, the Central American Bank for Economic Integration (CABEI), DEG Bank and Banco G&T Continental, in connection with the successful restructuring, recapitalisation and refinancing of a US$180 million project financing for Hidro Xacbal S.A., which operates a 94 MW hydroelectric facility in Guatemala, the largest hydroelectric project in Central America.

■ Representing China Hydroelectric Corporation in its initial public offering – an approximately US$100 million IPO – creating a New York Stock Exchange-listed company with a market capitalisation

of approximately US$800 million. DLA Piper has worked with China Hydro, which acquires, develops and operates hydroelectric facilities in China, since 2006 and assisted the company with its acquisitions as well as more than US$300 million in financing transactions.

■ Representing Electron Investment on the Pando and Monte Lirio power projects, which comprise a hydroelectric power development on the Chiriquí Viejo River (“CVR”) in Western Panamá. The project involves the construction of two run-of-river hydroelectric power plants to be operated in cascade, totaling 85 MW in installed capacity (Pando, 33 MW and Monte Lirio, 52 MW) and 57.4 MW in firm capacity.

■ Representing RBTT Merchant Bank Limited, as agent, and a syndicate of lenders in a restructuring of US$175 million project financing for Itidro Xacbol S.A., which is constructing the largest hydroelectric plan in Guatemala.

■ Campos Mello Advogados advised Norwegian hydropower development company SN Power on all legal aspects related to the acquisition of a R$705 million stake in Brazilian renewable energy company Desenvix, which focuses on hydropower developments in Brazil.

■ Campos Mello Advogados assisted BR Distribuidora, a unit of Petrobras, in the implementation of several small hydropower plants in the state of Goiás, Brazil.

■ Campos Mello Advogados assisted Brazil Hydroelectric Corporation in entering the Brazilian market and with three hydroelectric projects.

■ Representing UTS BioEnergy, LLC, with its portfolio financing of two waste-to-energy (reclaimed wastewater methane for use in fuel cells) projects in San Jose and San Bernardino, California. The projects, worth US$40 million, were financed using California Pollution Control Bonds, Section 1603 “Grants in Lieu” funds and California’s Self-Generation Incentive Payments (SGIP). Debt repayment will be made from the grant proceeds and SGIP payments as well as the proceeds of the power purchase agreements with the relevant wastewater utilities. This is only the second such transaction of this type of waste-to-energy project financing.

■ Advising Abengoa Bioenergy Biomass of Kansas, LLC, an indirect subsidiary of Abengoa SA of Spain, in the project financing of a 23-million gallon-per-year integrated biomass-to-ethanol production facility and related 20 MW biomass-fired power generation facility in Kansas. The loan was provided by the Federal Financing Bank (FFB) and fully guaranteed by the US Department of Energy under the DOE Loan Guaranty Program (LGP) under Section 1705 of the American

Reinvestment and Recovery Act (ARRA). The total project cost will exceed US$400 million, funded by the FFB loan of US$132.4 million, a grant under the DOE’s Energy Efficiency and Renewable Energy Program (Section 932) of US$85 million, and sponsor equity of US$272.9 million.

■ Representing Rodman & Renshaw, LLC and Axiom Capital Management, Inc., as underwriters for a US$33 million underwritten follow-on offering of common stock of Sino Clean Energy, Inc. (Nasdaq: SCEI), a Chinese issuer that operates as a third-party commercial producer and distributor of coal-water slurry fuel in the People’s Republic of China.

■ Representing Fortistar in connection with the US$100 million debt and equity financing of a portion of its US land-filled gas portfolio consisting of sixteen separate projects located in California and Illinois.

■ Representing MTPV Corporation in its conversion from a LLC to a C-Corp and a subsequent US$8 million Series B financing.

■ Acting as counsel for Summit Energy Partners in connection with its development and financing of a 100 MW biomass-fired generating facility, the Yellow Pine Project, located in Southwest Georgia. The facility will serve several municipalities and electric cooperatives in the region. Representation included negotiating a development loan from a portfolio company of an energy-focused private equity fund that provided capital to bridge the project up through financial closing.

■ Advising Mt. Poso Cogeneration Company on the conversion of a coal-fired plant to a biomass renewable energy plant in compliance with California law. Advised Mt. Poso on a change in land use; solved multiple environmental and air emissions issues; negotiated all fuel supply agreements, construction contracts and the critical power purchase agreement to provide substantial protection to the client; and ultimately will negotiate loan documents for financing the conversion. This project represents the first significant conversion of a coal plant in California, and we effectively shortened the conversion time period by two years.

■ Representing Balkan Ventures LLC, the subordinated lender in an approximately US$150 million aggregate project finance loan facility. The proceeds from the loan facility were used by the borrower, Hereford Biofuels, L.P., for the construction of a biomass-fueled 105 million gallon per year denatured ethanol production facility located in Hereford, Texas.

■ Representing Musco Olive Products, Inc. in negotiating agreements for development and construction of a biomass facility at its processing plant and the tax-exempt bond issuance that financed construction of the project.

■ Representing AgriPower, Inc., a company that uses biomass to produce clean energy and remove biomass waste in an environmentally friendly manner, in its intellectual property matters.

■ Representing Reunion Power LLC in connection with the development and financing of a 45 MW biomass-fired generating facility in Ludlow, Vermont. One of the challenges encountered included working with prospective offshore equity investors while maximizing potential use of US tax benefits and structuring purchase agreements with multiple Vermont utilities. This matter is valued at US$180 million.

■ Acting as counsel for White Pine Electric Power Company in connection with the development and financing of three biomass-fired cogeneration facilities located on the Upper Peninsula of Michigan. The facilities will serve local industrial load as well as supply several investor owned utilities in the region.

■ Representing a public authority in connection with the procurement, development and project financing of a 60 MW, US$154 million publicly financed greenfield biomass energy project in Baltimore, Maryland, including developing procurement documents and project agreements; providing legal advice regarding all aspects of procurement, negotiating, construction and operating agreements; and preparing and implementing financing documents for a public offering of bonds for the private owner of the plant.

■ Representing a US-based private equity fund in connection with the acquisition and financing of an open looped biomass fueled power production facility located in North Carolina.

■ Representing the developers in connection with approximately ten 10-15 MW renewable resource-fired power generation facilities under development in various locations under the Italian energy liberalization laws promoting green power (“CIP 6” contracts).

■ Representing Hawai`i BioEnergy, which is at the forefront of the development of a biofuels industry in Hawaii and is a leading renewable energy supplier to the Hawaiian Electric Company. Hawai’i BioEnergy’s investors include Steve Case’s Grove Farm, Pierre Omidyar’s Ulupono Initiative, Khosla Ventures, Finistere Ventures and Kamehameha Schools. Representing Hawai’I BioEnergy in connection with:

– Its collaborative agreement to work with Boeing to evaluate local crops in Hawaii as potential sources for conversion to jet fuel and to assess new technologies for aviation biofuel production.

– An agreement to supply 10 million gallons per year of locally grown and processed biofuels for power generation of Hawaiian Electric’s Kahe Generation Station. Hawai`i BioEnergy will grow sustainable energy crops for the renewable fuel on the Island of Kauai, on largely fallow land. The 20-year contract offers a stable pricing structure not linked to the volatile price of petroleum fuel.

■ Representing Pure Biofuels Corp. (OTCBB: PBOF), a Peruvian biodiesel production and distribution company, in connection with:

– A PIPE (private investment in public equity) financing consisting of US$3 million aggregate principal amount of convertible notes. The proceeds from the financings are being used to complete construction and development of two biodiesel plants in Peru.

– A financing that consisted of US$34.3 million aggregate principal amount of convertible notes. This financing was part of an overall recapitalization of the company’s debt pursuant to a sales/leaseback transaction with Banco Internacional Del Perú S.A.A. – Interbank. The investors were affiliates of Plainfield Asset Management.

■ Representing BP Biofuels North America LLC, an affiliate of BP America, Inc., in connection with the negotiation and execution of a purchase agreement with Verenium Corporation (NASDAQ: VRNM), pursuant to which BP Biofuels North America has agreed to acquire Verenium’s cellulosic biofuels business, including Verenium’s facilities located in Jennings, Louisiana and San Diego, California for a purchase price of US$98.3 million.

■ Representing PICO Holdings, Inc. and affiliates in a US$100 million term and working capital project financing by ING (Americas) and Macquarie for a biofuels facility in Minnesota, and related commodity hedge agreement with Macquarie.

■ Representing Imperium Renewables in a series of financings, including a US$120 million Series B financing. Representation also included a S-1 filing (the IPO was withdrawn) and in a recapitalization and restructuring transaction.

■ Representing Kreido Biofuels, Inc. in the negotiation of three leases for biofuel facility production and shipping, including the use of docks and pipelines for water shipments and the negotiation of supply and production sales agreements.

■ Representing Future Capital Partners Limited with respect to the financing and promotion of Ethanol Ventures Limited, a UK company that aims to add significant capacity to the UK and European road biofuels market by delivering at least 378 million liters a year of bioethanol from two UK facilities. We advised Future Capital in connection with the first-stage fundraising for the project and are advising on the second-stage fundraising to complete construction and development of the two bioethanol plants.

■ Representing the Scripps Research Institute in connection with intellectual property exclusively licensed to biofuel company Sapphire Energy.

■ Representing Diversa (now Verenium Corporation), which develops and commercialises cellulosic ethanol, obtaining patents to its specialty enzymes and other materials used currently in its industrial processing and biofuels programs.

■ Representing GreenHunter Energy, Inc. in matters involving the energy bill under discussion in Congress, particularly on how to protect the tax credit for the biodiesel industry, and in two additional legal projects.

■ Representing Brasil Ecodiesel in connection with a US$170 million 144A/Regulation S offering of ordinary shares and American Depositary Shares.

■ Representing Renova Energy, Inc. and two of its subsidiaries in their chapter 11 reorganisation proceedings in the United States Bankruptcy Court for the District of Wyoming. The companies are part of a complex ethanol production and distribution network based in the Rocky Mountain region of the US. These bankruptcy cases are being jointly administered and are the first large-scale bankruptcy cases to be filed in the District of Wyoming in over a decade.

■ Counseling Topell B.V., the world’s first large-scale manufacturer of torrefied pellets, on the land options to be obtained for the construction of a bioethanol facility and environmental law aspects.

■ Representing J&S Energy, part of the largest independent importer of fuels to Poland, in connection with tax incentives applicable to biofuels in Poland.

■ Representing BioMCN, a Dutch company specialising in the production of biomethanol, in connection with the start-up of a new production plant. Representation involved assisting the managing directors regarding their relationship with company shareholders and the supervisory board, director liability issues and the financing of the new production plant.

■ Representing Abengoa Bioenergía, a major Spanish leader in the production of biofuels, in connection with the financing provided by a syndicate of banks for the construction of a bioethanol plant located in the Netherlands.

■ Representing Leysen N.V., a Belgium company, in connection with its investment in a jatropha power plant project in Thailand. The project includes setting up power plant companies for blending oil from jatropha seeds for domestic sale and export and sale and export of its residue of seeds after blending. In addition, we are advising the client on obtaining a promotion license from the Thai Board of Investment, the corporate and tax structure of the project and regulatory issues with the day-to-day operations.

■ Representing Renova Energy, Inc. in connection with the approximately US$60 million project financing and partial refinancing of its two ethanol projects located in Wyoming and Idaho.
