WHEREAS,NCPAhastheadministrativeandlegalcapacitytoadministerpurchasesundertheMasterAgreementtopublicagencies;

WHEREAS,NCPAservesastheadministrativeagentforRegion14ESCinconnectionwithothermasteragreementsofferedbyNCPA

WHEREAS,Region14ESCdesiresNCPAtoproceedwithadministrationoftheMasterAgreement;

WHEREAS,NCPAandVendordesiretoenterintothisAgreementtomakeavailabletheMasterAgreementtopublicagenciesonanationalbasis;

NOW,THEREFORE,inconsiderationofthepaymentstobemadehereunderandthemutualcovenantscontainedinthisAgreement,NCPAandVendorherebyagreeasfollows:

♦ GeneralTermsandConditionsØ TheMasterAgreement,attachedheretoasTab1andincorporatedhereinbyreferenceas

thoughfullysetforthherein,andthetermsandconditionscontainedthereinshallapplytothisAgreementexceptasexpresslychangedormodifiedbythisAgreement.

Ø NCPAshallbeaffordedalloftherights,privilegesandindemnificationsaffordedtoRegion14ESCundertheMasterAgreement,andsuchrights,privilegesandindemnificationsshallaccrueandapplywithequaleffecttoNCPAunderthisAgreementincluding,butnotlimitedto,theVendor’sobligationtoprovideappropriateinsuranceandcertainindemnificationstoRegion14ESC.

Ø Vendorshallperformallduties,responsibilitiesandobligationsrequiredundertheMasterAgreementinthetimeandmannerspecifiedbytheMasterAgreement.

Ø NCPAshallperformallofitsduties,responsibilities,andobligationsasadministratorofpurchasesundertheMasterAgreementassetforthherein,andVendoracknowledgesthatNCPAshallactinthecapacityofadministratorofpurchasesundertheMasterAgreement.

Ø WithrespecttoanypurchasesmadebyRegion14ESCoranyPublicAgencypursuanttotheMasterAgreement,NCPA(a)shallnotbeconstruedasadealer,re-marketer,representative,partner,oragentofanytypeofVendor,Region14ESC,orsuchPublicAgency,(b)shallnotbeobligated,liableorresponsible(i)foranyordersmadebyRegion

14ESC,anyPublicAgencyoranyemployeeofRegion14ESCorPublicAgencyundertheMasterAgreement,or(ii)foranypaymentsrequiredtobemadewithrespecttosuchorder,and(c)shallnotbeobligated,liableorresponsibleforanyfailurebythePublicAgencyto(i)complywithproceduresorrequirementsofapplicablelaw,or(ii)obtainthedueauthorizationandapprovalnecessarytopurchaseundertheMasterAgreement.NCPAmakesnorepresentationsorguarantieswithrespecttoanyminimumpurchasesrequiredtobemadebyRegion14ESC,anyPublicAgency,oranyemployeeofRegion14ESCorPublicAgencyunderthisAgreementortheMasterAgreement.

Ø ThePublicAgencyparticipatingintheNCPAcontractandVendormayenterintoaseparatesupplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.AnysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweenthePublicAgencyandVendor.NCPA,itsagents,membersandemployeesshallnotbemadepartytoanyclaimforbreachofsuchagreement.

♦ TermofAgreementØ ThisAgreementshallbeineffectsolongastheMasterAgreementremainsineffect,

provided,however,thattheobligationtopayallamountsowedbyVendortoNCPAthroughtheterminationofthisAgreementandallindemnificationsaffordedbyVendortoNCPAshallsurvivethetermofthisAgreement.

♦ FeesandReportingØ TheawardedvendorshallelectronicallyprovideNCPAwithadetailedmonthlyor

quarterlyreportshowingthedollarvolumeofallsalesunderthecontractforthepreviousmonthorquarter.Reportsshallbesentviae-mailtoNCPAofficesatreporting@ncpa.us.Reportsaredueonthefifteenth(15th)dayafterthecloseofthepreviousmonthorquarter.Itistheresponsibilityoftheawardedvendortocollectandcompileallsalesunderthecontractfromparticipatingmembersandsubmitone(1)report.Thereportshallincludeatleastthefollowinginformationaslistedintheexamplebelow:

Our sales and marketing efforts will include participation in national and regional conferences for governments, schools, and non-profits. We are a frequent presenter at conferences and conduct educational sessions when available. We also attend and exhibit at these conferences.

We also have a monthly email newsletter that goes out to a large audience that includes governments, schools, and non-profits.

Throughout all our efforts, NCPA will be featured as our contract solution for governments, schools, and non-profits.

The success of this program depends on a well-framed and thought out process and strategy specific to the needs and wants of your members. The following is a suggested process for a successful rollout of the program:

Program Component

1. Program Announcement: Develop and issue press releases.

2. Program Training: Conduct a web meeting in which NCPA representatives can train the CCA sales force on how to best work with NCPA members including contracting authority, scope of NCPA membership, and other items.

3. Develop Rollout Plan: Cost Control Associates, in consultation with NCPA will develop plans on how to best develop business under the program. Identify objectives, targets, and plan of execution.

4. Develop Marketing Plan: Cost Control Associates will then develop a marketing plan for the program with input from NCPA.

5. Program Materials: A specific website page and marketing literature specific to the NCPA program will be developed.

6. Execute Marketing Plan: The marketing plan will be executed, monitored, and adjustments made.

Cost Control Associates has instituted a corporate-wide recycling program including the use of recycled paper. Our procurement program allows for the purchase of green energy and/or renewable energy credits. We can also provide emissions reporting capability to allow for the monitoring and measuring of greenhouse gas emissions. At times we partner with energy efficiency consulting firms to work with our clients on reducing their carbon footprint.

Vendor Certifications (if applicable)

Provide a copy of all current licenses, registrations and certifications issued by federal, state and local agencies, and any other licenses, registrations or certifications from any other governmental entity with jurisdiction, allowing respondent to perform the covered services including, but not limited to, licenses, registrations, or certifications. Certifications can include M/WBE, HUB, and manufacturer certifications for sales and service.

PRODUCTS AND SERVICES This proposal presents an array of solutions and services designed to help Region 14 ESC/NCPA members with the following functions.

• Energy Cost Recovery and Reduction™ Services: We will identify errors and submit claims to the energy companies. We will undertake refund negotiations when necessary and any follow up work needed to collect the refunds. We will arrange for the utility companies to credit refunds to accounts or issue refund checks. We will also submit recommendations for savings opportunities and discuss these recommendations with members. After approval, we will implement those recommendations chosen.

• Waste Removal Cost Recovery and Reduction™ Services: For many organizations, waste removal costs continue to grow as regulations become more restrictive and recycling requirements change and grow. Many organizations obtain competitive price quotations periodically, but do not realize the potential to control waste costs in other ways. We will conduct a complete review of the waste bills. We will analyze waste disposal and recycling costs and practices to identify areas of improvement.

• Telecom Cost Recovery and Reduction™ Services: Similar to our Energy Cost Recovery and Reduction™ program, we will review local, long distance, voice and data bills to identify errors and cost saving recommendations. For errors identified, we will submit claims to the telecom companies and undertake refund negotiations when necessary. We will also submit recommendations of savings opportunities and after approval, will implement those recommendations chosen.

• Cellular Cost Review and Optimization: We will review cellular bills to identify errors and other savings opportunities. We can help maximize the cost-effectiveness of cellular/wireless services. Our services include analyzing existing usage and costs, making recommendations for plan and other cost improvements, and implementing the approved recommendations. We can also help with contract negotiation and preparation of cellular phone usage policies.

• Invoice Processing & Payment: Our services include receipt of

invoices directly from the utility suppliers, data and image capture, screening of bills for errors, bill payment & fiscal support services.

• Data Analysis & Review: Our services provide ongoing oversight and analysis of utility billing data. Using our industry leading three-stage audit process, Cost Control Associates finds and investigates errors and performs rate analysis using its proprietary rate engine to insure that the most advantageous rates are assigned on all accounts.

• Energy Procurement: Our energy procurement experts work to craft a solution that meets member specific needs. Our goal is to help manage the energy procurement process, to drive down the per unit electric and natural gas costs and to develop a program that matches the risk profile.

• Budget & Forecasting: Our services can be as simple or as complex as needed. We tailor this service to member needs and include cost budgets, usage budgets and variance analysis.

• Location Opening & Closing: Cost Control Associates takes the worry out of opening and closing utility services for locations. We work with utility companies to initiate or terminate services promptly, ensure appropriate rate assignments and verify proper handling of deposits.

A. ENERGY COST RECOVERY AND REDUCTION Our Energy Cost Recovery and Reduction services can include electric, water, sewer, and heating fuels such as natural gas, propane, and oil costs. Members can select from the types of bills they wish to include in the review.

Organizations realize two primary benefits from our Cost Recovery and Reduction program:

• Refunds: We recover money from providers due to billing errors.

• Cost Saving Recommendations: In addition to recovering refunds, we will identify possible cost saving recommendations that will result in reduced expenses with existing vendors, primarily through the identification of alternate tariffs and rates that may be available. Our recommendations are not mandatory, and we will be responsible for implementation of only those recommendations that are approved.

Our programs produce results. Once we gather and compile historical data in our systems, our analysts conduct a comprehensive review of billing information. Our analysts evaluate the results of the data checks and make judgments on additional steps to take. These steps lead to the identification of errors. Some of the more common errors include:

• Meter reading errors • Wrong rates applied • Charges billed for incorrect or nonexistent equipment • Meter malfunctions • Wrong meter types installed by the utility • Clerical errors in bill computations • Wrong factors applied • Incorrect tax charges

In addition to error detection, we also analyze rates and look for other solutions that will reduce on-going costs. Most energy companies offer rate choices, but do little else to inform their customers of other cost-saving options. Suppliers are under no obligation to insure that the customer is receiving the lowest unit cost. Cost-saving recommendations generally include:

• Alternate rates and riders offered by existing regulated suppliers that may result in lower costs

• Combination or splitting of meters for billing purposes • Correction of power factor penalties • Elimination of unnecessary or unneeded services • Using available tax exemptions

Cost-saving recommendations are always subject to the review and approval of our clients prior to implementation. After approval, we will assume full responsibility for implementing those recommendations chosen, or we will provide assistance if that is the preference.

B. WASTE REMOVAL COST RECOVERY AND REDUCTION Using our Waste Removal Cost Recovery and Reduction program, Cost Control Associates will analyze waste disposal and recycling costs and practices to identify areas of improvement. For most clients, they are able to cut waste and recycling costs by 20-50%.

C. TELECOM COST RECOVERY AND REDUCTION Our Telecom Cost Recovery and Reduction™ services can include local telephone, long distance, voice and data services. Members can select from the types of bills they wish to include in the review.

Our programs produce results. Once we gather and compile historical data (usually one recent month of bills and customer service records obtained from all carriers), our analysts conduct a comprehensive review of the billing information. Our analysts evaluate the results of the data checks and make judgments on additional steps to take. These steps lead to the identification of errors. Some of the more common errors include:

D. CELLULAR COST REVIEW AND OPTIMIZATION Our cellular services can include cellular, push-to-talk radio, data services (e.g. Blackberry services), and other types of wireless services. Members can select from the types of bills they wish to include in the review. Like our other Cost Recovery and Reduction Services, our objective is to obtain refunds and identify cost savings.

Cost Control Associates takes a proven step-by-step approach to help reduce costs. Prior to performing a full review, a “Quick-Scan Assessment” is made of current bills to determine if refunds and cost savings are likely to be available. Assuming that a reasonable level of findings is possible, we will then proceed with a full review using our Cost Review and Optimization program.

With this program, we first determine if charges are correct and accurate. The review identifies errors, some of the more common errors include:

• Wrong rates applied • Features and services billed in error • Incorrect tax charges • Charges billed for incorrect or nonexistent services and

equipment In addition to error detection, we then look to optimize on-going costs. Our cost optimization recommendations relate to:

• Rate plan changes

services As part of its Cost Review and Optimization program, Cost Control Associates will analyze rate plan costs, calculate savings based on the analysis of historical usage and costs, and make recommendations in plan changes. From our experience, most clients have selected carriers based on coverage and functionality. Since the majority of savings can be obtained without changing carriers, our approach to rate plan analysis is not to change carriers unless a client requests it.

To identify rate plan changes, Cost Control Associates will:

• Analyze the most recent 6-12 months of usage data and costs • Evaluate the numerous alternative rate plans offered by the

current service provider and if desired, alternate suppliers • Maximize savings by selecting the most cost-effective cellular rate

plans • Calculate annual savings to be realized from rate plan changes • Recommend rate changes • Implement changes, if desired • Verify the accuracy of the billing after the rate changes are

implemented by Cost Control Associates

E. UTILITY DEPOSIT RECOVERY SERVICES Using our Deposit Recovery Services program, Cost Control Associates, will perform the following for electricity vendors:

• Obtain listings of deposits from any bill processing system and any available accounting records

• Search for unrecorded deposits by contacting current utility companies and those used by members in the past two years

• Access utility company deposit policies • Make requests of utility companies to return deposit amounts • Track the return of deposits • Prepare a final report of deposits returned and those outstanding.

F. ENERGY PROCUREMENT Through our Energy Procurement program, Cost Control Associates will help obtain energy supplies at minimum cost and within an acceptable level of market risk. Cost Control Associates works with Energy Paradigm to provide this service.

In today’s volatile energy market, organizations are not only exposed to energy price risks, but also face the challenge of how to develop and meet annual energy budgets. Purchasing electricity and natural gas in deregulated markets is complex and requires an understanding of fundamental and technical market trends, as well as the regulatory complexities of each state and utility.

Cost Control Associates has successfully helped firms - both big and small - mitigate risks and dramatically reduce energy costs in deregulated markets. Our energy procurement experts will work directly with members to determine specific needs and craft a solution. Our goal is to help manage the energy procurement process to drive down the per unit electric and natural gas costs and to develop a program that matches the risk profile.

Our energy procurement services team has forged relationships with the largest electricity and natural gas suppliers in North America. We insure that suppliers are both financially stable and accustomed to working with clients in all deregulated markets. Despite these relationships, we remain neutral in terms of the suppliers we recommend to our clients. This methodology allows us to not only obtain the lowest possible price, but more importantly negotiate the most favorable contract terms, source the appropriate product structures, receive timely regulatory updates, and access real-time market data that meet our client’s specific needs.

Using our Energy Procurement Services, our professional staff will evaluate the cost effectiveness of current relationships with energy providers and assist members in obtaining these services from lower-cost sources. Our goal is not only to reduce costs, but also to reduce financial risks associated with energy markets.

Our Energy Procurement services can normally be completed in 30-90 days depending on the availability of data. Cost Control Associates is continuously monitoring the commodity market to take advantage of opportunities. Our team also monitors state Public Service Commission activities to insure that our clients are the first to benefit from changes in regulatory laws or other changes that impact the deregulated marketplace.

G. ENERGY INVOICE PROCESSING & PAYMENT These services include processing and data entry of utility bill cost and usage information; coding bills to proper departments, divisions and other cost centers; and if you so choose, payment to utility vendors. If the members prefer paying the bills, we can provide an accounts payable file so they can pay the utility bills.

As part of our Energy Invoice Processing and Payment Services, we:

Streamlined Implementation Cost Control Associates’ Invoice Processing Services are typically implemented within 90-120 days. Our team of professionals will make the transition from current bill pay system to our system as efficient as possible.

To get started, all that we need is the following:

End User Profile Questionnaire: The completed questionnaire provides us with much of the detailed information needed to set up an account. This includes member contact information, groupings needed for reporting, funding specifications and other general information.

Utility Invoices: One recent month of utility invoices coded with the correct site and general ledger account information.

Site Listings: A listing of sites with street addresses is provided

by members. Historical Invoices: If access to historical data is wanted,

provide invoice copies or electronic invoice data.

We typically follow this process to transition a new account:

1. Kick-off Call: An initial call is scheduled with all client stakeholders and Cost Control Associates team members to achieve the following:

a. Introduce each client stakeholder and his or her project role b. Introduce each Cost Control Associates team member and his

or her role c. Identify a client transition team leader d. Establish proposed transition timeframe

2. Weekly Conference Calls: We will schedule weekly conference calls to discuss transition questions and track progress. These calls will continue through the transition period.

3. Training on Web Portal: Staff will be trained (via a web meeting) on all aspects of the web portal. If additional training is needed, a trained analyst can provide additional support at any time.

We will contact all vendors and notify them of the change in billing address. The notification will provide the vendor with the correct mailing address as well as the effective date of conversion. Other than changing the billing address, no additional work is required of vendors.

Collaborative Processing Activities • Database Maintenance: Our personnel maintain the database

adding and deleting accounts as directed by members.

• Mail Processing: Invoices are retrieved from the USPS major sorting facility in Columbus daily. Invoices are checked for any USPS mis-sorts, then loaded into high speed openers.

• Bill Images: Every bill image is scanned, captured, and presented as a PDF image for immediate viewing. We burn images to a DVD quarterly.

Customized Data Transfer Data transfer is a core component of the solution. We have data file interfaces for all major accounting systems and will build interfaces for any other accounting systems. Initially we specify all customer requirements and test the specified general ledger feeds. We customize all files to meet member needs for data, data format, frequency, etc. After the test file is successfully transmitted, live processing of the invoices begins.

Funding Standard funding options include:

• Process Date: If chosen to fund based on process date, we will send a funding notification for any bills processed by us since the last funding notification was sent. Funds are due by 2 p.m. (CST) the following day. Checks are issued and released to utility vendors 9 days prior to due date. Electronic payments are processed 3 days prior to due date. Funding frequency can be daily, twice weekly, or three times per week.

• Check Date: If chosen to fund based on check date, we will send a funding request each day for any payments coming due within the next 10 days. Funds are due by 2 p.m. (CST) on the following day. Checks are issued and released to utility vendors the day funds are received. Electronic payments are processed 3 days prior to due date. Funding frequency under this method is typically daily.

Regardless of funding frequency, the transfer of funds can be made by:

Managing Missing Bills, Shut-off Notices and Late Fees Our built-in algorithms predict when we should receive each bill. Because we monitor accounts daily, we can quickly identify when a bill is missing. In the case of a missing bill, we contact the vendor, request a copy of the invoice and pay it immediately according to the vendor’s instructions. This further reduces late fees and shut-off notices. When we do incur a late fee, we proactively work with the provider to remove that fee.

We research all late fees that are significant. We contact the vendor to seek credit on eligible late fee amounts. We make available the web portal status reports on assessed late fees.

Flexible and Powerful Reporting Our clients consider our reports platform to be the best in the industry. Members are able to access the system via a web portal 24 hours a day, seven days a week.

Members may designate an unlimited number of users. Each receives a unique log-in and password that is tied to specific security levels. These levels may include report access (no access, viewable access or update access) and information access (specific site, a grouping of sites, all sites, etc.).

The flexibility of the system allows the user to view utility information in many different ways, including by site, by utility vendor and by period.

We provide extensive management reporting capabilities based on the utility invoice information captured in the database. We provide numerous standard reports. Some of these reports include:

• Company-wide summary of all service costs • Sustainability reports (greenhouse gas) • Service cost and usage by site, utility vendor, or state • Cost and usage trending • Cost and usage benchmarking • Actual versus budgeted cost • Late fee and deposit

In addition to the reports listed above, the standard ad hoc web report tool provides a powerful solution for creating an unlimited number of management reports. The ad hoc tool allows the user to define the report options (e.g., service type, sites, period, utility vendor and/or utility account number) based on stored fields within the database.

Typical reports include:

• Daily Processed Invoice Detail Report: This report provides a detailed listing of all invoices processed on a given day. The report, sent to members daily, is sorted using the same sequence as processed invoices and includes the total number of invoices and dollars processed for the day.

• Daily Check Release Detail Reconciliation Report: This report details the dollars paid for the check date in question. It is generated daily depending on processing and/or funding activity for those organizations funding on a daily basis based on check date.

• Daily Check Release Summary Reconciliation Report: This report summarizes the dollars paid, by process date, for the check date in question.

Conscientious Data Security We recognize the importance of data security and strive to maintain the confidentiality of the utility data.

H. DATA ANALYSIS AND REVIEW SERVICES We provide a unique three-step process that ensures errors are identified and accounts are on the optimal rate going forward.

Stage 1: Data Validation & Variance Testing We conduct the first stage of assuring invoice accuracy at the time of data entry. As invoices are entered, we perform both validation and variance testing to identify potential errors in invoicing.

• Validation Testing. The following standard validation checks are performed on all invoices posted to the system:

a. Prior balance: We check the prior balance column for a non-zero value and review prior payment history.

b. Two invoices for the same service: We compare the invoice to previously processed invoices for the same or overlapping service dates.

c. Amount on invoice does not match line item totals: We compare the “bill total” amount to the sum of the individual line items captured.

d. Utility account number is not recognized: The utility account number is validated to the utility account database.

• Variance Testing. During invoice processing, we run variance tests to find exceptions to the individual tolerance levels established during the account set-up process. These tolerances are based on assigning a maximum dollar amount. The tolerances can be set for an entire utility type (i.e. electricity) or can be set on an individual account basis.

• Failure to Pass Validation and Variance Testing Procedures. We report and track invoices that do not pass testing through our external exception report. Either members or Cost Control Associates may perform the investigation of these exception items to ensure that they are promptly cleared from the system or reported for follow-up with the utility companies.

Our system provides detailed tracking and reporting of exception items and progress towards resolution. The Exception Report can be filtered by date and includes:

Stage 2: Exception Item Analysis and Resolution Members may choose to have Cost Control Associates perform the investigation of exception items to ensure that they are promptly cleared from the system and/or reported for follow-up with the utility companies. When necessary, we work directly with member personnel to coordinate any site investigations. Because we log our notes, call records and the status reports within the exception screen, members always have access to the details of each item.

Our Energy Analysis Group investigates any exceptions that are potential billing errors. After our analyst confirms the billing error, he or she submits a claim to the service provider. As needed, we negotiate and collect refunds that are returned via an account credit or a refund check.

Stage 3: In-depth Data Scrub and Rate Review In addition to the data checks above, Cost Control Associates adds a third level of checking to identify billing errors and anomalies. Under Stage 3, a trained utility analyst conducts a periodic review of bills and accounts using analytical reports available in the system. When errors are found, Cost Control Associates files claims with the utility companies and does the necessary follow-up to obtain a refund credit or check.

Because utility companies periodically change rates, some or all accounts may not be on the most advantageous rates. In addition, usage changes at facilities may qualify for lower rates. Cost Control Associates reviews each account to ensure it is on the optimal rate based on the current utility company tariff. This is done by the dedicated analyst.

Cost Control Associates:

• Ensures that our files contain the recent utility company rate tariff • Updates our analysis of the tariff to identify applicable rates on

certain types of accounts • Compares usage and electrical demand amounts to prior periods

and other like locations to assess if the quantities billed are reasonable

• Reviews meter readings for estimated readings in addition to comparing beginning and ending meter readings

• Verifies state sales tax and other tax charges • Reviews usage history to identify accounts not in use • Recalculates certain bills based on rates and other information in

the rate tariff schedules to ensure each account is on the optimal rate schedule

• Reviews the account to verify that it is billed under an eligible rate; if not, we recalculate the bills to see if charges would be lower under a correct rate schedule

• Reconciles invoice billing errors with the utility and obtain refunds • Reports refunds and cost-saving rate changes on a quarterly

basis • Implements the approved rate changes, after approval

Though several instances could trigger a rate review (including findings we identify for other clients, utility company tariff filings or new industry information), Cost Control Associates guarantees that it will review the rate assignment on each account at least once per year.

J. LOCATION OPENING & CLOSING SERVICES Cost Control Associates offers Location Opening and Closing services that go beyond updating the database with new or terminated accounts. We act as the liaison between member organization and the utility companies to ensure timely opening and closing of utility services.

As part of our Location Opening services, we:

• Contact each utility to initialize service • Ensure that only appropriate services are established • Negotiate to waive or lower opening deposits • Make sure accounts are on the correct, most beneficial rate

schedule • Identify potential rate and service discounts, and • Verify first bill to ensure that billing information is accurate

For our Location Closing services, we:

• Contact each utility to end service • Verify that closing is completed as requested • Ensure that original deposits are credited or refunded, and • Confirm that all final account credits are returned

We typically initiate each open/close request within two business days of receiving the request.

2) PromptPayment.ContractorisrequiredtopayeachsubcontractorperformingWorkunderthisprimeContractforsatisfactoryperformanceofthatworknolaterthanthirty(30)daysafterContractor’sreceiptofpaymentforthatWorkfrompublicagency.Inaddition,Contractorisrequiredtoreturnanyretainagepaymentstothosesubcontractorswithinthirty(30)daysafterthesubcontractor’sworkrelatedtothisContractissatisfactorilycompletedandanylienshavebeensecured.Anydelayorpostponementofpaymentfromtheabovetimeframesmayoccuronlyforgoodcausefollowingwrittenapprovalofpublicagency.ThisclauseappliestobothDBEandnon-DBEsubcontractors.ContractormustpromptlynotifypublicagencywheneveraDBEsubcontractorperformingWorkrelatedtothisContractisterminatedorfailstocompleteitsWork,andmustmakegoodfaitheffortstoengageanotherDBEsubcontractortoperformatleastthesameamountofwork.ContractormaynotterminateanyDBEsubcontractorandperformthatWorkthroughitsownforces,orthoseofanaffiliate,withoutpriorwrittenconsentofpublicagency.

3) DBEProgram.InconnectionwiththeperformanceofthisContract,ContractorwillcooperatewithpublicagencyinmeetingitscommitmentsandgoalstoensurethatDBEsshallhavethemaximumpracticableopportunitytocompeteforsubcontractwork,regardlessofwhetheracontractgoalissetforthisContract.Contractoragreestousegoodfaitheffortstocarryoutapolicyintheawardofitssubcontracts,agentagreements,andprocurementcontractswhichwill,tothefullestextent,utilizeDBEsconsistentwiththeefficientperformanceoftheContract.

ENERGYCONSERVATIONREQUIREMENTS

ContractoragreestocomplywithmandatorystandardsandpoliciesrelatingtoenergyefficiencywhicharecontainedintheStateenergyconservationplansissuedundertheEnergyPolicyandConservationAct,asamended,42U.S.C.Sections6321etseq.and41CFRPart301-10.

FEDERALCHANGES

ContractorshallatalltimescomplywithallapplicableFTAregulations,policies,proceduresanddirectives,includingwithoutlimitationthoselisteddirectlyorbyreferenceintheContractbetweenpublicagencyandtheFTA,astheymaybeamendedorpromulgatedfromtimetotimeduringthetermofthiscontract.Contractor’sfailuretosocomplyshallconstituteamaterialbreachofthisContract.

INCORPORATIONOFFEDERALTRANSITADMINISTRATION(FTA)TERMS

Theprovisionsinclude,inpart,certainStandardTermsandConditionsrequiredbytheU.S.DepartmentofTransportation(DOT),whetherornotexpresslysetforthintheprecedingContractprovisions.AllcontractualprovisionsrequiredbytheDOT,assetforthinthemostcurrentFTACircular4220.1F,datedNovember1,2008,areherebyincorporatedbyreference.Anythingtothecontraryhereinnotwithstanding,allFTAmandatedtermsshallbedeemedtocontrolintheeventofaconflictwithotherprovisionscontainedinthisContract.Contractoragreesnottoperformanyact,failtoperformanyact,orrefusetocomplywithanypublicagencyrequeststhatwouldcausepublicagencytobeinviolationoftheFTAtermsandconditions.
