Nymo is a J.J. Ugland company. We employ a total of 330 people at our head offi ce in Grimstad and our branches in Fjære and Eydehavn.

Nymo dealt with the consequences of the order
“draught” with appropriate action. In 1972-73
the management decided to carry out an
extensive expansion to adapt to the changing
market situation. Putting it bluntly, the situation forced the
company to start this process in order to survive in a
progressively more competitive environment.
A vast expansion of the facilities at Vikkilen took place,
which included the previously mentioned welding shop,
quay and floating dock.
The new investments soon proved themselves.
Subsequent to this expansion a steadily increasing portion
of orders received were in the offshore sector.
On several occasions Nymo took on demanding
contracts, some far beyond the yard’s capacity. This was
solved by sub-contracting part of the work to local
enterprises. The development at Nymo thus had positive
effects for numerous companies in the Grimstad region.
A generator package was produced for Phillips Petroleum
Company already in 1973. In 1976, the first accommodation
module was delivered for installation on Eldfisk 2/7-B.
THE ASSEMBLY OF THE H3-RIG
In 1974, A.S Nymo faced a new and demanding challenge.
Oil Industry Services (OIS) had entered into an offshore
contract with the Aker Group for the construction of the
sub-structure of a semi-submersible Aker H-3 drilling
platform ordered by Atlantic Drilling Co. Ltd. in the UK. OIS
transferred the contract to Nymo. When looking back at
Norwegian oil history it is interesting to notice that Nymo
was an early player in the offshore industry sector. At the
point in time when Nymo received the sub-structure

I platebearbeidingsavdelingen omsettes bedriftens kunnskap i praksis. Her utføres både laser-skjæring, sveising, knekking, maskinering og overfl ate-behandling av stål, rustfritt, syrefast og aluminium.
Her fi nnes også en avdeling med svært moderne CNC styrte dreie-benker og freser.
For å simulere knekkesekvens for kantpresse, samt utlegg for laser, tilbyr vi både 3D-modellering og testkjøring gjennom simulerings-verktøy.

Skibsplast 660DC er en innovativ og spennende dagsturbåt, med preg av fl eksibilitet og gode løsninger. Båten er sjødyktig og robust, med nytt skrog og dekk, stor uteplass i cockpit,
elegant cockpitlayout og soldekkløsning. Kabinen har sjøtoalett og vask med trykkvann. En liggeplass kan med enkelhet gjøres om til to ved å benytte den heldekkende utfyllingsputen
som inngår i komfortpakken. Rustfrie ståldetaljer er både praktisk og bidrar til å gi interiøret et stilrent og moderne utrykk.
Den store akterseteløsningen og solsengen har hele tre rettvendte sitteplasser, i tillegg til tre sitteplasser akterover. Sitteplassen kan med enkelhet legges ned og omgjøres
til en romslig og komfortabel solseng. Det er enkel adkomst til badeplattform med gjennomgang på begge sider akter. Baugen entres ved gjennomgang i midten av frontruten med en
bred og trygg trapp. 660DC er utstyrt med bensin- eller dieselmotor fra 130 til 220 hk.

At the same time, the rail sector in
Western Europe faced another year
with labour disturbances and
continues to struggle with acceptable
reliability.
As for Eastern Europe, inland
logistics remain a challenge, with
poor road and rail networks as well as
general quality concerns. Truck
distribution is clearly a preferred
transport solution in this area, but the
lack of truck capacity and booming

Pan-European sales of cars and
light commercial vehicles
reached a new all-time high of
21.8 million units in 2007, an
increase of 3.3% compared to 2006.
Of these units, 6.8 million where sold
in the same country of production,
while approximately 11.8 million
were from cross-border sales. The
balance of 3.2 million vehicles was
from overseas imports and roughly 1
million of these required feeder
services from the various hub ports of
entry into Europe.
UECC estimates that more than 6.5
million units were transported within
Europe by sea in 2007. One reason
for an increasing demand for sea
transportation is that more and more
restrictions are being introduced by
both EU legislation and individual
countries towards land
transportation. This has generated a
reduction in productivity on truck
utilisation and, in combination with
increased fuel prices, has resulted in
significant cost increases for the
truck industry.

produced is increasing, with resulting
challenges for both rail and road
transport. As a result we have seen a
marked shift from land to sea
transportation in 2007.

general lack of capacity in the short-
sea sector, albeit there has been an
overall increase in freight rates as a
result of market forces.

As for European car sales, we do not
expect major increases in overall
volumes during 2008. However, the
need for feeder capacity indicates
the likelihood of another hectic year
for the industry despite possible
static sales as a result of global
trading trends.
Market outlook for 2008
We expect the trends from 2007 to
continue and it is likely that several
automotive manufacturers will
struggle to secure the short-sea
capacity to meet their logistic needs.
The main challenge in our market
will be to service Eastern Europe,
together with distribution inside the
Mediterranean and also to the UK.

in this market are not expected
The overall trend during 2007 was a noticeable shift from land
to sea transportation and increased demand for more inter-
European feeder services.

Directors’ report 2007NEW CONTRACTS AND ACTIVITIES
Several new contracts were secured
and renewed with various European
automotive manufacturers during
2007. No contracts where lost.
The deep-sea segment continues to
grow. In 2007, UECC transported
52% more units than in 2006, namely
425,000 units compared to 280,000
units in 2006.
MARKET OUTLOOK FOR 2008
European vehicle sales are forecasted
to remain at 2007 levels but with
some weakening markets in Western
Europe and continuing growth in the
East. Even so, the shortage of sea
transportation capacity will be
evident due to lack of new vessels
being delivered and increasing
demand for feeder services,
especially in the Mediterranean and
Black Sea areas.
UECC volumes are expected to
increase by 8.5% in 2008 mainly due
to the demand for the new feeder
services. At the start of 2008 there are
worries that the increasing
pessimistic financial outlook for
world trade may generate stagnating,
or possibly lower, car sales in
European markets.
PERSONNEL
At December 31, 2007, UECC had
746 employees, of whom 390 were
on shore and 356 afloat. No
significant changes are expected.
CLAIMS/DAMAGE
UECC continues to maintain its
policy of high quality cargo
handling, which assists us in
providing a superior service, both
compared to our competitors and
with other means of transportation.
THE FLEET
The core fleet operated by UECC
during 2007 consisted of 16 owned
vessels and 11 vessels on long-term
charter. MV Autoroute was chartered
out for the whole year and MV
Setubal was chartered out for 6
months. No vessels were recycled
during the year.
TERMINAL OPERATIONS
UECC today operates 9 terminals
and agencies in Europe. During the
year there were two major changes:
our Bilbao operation was sold in
March and an agency operation was
added to our stevedoring operation
in Le Havre.
Terminal volumes increased by
104,000 in 2007, making the total
number of units handled by our
terminals close to 2,047,000 units.
FINANCE AND CURRENCIES
Net interest costs increased from
EUR 5.6 million in 2006 to EUR 5.9
million in 2007 as a result of an
increase in interest rates and the use
of short-term facility loan in 2007.
As a European industrial carrier,
UECC is maintaining the euro as its
accounting currency. The accounts,
vessel financing and a majority of the
revenues and costs are nominated in
euro. Revenues and costs in other
currencies are largely hedged against
the euro.
THE MARKET
Pan-European sales of new cars and
light commercial vehicles ended up
at another all-time high in 2007,
totaling approximately 21.8 million
units, an increase of 3.3% over 2006.
The major growth was in Eastern
Europe and Russia, while the markets
in Western Europe remained largely
static but with some national
variations.
RESULTS FOR THE PERIOD
UECC’s total turnover for the year
reached EUR 387.5 million, up EUR
71.2 million from the year before.
Total operating expenses increased
from EUR 303.0 million to EUR
356.5 million. Total operating profits
before finance costs increased from
EUR 13.3 million to EUR 31.0
million, giving a result before taxes of
EUR 24.1 million.
OPERATIONS
The number of vehicles transported
by UECC during the year totaled
2,272,000 units (up from 2,072,000
units in 2006), representing an
increase of 9.7%.
The average total number of vessels
operated during 2007 was 27, one
vessel more than in 2006.
The number of port calls in 2007
totaled 5,210, involving 69 different
European ports. The main growth in
activity was in the Baltic, together
with the Mediterranean where we
have newly established operations.
Zeebrugge remains UECC’s most
visited port, with close to 660 port
calls during 2007.

7.3SHAREHOLDERS' EQUITY
The Company's issued ordinary share capital consists of 44,450 shares of EUR 453.78 each, total EUR 20,170,521 and
issued 93,262 cumulative preference shares of EUR 453.78 each, total EUR 42,320,430. The preference shares are entitled
to a fixed amount of dividend in priority to any other payment of dividend if the board of directors proposes so.
Additionally they are entitled to a further one time fixed amount of dividend. The shares have voting rights, for each share
one vote, whereas the ordinary shares have 6 votes per share.

ASSOCIATION AS TO APPROPRIATION
OF THE RESULT
The corporate profit, as included
in the financial statements for the
General Meeting of Shareholders,
is at disposal of the General
Meeting of Shareholders, which
decides about reserving or
distributing the profit, insofar
as the profit is not appropriated
for forming or retaining legal
reserves.
The General Meeting of
Shareholders can decide to pay
out an interim dividend, taking
into account the above.
Only if proposed by the
management board, the general
meeting of shareholders may
resolve to distribute profits, in
which case a dividend of two
million four hundred eighty
thousand British Pounds
(£2,480,000), shall in the first
place be deducted from the
profits as evidenced by the profit
and loss account adopted by the
general meeting of shareholders,
to the extent the profits allow
this, and distributed on the
cumulative preference shares.
If the distribution payable to the
holders of cumulative preference
shares in pursuance of the
previous or the next sentence was
not made or was not made in full
in any previous financial year on
account of insufficient profits,

possible, first be made to the
